President An Act to establish the Rural Energy Board, Fund and Agency to be responsible for promotion of improved access to modern energy services in the rural areas of Mainland Tanzania and through a Fund within the Agency Board to provide for grants and subsidies to developers of rural energy projects and for related and consequential matters [ ] E N A C T E D by the Parliament of the United Republic of Tanzania. In this Act unless the context otherwise requires- interpreta- tion "Agency" means the Rural Energy Agency established under Section 14 of this Act; 4 No. 8 Rural Energy 2005 "Annual Report'' m e a n s the report on the operations of the A g e n c y a n d F u n d s u b m i t t e d b y t h e D i r e c t o r G e n e r a l to t h e B o a r d o n a n a n n u a l b a s i s , a n d , o n c e a p p r o v e d b y t h e B o a r d , s u b m i t t e d to t h e Minister; "Board" m e a n s the B o a r d of Directors e s t a b l i s h e d u n d e r Section 6 o f this Act; " c a p i t a l s u b s i d y ' ' m e a n s financial s u p p o r t g i v e n to d e v e l o p e r s to reduce costs of capital investments; ''Development Partner'' m e a n s governments, national and international, bilateraland multilateralinstitutions a n d o r g a n i s a t i o n s , contributing to T a n z a n i a n ' s D e v e l o p m e n t ; " D e v e l o p e r " m e a n s a d e v e l o p e r of, o r a n i n v e s t o r in, o r a n o p e r a t o r o f a p r o j e c t , t h a t s h a l l b e in t h e form o f a p r i v a t e o r p u b l i c entity, a c o - o p e r a t i v e , or a local c o m m u n i t y organisation; ''Director General'' m e a n s the Director G e n e r a l a p p o i n t e d u n d e r t h e p r o v i s i o n s o f S e c t i o n 25(l) o f this A c t to b e t h e c h i e f e x e c u t i v e officer o f t h e A g e n c y ; " E W U R A " m e a n s t h e E n e r g y a n d W a t e r Utility R e g u l a t o r y Act No. 9 A u t h o r i t y e s t a b l i s h e d u n d e r t h e E n e r g y a n d W a t e r Utilities o f 2 ° o i R e g u l a t o r y Authority Act, 2 0 0 1 ; ''Fund'' m e a n s the R u r a l E n e r g y F u n d e s t a b l i s h e d u n d e r Section 17 o f this A c t a n d i n c l u d e s f i n a n c i a l r e s o u r c e s s e t a s i d e for r u r a l energy development; " G r a n t c o n t r a c t " m e a n s a c o n t r a c t b e t w e e n t h e B o a r d a n d a qualified d e v e l o p e r for t h e p r o v i s i o n o f a g r a n t ; ''Grant p a y m e n t s " m e a n s the s e t of p a y m e n t s as s h a l l b e stipulated in a G r a n t c o n t r a c t ; ''Grant'' m e a n s a n a w a r d o f m o n e y b y the F u n d to a qualified d e v e l o p e r for t h e p u r p o s e o f d e v e l o p i n g a n d i m p l e m e n t i n g a project; ''Member'' m e a n s a m e m b e r of the B o a r d a n d includes the Chairman; ' ' M i n i s t e r for F i n a n c e ' ' m e a n s t h e M i n i s t e r for t h e t i m e b e i n g r e s p o n s i b l e for f i n a n c e ; ' ' M i n i s t e r ' ' m e a n s t h e M i n i s t e r for t h e t i m e b e i n g r e s p o n s i b l e for energy; ' ' M o d e r n e n e r g y ' ' m e a n s e n e r g y t h a t is b a s e d o n p e t r o l e u m , electricity or a n y o t h e r e n e r g y forms t h a t h a v e c o m m e r c i a l i z e d m a r k e t c h a n n e l s , a higher heating or e n e r g y content value than No. 8 Rural Energy 2005 5 t r a d i t i o n a l b i o m a s s fuel, a n d t h a t w h i c h m a y b e e a s i l y t r a n s p o r t e d s t o r e d a n d utilized; ''Priority Projects'' m e a n s projects t h a t a r e prioritised for d e v e l o p m e n t b y t h e A g e n c y in its w o r k p l a n s , a s a p p r o v e d b y the B o a r d ; "Project" m e a n s t h e activities a n d i n v e s t m e n t s a s s o c i a t e d with t h e p r o v i s i o n o f m o d e r n e n e r g y s e r v i c e s in a l o c a l i t y in a r u r a l a r e a of Mainland Tanzania; "Qualified d e v e l o p e r ' ' m e a n s a d e v e l o p e r t h a t satisfies t h e criteria for q u a l i f i c a t i o n a s e s t a b l i s h e d b y t h e B o a r d ; ''Rural area'' m e a n s a n a r e a outside a n u r b a n authority; ''Special P u r p o s e Fund'' m e a n s a fund e s t a b l i s h e d a s a funding instrument u n d e r the F u n d b y special a g r e e m e n t b e t w e e n the Minister a n d D e v e l o p m e n t P a r t n e r s ; ''Trust A g e n t ' ' m e a n s t h e a g e n t a p p o i n t e d tinder the p r o v i s i o n s of S e c t i o n 2 3 o f this A c t . T h e principles o f R u r a l E n e r g y D e v e l o p m e n t s h a l l b e a s Principles of Rural follows t h a t - Energy Develop­ ( a ) m o d e r n e n e r g y s u p p l y t o r u r a l a r e a s p r o m o t e s g r o w t h in ment e c o n o m i c production a n d productivity as well a s social welfare; (b) s u s t a i n a b l e d e v e l o p m e n t shall b e a c h i e v e d w h e n m o d e m e n e r g y s e r v i c e s in r u r a l a r e a s a r e p r o m o t e d , f a c i l i t a t e d a n d s u p p o r t e d t h r o u g h p r i v a t e a n d c o m m u n i t y initiative a n d involvement; ( c ) t h e r o l e o f G o v e r n m e n t in r u r a l e n e r g y s e r v i c e p r o v i s i o n is t h a t o f a facilitator o f activities a n d i n v e s t m e n t s m a d e b y private a n d c o m m u n i t y entities; ( d ) t h e fulfilment o f G o v e r n m e n t ' s r o l e s h a l l b e b e s t m a n a g e d t h r o u g h a n i n s t i t u t i o n t h a t is i n d e p e n d e n t of, b u t a c c o u n t a b l e to, the c e n t r a l o r g a n s of G o v e r n m e n t ; 6 No. 8 Rural Energy 2005 (e) t h e public institution d e s i g n e d to facilitate r u r a l e n e r g y s e r v i c e provision shall have a small core administrative capacity, a n d shall rely o n the technical a n d financial capacity o f qualified private s e c t o r entities; a n d (f) f a c i l i t a t i o n o f r u r a l e n e r g y s e r v i c e p r o v i s i o n s h a l l t a k e t h e form o f f i n a n c i a l s u p p o r t for t h e c a p i t a l c o s t s o f i n v e s t m e n t s , t e c h n i c a l a s s i s t a n c e to p r o j e c t p r e p a r a t i o n , t r a i n i n g a n d o t h e r forms of c a p a c i t y building. Role of the 5.-(1) S u b j e c t to o t h e r r e l e v a n t written laws o f the U n i t e d Minister Republic, the duties of the Minister shall b e : (a) to d e t e r m i n e a n d e n s u r e t h e formulation, c o - o r d i n a t i o n a n d application of the n a t i o n a l e n e r g y policy a s r e l a t e s to r u r a l Mainland Tanzania; ( b ) t o a p p o i n t t h e B o a r d in a c c o r d a n c e w i t h this A c t ; a n d ( c ) to provide g u i d a n c e of a policy n a t u r e to the B o a r d . ( 2 ) T h e M i n i s t e r m a y , in c o n s u l t a t i o n w i t h t h e M i n i s t e r o f F i n a n c e , e x e c u t e a g r e e m e n t s for t h e p u r p o s e o f p r o v i d i n g r e s o u r c e s t o t h e F u n d a s p r o v i d e d for in s e c t i o n s 1 9 a n d 2 0 o f t h i s A c t . ( 3 ) T h e M i n i s t e r m a y a m e n d t h e F i r s t a n d S e c o n d S c h e d u l e s to this A c t o n t h e b a s i s of r e c o m m e n d a t i o n s m a d e to h i m b y t h e B o a r d . (4) T h e M i n i s t e r m a y m a k e r e g u l a t i o n s for t h e c a r r y i n g into e f f e c t t h e o b j e c t s o f t h i s A c t a n d for a n y m a t t e r o r t h i n g w h i c h b y t h i s A c t is t o b e o r m a y b e p r o v i d e d for b y r e g u l a t i o n s . P A R T III ESTABLISHMENT OF THE RURAL E N E R G Y BOARD The 6.-(l) T h e r e is h e r e b y e s t a b l i s h e d a B o a r d t o b e k n o w n a s t h e establish­ ment of R u r a l E n e r g y B o a r d w h o s e o b j e c t i v e s h a l l b e to p r o m o t e r u r a l socio¬ the Board e c o n o m i c d e v e l o p m e n t b y facilitating e x t e n d e d a c c e s s t o m o d e m e n e r g y s e r v i c e s for t h e p r o d u c t i v e e c o n o m i c u s e s , h e a l t h a n d e d u c a t i o n , c l e a n w a t e r , civil s e c u r i t y a n d d o m e s t i c a p p l i c a t i o n s . No. 8 Rural Energy 2005 7 (2) T h e B o a r d s h a l l strive to a c h i e v e the objective s t i p u l a t e d in s u b s e c t i o n ( 1 ) a b o v e b y : - (a) supporting the provision of m o d e m e n e r g y services t h r o u g h projects that are d e v e l o p e d b y private, public entities, co-operatives a n d local community organisations; ( b ) facilitating t h e p r o v i s i o n o f t e c h n i c a l a s s i s t a n c e t o q u a l i f i e d d e v e l o p e r s t h a t c o n t r i b u t e s to t h e p r o v i s i o n o f m o d e m e n e r g y s e r v i c e s in r u r a l a r e a s ; ( c ) a l l o c a t i n g g r a n t s in a n efficient a n d c o m p e t i t i v e m a n n e r , t o s u b s i d i z e t h e capital c o s t s o f p r o j e c t s , taking into consideration a project's social a n d e c o n o m i c benefits, r e g i o n a l e q u i t y in t h e a l l o c a t i o n o f f u n d i n g r e s o u r c e s , a n d the project's sustainability.

  32. 7 — (I) T h e B o a r d s h a l l c o n s i s t o f t h e following m e m b e r s - Composi­

    7.-(I) T h e B o a r d s h a l l c o n s i s t o f t h e following m e m b e r s - Composi­ tion of the ( a ) a r e p r e s e n t a t i v e from t h e M i n i s t r y r e s p o n s i b l e for e n e r g y ; Board ( b ) a r e p r e s e n t a t i v e from t h e M i n i s t r y o f F i n a n c e ; ( c ) a r e p r e s e n t a t i v e f r o m t h e M i n i s t r y r e s p o n s i b l e for r e g i o n a l administration a n d local government; (d) a r e p r e s e n t a t i v e o f t h e P r i v a t e S e c t o r ; (e) a r e p r e s e n t a t i v e of the T a n z a n i a n B a n k e r s ' A s s o c i a t i o n ; (f) a r e p r e s e n t a t i v e o f a civic s o c i e t y ; (g) a r e p r e s e n t a t i v e o f the D e v e l o p m e n t P a r t n e r s ; (h) a r e p r e s e n t a t i v e o f c o n s u m e r s . (2) T h e r e s h a l l b e n o a l t e r n a t e m e m b e r s , (3) A m e m b e r a p p o i n t e d u n d e r s u b s e c t i o n (1)(g) s h a l l h a v e n o voting p o w e r . 8 No. 8 Rural Energy 2005 Criteria 8.-(1) M e m b e r s of the B o a r d shall- and Appoint- ( a ) h a v e a s t r o n g i n t e r e s t in m a k i n g t h e a c t i v i t i e s o f t h e B o a r d me nt Procedure successful; ( b ) b e a b l e t o m o b i l i s e i n s t i t u t i o n a l a n d p u b l i c s u p p o r t for t h e a c t i v i t i e s o f t h e B o a r d a n d F u n d a n d h a v e c o m p e t e n c e in rural d e v e l o p m e n t issues; (c) h a v e a u t o n o m y from i n s t i t u t i o n a l o r c o r p o r a t e i n f l u e n c e ; a n d ( d ) n o t h a v e f i n a n c i a l i n t e r e s t s in a n y p r o j e c t s u p p o r t e d b y t h e Board. ( 2 ) T h e p r o c e d u r e for a p p o i n t m e n t o f m e m b e r s o f t h e B o a r d shall provide that- ( a ) t h e M i n i s t e r s h a l l invite r e c o g n i z e d o r g a n i z a t i o n s a n d p a r t i c i p a n t s in t h e p r i v a t e a n d civic s e c t o r s t o n o m i n a t e t h e i r respective representative a n d the Minister shall select o n e e a c h o f t h e n o m i n e e s t o b e t h e p r i v a t e a n d r e s p e c t i v e l y civic sectors representative; (b) t h e D e v e l o p m e n t P a r t n e r s r e p r e s e n t a t i v e s h a l l b e a p p o i n t e d from a m o n g s t t h e D e v e l o p m e n t P a r t n e r s a c t i v e in t h e e n e r g y s e c t o r in M a i n l a n d T a n z a n i a ; a n d ( c ) t h e M i n i s t e r s h a l l invite r e c o g n i s e d o r g a n i s a t i o n s in civil s o c i e t y w i t h a n i n t e r e s t in c o n s u m e r p r o t e c t i o n t o n o m i n a t e the c o n s u m e r representative o n the Board, a n d the Minister shall s e l e c t o n e s u c h n o m i n e e to b e the c o n s u m e r representative. (3) T h e C h a i r m a n o f t h e B o a r d s h a l l b e a p p o i n t e d b y t h e M i n i s t e r after r e c e i v i n g r e c o m m e n d a t i o n s from t h e B o a r d .     9 . - ( 1 ) A m e m b e r o f t h e B o a r d s h a l l h o l d office- Tenure of office of Board ( a ) o n s u c h t e r m s a n d c o n d i t i o n s a s m a y b e s p e c i f i e d in t h e Members i n s t r u m e n t o f h i s a p p o i n t m e n t a n d s h a l l , in t h e first i n s t a n c e b e for a p e r i o d n o t e x c e e d i n g t h r e e y e a r s ; a n d ( b ) s h a l l b e eligible for r e - a p p o i n t m e n t o n l y for a s u b s e q u e n t period not exceeding three years. (2) T h e provisions o f s u b s e c t i o n (1)(a) a n d (b) n o t w i t h s t a n d i n g , n o t h i n g s h a l l p r e c l u d e m e m b e r s w h o h o l d office in t h e i r o r g a n i s a t i o n s b e y o n d six y e a r s , from m a i n t a i n i n g m e m b e r s h i p or b e i n g r e - a p p o i n t e d to t h e B o a r d . (3) T h e M i n i s t e r m a y t e r m i n a t e o r s u s p e n d t h e a p p o i n t m e n t o f a m e m b e r , including the C h a i r m a n - ( a ) for t h e m e m b e r ' s p h y s i c a l o r m e n t a l inability t o p e r f o r m t h e f u n c t i o n s o f h i s office; ( b ) for g r o s s m i s b e h a v i o u r o r i n c o m p e t e n c e ; (c) if t h e m e m b e r is c o n v i c t e d o f a c r i m i n a l o f f e n c e ; ( d ) if t h e m e m b e r , in a n y p a r t i c u l a r c a s e , fails t o c o m p l y w i t h t h e p r o v i s i o n s o f t h e S e c o n d S c h e d u l e t o this A c t r e l a t i n g t o the disclosure of interest; or ( e ) if t h e m e m b e r is d e c l a r e d b a n k r u p t .

  34. 10 — (1) T h e p r o v i s i o n s o f the S e c o n d S c h e d u l e to this A c t s h a l l M e e t i n g s

    10. -(1) T h e p r o v i s i o n s o f the S e c o n d S c h e d u l e to this A c t s h a l l M e e t i n g s a n d a p p l y t o t h e m e e t i n g s o f t h e B o a r d a n d o t h e r m a t t e r s p r o v i d e d for Procedures in t h a t S c h e d u l e . of the Board ( 2 ) T h e B o a r d m a y c o - o p t a n y p e r s o n t o p a r t i c i p a t e in its deliberations, b u t a p e r s o n s o c o - o p t e d shall h a v e n o right to vote. (3) M e m b e r s o f the B o a r d shall b e entitled to p a y m e n t o f h o n o r a r i a a n d sitting a n d o t h e r a l l o w a n c e s d e t e r m i n e d b y t h e B o a r d a n d a p p r o v e d b y t h e M i n i s t e r ; a n d w h i c h s h a l l b e f u n d e d from t h e operational b u d g e t of the Agency. 10 No. 8 Rural Energy 2005 (4) T h e B o a r d s h a l l a p p o i n t t h e D i r e c t o r G e n e r a l to b e S e c r e t a r y t o t h e B o a r d w h o s h a l l b e r e s p o n s i b l e for a r r a n g i n g t h e b u s i n e s s p r o c e e d i n g s of the Board a n d s u c h other duties a s the B o a r d m a y direct. Powers 1 1 . -(1) T h e B o a r d s h a l l - and o u th c t o n s ( a ) d i r e c t t h e D i r e c t o r G e n e r a l to furnish it with a n y i n f o r m a t i o n , B o a r d reports or other d o c u m e n t s which the Board considers n e c e s s a r y for t h e p e r f o r m a n c e o f its f u n c t i o n s ; (b) r e v i e w a n d a p p r o v e r e p o r t s p r e p a r e d b y t h e A g e n c y , including the A n n u a l R e p o r t of the A g e n c y , a n d the a n n u a l a n d medium-term work plan a n d b u d g e t of the Agency, as r e f e r r e d t o in S e c t i o n 2 7 ; (c) a p p r o v e criteria for eligibility o f a d e v e l o p e r o f a p r o j e c t t o a p p l y for g r a n t s from t h e F u n d ; (d) a p p r o v e g u i d e l i n e s for t h e A g e n c y to c o n t r a c t t e c h n i c a l a s s i s t a n c e , training a n d p r o m o t i o n a l s u p p o r t to qualified developers; ( e ) e x e c u t e g r a n t c o n t r a c t s w i t h q u a l i f i e d d e v e l o p e r s in a c c o r d a n c e with t h e S e c o n d S c h e d u l e to this Act.   37. 18 — (1) T h e F u n d shall r e p r e s e n t the funding m e c h a n i s m b y which Mandate

Trust 23.-(1) The Board shall appoint a Trust Agent w h o shall be A g e n t r e s p o n s i b l e for d i s b u r s e m e n t o f g r a n t p a y m e n t s from t h e F u n d a n d e n s u r i n g t h a t a n y p r e - c o n d i t i o n s s e t b y t h e B o a r d for m a k i n g a grant p a y m e n t are m e t by the developer. (2) T h e T r u s t A g e n t s h a l l b e c o n t r a c t e d b y t h e B o a r d t h r o u g h p u b l i c t e n d e r for t h e p r o c u r e m e n t o f t h e s e r v i c e w h e r e - ( a ) b a n k s , a c c o u n t i n g firms o r s i m i l a r i n s t i t u t i o n s a c c e p t a b l e t o t h e B o a r d m a y p a r t i c i p a t e in t h e t e n d e r ; a n d ( b ) t h e c o n t r a c t with t h e T r u s t A g e n t s h a l l n o t e x c e e d a p e r i o d ofthree years a t a time. (7) T h e T r u s t A g e n t s h a l l b e i n d e p e n d e n t o f t h e F u n d , a n d s h a l l p r e p a r e periodic financial reports a t the r e q u e s t o f the Director G e n e r a l. 2 4 . -(1) T h e a n n u a l a c c o u n t s o f t h e F u n d , i n c l u d i n g e x p e n d i t u r e s of the A g e n c y , shall b e a u d i t e d b y a c o m p e t e n t a n d qualified external auditor a p p o i n t e d b y the B o a r d after receiving a r e c o m m e n d a t i o n from t h e A u d i t o r G e n e r a l . ( 2 ) D o n o r s to t h e F u n d m a y a p p o i n t a n a u d i t o r o f their o w n choice a n d a t their o w n e x p e n s e to audit t h e a c c o u n t s of the F u n d a n d A g e n c y if t h e y h a v e a p r o v i s i o n o f t h a t e f f e c t in t h e i r a g r e e m e n t s to fund t h e F u n d .     FIRST SCHEDULE (Made Under section 21) GUIDELINES F O R M A N A G E M E N T O F T H E FUND Procedures and principles for fund allocation 1. Authorization of the u s e of the Fund by the Board shall be as follows- (a) financial commitments from the Fund shall be made by signature of the Chairman of the Board co-signed by one other member of the Board and the Director General; (b) financial commitments of the Agency within the annual budget shall be made by signature of the Director General co-signed by the officer of the Agency in charge of the accounting function. 2. The selection of projects for funding a n d the calculation of the level of grant to a project shall be done on the basis of published criteria at the beginning of each financial year, indicating-.- (i) schedules of grants for different categories of investments; (ii) project and developer eligibility criteria; and (iii) the procedures for the submission and processing of applications to the Fund. 3. For purposes of regional equity, the Board m a y differentiate grants by region and location. No. 8 Rural Energy 2005 23 Processing of Fund applications from locally initiated projects 4. At the beginning of each financial year, the Agency shall issue a notice by way of advertisement inviting developers to submit applications for grant support for projects. 5. The applications shall be a s s e s s e d by the Agency against the published eligibility criteria and recommendations prepared on eligibility for grant funding and the level of g r a n t t h a t m a y b e awarded. 6. The results of the a s s e s s m e n t m a d e u n d e r p a r a g r a p h 5 above together with the Agency's recommendations, shall be submitted to the Board for approval. 7. The B o a r d m a y d e l e g a t e its authority with r e s p e c t to grant allocations to the Director-General for award ofgrants below a levelthat is specified by the Board and revised on a n a n n u a l bas is. 8. Within five days of the Board entering into a grant contract with a Developer, the Director General shall send a copy thereof to the Trust Agent instructing the Trust Agent to make grant payments to the project developer in accordance with conditions set out in the grant contract. Tenders for National Priority Rural Energy Projects 9. The Agency shallprepare pre-feasibility studies for priority projects identified by the Board. 10. The anticipated grant for a priority project shall be estimated by the Agency on the basis of the investment programme defined in the pre-feasibility study and the adopted schedule of grants for the particular year. 11. Priority projects shall be tendered to potential developers through a n o p e n and competitive tender process in which the evaluation criteria are specified in the t e n d e r documents. 12. The required investment program shall be included in the bidding documents for the te nde r. 13. The Agency shall review all proposals received from potential developers, and shall evaluate t h e s e proposals a g a i n s t the evaluation criteria published in the t e n d e r documents; and shall submit a recommendation on the selected developer to the Board. 14. Subject to the Boards approval, the Agency shall negotiate a grant contract with the preferred developer. The Grant Contract 15. The c o n t e n t of a g r a n t c o n t r a c t shall b e in a c c o r d a n c e with a n y conditions established by the Board. 16. The information to be included in a grant contract shall include but not be limited to - (a) a description of the project; 24 No. 8 Rural Energy 2005 (b) the place of execution of the project; (c) a report on the financial status of the developer; (d) anticipated financing arrangements for the project including the developer's own equity contribution and sources and conditions of loan finance; (c) the disbursement schedule for grant payments set against project development milestones; (f) m e c h a n i s m s for project supervision a n d control, including regular reporting requirements during the implementation of the investment programme; (g) specification of any guarantees as required by the Board; (h) a mechanism and process to transfer the grant contract to another entity where the ownership of the project is transferred to another entity during the period in which the grant contract is valid; (i) description of c o n s e q u e n c e s a n d p r o c e d u r e s in c a s e of non-fulfilment of the investment programme. 17. Where the developer is required to obtain a licence or authorisation from EWURA, the grant contract shall have the award of such a licence or authorisation as a condition precedent; and the Board shall be absolved from making any grant payments should the developer's licence be withdrawn or s u s p e n d e d . Procedures for the Trust Agent 18. The Trust Agent shall disburse payments according to the schedules established in the grant contracts. 19. The Trust Agent shall employ its own staff or consultants to verify the progress of the project against the milestones established in the grant contract for disbursement of funds to the developer. 20. The Trust Agent shall verify that the e q u i p m e n t , materials, installations a n d other activities set out in the grant contract have b e e n installed and are in accordance with any terms, conditions and standards as set out in the grant contract. Verification by the Agency 2 1 . Where directed by the Board, the Trust Agent shall undertake a n i n d e p e n d e n t verification ofproject completion at the time of commissioning and shall verify that the project is in compliance with any terms, conditions and standards set out in the grant contract.     SECOND SCHEDULE (Made under section 10(1)) PROCEEDINGS OF MEETINGS OF THE BOARD Meetings 1. The Board shall m e e t at least four times a year and at such other times as m a y be n e c e s s a r y or expedient for the transaction of its business. 2. All m e e t i n g s of the Board shall be c o n v e n e d b y the S e c r e t a r y to the Board or where the Secretary is incapacitated, the Chairman, who shall appoint a suitable time, place a n d date for the holding of e a c h meeting. 3. The Secretary shall convene a special meeting of the Board on a request in writing signed by not less than five members of the Board for such a meeting and shall cause the meeting to be held within twenty-one days of the receipt by him of such request. 4. Except in the case of a special meeting, a Board meeting shall be convened with at least five days notice in writing, specifying the business to be transacted at the meeting, and written notice of the convening of the meeting shall be given to every member of the Board. 5. Any m e m b e r of the B o a r d with a C o m m e r c i a l interest in a n y b u s i n e s s to b e transacted at the meeting shall notify the Chairman and Secretary to the Board and shall excuse himself from that portion of the meeting where that business is discussed. 6. The Chairman shall preside at the meeting ofthe Board and in the absence ofthe Chairman the m e m b e r s p r e s e n t a t the meeting shallelect one oftheir n u m b e r to be a n interim Chairman, 7. Minutes in proper form of e a c h meeting of the Board shall be kept a n d shall be confirmed by the Board at its next meeting and signed by the Chairman of the meeting. Quorum and decision making 8. Five m e m b e r s of the Board shall constitute a quorum a t any meeting. 9. All acts, matters and items authorised by the Board shall be decided by resolution at a meeting of the Board at which there is a quorum. 10. A decision approved by voting by the majority of members present at a meeting of the Board shall be d e e m e d to be a decision of the Board. 11. Every m e m b e r of the Board, excluding ex-offcio members, shall have one vote and in the event of an equality of votes the Chairman of the meeting shall have a second or casting vote in addition to his deliberative vote. 26 No. 8 Rural Energy 2005 12. Notwithstanding the provisions ofthis Schedule, where the Chairman so directs a decision may be made by the Board without a meeting by circulation of the relevant papers among all the members and the expression in writing of their views, but any member shall be entitled to require that any such deoision be deferred until the subject matter shall be considered at a meeting ofthe Board, 13. Subject to the provisions of mis Schedule relating to quorum, the Board may act notwithstanding any vacancy in the membership thereof and no act or proceeding ofthe Board shall be invalid by reason only of some defect in the appointment of a member or a person who purports to be a member. Power to regulate procedure 14. The Board shall have power to regulate its own procedure and may from time to time make standing orders providing for all matters relating to the meetings of the Board and the proper conduot of its business. Agency seal 15. All deeds, instruments, contracts and other documents shall be deemed to be duly executed by or on behalf of the Board - (a) if sealed with the seal ofthe Board and signed by the Chairman and the Secretary of the Board; or (b) if sealed with the seal of the Board and signed by the Director General and two members of the Board; or (c) if sealed with the seal ofthe Board and signed by one member ofthe Board and the Secretary both of whom have been authorised by the Board for the purpose. th Passed in the National Assembly on the 18 April, 2005.
