It also determines the competence, organization, functioning and responsibilities of REMA organs. CHAPTER II: AUTHORITY SUPERVISING REMA AND ITS CATEGORY Article 2: Supervising Authority of REMA REMA shall be supervised by the Ministry in charge of environment. Il détermine également la compétence, l‟organisation, le fonctionnement et les attributions de ses organes. CHAPITRE II: ORGANE DE TUTELLE DE REMA ET SA CATEGORIE Article 2: Autorité de tutelle de REMA REMA est placé sous la tutelle du Ministère ayant l‟environnement dans ses attributions. CHAPTER III: COMPETENCE ORGANISATION, FUNCTIONING AND RESPONSIBILITIES OF ORGANS OF REMA Article 4: Management organs of REMA REMA shall comprise the following management organs: 1º Board of Directors; 2º General Directorate. Section One: Board of Directors Article 5: Number of members of Board of Directors and their terms of office The Board of Directors of REMA shall comprise seven (7) members appointed for a three (3) years term of office renewable only once. Article 6: Powers of the Board of Directors The Board of Directors of REMA shall be the governing and decision making organ of REMA. It shall have full powers and responsilities to manage REMA in order to fulfill its mission. d‟activités économiques, sociales et autres activités d‟intéret général. Section première: Conseil d’Administration Article 5: Effectif des membres du Conseil d’Administration et leur mandat Le Conseil d‟Administration de REMA est composé de sept (7) membres désignés pour un mandat de trois (3) ans renouvelable une seule fois. Article 6: Compétence et attributions du Conseil d'Administration Le Conseil d'Administration de REMA est l‟organe dirigeant et de prise de décision de REMA. Il a les pleins pouvoirs et les responsabilités de gérer REMA pour remplir sa mission. Article 7: Responsibilities of the Board of Directors Responsibilities of the Board of Directors of REMA are as follows: 1º to approve the internal rules and regulations of REMA; 2º to design guidelines, strategic vision and the plan of action of REMA and follow up their implementation; 3º to approve the draft annual budget before it is transmitted to relevant authorities; 4º to evaluate the performance of REMA in accordance with the plan of action and the budget; 5º to approve financial and activity reports of the previous year; 6º to monitor the performance of the management and personnel of REMA and provide advice; 7º to submit a quarterly report to the Ministry supervising REMA. Article 7: Attributions du Conseil d'Administration Les attributions du Conseil d‟Administration de REMA sont les suivantes: 1º approuver le règlement d‟ordre intérieur de REMA; 2º déterminer les lignes directrices, la vision stratégique et le plan d‟action de REMA et faire le suivi de leur mise en oeuvre; 3º approuver le projet du budget annuel avant de le transmettre aux organes compétents; 4º faire l‟évaluation des performances de REMA sur base du plan d‟action et du budget; 5º approuver le rapport financier et le rapport d‟activités de l‟année écoulée; 6º faire le suivi de la performance de la Direction du REMA et de son personnel et leur fournir les conseils; 7º soumettre un raport d‟activités trimestriel au Ministère de tutelle de REMA. Mu byigwa n‟Inama y‟Ubuyobozi mu gihembwe cya mbere cy‟umwaka harimo kwemeza raporo y‟imari n‟iy‟ibikorwa mu mwaka urangiye. Mu gihembwe cya kane hakabamo gahunda yo gusuzuma umushinga w‟ingengo y‟imari na gahunda y‟ibikorwa by‟umwaka utaha. Buri gihembwe kandi Inama y‟Ubuyobozi igomba gusuzuma raporo y‟imari n‟iy‟ibikorwa byerekeranye n‟igihembwe kirangiye igashyikirizwa Minisitiri ufite ibidukikije mu nshingano ze. Uburyo inama itumizwa, iterana, iyoborwa n‟uburyo bw‟ifatwa ry‟ibyemezo biteganywa n‟amategeko ngengamikorere ya REMA. Ingingo ya 9: Gutumira mu nama z’Inama y’Ubuyobozi umuntu ushobora kuyungura inama Inama y‟Ubuyobozi ishobora gutumira mu nama yayo umuntu wese ibona ashobora kuyungura inama ku ngingo runaka ifite ku murongo w‟ibyigwa. Uwatumiwe ntiyemerewe gutora no gukurikira iyigwa ry‟izindi ngingo ziri ku murongo w‟ibyigwa. Article 8: Meetings of the Board of Directors The meeting of the Board of Directors of REMA shall be held once in a quarter and whenever considered necessary. Items to be examined in the first term of the year shall include approval of the activity report and the use of the property in the previous year. In the fourth term, there shall be included the examination of the draft of the annual budget and the plan of action of the following year. Every term, the Board of Directors shall examine the financial and the activity reports relating to previous term and the report shall be transmitted to the Minister in charge of the environment. The procedures through which the meeting is convened, held, chaired and the mode of taking decisions shall be determined by internal rules and regulations of REMA. Article 9: Invitation of a resourceful person in the meetings of the Board of Directors The Board of Directors may invite in its meeting any person from whom it may seek advice on a certain issue on the agenda. The invite person shall not be allowed to vote and to follow the debates of other items on the agenda. Article 8: Réunions du Conseil d’Administration Le Conseil d‟Administration de REMA se réunit une fois par trimestre et chaque fois que de besoin. Les points à examiner au premier trimestre comprennent notamment l‟approbation du rapport d‟activités et de gestion du patrimoine pour l‟exercice précédent. Les points à examiner au cours du quatrième trimestre comprennent notamment l‟examen du projet du budget et du programme d‟activités pour l‟exercice suivant. Chaque trimestre, le Conseil d‟Administration doit également examiner le rapport financier et le rapport d‟activités pour le trimestre écoulé et le rapport est transmis au Ministre ayant l‟environnement dans ses attributions. Les modalités de convocation, de réunion, de présidence et de prise de décision du Conseil d‟Administration sont prévues par le règlement d‟ordre intérieur de REMA. Article 9: Invitation d'une personne ressource aux réunions du Conseil d'Administration Le Conseil d'Administration peut inviter à ses réunions toute personne qu‟il juge compétente pour lui donner des conseils sur un point inscrit à l'ordre du jour. La personne invitée n'a pas le droit de vote et de suivre les débats sur d'autres questions à l'ordre du jour. Official Gazette nᵒ 13 of 30 March 2015 16 Ingingo ya 10: Iyemezwa ry’ibyemezo by’inama z’Inama y’Ubuyobozi n’inyandikomvugo zayo Inyandiko y‟ibyemezo by‟Inama y‟Inama y‟Ubuyobozi ishyirwaho umukono n‟abayigize inama ikirangira, kopi yayo ikohererezwa Minisitiri ureberera REMA mu gihe kitarenze iminsi itanu (5) kugira ngo agire icyo abivugaho mu gihe kitarenze iminsi cumi n‟itanu (15) kuva ayishyikirijwe. Iyo icyo gihe kirenze ntacyo arabivugaho imyanzuro y‟inama iba yemewe burundu. Inyandikomvugo y‟inama ishyirwaho umukono na Perezida n‟umwanditsi bayo, ikemezwa mu nama ikurikira. Kopi y‟inyandikomvugo yohererezwa Minisitiri ufite ibidukikije mu nshingano ze mu gihe kitarenze iminsi cumi n‟itanu (15) guhera umunsi yemerejweho. Ingingo ya 11: Impamvu zituma ugize Inama y’Ubuyobozi avanwa muri uwo mwanya n’uko asimburwa Ugize Inama y‟Ubuyobozi ava muri uwo mwanya iyo: 1º manda irangiye; 2º yeguye akoresheje inyandiko; Article 10: Approval of resolutions and minutes of the meeting of the Board of Directors Resolutions of the meeting of the Board of Directors shall be signed by its members immediately at its closure and a copy shall be sent to the Minister supervising REMA in a period not exceeding five (5) days in order to give his/her views in a period not exceeding fifteen (15) days from its reception. If this period expires whithout having given his/her views, the resolutions of the meeting shall be presumed as definitively approved. The minutes of the meeting shall be signed by the Chairperson and the Rapporteur, and approved in the following session. The copy of minutes shall be sent to the Minister in charge of environment in a period not exceeding fifteen (15) days from the day of its approval. Article 11: Reasons for loss of membership to the Board of Directors and replacement A member of the Board of Directors shall leave such an office if: 1º the term of office expires; 2º he/she resigns through writing; Article 10: Approbation des résolutions et process-verbaux des rapports de la réunion du Conseil d’Administration Les résolutions de la réunion du Conseil d‟Administration sont immédiatement signées par les membres après la séance et transmises au Ministre de tutelle de REMA dans les cinq (5) jours suivants pour son avis endéans quinze (15) jours suivant la transmission. A défaut de l‟avis du Ministre, les résolutions du Conseil sont réputées définitives. Le procès-verbal de la réunion du Conseil d‟Administration est signé conjointement par son Président et le rapporteur et soumis à la séance suivante pour approbation. Une copie du procès verbal est envoyée au Ministre de tutelle de REMA dans un délai ne dépassant pas quinze (15) jours à compter du jour de son approbation. Article 11: Causes de perte de la qualité de membre du Conseil d’Administration et remplacement Le membre du Conseil d‟Administration perd la qualité de membre: 1º si son mandat expire; 2º en cas de démission par notification écrite; Official Gazette nᵒ 13 of 30 March 2015 17 3º atagishoboye kuzuza inshingano ze kubera ubumuga bw‟umubiri cyangwa ubumuga bwo mu mutwe, byemejwe na muganga wemewe na Leta; 4º akatiwe burundu igihano cy‟igifungo kingana cyangwa kirengeje amezi atandatu (6) nta subikagihano; 5º asibye inama inshuro eshatu (3) zikurikirana mu mwaka umwe nta mpamvu zifite ishingiro; 6º bigaragaye ko atacyujuje ibyashingiweho ashyirwa mu nama y‟Ubuyobozi; 7º agaragaje imyitwarire itajyanye n‟inshingano ze; 8º abangamira inyungu za REMA; 9º yireze akemera icyaha cya jenoside; 10º agaragayeho ibimenyetso by‟ingengabitekerezo ya jenoside 11º apfuye. 3º he/she is no longer able to perform his/her duties due to physical or mental disability certified by an authorized medical doctor; 4º he/she is definitively sentenced to a term of imprisonment exceeding six (6) months without suspension of the sentence; 5º he/she is absent in meetings for three (3) consecutive times in a year without justified reasons; 6º it is clear that he/she no longer fulfils the requirements considered at the time of his/her appointment in the Board of Directors; 7º he/she demonstrates behaviours contrary to his/her responsibilities; 8º he/she jeopardizes interests of REMA; 9º he/she confesses and pleads guilty for the crime of genocide; 10º he/she is proven to be propelled by the genocidal ideology 11º he/she dies. 3º en cas d‟incapacité physique ou mentale constatée par un médecin agréé par l‟Etat; 4º s‟il a été condamné définitivement à une peine d‟emprisonnement de plus de six (6) mois sans sursis; 5º en cas de trois (3) absences consecutives aux réunions dans une année sans raisons valables; 6º s‟il est constaté qu‟il ne remplit plus les conditions requises pour être membre du Conseil d‟Administration; 7º s‟il affiche un comportement incompatible avec ses fonctions; 8º s‟il agit contre les intérêts de REMA; 9º s‟il avoue et plaide coupable pour le crime de génocide; 10º s‟il est prouvé qu‟il est animé(e) de l‟idéologie de génocide ; 11º en cas de décès. Ashobora kuzitangamo ibitekerezo ariko ntatora mu gihe cy‟ifatwa ry‟ibyemezo. Umuyobozi Mukuru wa REMA ntajya mu nama zifata ibyemezo ku bibazo bimureba. Icyo gihe, Inama y‟Ubuyobozi yitoramo umwanditsi. Mu gihe Umuyobozi Mukuru adahari, Umuyobozi Mukuru Wungirije yitabira inama akayibera umwanditsi. The Board of Directors, shall indicate in the report meant for the Minister in charge of the environment, whether one of its members is not worth its membership or if he/she is no longer in his/her position in accordance with Paragraph One of this Article. In case a member of the Board of Directors leaves his/her duties at least six (6) months before the expiration of his/her term, the competent authority shall appoint his/her substitute. The appointee shall complete the remaining term. Article 12: Rapporteur of the Board of Directors The Director General of REMA shall attend the meeting of the Board of Directors and shall serve as the rapporteur. He/she may give views but he/she is not allowed to vote. The Director General of REMA shall not participate in meetings that decide on issues that concern him/her. In that case, the Board of Directors shall elect a rapporteur among its members. In case of the absence of the Director General, the Deputy Director General shall attend the meeting and be the rapporteur. Le Conseil d‟Administration constate l‟incapacité de l‟un de ses membres ou la vacance de poste dans un rapport adressé au Ministre ayant l‟environnement dans ses attributions conformément aux dispositions de l‟alinéa premier du présent article. Si un membre du Conseil d‟Administration perd la qualité de membre six (6) mois) au moins avant l‟expiration de son mandat, l‟autorité de nomination désigne son remplaçant. Celui-ci termine le mandat de celui qu‟il a remplacé. Article 12: Rapporteur du Conseil d'Administration Le Directeur Général de REMA assiste aux réunions du Conseil d'Administration et en est le rapporteur. Il peut participer aux débats mais sans voix délibérative. Le Directeur Général du REMA ne participe pas aux réunions qui traitent des points qui le concernent personnellement. Dans ce cas, le Conseil d'Administration élit parmi ses membres un rapporteur. En cas d‟absence du Directeur Général, le Directeur Général Adjoint participe à la réunion et en est le rapporteur. Article 13: Procedures through which a member of the Board of Directors makes a notification of personal interest in issues under examination When a member of the Board of Directors of REMA has direct or indirect personal interests in the issues under examination or to be examined soon, as soon as he/she is informed of the agenda, he/she shall immediately inform the Board of Directors of the basis of his/her interests. Such a person shall not vote during decision taking on such an issue. When majority or all members of Directors of REMA has direct or indirect interests in a matter being discussed or to be discussed, to the extent that a decision cannot be taken, the issue(s) shall be forwarded to the organ supervising REMA. Section 2: General Directorate Article 14: Competence of the General Directorate The daily management of REMA is entrusted to its Director General. The Director General of REMA coordinates and directs the daily activities of REMA and shall be answerable to the Board of Directors on how its decisions are implemented. Article 13: Modalités de déclaration d’intérêt lié aux points sous examen par un membre du Conseil d’Administration Lorsqu‟un membre du Conseil d‟Administration de REMA a un intérêt personnel direct ou indirect lié aux points sous examen ou devant être examinés prochainement, il doit, aussitôt qu‟il est informé de l‟ordre du jour, informer sans délai le Conseil d‟Administration du lien entre ses intérêts et les points à l‟ordre du jour. Le concerné ne participe pas à la prise de décision sur ce point. Lorsqu‟il s‟avère que plusieurs ou tous les membres du Conseil d‟Administration de REMA ont un intérêt personnel direct ou indirect lié aux points sous examen ou devant être examinés prochainement, de telle sorte qu‟il est impossible de prendre une décision sur ses points, l‟examen de ces points est transféré à l‟organe de tutelle de REMA. Section 2: Direction Générale Article 14: Compétence de la Direction Générale La gestion journalière de REMA est assurée par son Directeur Général. Le Directeur Général de REMA coordonne et dirige les activités journalières de REMA et doit render compte devant le Conseil d‟Administration, de l‟exécution de ses décisions. Article 16: Specific responsibilities of the Director General The Director General shall specifically be responsible for: 1º implementing the decisions of the Board of Directors; 2º ensuring REMA technical, administrative and financial management; 3º developing a strategic plan giving preference to the institution‟s mission and objectives to promote the national environmental policy; 4º preparing and submitting to the Board of Directors the budget proposal of the following fiscal year and the budget execution report for the previous year; 5º executing the budget and managing the property of REMA; Article 15: Membres de la Direction Générale de REMA La Direction Générale de REMA est composé du: 1º Directeur Général; 2º Directeur Général Adjoint. Ingingo ya 17: Inshingano z’Umuyobozi Mukuru Wungirije Inshingano z‟Umuyobozi Mukuru Wungirije ni izi zikurikira: 1º gufasha Umuyobozi Mukuru gushyira mu bikorwa ibyemezo by‟Inama y‟Ubuyobozi; 2º kugira uruhare mu itegurwa ry‟imbanzirizamushinga ituma hashyirwa 6º ensuring the recruitment and the performance of the employees of REMA in accordance with the Law; 7º informing, in writing, the Board of Directors the progress of the activities of REMA at least once a term; 8º managing REMA staff in accordance with laws in force; 9º acting as a legal representative of REMA; 10º preparing every year the performance contract to be signed between the Board of Directors and General Directorate. Article 17: Responsibilities of Deputy Director General The responsibilities of the Deputy Director General shall be the following: 1º to assist the Director General in implementing the decisions of the Board of Directors; 2º to participate in developing a strategic plan giving preference to the institution‟s 6º assurer le recrutement et la performance du personnel de REMA conformément à la loi; 7º transmettre, au moins une fois par trimestre, au Conseil d‟Administration un rapport sur l‟état d‟avancement des activités de REMA; 8º assurer le suivi de la gestion du personnel de REMA conformément aux lois en vigueur; 9º représenter officiellement REMA; 10º préparer chaque année un contrat de performance devant être signé entre le Conseil d'Administration et la Direction Générale. Section 3: Internal rules and regulations Article 18: Internal rules and regulations The internal rules and regulations determine other issues related to the organisation and functioning of REMA‟s organs not provided for by this Order. Section 3: Règlement d’ordre intérieur Article 18: Règlement d’ordre intérieur Le règlement d‟ordre intérieur détermine d‟autres dispositions relatives à l‟organisation et fonctionnement des organes de REMA non prévues par le présent arrêté. CHAPITRE IV: DISPOSITIONS FINALES Article 19: Autorités chargées de l’exécution du présent arrêté Le Ministre de la Fonction Publique et du Travail et le Ministre des Ressources Naturelles sont chargés de l‟exécution du présent arrêté.
