Public Private Partnership Proclamation No. 1076/2018

1. Short Title ጠቅላላ ፩. አጭር ርዕስ This Proclamation may be cited as “Public Private Partnership Proclamation No. 1076/2018". ይህ አዋጅ “የመንግሥት እና የግል አጋርነት አዋጅ ቁጥር ፩ሺ፸፮/፪ሺ፲” ተብሎ ሊጠቀስ ይችላል፡፡ 2. Definitions In this Proclamation unless the context requires ፪. ትርጓሜ otherwise: የቃሉ አገባብ ሌላ ትርጉም የሚያሰጠው ካልሆነ በቀር በዚህ አዋጅ ውስጥ፦ 1. "Board" means the board established pursuant to this Proclamation. ፩/ “ቦርድ” ማለት በዚህ አዋጅ መሠረት የሚቋቋም ቦርድ ነው፤ 2. "Contracting Authority" means a Public Body or a Public Enterprise which intends ፪/ “ተዋዋይ ባለስልጣን” ማለት ከግል ባለሀብት ጋር to enter into a Public Private Partnership የመንግሥት እና የግል አጋርነት ስምምነት Agreement with a Private Party. ለማድረግ የሚፈልግ የመንግሥት መሥሪያ

3. "Infrastructure Facility" means any ቤት፣ የመንግሥት የልማት ድርጅት ነው፤ physical facility and systems that directly ፫/ “የመሠረተ-ልማት አውታር” ማለት በቀጥታም or indirectly provide Public Service ሆነ በተዘዋዋሪ የሕዝብ አገልግሎት ተግባራትን Activity. የሚያከናውኑ ግዙፋዊ ሀልወት ያላቸው

4. "Ministry" or "Minister" means the አውታሮች እና ስርዓቶች ናቸው፤ Ministry or Minister of Finance and ፬/ “ሚኒስቴር” ወይም “ሚኒስትር” ማለት Economic Cooperation, respectively. እንደአግባብነቱ የገንዘብና ኢኮኖሚ ትብብር 5. “Person” means any natural or juridical ሚኒስቴር ወይም ሚኒስትር ነው፤ person. ፭/ “ሰው” ማለት የተፈጥሮ ሰው ወይም በሕግ

6. "Private Party" means a party that enters የሰውነት መብት የተሰጠው አካል ነው፤ into a Public Private Partnership ፮/ “የግል ባለሀብት” ማለት ከተዋዋይ ባለስልጣን Agreement with a Contracting Authority. ጋር የመንግሥት እና የግል አጋርነት ስምምነት

7. 8. "Project Company" means the legal entity ፲ሺ፪፻፴፯ incorporated under the laws of the Federal ፰/ “የፕሮጀክት ኩባንያ” ማለት በኢትዮጵያ Democratic Republic of Ethiopia by the successful bidder whose sole purpose shall ፌደራላዊ ዲሞክራሲያዊ ሪፑብሊክ ሕጎች be to execute and implement the Public መሠረት በአሸናፊ ተጫራች በኢትዮጵያ ውስጥ Private Partnership Agreement and other የሚመሰረትና ዓላማውም የመንግሥት እና Project Agreements, if any. የግል አጋርነት ስምምነቱን እና እንደአግባብነቱም ሌሎች የፕሮጀክት ስምምነቶችን የሚተገብርና የሚያስፈጽም የሕግ 9. "Public Body" means any organ of the ሰውነት የተሰጠው ኩባንያ ነው፤ Federal Government, which is wholly ፱/ “የመንግሥት መሥሪያ ቤት” ማለት ሙሉ financed by the Federal Government በሙሉ በፌደራል መንግሥት በጀት የሚተዳደር budget. ማናቸውም የፌደራል መንግሥት መስሪያ ቤት 10. "Public Enterprise" means an enterprise ነው፤ fully owned by the Federal Government and defined under the relevant laws of the ፲/ “የመንግሥት የልማት ድርጅት” ማለት ሙሉ Federal Democratic Republic of Ethiopia. በሙሉ በፌደራል መንግሥት ባለቤትነት ሥር የሆነና አግባብነት ባላቸው በኢትዮጵያ

11. "Public Entity" means a Public Body or a ፌደራላዊ ዲሞክራሲያዊ ሪፑብሊክ ሕጎች Public Enterprise. የተቋቋመ ድርጅት ነው፤ ፲፩/ “መንግሥታዊ ተቋም” ማለት የመንግሥት

12. 13. "Public Private Partnership Agreement" ከመጠቀም ጋር ለተያያዙ ሥጋቶች means a contract concluded between the ኃላፊነት የሚወስድበት ነው። Contracting Authority and a Private Party ፲፫/ “የመንግሥት እና የግል አጋርነት ስምምነት” setting forth the terms and conditions of ማለት የመንግሥት እና የግል አጋርነቱን the Public Private Partnership. የውል ቃሎችና ሁኔታዎች ለመወሰን

14. "Public Private Partnership Directorate የሚከናወን ማናቸውም ተግባር ነው፤ General” or "PPP Directorate General" means the unit established within the ፲፭/ “የመንግሥት እና የግል አጋርነት Ministry pursuant to this Proclamation; ዳይሬክቶሬት ጄኔራል” ወይም “የመግአ ዳይሬክቶሬት ጄኔራል” ማለት በዚህ አዋጅ

16. “Regional States” means any region መሠረት የሚቋቋም ተጠሪነቱ ለሚኒስትሩ referred to in Article 47(1) of the የሆነ የሥራ ክፍል ነው፤ Constitution of the Federal Democratic ፲፮/ “የክልል መንግሥታት” ማለት በኢትዮጵያ Republic of Ethiopia and includes the Addis Ababa and Dire Dawa city ፌደራላዊ ዲሞክራሲያዊ ሪፑብሊክ ሕገ- administrations; መንግሥት አንቀጽ ፵፯(፩) የተዘረዘሩት የክልል መንግሥታት ሲሆኑ ለዚህ አዋጅ 17. 3. Objective መመዘኛዎች አንጻር የሚያስገኘው የጠቀሜታ This Public Private Partnership Scheme shall መጠን ነው፤ have the following objectives: ፲፱/ በዚህ አዋጅ ውስጥ ማንኛውም በወንድ ጾታ 1/ to create a favorable framework for የተገለጸው የሴትንም ጾታ ይጨምራል፡፡ promoting and facilitating the implementation of privately financed ፫. ዓላማ projects to support Ethiopian economic የመንግሥትና የግል አጋርነት ሥርዓት የሚከተሉት growth; ዓላማዎች ይኖሩታል፤ ፩/ የኢትዮጵያን የኢኮኖሚ ዕድገት ለማገዝ የሚችሉና 2/ to enhance transparency, fairness, Value for በግል ባለሀብቶች ፋይናንስ የሚደረጉ Money, efficiency and long-term ፕሮጀክቶችን ለማበረታታትና ለመደገፍ sustainability; የሚያስችል አመቺ ማዕቀፍ እንዲኖር ማድረግ፤ 3/ to improve quality of Public Service Activity; and ፪/ ግልጽነትን፣ፍትሀዊነትን፣ ለገንዘብ ተመጣጣኝ ዋጋ 4/ to maintain macroeconomic stability by ማስገኘትን፣ ቅልጥፍናን እና ዘላቂነትን reducing growth in public debt. ማበረታታት፤ ፫/ የሕዝብ አገልግሎት ተግባርን የአቅርቦት መጠን እና ጥራት ማሻሻል፤ እና ፬/ የመንግሥት ዕዳ ዕድገትን በመቀነስ የተረጋጋ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10240 …..........page ማክሮ ኢኮኖሚእንዲኖር ማድረግ፡፡ 4. Scope of Application 1/ This Proclamation shall apply to Public Private Partnership projects of Public Bodies and Public Enterprises; ፲ሺ፪፻፵ 2/ The following activities are expressly ፬. የተፈጻሚነት ወሰን excluded from this Proclamation: ፩/ ይህ አዋጅ በመንግሥት መስሪያ ቤቶችና a) oil, mines, minerals, rights of air በመንግሥት የልማት ድርጅቶች በሚተገበሩ space; and የመንግሥትና የግል አጋርነት ፕሮጀክቶች ላይ b) Privatization or divestiture of public ተፈፃሚ ይሆናል። infrastructure or public enterprises. ፪/ ይህ አዋጅ በሚከተሉት ላይ ተፈጻሚ አይሆንም፦ ሀ) ነዳጅ፣ ማዕድን፣ ሚኒራል፣ የአየር ክልል 5. 7. Authorization to grant rights for Public ልማት አውታሮች እና/ወይም አገልግሎቶች Private Partnerships ከአንድ በላይ በሆነ የመንግሥት ተቋም ኃላፊነት Rights to use or operate publicly owned ሥር የሚወድቁ በሚሆንበት ጊዜ ከእነዚህ Infrastructure Facilities and/or provide ድርጅቶች መካከል ቦርዱ ተለይቶ የቀረበውን Public Service Activities may be granted by ፕሮጀክት ለማስፈጸም የበለጠ አግባብነት አለው the Contracting Authority which by its ብሎ የሚያምንበትን የመንግሥት ተቋም establishing legislation is responsible for ይወሰናል፡፡ such activities, to a Private Party in accordance with this law. ፯. የመንግሥት እና የግል አጋርነት ፈቃድ የመስጠት ሥልጣን CHAPTER TWO ተዋዋዩ ባለስልጣን በተቋቋመበት ሕግ በኃላፊነቱ ADMINISTRATION OF PUBLIC PRIVATE PARTNERSHIPS ሥር እንዲሆኑ የተደረጉትን የመንግሥት ንብረት

8. Public Private Partnership Board የሆኑ የመሠረተ-ልማት አውታሮችን የመጠቀም 1/ It is hereby established the Public Private ወይም የሥራ ማካሄድ መብትን እና/ወይም Partnership Board which shall consist of: የመንግሥት አገልግሎት ተግባራትን የማከናወን መብትን በዚህ አዋጅ መሠረት ለግል ባለሀብት a) The Ministry of Finance and መስጠት ይችላል፡፡ Economic Cooperation; ክፍል ሁለት b) The National Bank of Ethiopia; የመንግሥት እና የግል አጋርነት አስተዳደር c) The Ministry of Water, Irrigation and ፰. የመንግሥት እና የግል አጋርነት ቦርድ Electricity; ፩/ ከዚህ በታች የተዘረዘሩትን አካላት የያዘ d) The Ministry of Transport; የመንግሥት እና የግል አጋርነት ቦርድ በዚህ አዋጅ e) The Ministry of Public Enterprises; ተቋቁሟል፤ f) The National Planning Commission; ሀ) የገንዘብ እና ኢኮኖሚ ትብብር ሚኒስቴር፤ g) The Ministry of Federal and Pastoralist Affairs; ለ) የኢትዮጵያ ብሔራዊ ባንክ፤ ሐ) የውሃ፣ መስኖና ኤሌክትሪክ ሚኒስቴር፤ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10242 …..........page h) Two members from the private sector መ) የትራንስፖርት ሚኒስቴር፤ appointed by the Minister. 2/ The Minister of Finance and Economic ሠ) የመንግሥት የልማት ድርጅቶች Cooperation shall chair the Board. ሚኒስቴር፤ ረ) የብሔራዊ ፕላን ኮሚሽን፤ 3/ The PPP Directorate General shall act as secretariat to the Board. ሰ) የፌደራል እና አርብቶ አደር ጉዳዮች

9. Responsibilities of the Board ሚኒስቴ፤ ፲ሺ፪፻፵፪ 1/ The Board shall have the following responsibilities: ሸ) የግሉ ሴክተር ከሚወክሉ ተቋማት a) approve the PPP project structure በሚኒስትሩ አማካኝነት የሚመረጡ ሁለት (including any feasibility study related አባላት፡፡ thereto) prior to the commencement of ፪/ የገንዘብ እና ኢኮኖሚ ትብብር ሚኒስቴር ሚኒስትር the tendering process; ቦርዱን በሰብሳቢነት ይመራል፡፡ b) approve significant changes to the risk ፫/ የመግአ ዳይሬክቶሬት ጄኔራል ዋና ዳይሬክተር allocation or expected cash flow from የቦርዱ ፀሐፊ ሆኖ ይሰራል፡፡ that envisioned under the initial ፱. የቦርዱኃላፊነት structure pursuant to changes during ፩/ ቦርዱ የሚከተሉት ኃላፊነቶች ይኖሩታል፤ the tendering process or prior to signing; ሀ) የጨረታው ሂደት ከመጀመሩ አስቀድሞ c) approve any significant amendment to a Project Agreement; አግባብነት ያላቸውን የአዋጭነት ጥናቶችን ጨምሮ የመግአ ፕሮጀክትን አወቃቀር d) identify the appropriate Contracting ያጸድቃል፤ Authority when required for specific projects; ለ) በጨረታው ሂደት ወቅት ወይም ስምምነት e) recommend specific tax or other ከመፈረሙ በፊት በመጀመሪያው የፕሮጀክቱ incentives for a particular project to አወቃቀር ላይ በስጋት ድልድል እና በገንዘብ the relevant authority; ፍሰት ረገድ የተደረጉ መሠረታዊ ለውጦችን መርምሮ ያጸድቃል፤ f) approve the tender or negotiation ሐ) በፕሮጀክት ስምምነት ላይ የሚደረጉ results carried out to select the private መሠረታዊ ማሻሻያዎችን መርምሮ sector which can participate in the ያጸድቃል፤ Public Private Partnership; መ) አስፈላጊ ሆኖ ሲገኝ ለተለዩ ፕሮጀክቶች g) Recommend government support requested in accordance with አግባብነት ያለውን ተዋዋይ ባስልጣን Article 47. ይሰይማል፤ ሠ) ለተለዩ ፕሮጀክቶች የታክስ ወይም ሌላ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10243 …..........page ማበረታቻ ማድረግ የሚያስፈልግ ሆኖ 2/ The Board shall have the power to prohibit ሲያገኘው ለሚመለከተው የመንግሥት አካል a Contracting Authority from issuing any የውሳኔ ሃሳብ ያቀርባል፤ solicitation document and/or formalizing any agreement for any Public Private ረ) በመንግሥት እና በግል አጋርነት ተሳታፊ Partnership project which does not የሚሆኑ የግል ባለሀብቶችን ለመምረጥ demonstrate Value for Money or meet የተካሄደውን ጨረታ ወይም ድርድር ውጤት minimum standards set forth by the PPP ያፀድቃል፤ Directorate General. ሰ) በዚህ አዋጅ አንቀጽ ፵፯ መሠረት የቀረበን 3/ The Board shall have the power to የመንግሥት ድጋፍ እና ዋስትና ጥያቄ instruct a Public Body or a Public በሚመለከት የውሳኔ ሃሳብ ያቀርባል፡፡ Enterprise to carry out a project as a ፲ሺ፪፻፵፫ Public Private Partnership project. 12. 13. Contracting Authority የግል ባለሀብቶችን በመምረጥ ለቦርዱ 1/ Subject to other provisions of this ያቀርባል፤ ፲ሺ፪፻፵፭ Proclamation, the Contracting ፱/ የመንግሥት እና የግል አጋርነትን አጠቃላይ Authority shall have overall የአፈጻጸም ሂደት ይከታተላል፤ responsibility for the initiation, development, procurement, signing of ፲/ በመንግስትና በግል አጋርነት የሚካሄዱ agreements and implementation of ፕሮጀቶችን በተመለከተ በቦርዱ በሚወሰን የጊዜ Public Private Partnership projects it ልዩነት ለህዝብ ይፋ መረጃ ይሰጣል፤ administers.

2. 15. Feasibility Study እንደተጠበቀ ሆኖ ፕሮጀክቶቹን ከመቅረጽ 1/ Upon approval by the Ministry, the አንስቶ የውሉን አስተዳደር የማስፈፀም ኃላፊነት Contracting Authority shall undertake a አለበት፡፡ feasibility study of the project for the ፫/ ተዋዋይ ባለስልጣን ፕሮጀክቶችን የመቅረጽ፣ purpose of: a) determining the viability of the የመለየትና ቅደም ተከተል የማስያዝ ስራ project; and በሚያከናውንበት ወቅት የተቋማቱ ግንባታ b) ensuring that a Public Private ወይም አገልግሎት የመስጠቱ ተግባር በተዋዋዩ Partnership approach is the most ባለስልጣን ከሚከናወን ይልቅ በመንግሥትና economically advantageous to the የግል አጋርነት ቢከናወን ለመንግሥት ገንዘብ Contracting Authority. ሊገኝ የሚችለውን ተመጣጣኝ ዋጋ፣ 2/ In undertaking a feasibility study under ስትራቴጂካዊና የስራ አመራር ጠቀሜታ Sub-Article (1) of this Article, a ከግምት ውስጥ ማስገባት አለበት፡፡ Contracting Authority shall consider: ፲፮. በቦርዱ ስለሚሰጥ የቅድሚያ ፈቃድ ተዋዋይ ባለስልጣን ፕሮጀክቱን በመንግሥት እና በግል a) the technical requirement of the አጋርነት አማካይነት ሥራ ላይ ሊያውል በሚያቅድበት project; ወቅት ጥልቅ ጥናት ከማድረጉ አስቀድሞ ፕሮጀክቱን b) the legal requirement to be met by ፲ሺ፪፻፵፱ እንዲያጸድቅለት ለሚኒስቴሩ ጥያቄ ማቅረብ አለበት። the parties to the project; ፲፯. የአዋጭነት ጥናት c) the social, economic and environmental ፩/ ፕሮጀክቱ በሚኒስቴሩ ከጸደቀ በኋላ ተዋዋዩ impact of the project; ባለስልጣን ከዚህ ቀጥሎ ለተመለከቱት ዓላማዎች d) the Value for Money of the project የአዋጭነት ጥናት ማካሄድ ይኖርበታል፦ compared to other procurement method; ሀ) ፕሮጀክቱ ተግባራዊ ሊሆን የሚችል መሆኑን e/ the affordability of the project by ለማረጋገጥ፤ እና the Contracting Authority and/or ለ) የመንግሥት እና የግል አጋርነት አማራጭ end-users; ለተዋዋዩ ባለስልጣን ከሁሉም የተሻለ f/ the sustainability of the project for ኢኮኖሚያዊ ጠቀሜታ የሚያስገኝ አማራጭ both parties; መሆኑን ለማረጋገጥ፡፡ g/ the institutional capacity of the ፪/ በዚህ አንቀጽ በንዑስ አንቀጽ (፩) ላይ Contracting Authority to prepare, የተመለከተውን የአዋጭነት ጥናት በሚያካሂድበት tender, implement and monitor the ወቅት ተዋዋዩ ባለስልጣን የሚከተሉትን ከግምት project. ውስጥ ማስገባት ይኖርበታል፦ 3/ Taking into account the analysis carried gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10250 …..........page ሀ) ለፕሮጀክቱ የሚያስፈልጉ ቴክኒካዊ ሁኔታዎችን፤ out pursuant to sub-article (2) of this Article, the feasibility study shall ለ) የፕሮጀክቱ ተዋዋይ ወገኖች ሊያሟሏቸው describe the proposed structure for the project including: የሚገባ የሕግ ሁኔታዎችን፤ ሐ) የፕሮጀክቱን ማኅበራዊ፣ ኢኮኖሚያዊና a) project capital and operating costs አካባቢያዊ እንድምታዎች፤ under various scenarios; b) proposed responsibilities and risks መ) ከሌሎች የግዥ አማራጮች ጋር ሲነጻጸር assumed by each the Contracting ፕሮጀክቱ ለገንዘብ ተመጣጣኝ ዋጋ Authority and the Private Party; የሚያስገኝ መሆኑን፤ ሠ) የፕሮጀክቱ ወጭ በተዋዋዩ ባለስልጣን ወይም c) proposed government participation and support, if any. በተጠቃሚዎች ሊሸፈን የሚችል መሆኑን፤

18. Approval of the Board ረ) ፕሮጀክቱ ለተዋዋይ ወገኖች ዘለቄታዊ 1/ The Contracting Authority shall submit ጠቀሜታ የሚያስገኝ መሆኑን፤ the feasibility study prepared under Article 17 to the Board and the Ministry. ሰ) ተዋዋዩ ባለስልጣን ፕሮጀክቱን ለማዘጋጀት፣ 2/ The Board shall review the feasibility ጨረታውን ለማካሄድ፣ ፕሮጀክቱን ሥራ ላይ study with the support of the PPP ለማዋልና ለመከታተል ድርጅታዊ አቅም Directorate General. 19. Procurement Through Open Bidding ግምገማ ጋር የሚጣጣም መሆኑን ማረጋገጥ Process ይኖርበታል፡፡ 1/ Except as otherwise provided for under ፫/ ቦርዱ ፕሮጀክቱ ወደ ጨረታ ሂደት እንዲገባ this Proclamation, all projects shall be ስለመፈቀዱ ውሳኔ ከማስተላለፉ በፊት procured through an open bidding ተጨማሪ ጥናቶች በመንግሥት እና በግል process with prequalification. አጋርነት ዳይሬክቶሬት ጄኔራል ወይም 2/ In procuring and awarding a Public በተዋዋዩ ባለስልጣን እንዲካሄድ ለማዘዝ Private Partnership Agreement to a ይችላል፡፡ Private Party, the Directorate General ፬/ ፕሮጀክቱ የመንግሥት ድጋፍ ወይም shall be guided by the principles of ዋስትና የሚያስፈልገው ከሆነ ቦርዱ transparency, free and fair competition ከአስተያየቱ ጋር ጉዳዩን ለሚመለከተው and equal opportunity. አካል ይልካል፡፡

20. 23. 25. 26. 28. 29. 32. 33. 36. 40. 41. Admissibility of Unsolicited Proposals ከኢንዱስትሪያል እና ከሌላ የኢንቨስትመንት ስራ ጋር ተያያዥ ከሆኑ The PPP Directorate General in consultation እና አገልግሎቱ በኢንዱስትሪ ወይም with the Contracting Authority may review and accept Unsolicited Proposals Provided በኢንቨስትመንት ስራ በተሰማራው ባለሀብት that such proposals do not related to the መከናወን ያለበት ሲሆን፡፡ project that has already received approval ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (1)(ሐ) by the Board for study or implementation as ከተመለከተው የፕሮጀክት ስምምነት ውጪ የሆኑ a PPP project. የፕሮጀክት ስምምነቶችን በተመለከተ የመግአ ዳይሬክቶሬት ጄኔራል ድርድር ለመጀመር 42/ Unsolicited Proposal ፲ሺ፪፻፷ መዘጋጀቱን በማስታወቂያ ሊገልጽ ይገባል፡፡ 1/ Following receipt and preliminary ፯ ፵. ቀጥተኛ የሆነ ድርድር የሚካሄድበት ሥነ- ሥርዓት examination of an Unsolicited ፩/ የመግአ ዳይሬክቶሬት ጄኔራል ፕሮጀክቱን Proposal, the PPP Directorate General ለመፈፀም ብቃት አላቸው ብሎ ከሚያምናቸው shall make use reasonable efforts to ቁጥራቸው አስፈላጊ ነው ብሎ ከሚወስነው inform the proponent whether or not ተጫራቾች ጋር ሁሉ ሁኔታው በሚፈቅደው the project is considered to be potentially in the public interest. መሰረት ድርድሩን ያካሂዳል፡፡ የመግአ 2/ If the project is considered to be ዳይሬክቶሬት ጄኔራል አስፈላጊ ነው ብሎ ካመነ potentially in the public interest, the PPP የቅድመ-ብቃት ማረጋገጫ ሊያካሂድ ይችላል፡፡ Directorate General shall invite the proponent to submit as much information ፪/ የመግአ ዳይሬክቶሬት ጄኔራል ፍላጎቱንና on the proposed project as is feasible to መስፈርቱን የሚገልፅ ሰነድ እንዲሁም allow the Directorate General to make a የፕሮጀክት ስምምነቱን ረቂቅ ማዘጋጀትና proper evaluation of the proponent's qualifications and the technical and የመወዳደሪያ ሀሳቦች የሚገመገሙበትን እና economic feasibility of the project and to ደረጃ የሚወጣበትን የግምገማ መስፈርት determine whether the project is likely to ማዘጋጀት አለበት፡፡ ይህ ሰነድ ለተጫራቾች be successfully implemented in the መገለፅ አለበት፡፡ manner proposed in terms acceptable to the Directorate General. ፫/ የመግአ ዳይሬክቶሬት ጄኔራል ዋጋን እና የክፍያ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10269 …..........page ዘዴን ጨምሮ በፕሮጀክቱ ሙሉ ይዘት ላይ 3/ In considering an Unsolicited Proposal, the በነፃነት ድርድር ሊያደርግ ይገባል፡፡ PPP Directorate General shall respect the intellectual property, trade secrets or other ፬/ በድርድሩ ወቅት የመግአ ዳይሬክቶሬት ጄኔራል exclusive rights contained in, arising from ሁሉም ተጫራቾች በእኩልነት የሚስተናገዱበት or referred to in the proposal. ሁኔታ መኖሩን ማረጋገጥ አለበት፡፡ በተለይም የመግአ ዳይሬክቶሬት ጄኔራል ለተወሰኑ ተጫራቾች ከሌሎቹ በተሻለ ሁኔታ ጥቅም 43. Procedure for Unsolicited Proposal ሊያስገኝ በሚችል መልኩ አድልኦ ባለበት ሁኔታ 1/ Following receipt of the documents provided መረጃ መስጠት የለበትም፡፡ in Article 42(2) the PPP Directorate General ፭/ የመግአ ዳይሬክቶሬት ጄኔራል የግምገማ መስፈርቱን shall formally decide whether to accept or በመጠቀም በድርድሩ ተሳታፊ የሆኑ ተጫራቾችን ቁጥር reject the potential project derived from the ለመቀነስ እንዲችል ድርድሩ ደረጃ በደረጃ እንዲካሄድ Unsolicited Proposal. ሊወስን ይችላል፡፡ ይህ አካሄድ የተመረጠ ከሆነ 2/ If the Unsolicited Proposal is accepted ለተጫራቾች የሚቀርበው የጨረታው ዝርዝር መግለጫ by the PPP Directorate General, the ይህንኑ አማራጭ ማመልከት አለበት፡፡ Contracting Authority shall proceed to ፮/ የመግአ ዳይሬክቶሬት ጄኔራል የጨረታውን አሸናፊ prepare a feasibility study and submit it ከማሳወቁ እና የፕሮጀክት ስምምነቱን በአንቀጽ to the Board prior to moving to tender. ፳፱፣ ፴፪ እና ፴፬ መሰረት ከመፈጸሙ በፊት የግምገማ ሪፖርት በማዘጋጀት ከቦርዱ ፈቃድ 3/ An Unsolicited Proposal shall be ማግኘት አለበት፡፡ awarded through a competitive ፲ሺ፪፻፷፰ selection procedure in accordance with ምዕራፍ ዘጠኝ Chapters 5 to 7 and may be awarded በራስ ተነሳሽነት የሚቀርብ የፕሮጀክት ሀሳብ through direct negotiations only if it ፵፩. በራስ ተነሳሽነት የሚቀርብ የፕሮጀክት ሀሳብ meets the requirements set forth in ተቀባይነት የሚያገኝበት ሁኔታ Article 39. የመግአ ዳይሬክቶሬት ጄኔራል ከተዋዋዩ ባለስልጣን ጋር በመመካከር በራስ ተነሳሽነት የሚቀርብን 4/ The proponent shall be invited to participate in any competitive selection የተለየ የፕሮጀክት ሀሳብ ለመመርመር እና procedure initiated in response to its ለመቀበል ይችላል፤ ሆኖም የፕሮጀክቱ ሀሳብ unsolicited proposal. 47. These may include availability ፵፭. የመንግሥትና የግል አጋርነት የሚቆይበት የጊዜ ገደብ payments, cash subsidies, capital የመንግሥትና የግል አጋርነት የሚቆይበት የጊዜ grants, minimum trafficking or ገደብ በፕሮጀክቱ ስምምነት ውስጥ ይወሰናል፡፡ revenue guarantees and minimum off-take or capacity payments and ፵፮. ዋጋ purchase guarantees; ፩/ የግል ባለሀብቱ በሚከተለው አኳኋን የገንዘብ ጥቅም ሊያገኝ ይችላል፦ ሀ) የዚህ አንቀጽ ፊደል ተራ (ለ) ድንጋጌ b) Contributions in-kind, including asset transfers and land usage rights; gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10273 …..........page እንደተጠበቀ ሆኖ፣ በተዋዋይ ባለስልጣን c) Payment guarantees, securities, ወይም በተዋዋዩ ባለስልጣን ስም የሚከፈል undertaking or binding letters of ገንዘብ፤ comfort; ለ) ተጠቃሚዎች ወይም ሸማቾች ለሚያገኙት d) Guarantees for the performance of obligations of the Contracting Authority አገልግሎት ከሚከፍሉት ታሪፍና ክፍያ፣ under the Project Agreement. እና/ወይም 4/ The economic support to be granted in ሐ) በዚህ አንቀጽ የተጠቀሰው ክፍያ እና accordance with sub-article 3 of this የአገልግሎት ታሪፍ በጣምራ፡፡ Article shall be provided in the Project ፪/ የግል ባለሀብቱ በመገልገያ ስፍራዎች ለመጠቀም Agreement. እና የሚሰጣቸውን አገልግሎቶች ለማግኘት 48. 49. The restrictions in terms and tenure of land በመወዳደሪያ ሀሳብ መጠየቂያው ሰነድ ውስጥ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10274 …..........page ሊመለከት እና በአንቀጽ (፱) እና (፲፰) መሠረት and bidding system shall not apply on በቦርዱ ሊደገፍ ይገባል፡፡ land that is covered under the project. 4/ The Private Party shall have the right to mortgage the immovable property ፫/ የኢኮኖሚ ድጋፉ ከዚህ ከታች በተዘረዘሩት ብቻ developed under the project in order to ሳይወሰን የሚከተሉትን ሊያጠቃልል ይችላል፦ obtain loans from financial institutions.

Operation of Infrastructure ሀ) በመገልገያ ስፍራዎች ለመጠቀም ወይም 1/ The Project Agreements shall set forth, አገልግሎት ለማግኘት የግል ባለሀብቱ as appropriate, the extent of the Private ከሚቀበለው ታሪፍና ክፍያ በተጨማሪ ወይም Party's obligations to ensure: በምትክነት የሚደረግ ቀጥተኛ ክፍያ፣ የዚህ a) The modification of the service so as ዓይነቱ ድጋፍ የመገልገያ ስፍራዎችን ወይም to meet the demand for the service; አገልግሎቱን ለተጠቃሚዎች ዝግጁ በማድረግ ብቻ የሚፈጸም ክፍያ፣ የገንዘብ ድጋፍ፣ b) The continuity of the service; የካፒታል ድጋፍ፣ ለዝቅተኛው የተገልጋይ c) The provision of the service under ቁጥር እና ገቢ ዋስትና መስጠት እና essentially the same conditions for በዝቅተኛ ደረጃ ጥቅም ላይ ሊውል ለሚችለው all users; and መጠን ወይም በተዘጋጀው አቅም ያህል ክፍያ d) The non-discriminatory access of መፈጸም እና ለግዢው ዋስትና መስጠት፤ other service providers to any public infrastructure network operated by ለ) ሀብትን ማስተላለፍ እና በመሬት የመጠቀም መብት መስጠትን ጨምሮ በዓይነት የሚደረግ the Private Party. መዋጮ፤ 2/ The Private Party shall have the right to ሐ) የክፍያ ዋስትና፣ የዋስትና ሠነዶች፣ ግዴታ issue and enforce rules governing the የመግቢያ ሰነድ ወይም አስገዳጅነት ያለው use of the facility, subject to the የመግባቢያ ደብዳቤ፤ እና approval of the Contracting Authority መ) ተዋዋይ ባለስልጣን በፕሮጀክት ስምምነቶች or any other authorized Public Entity. የገባውን ግዴታ የሚፈፅም ለመሆኑ ዋስትና 51. Performance Guarantee ፲ሺ፪፻፸፫ መስጠት፡፡ 1/ The Project Agreements may specify ፬/ በዚህ አንቀጽ ንዑስ አንቀጽ ፫ መሠረት security to be provided by the Private የሚሰጠው ድጋፍ በመግአ ስምምነት ውስጥ Party to guarantee the performance of any of its obligations under the Project መመልከት አለበት፡፡ Agreements. ፵፰. የንብረት ባለቤትነት 2/ If such security is required, the Project አግባብነት ባላቸው ህጎች የተደነገገው እንደተጠበቀ Agreements shall also set forth: ሆኖ፣ የፕሮጀክቱ ስምምነት የትኞቹ ሀብቶች የመንግሥት ሀብት እንደሆኑ እና እንደማይሆኑ a. the requirements with respect to the እንዲሁም የትኞቹ ሀብቶች የግል ባለሀብቱ ሀብቶች issuer and the nature, form, amount gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10275 …..........page እንደሆኑ እና እንደሚሆኑ በግልጽ ማሳየት አለበት፡፡ and other principal terms and conditions of the required security; ፵፱. ፕሮጀክቱ ከሚገኝበት ቦታ ጋር የተያያዘን መብት and ስለማግኘት b. The amount and the details of the ፩/ ተዋዋዩ ባለስልጣን ወይም አግባብነት ያለው ways the security is to be submitted ሌላ መንግሥታዊ ተቋም በሕግ እና or forfeited as the case may be. በመንግሥትና በግል አጋርነት ስምምነቱ መሠረት የግል ባለሀብቱ ፕሮጀክቱን 52. Security Interests 1/ Subject to any restriction that may be ለማስፈፀም የሚያስፈልጉትን የፕሮጀክት contained in the Project Agreements, the ቦታና የይዞታ መብቶችን እንዲያገኝ መርዳት Private Party has the right to create ይኖርባቸዋል፡፡ security interests over any of its assets, rights or interests, including those relating to the infrastructure project, as required to secure any financing needed for the ፪/ ፕሮጀክቱን ለማስፈፀም የሚያስፈልግ መሬት project, including, in particular, the አስገዳጅ በሆነ ሁኔታ የመውሰድ ተግባር following: መከናወን ያለበት አግባብ ባላቸው የንብረት a) Security over movable or መውረስ ሕጎች መሠረት ነው፡፡ immovable property owned by the Private Party or its interests in ፫/ የግል ባለሀብቱ የመሬቱ ባለይዞታ በመሆን project assets; ፕሮጀክቱን ለማስፈፀም ሊጠቀምበት b) A pledge of the proceeds of, and ይችላል፡፡ ከመሬት ሥርዓትና አጠቃቀም ጋር receivables owed to the Private የተያያዙ እንዲሁም የጨረታ ስርዓትን Party for, the use of the facility or የሚመለከቱ ገደቦች በፕሮጀክቱ ይዞታ ስር ባለ the service it provides. መሬት ላይ ተፈፃሚ አይሆኑም፡፡ 2/ The shareholders of the Private Party ፬/ የግል ባለሀብቱ ከገንዘብ ተቋማት ብድር shall have the right to pledge or create ለማግኘት ይረዳው ዘንድ በፕሮጀክቱ any other security interest in their ባለቤትነት ስር ያለውን የማይንቀሳቀስ shares in the Private Party. ፲ሺ፪፻፸ ንብረት በመያዣነት መስጠትይችላል፡፡ ፬ 3/ No security under Sub-Article (1) of this ፶. የመሠረተ-ልማት ሥራዎችን ስለማካሄድ Article may be created over public ፩/የሚከተሉትን ማረጋገጥ እንዲቻል የፕሮጀክት property or other property, assets or rights ስምምነቱ እንደአስፈላጊነቱ የግል ባለሀብቱ needed for the provision of a Public የሚኖሩበትን ግዴታዎች መዘርዘር አለበት፦ Service Activity where the creation of ሀ) ለአገልግሎቱ ያለውን ፍላጎት ማሟላት such security is prohibited by the law. በሚያስችል መጠን የአገልግሎት አቅርቦትን 53. 54. Assignment of the Project Agreements ባለሀብቱ የመገልገያ ስፍራዎችን ለማስተዳደር 1/ Except as otherwise provided in Article የሚያስችሉ ደንቦችን ለማውጣትና ስራ ላይ (52) and (57) of this Proclamation, the ለማዋል ይችላል፡፡ rights and obligations of the Private Party under the project agreements may not be ፶፩. የሥራ አፈፃፀም ዋስትና assigned to third parties without written ፩/ የመንግሥትና የግል አጋርነት ስምምነት የግል consent of the Contracting Authority. ባለሀብቱ በስምምነቱ በሚገባው ግዴታ መሠረት 2/ The Project Agreement shall set forth the የሚፈጽም ለመሆኑ ማረጋገጫ ለማግኘት conditions under which the Contracting ሊያቀርብ የሚገባውን ዋስትና ዓይነትና መጠን Authority shall give its consent to an ሊወስን ይችላል፡፡ assignment of the rights and obligations ፪/ የዚህ ዓይነቱን የሥራ አፈፃፀም ዋስትና ማቅረብ of the Private Party under the Project አስፈላጊ ሆኖ ሲገኝ፣ የመንግሥትና የግል አጋርነት Agreement, including the acceptance by ስምምነት፦ the new Private Party of all obligations there under and evidence of the new ሀ) ዋስትናውን ሊሰጥ የሚባውን ተቋም፣ Private Party's technical and financial የዋስትናውን ባህርይ፣ ቅርጽ፣ መጠንና ሌሎች capability as necessary for providing the የዋስትናውን ዋና ዋና የውል ቃሎችና service. ሁኔታዎች፣ እና

55. 56. Takeover of an Infrastructure Project ሀ) የግል ባለሀብቱ የሚንቀሳቅሱ ወይም by the Contracting Authority የማይንቀሳቀሱ ንብረቶችን ወይም በፕሮጀክቱ 1/ Under the circumstances set forth in the ሀብቶች ውስጥ ያለውን ጥቅም ማስያዝ፤ Public Private Partnership Agreement, the Contracting Authority has the right to ለ) የግል ባለሀብቱ ለሚያቀርባቸው temporarily take over the operation of the መገልገያዎች ወይም ለሚሰጣቸው አገልግሎት facility for the purpose of ensuring the ከተሰበሰበው ወይም ከሚሰበሰበው ክፍያ effective and uninterrupted delivery of የሚገኘውን ገቢ ማስያዝ። the service in the event of serious failure ፪/ የግል ባለሀብቱ ባለአክሲዮኖች ያላቸውን by the Private Party to perform its አክሲዮን በመያዣነት መስጠት ወይም obligations and to rectify the breach within a reasonable period of time after ማናቸውንም ዓይነት የመያዣ መብት having been given notice by the ሊፈጥሩበት ይችላሉ፡፡ Contracting Authority to do so. ፫/ በዋስትና ሊሰጥ እንደማይችል በሕግ የተከለከለ 2/ In the event that a Contracting የሕዝብ ንብረት ወይም ለሕዝብ አገልግሎት Authority elects to take over a project ለመስጠት የሚውል ንብረት፣ ሀብት ወይም under Sub-Article (1) of this Article, መብት በዚህ አንቀጽ በንዑስ አንቀጽ(፩) the Contracting Authority: መሠረት በዋስትና ሊሠጥ አይችልም፡፡ a) shall collect and pay any revenues ፶፫. የፋይናንስ ሪፖርትና ኦዲት that are subject to lien to satisfy any obligation; ፩/ የፕሮጀክት ኩባንያው ከፕሮጀክቱ ጋር በተያያዘ ተገቢ የሆኑ የሂሳብ መዛግብትና መረጃዎችን መያዝ እንዲሁም እነዚህን መዛግብትና መረጃዎች b) may develop and operate the project, ለተዋዋይ ባለስልጣን ምርመራ ክፍት ማድረግ impose user levies and comply with አለበት:: any service contract existing; and ፪/ የፕሮጀክት ኩባንያው ኦዲት የተደረገውን የሂሳብ c) may solicit proposals, as appropriate, መዝገብ እና ተዋዋይ ባለስልጣን በሚያቀርበው for the construction, maintenance or ጥያቄ ሌላ ማንኛውንም መረጃ፣ የፋይናንስ አመቱ operation of the project. ፲ሺ፪፻፸፮ ባለቀ በስድስት ወር ውስጥ ማቅረብ አለበት።

57. Substitution of the Private Party ፶፬. የፕሮጀክቱን ስምምነት ስለማስተላለፍ The Contracting Authority may agree with the ፩/ በዚህ አዋጅ በአንቀጽ (፶፪) እና (፶፯) entities extending financing for an infrastructure project and the Private Party to provide for the ከተገለፀው በስተቀር የግል ባለሀብቱ ከፕሮጀክቱ substitution of the Private Party by a new entity ስምምነት የሚመነጩ መብቶችንም ሆነ or Person appointed to perform under the ግዴታውን ከተዋዋይ ባለስልጣን ፈቃድ ውጭ existing Project Agreements upon serious ለሌላ ሦስተኛ ወገን ማስተላለፍ አይችልም፡፡ breach by the Private Party or other events that gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10278 …..........page ፪/ የፕሮጀክቱ ስምምነት ተዋዋዩ ባለስልጣን could otherwise justify the termination of the Project Agreements or similar circumstances. ፈቃዱን እንዲሰጥ የሚያስፈልጉ ቅድመ

58. Termination of the Project Agreements ሁኔታዎችን መያዝ አለበት፡፡ መብትና The directive may prescribe events that ግዴታው የሚተላለፍለት አዲሱ የግል ባለሀብት may cause the termination of the Project መብቱን አስተላላፊው ባለሀብት የገባቸውን Agreement. ግዴታዎች መቀበሉን እና ለፕሮጀክቱ አስፈላጊ የሆነው የቴክኒክና የፋይናንስ ብቃትን ጨምሮ ሁሉንም መሥፈርቶች የሚያሟላ መሆን አለበት፡፡ 59. Compensation upon Termination of the Project Agreements The Project Agreement shall stipulate how compensation due to either party is ፶፭. በሕግ ለውጥ ምክንያት ስለሚከፈል ካሳ calculated in the event of termination of መሠረተ ልማቱን ወይም አገልግሎቱን the Project Agreement, and where የሚያስተዳድሩ ሕጎች በመቀየራቸው ምክንያት appropriate, for compensation for the fair value of works performed under the የግል ባለሀብቱ ግዴታውን ለመወጣት Project Agreement, costs incurred or losses የሚያወጣው ወጪ በከፍተኛ ሁኔታ በመጨመሩ sustained by either party, including, as ወይም በመቀነሱ ወይም የግል ባለሀብቱ ከሥራው appropriate, lost profits. ጋር ተያይዞ ያገኘው ገቢ ከተገመተው ገቢ ጋር ሲነፃፀር በከፍተኛ ሁኔታ በመጨመሩ ወይም 60. Governing Law The Project Agreements are governed by በመቀነሱ ምክንያት የግል ባለሀብቱ ወይም the laws of the Federal Democratic ተዋዋዩ ባለስልጣን ካሣ የሚያገኙበት ሁኔታ Republic of Ethiopia. በፕሮጀክት ስምምነቱ ውስጥ በግልጽ መመልከት 61. Disputes between the Contracting Authority and the Private Party አለበት። 1/ Any disputes between the Contracting Authority and the Private Party shall be settled through the dispute settlement ፶፮. የመሠረተ-ልማት ፕሮጀክትን ስለመረከብ mechanism agreed by the parties in the Project Agreement. ፩/ በመንግሥትና በግል አጋርነት ስምምነት 2/ Notwithstanding any contrary provision በተመለከተው መሰረት የግል ባለሀብቱ in any existing law, the Project ግዴታውን በአግባቡ መወጣት ሳይችል ሲቀር Agreements may provide for settlement ወይም በተወሰነ ጊዜ ውስጥ ችግሮቹን of disputes through arbitration or any ማስተካከል ሳይችል ሲቀር ፕሮጀክቱ ውጤታማ other forms of alternative dispute እንዲሆንና ያልተቋረጠ አገልግሎት እንዲሰጥ resolution mechanism. ለማድረግ ሲባል ተዋዋዩ ባለስልጣን ፕሮጀክቱን 62. Disputes involving Customers or Users ለተወሰነ ጊዜ ተረክቦ ሊያስተዳድር ይችላል፡፡ of the Infrastructure gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10279 …..........page Where the Private Party provide services to the public or operates Infrastructure Facilities accessible to the public, the Contracting Authority may require the Private Party to ፪/ ተዋዋዩ ባለስልጣን በዚህ አንቀጽ ንዑስ አንቀጽ establish simplified and efficient mechanism (፩)መሠረት ፕሮጀክቱን ለመረከብ በመረጠ for handling claims submitted by its customers or users of the Infrastructure ጊዜ፦ Facility.

63. Other Disputes ሀ) ፕሮጀክቱ የገባቸውን ግዴታዎች መወጣት 1/ The Private Party and its shareholders እንዲችል በመያዣነት የተሰጡ ማንኛውንም shall be free to choose the appropriate ገቢዎች መሰብሰብና ለተገቡ ግዴታዎች ክፍያ mechanism for settling disputes among እንዲውል ማድረግ፤ themselves. ለ) የፕሮጀክቱን የልማት ስራዎች ማስቀጠል፣ 2/ The Private Party shall be free to agree የአገልግሎት ክፍያዎችን መጣል እንዲሁም on the appropriate mechanism for ቀደም ሲል የነበሩ የአገልግሎት settling disputes between itself and its ስምምነቶችን መወጣት፣ lenders, contractors, suppliers and other ሐ) ለፕሮጀክቱ ግንባታ፣ ጥገና ወይም business partners. አስተዳደር የመወዳደሪያ ሀሳቦችን መጠየቅ፣ CHAPTER ELEVEN ይችላል፡፡ MISCELLANEOUS PROVISIONS

64. Complaints ፶፯. የግል ባለሀብቱን ስለመተካት The complaints and review mechanism የግል ባለሀብቱ የፕሮጀክት ስምምነቱን ከጣሰ ወይም provided under the Ethiopian Federal ስምምነቱን ማቋረጥ የሚያስችሉ ሌሎች Government Procurement and Property Administration Proclamation, as they may be ሁኔታዎች ሲያጋጥሙ ወይም ተመሳሳይ amended or replaced, shall be applicable ሁኔታዎች ሲከሰቱ ተዋዋዩ ባለስልጣን ለፕሮጀክቱ mutatis mutandis to this Proclamation. መሰረተ-ልማት እና ለግል ባለሀብቱ ብድር ከሰጡ Directives issued in accordance with this የፋይናንስ ተቋማት ጋር የግል ባለሃብቱን በሌላ Proclamation may provide for an adaptation አዲስ ድርጅት ወይም ሰው ለመተካት ሊስማማ of these articles as to apply to Public Private ይችላል፡፡ Partnership projects.

65. Power to issue Regulation and Directives ፶፰. የፕሮጀክት ስምምነት ስለማቋረጥ 1/ The Council of Ministers may issue በዚህ አዋጅ መሠረት የሚወጣው መመሪያ regulation for the implementation of የፕሮጀክቱ ስምምነት ሊቋረጥ የሚችልባቸውን this Proclamation. ምክንያቶች ሊዘረዝር ይችላል፡፡ 2/The Ministry shall issue directives enabling the realization of the objectives of this Proclamation and for the proper implementation of the directives issued in gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10280 …..........page ፲ሺ፪፻፸፰ accordance with sub article 1 of this Article. ፶፱. ፕሮጀክቱ ስምምነት በተቋረጠ ጊዜ ስለሚከፈል ካሣ

66. Repealed and Non-Applicable Laws የፕሮጀክቱ ስምምነት በሚቋረጥበት ጊዜ ካሣ 1/ Except for specific provisions referred to in ሊከፈለው የሚገባ ወገን በምን መልኩ መካስ this Proclamation, the provisions of the እንዳለበት የፕሮጀክት ስምምነቱ ማመልከት አለበት፣ Ethiopian Federal Government Procurement አስፈላጊ በሆነ ጊዜም ስምምነቱ በፕሮጀክት ስምምነቱ and Property Administrat ion Proclamation, as may be amended, are inapplicable to መሰረት ለተሰሩ ስራዎች ፍትሀዊ የሆነ ዋጋ፣ Public Private Partnership projects. ያልተከፈለ ቀሪ ዕዳ፣ በተዋዋይ ወገኖች ለወጡ ወጪዎች ወይም ከሁለቱ በአንዱ ወገን ላይ ለደረሱ 2/ No law, regulation, directive or practices ኪሣራዎች፣ እንደአስፈላጊነቱም የታጣ ትርፍ በካሣ inconsistent with this Proclamation መልክ የሚከፈልበትን ሁኔታ ለማካተት ይችላል፡፡ shall have effect with respect to matters ፷. ገዥ ሕግ provided for in this Proclamation. የፕሮጀክቱ ስምምነት በኢትዮጵያ ፌደራላዊ

67. Transitory Provisions ዲሞክራሲያዊ ሪፐብሊክ ሕግ ይገዛል፡፡ This Proclamation shall not apply to ፷፩. በተዋዋዩ ባለስልጣን እና በግል ባለሀብቱ መካከል existing public private partnership projects where contracts have already been ስለሚፈጠር አለመግባባት concluded or are under negotiation. ፩/ ማንኛውም በተዋዋይ ባለስልጣንና በግል ባለሀብቱ መካከል የሚነሳ ያለመግባባት፣ 68. Effective Date ተዋዋዮቹ በፕሮጀክቱ ስምምነት ላይ This Proclamation shall enter into force on the date of its publication in the Federal Negarit በተስማሙበት የግጭት መፍቻ ዘዴ መሰረት Gazette. መፍትሔ ማግኘት አለበት፡፡ Done at Addis Ababa, this 22nd day of February,2018. ፪/ በስራ ላይ ባሉ ሕጎች በተቃራኒ የተደነገገ ቢኖርም የፕሮጀክቱ ስምምነት አለመግባባቶች MULATU TESHOME (DR.) በግልግል ወይም በአማራጭ የግጭት መፍቻ ዘዴ PRESIDENT OF THE FEDERAL DEMOCRATIC እንዲፈቱ ሊወስን ይችላል፡፡ REPUBLIC OF ETHIOPIA ፷፪. ደንበኞችን ወይም የመሠረተ-ልማት ተጠቃሚዎችን የሚመለከት አለመግባባት የግል ባለሀብቱ ለኅብረተሰቡ አገልግሎት የሚሰጥ ወይም ለሕዝብ የሚቀርቡ የመሠረተ-ልማት አውታሮችን የሚያስተዳድር ከሆነ፣ ተዋዋዩ ባለስልጣን የግል ባለሀብቱ ከደንበኞች ለሚቀርቡ ቅሬታዎች ቀላልና ውጤታማ የሆነ የቅሬታ ማስተናገጃ ዘዴ እንዲተገብር ሊጠይቅ ይችላል፡፡ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10281 …..........page ፲ሺ፪፻፸፱ ፷፫. ሌሎች አለመግባባቶች ፩/ የግል ባለሀብቱ እና ባለአክሲዮኖች በመካከላቸው ለሚነሳው አለመግባባት ማንኛውንም የግጭት መፍቻ ዘዴ መምረጥ ይችላሉ፡፡ ፪/ የግል ባለሀብቱ ከአበዳሪዎቹ፣ ከሥራ ተቋራጮቹ፣ ከአቅራቢዎቹ እና ከሌሎች የሥራ አጋሮቹ ጋር የሚያጋጥሙትን አለመግባባቾች ለመፍታት የፈለገውን የግጭት መፍቻ ዘዴ የመምረጥ ነፃነት አለው፡፡ ምዕራፍ አስራአንድ ልዩ ልዩ ድንጋጌዎች ፷፬. አቤቱታዎች በኢትዮጵያ ፌደራል መንግሥት የግዥና የንብረት አስተዳደር አዋጅ የተደነገገው የአቤቱታ ማቅረቢያ እና የውሣኔ አሰጣጥ ዘዴ እንደሁኔታው ማስተካከያ ታክሎበት ለዚህ አዋጅ ተፈፃሚ ይሆናል፡፡ በዚህ አዋጅ መሰረት የሚወጣው መመሪያ እነዚህን ድንጋጌዎች ለመንግሥትና ለግል አጋርነት ተስማሚ በሚሆኑበት አኳኋን ማጣጣም ይችላል፡፡ ፷፭. ደንብና መመሪያ የማውጣት ሥልጣን ፩/ የሚኒስትሮች ምክር ቤት ይህን አዋጅ ለማስፈጸም ደንብ ሊያወጣ ይችላል፡፡ ፪/ ሚኒስቴሩ የዚህን አዋጅ ዓላማዎች ከግብ ለማድረስ እና በዚህ አንቀጽ ንዑስ አንቀጽ (፩) መሠረት የወጡትን ደንቦች ለማስፈፀም የሚረዱ መመሪያዎችን ያወጣል፡፡ gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ የካቲት ፲፭ qN ፪ሺ፲ ›.M Federal Negarit Gazette No. 28, 22nd Feburary, 2018 10282 …..........page ፷፮. የተሻሩና ተፈፃሚ የማይሆኑ ሕጐች ፩/ በዚህ አዋጅ ከተመለከቱት ውስን ድንጋጌዎች በስተቀር፣ የኢትዮጵያ ፌደራል መንግሥት የግዥና የንብረት አስተዳደር አዋጅ ድንጋጌዎች በመንግሥትና በግል አጋርነት ላይ ተፈፃሚነት የላቸውም፡፡ ፲ሺ፪፻፹ ፪/ ይህን አዋጅ የሚቃረን ማንኛውም ሕግ፣ ደንብ፣ መመሪያ ወይም የአሠራር ልምድ በዚህ አዋጅ በተሸፈኑ ጉዳዮች ላይ ተፈፃሚነት አይኖረውም፡፡ ፷፯. የመሸጋገሪያ ድንጋጌዎች ይህ አዋጅ ከመፅናቱ በፊት በተፈረሙ ወይም በድርድር ላይ ባሉ የመንግሥትና የግል አጋርነት ስምምነቶች ላይ የዚህ አዋጅ ድንጋጌዎች ተፈፃሚነት አይኖራቸውም፡፡ ፷፰. አዋጁ የሚፀናበት ጊዜ ይህ አዋጅ በፌደራል ነጋሪት ጋዜጣ ታትሞ ከወጣበት ቀን ጀምሮ የፀና ይሆናል፡፡ አዲስ አበባ የካቲት ፲፭ ቀን ፪ሺ፲ዓ.ም. ዶ/ር ሙላቱ ተሾመ የኢትዮጵያ ፌደራላዊ ዲሞክራሲያዊ ሪፐብሊክ ፕሬዚዳንት
