CONSTITUTION ESTABLISHING NATIONAL SEED ASSOCIATION OF RWANDA “NSAR”IN ACRONYM STATUTES/PREAMBLE Pursuant to the Law nº 13/2009 of 27/05/2009, regulating the labour law in Rwanda especially in its article 101,102, Pursuant to the Ministerial Order no 11 of 07/09/2010 determining the modalities and requirements for the registration of trade unions for employers, professional organizations in its articles 3 and 4; The General Assembly of National Seed Association Rwanda “NSAR” in acronym in its session of ……08/2015, has adopted the following statutes : CHAPTER ONE: General provisions Article One: Definitions Whenever used in this constitution, the following words and terms shall have the following meanings: a) “Seed”, Shall mean Agricultural and Horticultural seed and planting material of different classes. b) “Seed enterprise”, shall mean organization or body, with a status of legal person, which is involved in seed production and/or supply. STATUTS/PREAMBULE Vu la Loi n° 13/2009 du 27/05/2009 2012 portant réglementation du travail au Rwanda , spécialement en ses articles 101,102; Vu l’Arrêté Ministériel n° 11/05 du 07/09/ 2010 déterminant les conditions et les modalités d’enregistrement des syndicats et des organisations patronales spécialement en ses articles 3 et 4 ; L’Assemblée Générale de l’Association des Producteurs, Distributeurs et Vendeurs de Semenses au Rwanda dénommée ʺ National Seed Association Rwanda ʺ NSARʺ réunie en sa session du … /08/ 2015 a adopté ses statuts comme suit : CHAPITRE PREMIER: Définitions Article premier : Définitions des mots Dans les présents statuts les mots ci après sont définits comme suit : a) Semence ̋ veut dire semence agricole et horticole et tout le matériel de plantation de différente sorte. b) ʺ Entreprise de semence ʺ : se réfère à une organisation ou une société dotée de la personnalité juridique qui est en relation avec la production ou l’approvisionnement des semences. UMUTWE WA II: Izina, Icyicaro, Igihe ishyirahanwe rizamara, Aho rikorera. Ingingo ya 2 :Izina ry‘Ishyirahamwe Hashinzwe ishyirahamwe ry’abakoresha batubura imbuto bakanazigurisha ryitwa « National Seed Association of Rwanda mu magambo ahinywe «NSAR». c) ‘Seed dealers’ shall mean organization or body, with a status of legal person, which is involved in seed supply. d) “Association”, shall mean organization formed at national level that includes members involved in research, seed production, marketing and distribution. e) “General Assembly” and “Executive Committee” shall mean the General Assembly and Executive Committee of the Association. f) “President”, “Vice- President”, “Treasurer” and “Secretary” shall mean respectively the President, Vice-President, Treasurer and Secretary of the Association. g)“Secretariat” shall consist of the Executive Committee of the Association h) “Bylaws” shall mean the Bylaws of the Association adopted by the General Assembly pursuant to this Constitution. i)“Quorum” shall mean quorum of voting members present in any meeting. CHAPITRE II: Names, Head Office, Duration, Area of Intervention, Article 2: Names It is created a trade union for employers called ʺNational Seed Association of Rwandaʺ called :ʺNSAR” in acronym. c) ʺ Marchands de semences ʺ fait référence à une organisation ou une société dotée de la personnalité juridique en relation avec l’approvisionnement de semences. d) ʺ Association ʺ est définie comme une organisation formée au niveau national qui inclut des membres impliqués dans la recherche, la production, le commerce et la distribution des semences. e) ʺ Assemblée générale ʺ et ʺ Comité Exécutif ̋ se définit comme l’assemblée générale et le comité exécutif de l’association. f) ʺPrésidentʺ, ʺvice présidentʺ,ʺ trésorierʺ et ʺsecrétaireʺ sont définis respectivement comme le résident, le vice-président, le trésorier et le secrétaire de l’association. g) ʺSecrétariatʺ sera considéré comme le Comité exécutif de l’association. h) ʺRèglementʺ se réfère au Règlement d’ordre intérieur de l’association qui sera adopté par l’Assemblée générale pour l’application des présents statuts. i) ʺQuorumʺ signifie le quorum des membres votant dans une réunion. CHAPITRE II : Dénomination, Siège, Durée, et Zone d’activités Article 2 : Dénomination Il est constitué entre les soussignés, une organisation patronale dénommée National Seed Association Rwanda et en sigle ʺNSARʺ. Ingingo ya 5:Aho ishyirahanwe rikorera NSAR ikorera hose ku butaka bwa Repubulika y’u Rwanda, ikaba ariko ishobora kugaba ibikorwa byayo hanze yarwo, byemejwe n’Inteko Rusange. UMUTWE WA III: Intego y‘ishyirahamwe, Icyo rigamije, n’Ibikorwa byaryo Ingingo ya 6 : Ikigamijwe Ishyirahamwe NSAR rigamije guha abarigize urubuga ryo gukoreramo ndetse no guhana amakuru yahano mu Rwanda afitanye isano n’imbuto, ndetse guharanira inyungu zifitanye isano n’imbuto haba mu Rwanda muri Afrika, ndetse no ku isi yose muri rusange. NSAR kandi igomba guharanira guteza imbere no gusakaza ibikorwa byose birebana n’imbuto hagamijwe kurushasho kongera umusasuro wazo mu Rwanda. Ingingo ya 7: Intego  Gushyiraho gahunda y’ubukangurambaga igamije guteza imbere no kuzamura ikoreshwa ry’imbuto nziza mu bahinzi; Article 3: Headquarters The headquarters of the NSAR is based in Remera sector, Gasabo District, City of Kigali in the Republic of Rwanda. It can be transferred to any other place within the boundaries of the Republic of Rwanda if decided by the General Assembly. Article 4: Duration The Association NSAR is created for an indefinite period. However, it can be dissolved at any time by decision of the General Assembly and in accordance with this constitution. Article 5: Area of intervention The Association "NSAR" carries out its activities within Rwanda and outside Rwanda. CHAPTER III: Mission Objectives, Activities Article 6: Mission The mission of this association is to provide a forum for interaction and information exchange within Rwanda seed industry, as well as to represent interests of the Rwandan seed industry within Rwanda, Africa and globally. Promote the development of the seed industry for the betterment of crop production in Rwanda. Article 7: Objectives Create awareness and promote the use of improved quality seeds to the farmers. Article 3: Siège social Le siège de NSAR social est établi dans le Secteur Remera, District de Gasabo, Ville de Kigali. Il peut être transféré en toute autre localité du pays sur décision des membres effectifs de l’association réunis en Assemblée Générale. Article 4: Durée NSAR est constituée pour une durée indéterminée mais elle peut être dissoute á tout moment sur décision de l’Assemblée générale. Article 5: Zone d‘activites L’association NSAR exerce ses activités sur toute l’étendue du territoire de la République du Rwanda. Elle peut aussi les exercer en dehors de celle-ci sur décision de l’Assemblée générale. CHAPITRE III: Mission Objectives et Activités Article 6:Mission L’association a pour principale mission de mettre sur pied un forum d’échange et d’information au Rwanda sur les activités de production de semences et de représenter les interêts de ses membres au Rwanda, en Afrique et partout ailleurs. Promotion du secteur des semences de qualité visant une bonne récolte au Rwanda. Activities  Organize conferences, symposia, training programs and other meetings in accordance with the approved program of work in the seed sector  Arrange to issue periodic and other publications covering seed and planting material and related activities in Rwanda and provide documentation services concerning such activities inside and outside Rwanda;  Promote and market Rwandan seeds inside outside Rwanda  Add quality to Rwanda seeds for a better yield;  Advocacy of the seed industry sector towards authorities and other regulatory organisations;  Mettre sur pied une forte communication dans le domaine des semences au Rwanda;  Dispenser l’information à tous les membres ;  Echanger avec les organisations nationales, gouvernementales impliquées ou non dans des activités liées aux semences dans le but de promouvoir ce secteur;  Promouvoir les activités visant un meilleur développement de NSAR tant au Rwanda que dans la sous région pour faciliter l’expansion des semences.  Renforcement des capacités des membres Article 8: Activités  Organiser les conférences, les symposiums, les stages de formation et autres réunions en rapport avec le secteur des semences;  Disponibiliser les périodiques et autres publications couvrant les semences et autres informations relatives à la production des semences dans le but de propager ces informations au Rwanda et à l’étranger;  Promouvoir le marché des semences au Rwanda et à l’extérieur;  Assurer une bonne qualité des semences pour une meilleure production ;  Etre le porte parole du secteur lié aux semences devant les authorités et les organisations chargées du contrôle; Official Gazette nᵒ 38 of 19/09/2016 36 imiryango ifite aho ihuriye n’imbuto;  Guhagararira urwego rufitanye isano n’imbuto mu nama n’abayobozi batandukanye baba abo mu nzego zo hasi imbere mu gihugu, cyangwa inzego z’igihugu cyose, hatibagiwe abayobozi bo mu rwego mpuzamahanga;  Kurebera uru rwego n’ahandi hose ubuvugizi buzaba bukenewe mu gikorwa gifitanye isano n’imbuto. UMUTWE WA IV: Abunyamuryango, Kwemererwa kuba umunyamuryango, Uburenganzira ndetse n’Inshingano z’abanyamuryango, Gutakaza ubunyamuryango Ingingo ya 9: Ubunyamuryango Abanyamuryango ba NSAR ni abarishinze kandi basinye amategeko shingiro yaryo. Abandi bemerewe kuba abanyamuryango n‘imiryango ndetse n’ibigo byo mu Rwanda bihuriye ku mbuto bikurikira: a) Bemerewe kandi kuba abanyamuryango basanzwe kandi batora: 1) amasosiyete y’ubucuruzi y’abantu bikorera 2) Abacuruzi b’imbuto 3) Abatubuzi b’imbuto Muri aba harimo ibigo byo mu gihugu imbere, ibyo muri aka Karere cyangwa ibigo mpuzamahanga cyagwa amasosiyete atubura imbuto akazigurisha ariko byose bifite ubuzimagatozi kandi bwemewe mu Rwanda; 4) Ibigo bya Leta: Ibigo bya Leta: muri ibi bigo bya Leta ni ibigo by’ubucuruzi byashyizeho na Leta mu rwego rw’imbere mu gihugu cyangwa burenzeho ariko bifite intego yo gutubura imbuto no kuzicuruza.  Represent the seed industry sector in meetings with national / local authorities and/or at international level;  Any other activity in the seed industry CHAPTER IV: Membership, Admission fees, Annual fees, Rights and obligations, and cease to be a Member Article 9: Membership The founder members of the Association shall be those who subscribe to this Constitution. The membership of the association shall be open to the following organizations and seed enterprises in Rwanda: a) Ordinary Members, with Voting Rights These include following members: (1) Private enterprises, (2) Seed dealer (3) Seed grower These are National, Regional or International Companies or firms producing and distributing seed (legally registered in Rwanda); (4) Public corporations Public corporations are commercial enterprises organized by the government at the national and/or sub-national level for the purpose of producing and supplying seeds. CHAPITRE IV : Membres, Admission, Perte de la qualite de membre, Droits et Obligations des membres Article 9 : Membres Sont membres fondateurs de NSAR, les personnes morales signataires des présents statuts. Peuvent être élus membres adhérents les organisations ou sociétés productrices des semences établies au Rwanda ci après: a) Comme membres ordinaires avec droit de vote: 1) Les sociétés commerciales privées, 2) Les commerçants de semences 3) Les producteurs de semences. Ce sont des sociétés nationales, régionales ou internationales ou des compagnies produisant et vendant des semences mais dotées de la personnalité juridique au Rwanda ; 4) Les entreprises publiques Ce sont des entreprises commerciales appartenant à l’Etat au niveau national ou local établis dans le but de produire ou de distribuer des semences. (5) Abagemura imbuto cyangwa servisi zifite aho zihurira n’imbuto bashobora kuba ari aba Leta, cyangwa ibigo byayo cyangwa iby’abikorera, amashyirahamwe n’inganda zituganya imbuto cyangwa zizigemura cyangwa se zitanga servisi zingirakamaro muri uryu rwego kandi batemerewe kuba abanyamuryango batora mu Nteko rusange. government and deal exclusively or partly with seed. b) Other Eligible Members: Associate Members, without Voting Rights: (1) National Seed dealers association legally registred association, (2) National Seed growers association (legally registred association); (3) Government agencies. Government seed producing and/or supplying agencies: These are government departments, divisions or programs that are part of a government ministry producing and supplying seed. Government agencies supporting seed programs: These are government departments, divisions or services providing regulatory, research, training, policy advisory and other support to the national public and/or private production and supply of seed. (4) Non-governmental organizations involved in seed and/or seed related activities. (5) Products and services suppliers These are government, public and private institutions, corporations and/or firms producing, supplying and/or providing products and services of importance to the seed sector and that are not eligible for membership under (a). entièrement ou partiellement à l’Etat mais opérer exclusivement dans le domaine des semences. b) Peuvent être membres : membres associés mais sans droit de vote : 1) Les vendeurs nationaux de semences légalement constituées ; 2) les producteurs de semences légalement constituées; 3) les agences gouvernementales (les agences gouvernementales dont il est question ce sont celles qui sont en rapport avec la production ou la distribution des semences. Ce sont des départements du gouvernement, les divisions ou autres programmes du ministère ayant dans ses attributions la production ou la distribution des semences. Les agences gouvernementales soutenant le domaine des semences : il s’agit entre autres des départements, des divisions ou services chargés de la régulation, de la recherche, des formations, de la politique nationale sur les semences et autres nationales, publiques ou privées soutenant la production ou la vente des semences. (4) Les organisations non gouvernementales impliquées dans le domaine des semences et/ou autres activités liées aux semences. (5) Les producteurs et les distributeurs de semences. C’est soit le gouvernement par des institutions publiques ou privées, des sociétés et compagnies produisant des semences, distribuant ou vendant des produits et services d’importance liés au domaine des semences et qui ne peuvent pas être éligibles comme membre effectifs avec droit de vote. Ingingo ya 10: Kwemererwa kuba umunyamuryango Kwemererwa kuba umunyamuryango bisaba ibi bikurikira: Ibaruwa yandikiwe Perezida w’Ishyirahamwe. Iyo baruwa igomba kugaragaza ubushake byo kuba umunyamuryango kandi ikagaragaza ndetse n’abantu babiri b’inyangamugayo bazi neza usaba. Inteko Rusange ishobora kwemera cyangwa kwanga ubusabe byo kuba umunyamuryango ku bwiganze bw’amajwi y’abanyamuryango bahari cyangwa bahagarariwe mu buryo bwemewe n’amategeko. Iyo usaba yemerewe uwasabye agomba guhita yishyura amafaranga y’ubusabe ndetse n’umusanzu w’umwaka umwe buri munyamuryango asabwa. Nyuma yo kwishyura Umunyamabanga w’ishyirahamwe amenyesha uwasabye ko ubusabe bwakiriwe kandi bikanamenyeshwa abandi banyamuryango bose b’ishyirahamwe. Buri munyamuryango ashobora gushyiraho umuhagarariye cyangwa agatanga uburenganzira bwo guhagarirwa. These products and services may include research support, genetic material, equipment, chemicals, fertilizers, regulatory services, quality control, technical and market related advice and information and others. (6) Institutions and enterprises from outside Rwanda that are involved in seed or seed related activities. (7) Farmers association. Article 10: Acquisition of membership Membership is acquired upon the following procedures: A written application to the President of the Association, the application shall mention the commitment to the constitution and submit the business registration certificate. The General Assembly shall accept or reject the membership application on the absolute majority votes of present or represented members. Following acceptance of the application, the applicant shall be requested to pay admission fees and one year’s membership fees. Upon receipt of payment the Secretary of the Association shall inform the applicant that the membership has taken effect and communicate the same to all the members of the Association. Each member shall appoint a representative, or be represented by an alternate. (7) les associations des cultivateurs. Article 10: Acquisition de la qualité de membre Tout nouveau membre de l’Association NSAR doit remplir les conditions suivantes : Faire une demande écrite au Président de l’Association NSAR. Cette lettre doit contenir une volonté manifeste d’être membre de son auteur et inclure le nom de deux personnes de référence ainsi que leurs signatures ; Etre accepté comme membre par l’Assemblée Générale à la majorité absolue des membres votant présents ou représentés à l’Assemblée générale ; Payer immédiatement une cotisation de membre d’une année après l’acceptation par l’Assemblée générale et au vu du reçu de paiement, le secrétaire de l’Association en informe le demandeur et communique cela aux autres membres de l’association. Tout membre peut se faire représenter ou se faire remplacer par un suppléant. Article 11: Admission fees and Annual membership fees Each member of the Association shall undertake to pay admission fee upon joining the Association and an annual membership fee. Decisions on the amount of admission fees and membership fees shall be taken by the General Assembly and specified in the Bylaws. Fees may be reviewed annually and revised, if and as required by the General Assembly. Article 12: losing to be member A Person ceases to be a member (ordinary or associate) of the Organization when: (a) The member resigns and the resignation is approved by the General Assembly. (b) The member fails to meet the financial obligations for membership fee. (c) The member is expelled by the General Assembly on the recommendation of the Executive Committee; (d) If they don’t comply with internal rules and regulations of the association (Code of ethics); (e) If the member is determined bankrupt or is no longer seed dealer or trade (f) if a member is involved in illegal trade, is blacklisted by the Rwanda Public Procurement Authority (RPPA) or is convicted by court for criminal cases. Article 11 : Cotisation d’admission comme membre et cotisation annuelle des membres Chaque membre de l’association NSAR doit s’acquitter d’une cotisation d’admission comme nouveau membre et une cotisation annuelle par la suite. La décision sur le montant de la cotisation comme nouveau membre ainsi que la cotisation annuelle ordinaire est adoptée par l’Assemblée générale et spécifiée dans le règlement d’ordre intérieur. Les cotisations peuvent être revues ou augmentées chaque année si nécessaire sur décision de l’Assemblée générale. Article 12 : Perte de laqualité de membre La qualité de membre ordinaire ou associé de l’association se perd : a) par la démission volontaire acceptée par l’Assemblée Générale ; b) le non respect des obligations financières de cotisation annuelle ; c) l’exclusion décidée par l’Assemblée Générale sur recommandation du Comité Exécutif ; d) en cas de non respect du règlement d’ordre intérieur de l’association (code d’éthique) ; e) ou en cas de faillite ou si le membre n’est plus un distributeur ou un commerçant de semence, ou f) enfin si le membre est impliqué dans la fraude ou quand il figure sur la liste noire de l’Agence Rwandais chargé des Marchés Publics ou a été condamné pénalement par les tribunaux pour activités criminelles. Article 13: Rights and obligations of members Members shall, in accordance with the Constitution, Bylaws and Resolutions of the General Assembly, have the right to:  Express own opinions in all matters concerning the Association activity;  Participate in the development and realization of the Association program;  Participate in all forms of activity serving a realization of the statutory purpose of the Association;  Attend the meetings of the General Assembly, other meetings than the executive committee, seminars and conferences that may be called by the Association;  Request and obtain information on matters that concern them, including guidelines for obtaining technical assistance and collaboration in the pursuit of their activities.  Receive ublications and other nformation that may be distributed by the Association;  Participate in training and related activities that may be organized by the Association;  Being informed about financial situation and having access to the financial information related to the association  Payment of membership fees. Ingingo ya 17: Ububasha bwayo Inteko rusange ifite ububasha bwo :  Gushyiraho imirongo ngenderwaho;  Kwemeza no kwirukana abanyamuryango;  Gutora no kuvanaho abagize inzego z’ishyirahamwe; CHAPTER V: Organs Article 14: Organs The organs of association NSAR are the following: General Assembly, the Executive Committee, Financial Audit, Conflict resolution committee. Section One: General Assembly Article15. Composition The General Assembly is the supreme body of the Association. It consists of all the members. The General Assembly shall meet in ordinary session once a year when convened by the Chairperson of the Executive Committee in his or her absence by the Vice Chairperson by writing invitation. It may be convened in extraordinary session upon the request of a third (1/3) of the effective members or by decision of the Executive Committee. Article 16: Validity of the General Assembly meetings The General Assembly shall be valid only if the majority of two thirds (2/3) of the members is present, the decisions are made by simple majority of members present, in the exception provided by of these statutes. Article 17: Its competence It is competent for;  Determining the guidelines of the Association;  Admitting and excluding members;  Electing and dismissing the members of the Executive Committee, and Accounts external auditor. CHAPITRE V : Organes Article 14 : ORGANES Les organes de l’Association NSAR sont : l’Assemblée Générale ; le Comité Exécutif ; l’Organe chargé du contrôle des comptes ; l’Organe Chargé de la Résolution des Conflits. Section Premiere : Assemblée Générale Article 15: Composition L’Assemblée Générale est l’organe suprême de l’Association NSAR. Elle se compose de tous les membres effectifs. L’Assemblée Générale se réunit en session ordinaire une fois l’année sur convocation du Président du Comité Exécutif par écrit et en cas d’absence ou d’empêchement par le Vice- Président. Elle peut se réunir en session extraordinaire sur demande des 1/3 de ses membres ou sur décision du Comité Exécutif. Article 16 : Tenue des Assemblées générales L’Assemblée générale ne se réunit valablement que si la majorité des 2/3 de ses membres sont présents. Les décisions de l’Assemblée générale sont prises à la majorité absolue des membres présents ou représentés ayant le droit de vote aux Assemblées générales sauf exception prevues par les presents statuts. Article 18: Meetings of the General Assembly The General Assembly meets once a year in ordinary session and if necessity arises in extraordinary session. It is convened and chaired by the president of the association and, failing that, by the vice president. Each member of category 9 (a) present in the Assembly shall have one [1] vote on all matters. Members may designate a proxy if they are detained and unable to attend the meeting of the General Assembly. The designation must be done in writing, and reach the chairperson of the General Assembly prior to the opening of the meeting. Un membre qui n’est pas en mesure de participer à une réunion de l’Assemblée générale a le droit de désigner un représentant. Article 19: The agenda of the meeting of the General Assembly At its ordinary annual meeting, the General Assembly shall: a) Consider the report on the activities of the association since the previous meeting. b) Consider and approve report of the budget and audited financial statements of the Association. c) Appoint an External Auditor who meets the government statutory requirements. d) Determine the criteria for membership in the Association. e) Accept or exclude members. f) Determine the annual membership fee payable by the members. g) Subject to the provisions of the Constitution, approve Bylaws and Rules or Procedures for convening its meetings, a quorum, voting procedures and dissemination of its reports. h) The General Assembly may establish such bodies as it deems necessary and delegate any of its représenter, en ce cas le membre doit donner sa soumission par écrit laquelle doit arriver chez le président de l’Assemblée bien avant son ouverture. Section 2: Executive Committee Article 20: Its election The General Assembly shall elect from among its members the members of the Executive Committee; thus the President, Vice president, Secretary and the Treasurer for a period of four years renewable once. The Executive Committee shall meet at least four [4] times every year in ordinary meeting, but it can also meet in extraordinary meeting whenever the President so orders or on own initiative or at the request of two [2] members of the Executive Committee. Article 21: Mandate The Executive Committee members are elected for a four year renewable mandate by the General Assembly. It is not allowed to exceed two successive mandates. Article 21 : Mandat Les membres du Comité Exécutif sont élus par l’Assemblée Générale ordinaire pour un mandat de quatre ans renouvelable une seule fois. Ingingo ya 23: Umunyamabanga Umunyamabanga w’ishyirtahamwe ashinzwe ibi bikurikira : Kwandika raporo z’inama ; The President is the legal representative of the Association. He defends suits and other legal proceedings and do all things necessary to honour its Constitution and the vice president is the substitute legal representative. The President shall: Be responsible for the day-to-day administration of the Association. Convene the Executive Committee. Ensure that the Secretariat provides support to all members of the Association. Prepare proposals for joint action programs with other international and regional bodies for the Executive Committee’s consideration. Be responsible of the implementation of the annual budget of the association. Perform other functions that may be specified by the Executive Committee and the General Assembly. Submit the annual budget of the Association to each Ordinary General Assembly for approval not later than 1st of November.The annual budget is voted for one year only. The President shall chair the General Assembly and meetings of the Executive Committee and will only exercise the voting right in the event of a tie. When the president is in incapacity to carry out his /here duties, he is replaced by the vice president. Article 23. Secretary The Secretary of the association is responsiblefor: Writing down the minutes of the meetings Il est aussi le représentant légal de l’association. Il la répresente devant les instances administratives et les juridictions mais il doit s’assurer que cette activité est bien menée. Le Vice Président assure également la suppléance du président en cas d’absence ou d’empêchement. Le Président est aussi chargé de: De la gestion et de l’administration journalière de l’association; Convoquer les réunions du Comité Exécutif; S’assurer que le secrétariat de l’association a fait parvenir aux membres les documents nécessaires; Préparer les projets de collaboration avec les autres associations internationales ou régionales pour en faire part au Comité Exécutif; Etre responsable de l’exécution du budget de l’association; Etre responsable d’autres activités mises sur calendrier par le Comité Exécutif ou l’Assemblée générale; Préparer le budget annuel de l’association qui doit être présenté à l’Assemblée générale ordinaire pour adoption au plus tard le 01 Novembre de chaque année. Le budget est voté pour une durée maximale d’une année. Diriger les réunions de l’Assemblée générale ainsi que celles du Comité Exécutif et il est le seul à disposer d’une voix préponderante en cas de parfaite égalité des voix lors des élections. Il est remplacé dans toutes ses fonctions par le Vice Président en cas d’empêchement ou d’absence. Attributions of the Executive Committee The executive committee is responsible for: To manage the assets of the Association; To implement the decisions made by the General Assembly; To submit to the approval of the General Assembly the narrative and financial reports To ensure the Secretariat of the General Assembly which elects the members of this executive committee. Section 3: Financial audit Article 26: Mission and mandate Two private auditors are elected by the General Assembly for a term of two years. Section 4: Conflict resolution Committee Article 27: attributions et composition The General Assembly elects three persons in charge of conflicts resolution, for a period of four years renewable once. The members of the executive committee are not eligible for being members of this committee. A conflict is a situation when a problem arises between members or between a member / members and the association. The conflict resolution committee is responsible for: Develop strategies for prevention and resolution of conflicts within the Association; Facilitate the meeting of litigants and propose solutions, with the ultimate goal of reconciliation. When a conflict arises any member concerned will file the case to the conflict resolution committee through writing and this committee will have a period of two (2) months to respond to the case. The conflict resolution committee meets whenever it is needed. Any conflict arising within the Association is settled amicably by the conflict resolution committee. In case such organ fails to resolve the conflict amicably, the concerned parties may file the case to the Rwanda competent court. de deux ans.(2). Section 4 : Organe chargé de la résolution des conflits Article 27 : Attributions et composition L’Assemblée Générale élit parmi ses membres un comité de 3 personnes chargé de la Résolution des Conflits pour un mandat de quatre ans renouvelable une seule fois. Les membres du comité Exécutif ne sont pas autorisés à faire partie de l’organe chargé de la résolution des conflits. Par conflit il faut entendre tout litige pouvant surgir au sein des membres de l’association d’une part et entre les membres et l’association d’autre part. Cet organe est charge de: Developper des strategies visant la prevention et la resolution des conflits au sein de l’association; Faciliter la rencontre des parties en conflits et proposer des solutions dans le but ultime de la reconciliation En cas de conflit ouvert, le membre concerné transmets le cas au comité chargé de la résolution par lettre et la reponse doit intervenir dans un délai de deux (2) mois. Le comité chargé de la resolution des conflits se réunit autant de fois que nécessaire. Tout conflit au sein de l’association est résolu amicalement par ce comité. Lorsque ce comité n’arrive à le résoudre amicalement, lesparties concernées peuvent le soumettre aux juridictions compétentes du Rwanda. CHAPTER VI. Participation of Observers Article 28: Participation of Observers Institutions that are not members of the Association may, upon written request and approval of the Executive Committee attend meetings of the General Assembly and subsidiary bodies of the Association, as registered observers. Participation of national, regional and/or international organizations in the work of the Association shall be governed by the relevant provisions of the Constitution and the resolution of the General Assembly. The President, at the request of the General Assembly shall invite professionals to attend meetings of the General Assembly. Observers shall not have voting rights. CHAPITRE VII: Bylaws, Rules and Regulations Article 29: Bylaws For the discharge of subsidiary functions under the Constitution and Bylaws may be specifically formulated by the Executive Committee and approved by the General Assembly in regard to: Conditions for membership Procedures for convening the General Assembly; Procedures and functions of the Executive Committee; Procedures and functions of ad-hoc bodies, working parties and consultations. Financial resources management; Working languages; Suspension and amendment of Bylaws. CHAPITRE VI: Role des observateurs Article 28: Rôle des observateurs Les institutions non membres de l’association peuvent si elles le demandent et en cas d’accord du Comité Exécutif participer aux réunions de l’Assemblée générale et aux autres réunions comme observateurs. La participation des associations rwandaises, régionales ou internationales dans les activités de l’association est régie par les statuts de l’association et les décisions de l‘Assemblee générale. Le président sur demande de l’Assemblée générale peut inviter des experts à suivre le déroulement de l’assemblée générale. Les observateurs n’ont pas droit aux votes. Article 30: Rules and Regulations For the discharge of the subsidiary functions under Constitution and Bylaws, Rules and Regulations may be formulated by the Executive Committee in regard to: a) Personnel management of the Secretariat, including recruitment, promotion and disciplinary measures according to the law. b) Financial management, such as opening of bank account, preparation of accounts and financial statements and calculation of travel allowances. c) Procedures to conclude contracts and agreements with other organizations; d) Procedures of acceptance of donations. e) Code of ethics; f) Amendments of the rules and procedures. CHAPTER VIII: Resources and utilization of resources. Article 31: Resources The association has, in possession or owned, heritage consists of movable and immovable property/assets necessary for achieving its objectives. CHAPITRE VIII : Ressources et leur utilisation Article 31: Ressources L’association possède, soit en jouissance, soit en propriété, un patrimoine constitué de biens mobiliers et immobiliers nécessaires á la réalisation de ses objectifs. UMUTWE WA IX : Ihindurwa ry’amategeko, iseswa ry’ishyirahanmwe Ingingo ya 34: Ihindurwa ry’amategeko shingiro Ihindurwa ry’aya mategeko shingiro iryo ariryo ryose ryemezwa n’Inteko Rusange ku bwiganze bw’amajwi bwa Article 32: Origin of the assets The financial resources of the Association shall be raised under: a) Registration fees payable on admission, and annual membership fees; b) Advertisements in and subscriptions to Association publications; c) Course and delegate fees; d) Voluntary contributions from members, grants; e) Any other lawful are venues. Article 33: Utilization of resources The resources of the Association shall be utilized solely for the realization of its mandate. The President together with the treasurer, on behalf of the Executive Committee shall have the power and authority to: a) Incur expenses in connection with the administration and operation of the Association in compliance with the budget; b) Open, operate and close bank accounts in Rwanda approved by the General Assembly, on behalf of the Association; c) Authorize and account for all disbursements made by or on behalf of the Association. CHAPITRE IX: Amendment of the constitution, Dissolution and winding up of the Association Article 34: Amendment of the constitution The General Assembly can amend this Constitution by a 2/3 majority of the voting members. Iyo ishyirahamwe rimaze guseswa Inteko Rusange ishyiraho umuntu umwe cyangwa benshi bashinzwe iryo seswa banakora ibaruramutungo ry’ishyirahamwe, bakagaragaza imyenda, ibi byose bishyirwa muri raporo ishyikirizwa inteko rusange. Inteko rusange imaze kwishyura imyenda no kwishyura andi madeni, imitungo isigaye ihabwa irindi shyirahamwe rifite inshingano zisa n’izaryo, bimaze kwemezwa n’Inteko rusange. Proposals for amendment of the Constitution can be made by the Executive Committee or a member of the Association in a communication addressed to the President of the Association. The President shall circulate to all members all proposals for amendments 30 days before the General Assembly. No proposal for the amendment of the Constitution shall be included in the agenda of the General Assembly unless notice thereof has been received by the President at least 45 days prior to the opening of the General Assembly. The adopted amendment of the Constitution shall be forwarded to all the members and shall become effective such, unless otherwise decided by the General Assembly. Article 35: Dissolution and liquidation of the Association The dissolution of the Association can be decided only by 3/4 majority of the total membership with voting rights. In case of dissolution of the Association, the General Assembly designates one or more liquidators to make an inventory of the assets and the debts of the Association, the whole consigned in a report for the General Assembly. After paying all the debts and the handing over the loans; the remaining assets of the Association will be taken to another Association approved by the General Assembly having the same objectives. modification ne peut être adoptée qu’à la majorité des 2/3 des membres effectifs. Article 35: Dissolution et liquidation de l’association La décision de dissolution est prise à la majorité de 3/4 des membres effectifs présents à la réunion de l’Assemblée générale. Après la décision de dissolution l’Assemblée générale nomme un ou plusieurs liquidateurs qui doivent auparavant procèder à l’inventaire du patrimoine et des dettes de l’association, lesquels font l’objet d’un rapport soumis à l’Assemblée générale. Update general assembly the activity done by interim committee The acting president of National seed association of Rwanda (NSAR) gives to general assembly all updates of activities done during interim committee. He explained about increasing number of committed companies and individuals, partners and donors contacted, status development and way of registration etc. 2. Status reviewing commenting and status adoption We tried all presented members to review the status; we done some corrections and then after the members adopted the status that will govern the association. Lawyer will continue to help until it will be signed before the notary. 3. Electing new committees The general assembly has voted new executive committee members, conflict resolution committee and Auditing committee as follows: 3.1. EXECUTIVE COMMITTEE: NAMUHORANYE Innocent: President; BIRUNGI Martha: Vice President; NDAMUSHIMA Nicodème: Treasurer; NYIRINGABO Ignace: Secretary. 3.2 CONFLICT RESOLUTION COMMITTEE: BIZIMANA J.M.V. Way forward Committee will continue mobilizing new members, launching and registering NSAR in AFSTA, donors seeking for fund and robbing in government institutions.
