Investment Proclamation No. 1180/2020

4. Jurisdiction ፩/ የሚከተሉት ኢንቨስትመንቶች አስተዳደር በኮሚሽኑ 1/ The administration of the following investments የሥልጣን ክልል ሥር ይወድቃሉ፦ shall be under the jurisdiction of the Commission: ሀ) ሙሉ በሙሉ በውጭ ባለሀብት የተያዘ ኢንቨስትመንት፤ a) Wholly foreign owned investment; ለ) በአገር ውስጥ እና በውጭ ባለሀብቶች በጋራ b) Joint investment made by domestic and የተያዘ ኢንቨስትመንት፤ foreign investors; ሐ) በዚህ አዋጅ አንቀጽ ፪ ንዑስ-አንቀጽ (፭) ከፊደል ተራ (ረ) እስከ (ቀ) በተደነገገው መሠረት እንደ c) Investment made by a foreign national, not Ethiopian by origin, who is treated as a የአገር ውስጥ ባለሀብት በተቆጠረ በትውልድ domestic investor pursuant to Article 2(5) ኢትዮጵያዊ ባልሆነ የውጭ አገር ዜጋ የሚካሄድ paragraphs (f) to (i) of this Proclamation; and ኢንቨስትመንት፤ እና መ) የኢንቨስትመንት ማበረታቻ በሚሰጥበት d) Investment made in areas eligible for የኢንቨስትመንት መስክ አግባብ ካለው የፌደራል incentives by a domestic investor who is መንግሥት መስሪያ ቤት የንግድ ሥራ ፈቃድ required to obtain a business license from an ማውጣት ባለበት የአገር ውስጥ ባለሀብት appropriate Federal Body. የሚካሄድ ኢንቨስትመንት። ፪/ ፪/ በዚህ አንቀጽ ንዑስ-አንቀጽ (፩) የተደነገገው ቢኖርም 2/ Notwithstanding the provisions of Sub-article (1) በአየር ትራንስፖርት አገልግሎት፣ በኤሌክትሪክ ኃይል of this Article, the issuance, renewal, amendment, ማመንጨት ወይም ማስተላለፍ ወይም ማሰራጨት substitution, replacement and cancellation of አገልግሎት፣ እና በኮሙኒኬሽን አገልግሎት ሥራዎች ላይ investment permits, and the issuance of investment ለሚሰማራ ባለሀብት የኢንቨስትመንት ፈቃድ የመስጠት፣ expansion or upgrading permits for air transport services, the generation or transmission or የማደስ፣ የማሻሻል፣ የመለወጥ፣ የመተካት፣ የመሰረዝ distribution of electric power, and the provision of እና የኢንቨስትመንት ማስፋፊያ ወይም ማሻሻያ ፈቃድ communications services shall be carried out by የመስጠት ሥራን እንደ ቅደም ተከተላቸው የኢትዮጵያ the Ethiopian Civil Aviation Authority, the ሲቪል አቪየሽን ባለሥልጣን፣ የኢትዮጵያ ኢነርጂ Ethiopian Energy Authority, and the Ethiopian ባለሥልጣን እና የኢትዮጵያ የኮሙኒኬሽን ባለሥልጣን Communications Authority, respectively, ኮሚሽኑን በመወከል ያከናውናሉ። representing the Commission. ፲፪ሺ፫፻፺ https://chilot.me nd 12390 gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ መጋቢት ፳፬ ቀN ፪ሺ፲፪ ›.M Federal Negarit Gazette No. 28 April 2 2020 …....page ፫/ የኢትዮጵያ ሲቪል አቪየሽን ባለሥልጣን፣ የኢትዮጵያ 3/ The Ethiopian Civil Aviation Authority, the Ethiopian ኢነርጂ ባለሥልጣን እና የኢትዮጵያ የኮሙኒኬሽን Energy Authority, and the Ethiopian Communications ባለሥልጣን፦ Authority shall: ሀ) በተሰጣቸው የውክልና ሥልጣን መሠረት የሰጧቸውን a) Submit to the Commission a quarterly report አገልግሎቶች የሚመለከት ሪፖርት በየሦስት ወር regarding services they rendered through their ለኮሚሽኑ ያቀርባሉ፤ Delegated Powers; ለ) የየዘርፎቹን እምቅ አቅም ለመለየት የሚያስፈልጉ b) Coordinate with the Commission to undertake ጥናቶችን የማካሄድ፣ ዘርፍ-ተኮር studies identifying sectoral potentials, and sector የኢንቨስትመንት ልማት ስትራቴጂዎችን የመቅረጽ specific investment development strategies, and እና የኢንቨስትመንት እድሎችን የማስተዋወቅ engage in investment promotion works. ሥራዎችን ከኮሚሽኑ ጋር በመቀናጀት ያከናውናሉ። ፬/ የክልሎች አግባብ ያላቸው የኢንቨስትመንት መስሪያ 4/ Appropriate investment Organs of Regions shall have ቤቶች በዚህ አንቀጽ ንዑስ-አንቀጽ (፩) እና (፪) jurisdiction to administer investments other than those ከተዘረዘሩት ውጭ ያሉ ኢንቨስትመንቶችን የማስተዳደር specified under Sub-articles (1) and (2) of this Article. ሥልጣን ይኖራቸዋል። PART TWO ክፍል ሁለት INVESTMENT OBJECTIVES የኢንቨስትመንት ዓላማዎች ፭.የኢንቨስትመንት ዓላማዎች 5. Investment Objectives The investment objective of the Federal Democratic የኢትዮጵያ ፌደራላዊ ዲሞክራሲያዊ ሪፐብሊክ Republic of Ethiopia is to improve the living standard of የኢንቨስትመንት ዓላማ ፈጣን፣ አካታች እና ቀጣይነት the peoples of Ethiopia by realizing a rapid, inclusive and ያለው የኢኮኖሚ እና ማህበራዊ ልማት እንዲኖር sustainable economic and social development. 8. 10. Requirement and Issuance of Investment Permit ፩/ የሚከተሉት ባለሀብቶች የኢንቨስትመንት ፈቃድ 1/ The following investors shall be required to obtain ያስፈልጋቸዋል፦ investment permits: ሀ) የውጭ ባለሀብቶች፤ a) Foreign investors; ለ) በቅንጅት በኢንቨስትመንት ላይ የሚሰማሩ የአገር b) Domestic and foreign investors investing jointly; ውስጥ እና የውጭ ባለሀብቶች፤ ሐ) በዚህ አዋጅ አንቀጽ ፪ ንዑስ-አንቀጽ (፭) ፊደል c) Investors investing as domestic investors pursuant ተራ (ረ)፣ (ሰ)፣ (ሸ) እና (ቀ) የተመለከቱ እንደ to Article 2 Sub-article (5) paragraphs (f), (g), አገር ውስጥ ባለሀብት በመቆጠር (h) and (i) of this Proclamation; በኢንቨስትመንት የሚሰማሩ ባለሀብቶች፤ c) Domestic investors who, investing in areas መ) የኢንቨስትመንት ማበረታቻ በሚሰጥበት eligible for incentives, seek to be የኢንቨስትመንት መስክ የሚሰማሩ እና beneficiaries of such incentives; and የማበረታቻው ተጠቃሚ መሆን የሚፈልጉ የአገር ውስጥ ባለሀብቶች፤ እና ፲፪ሺ፫፻፺፭ https://chilot.me nd 12395 gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ መጋቢት ፳፬ ቀN ፪ሺ፲፪ ›.M Federal Negarit Gazette No. 28 April 2 2020 …....page ሰ) የማስፋፊያ ወይም የማሻሻያ ኢንቨስትመንት ማካሄድ e) An investor seeking to expand or upgrade an የሚፈልግ ባለሀብት ሆኖ ኢንቨስትመንቱ ማበረታቻ existing investment, provided that the investment በሚሰጥበት መስክ ውስጥ የሚወድቅ ከሆነ እና is eligible for incentives and the investor seeks to be beneficiary of such incentives. ባለሀብቱ በማበረታቻው ተጠቃሚ ለመሆን ከመረጠ። ፪/ ፪/ የዚህ አንቀጽ ንዑስ-አንቀጽ (፩) ፊደል ተራ (ሐ) ድንጋጌ 2/ Notwithstanding the provision of Sub-article (1) ቢኖርም እንደ የአገር ውስጥ ባለሀብት የተቆጠረ paragraph (c) of this Article, a foreign national of በትውልድ ኢትዮጵያዊ የሆነ የውጭ ዜጋ Ethiopian origin treated as a domestic investor shall የኢንቨስትመንት ማበረታቻ በማይሰጠው፣ ወይም have the right to invest without acquiring investment ማበረታቻ የሚሰጠው ቢሆንም ማበረታቻ የማግኘት permit in areas not eligible for incentives, or, in areas eligible for incentives, by waiving his right to claim መብቱን በመተው ያለኢንቨስትመንት ፈቃድ incentives. ኢንቨስትመንት ላይ ሊሰማራ ይችላል። ፫/ በዚህ አንቀጽ ንዑስ-አንቀጽ (፩) የተደነገገው ቢኖርም፤ 3/ Notwithstanding the provision of Sub-article (1) of this ነባር ድርጅት ገዝቶ ባለበት ሁኔታ ለማካሄድ ወይም Article, a foreign investor seeking to buy an existing የነባር ድርጅትን አክስዮን ለመግዛት የሚፈልግ የውጭ enterprise in order to operate it in its current state or to ባለሀብት ጥያቄውን ለኮሚሽኑ በማቅረብ በቅድሚያ buy shares of an existing enterprise shall obtain prior ፈቃድ ማግኘት ይኖርበታል። ኮሚሽኑ የተጠየቀውን approval from the Commission. 12. Transfer of Investment Project Under ፲፪. በትግበራ ላይ የሚገኝ የኢንቨስትመንት ፕሮጀክት ማስተላለፍ Implementation የንግድ ሥራ ፈቃድ ከማውጣቱ በፊት በትግበራ ላይ Any investor wishing to transfer to another investor a የሚገኝ የኢንቨስትመንት ፕሮጀክቱን ለሌላ ባለሀብት project which is in implementation phase and for ማስተላለፍ የሚፈልግ ማንኛውም ባለሀብት ጥያቄውን which no business license has been issued shall አግባብ ላለው የኢንቨስትመንት መስሪያ ቤት submit his request to the appropriate investment organ and obtain the approval such organ. The appropriate በማቅረብ ማስፈቀድ ይኖርበታል። አግባብ ያለው investment organ shall not deny or delay the approval የኢንቨስትመንት መስሪያ ቤት የተጠየቀውን ፈቃድ sought without sufficient cause. Suspension or Revocation of Investment Permit ፩/ማንኛውም ባለሀብት፦ 1/ The investment permit of an investor shall be suspended if the investor: ሀ) አግባብ ያለው የኢንቨስትመንት መስሪያ ቤት በዚህ አዋጅ መሠረት የሚጠይቀውን መረጃ a) Fails to submit accurate and timely information ወይም የፕሮጀክት አፈጻጸም ሪፖርት በትክክል or project implementation report requested by the appropriate investment organ pursuant to this እና በወቅቱ ካላቀረበ፣ ወይም ሆን ብሎ ወይም Proclamation, or intentionally or negligently በቸልተኝነት የተሳሳተ ሪፖርት ካቀረበ፤ presents incorrect report; ፲፪ሺ፫፻፺፯ https://chilot.me nd 12397 gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ መጋቢት ፳፬ ቀN ፪ሺ፲፪ ›.M Federal Negarit Gazette No. 28 April 2 2020 …....page ለ) የኢንቨስትመንት ፈቃዱን ወይም የፈቃድ b) Obtains the investment permit or secures its እድሳትን ያገኘው በማታለል ወይም የሐሰት renewal fraudulently or by submitting a false information or statement; መረጃ ወይም መግለጫ በማቅረብ ከሆነ፤ c) Uses the investment permit incompatibly with ሐ) የኢንቨስትመንት ፈቃዱን ከተሰጠበት ዓላማ the objective for which it was issued; ውጭ ከተገለገለበት፤ ‹ d) Fails, without good cause, to renew the permit መ) ያለበቂ ምክንያት በአዋጁ እና በአዋጁ መሠረት in accordance with the requirements specified በወጡ ደንቦች ላይ በተመለከተው መሠረት in this Proclamation and regulations issued የኢንቨስትመንት ፈቃዱን ካላሳደሰ፤ hereunder; ሠ) የፕሮጀክት ትግበራ ጀምሮ በዚህ አዋጅ አንቀጽ e) Commences project implementation but fails to ፲፩ ንዑስ-አንቀጽ (፫) በተደነገገው የጊዜ ገደብ complete same within the time limit provided ካላጠናቀቀ እና ፕሮጀክቱን ሊያጠናቅቅ under Article 11 Sub-article (3) of this Proclamation and where it is believed that the እንደማይችልም ከታመነ፤ ወይም project will not be completed at all; or ረ) ይህን አዋጅ፣ በአዋጁ መሠረት የወጡ ደንቦች እና f) Violates the provisions of this Proclamation, or መመሪያዎች ድንጋጌዎችን ወይም ሌሎች Regulations and Directives issued to implement አግባብነት ያላቸው ሕጎች ከተላለፈ፤ this Proclamation, or other pertinent Laws. የኢንቨስትመንት ፈቃዱ ይታገዳል። ፪/ የኢንቨስትመንት ፈቃዱ የታገደበት ባለሀብት 2/ An investor whose permit is suspended shall be ለዕገዳው ምክንያት የሆነውን ጉዳይ እንዲያስተካክል given one year to take corrective measures. የአንድ ዓመት ጊዜ ይሰጠዋል። ፫/ ማንኛውም ባለሀብት፡- 3/ The investment permit of an investor shall be revoked if the investor: ሀ) የዚህ አዋጅ አንቀጽ ፲፩ ንዑስ-አንቀጽ (፬) ድንጋጌ a) Subject to the provision of Article 11 Sub- እንደተጠበቀ ሆኖ በአንቀጽ ፲፩ ንዑስ-አንቀጽ (፫) article (4) of this Proclamation, fails to በተደነገገው የጊዜ ገደብ ውስጥ የኢንቨስትመንት commence investment project implementation ትግበራ ካልጀመረ፤ as per Article 11 Sub-article (3) of same; ለ) ለኢንቨስትመንት ፈቃዱ እገዳ ምክንያት የሆነውን b) Fails to rectify the issue that caused the ጉዳይ በተሰጠው ጊዜ ውስጥ ካላስተካከለ፤ suspension of the investment permit within the time given to him; ሐ) የኢንቨስትመንት ሥራውን በፈቃዱ ከተወ፤ ወይም c) Voluntarily forsakes his investment activity; or መ) ተፈጻሚነት ባለው ሕግ መሠረት የተሰጡትን ማበረታቻዎች ከታቀደላቸው ዓላማ ውጭ ካዋለ d) Misuses or illegally transfers to a third-party ወይም ከሕግ ውጭ ለሌላ ሰው ካስተላለፈ investment incentives granted pursuant to the የኢንቨስትመንት ፈቃዱ ይሰረዛል። Pertinent Laws; ፲፪ሺ፫፻፺፰ https://chilot.me nd 12398 gA Ød‰L ነU¶T Uz¤È qÜ_R ፳፰ መጋቢት ፳፬ ቀN ፪ሺ፲፪ ›.M Federal Negarit Gazette No. 28 April 2 2020 …....page ፬/ አግባብ ያለው የኢንቨስትመንት መስሪያ ቤት በዚህ 4/ The appropriate investment organ shall notify the አንቀጽ መሠረት የሚወስደውን የኢንቨስትመንት revocation measure it takes in accordance with this ፈቃድ የመሰረዝ እርምጃ ለሚመለከታቸው አካላት Article to all concerned bodies. 15. 22.Employment of Expats and Work Permits ፩/ ማንኛውም ባለሀብት ለኢንቨስትመንቱ አስፈላጊ 1/ Any investor may employ duly qualified foreigners የሆኑ እና ተገቢ ሙያ ያላቸውን በከፍተኛ necessary for the operation of his investment in ማኔጅመንት፣ በተቆጣጣሪነት፣ በአሰልጣኝነት እና positions of higher management, supervision, trainers በሌሎች የቴክኒክ ሥራዎች ላይ የሚሰማሩ የውጭ and other technical professions. 29.Investment Administration Organs ፳፱.የኢንቨስትመንት አስተዳደር አካላት The Organs of investment administration shall የኢንቨስትመንት አስተዳደር አካላት የሚከተሉትን comprise the following: ያጠቃልላል፦ 1/ The Ethiopian Investment Board; ፩/ የኢትዮጵያ ኢንቨስትመንት ቦርድ፤ 2/ The Ethiopian Investment Commission; ፪/ የኢትዮጵያ ኢንቨስትመንት ኮሚሽን፤ 3/ The Federal Government and Regional State ፫/ የፌደራል መንግሥት እና የክልል መስተዳድሮች Administrations Investment Council; and የኢንቨስትመንት ጉባዔ፤ እና 4/ Investment administration Organs established ፬/ በክልል ሕጎች የሚወሰኑ የክልል ኢንቨስትመንት pursuant to Regional Laws. አስተዳደር አካላት። ፴. የኢትዮጵያ ኢንቨስትመንት ቦርድ 30. 31. 34. Repealed and Inapplicable Laws ፩/የኢንቨስትመንት አዋጅ ቁጥር ፯፻፷፱/፪ሺ፬ 1/ The Investment Proclamation No.769/2012 (as (እንደተሻሻለ) እና የኢትዮጵያ ኢንቨስትመንት amended) and the Ethiopian Investment Board ቦርድን እና የኢትዮጵያ ኢንቨስትመንት ኮሚሽንን and Ethiopian Investment Commission ለማቋቋም የወጣው የሚኒስትሮች ምክር ቤት ደንብ Establishment Council of Ministers Regulation ቁጥር ፫፻፲፫/፪ሺ፮ በዚህ አዋጅ ተሽረዋል። No. 313/2014 are hereby repealed. ፪/ በሚኒስትሮች ምክር ቤት ደንብ ቁጥር ፫፻፲፫/፪ሺ፮ 2/ The Rights and Obligations of the Ethiopian ተቋቁሞ የነበረው የኢትዮጵያ ኢንቨስትመንት Investment Commission established by Council ኮሚሽን መብቶች እና ግዴታዎች በዚህ አዋጅ of Ministers Regulation No. 313/2014 are transferred to the Commission reestablished by መሠረት እንደገና ለተቋቋመው ኮሚሽን this Proclamation. ተላልፈዋል። ፫/ ይህን አዋጅ የሚቃረን ማንኛውም ሕግ ወይም 3/ No law or customary practice shall have effect አሠራር በዚህ አዋጅ በተሸፈኑ ጉዳዮች ላይ with respect to matters provided for in this law so ተፈጻሚነት አይኖረውም። far as it is inconsistent with this Proclamation. ፶፯. የመሸጋገሪያ ድንጋጌ
