4. Objectives of a Cooperative Society ያ ለ ው እ ን ዲሁም አ ን ድ አ ባ ል አ ን ድ ድምጽ ብቻ ያ ለ ው A cooperative society established pursuant to this ይሆና ል፡ ፡ Proclamation shall have any one or more of the ,24፻ HJ following objectives: ፫ / ከ ትር ፍ ላይ ለ መጠባ በ ቂ ያ እና ለ ሌሎች አ ገ ልግ ሎቶች 1/ to collectively overcome, withstand and solve ተቀ ን ሶ ከ ተቀ መጠ በ ኋላ አ ባ ላ ት ከ ኅ ብረ ት ሥራ ማህ በ ሩ economic and social problems which members በ ገ ዙት ዕ ጣ መጠን እና ባ ደረ ጉት ተሣትፎ መሠረ ት cannot individually achieve; ቀ ሪ ው ትር ፍ ይከ ፋፈላ ል፡ ፡ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9442 ፬ / የ ኅ ብረ ት ሥራ ማኅ በ ራት ከ ሌሎች አካላት ጋር 2/ to achieve a better result by coordinating መን ግ ሥትን ም ጨምሮ ስ ምምነ ት የ ሚያ ደ ር ጉ ት ወይም members’ knowledge, resource and labor; ከ ኅ ብረ ት ሥራ ማኅ በ ራቸው ውጭ ከ ሚገ ኝ ምን ጭ ገ ን ዘ ብ 3/ to promote self-reliance among members; በ መበ ደ ር ካ ፒታላ ቸውን ማሳ ደ ግ የ ሚችሉት የ አ ባ ላ ትን ዲሞክ ራሲያ ዊ ቁ ጥጥር በ ሚያ ረ ጋ ግ ጥ፣ የ ኅ ብረ ት ሥራ 4/ to reduce production and service costs and to ማኅ በ ራቸውን የ ራስ በ ራስ ማስ ተዳ ዳ ር መብት በ ሚጠብቅ offer inputs and services to members with እንዲ ሁም የ ራስ አገ ዝ ባ ህ ሪ ውን በ ማይነ ካ ሁኔ ታ lower costs and finding better market prices to መሆን ይኖር በ ታል፡ ፡ their products or services; ፭ / የ ኅ ብረ ት ሥራ ማኅ በ ራት አ ባ ላ ት፣ ተመራጮች፣ ሥራ አ ስ ኪያ ጅ እና ሠራተኞች ለ ኅ ብረ ት ሥራ ማኅ በ ራቸው 5/ to expand situations by which technical ዕ ድገ ት ተገ ቢውን አ ስ ተዋጽኦ እ ን ዲያ በ ረ ክ ቱ ትምህ ር ትና knowledge could be put into practice and ሥል ጠና እ ን ዲያ ገ ኙ ያ ደ ር ጋ ሉ፤ ስለ ኅ ብረ ት ሥራ promote entrepreneurship; ማኅ በ ራት ምን ነ ትና ጥቅ ም ለ ሕዝቡ በ ተለ ይም ለ ወጣቱ 6/ to develop and promote saving culture between ያ ስ ተ ዋውቃሉ፡ ፡ members; ፮ / በ አ ካ ባ ቢ፣ በሀገ ር አ ቀ ፍ፣ በ አ ህ ጉር አ ቀፍ እና 7/ to provide loan to members and promote በ ዓ ለ ም አ ቀ ፍ ደ ረ ጃ ከ ሚገ ኙ የ ኅ ብረ ት ሥራ ማህ በ ራት investment; መዋቅ ሮች ጋር በ መተባ በ ር የ ኅ ብረ ት ሥራ ማህ በ ራት 8/ to provide loan-life- insurance coverage to እ ን ቅ ስ ቃሴን በ ማጠ ና ከር አ ባ ሎቻቸውን በ ሚገ ባ members; ያ ገ ለ ግ ላ ሉ፡ ፡ 9/ to minimize and reduce damage and lose of ፯ / የ ኅ ብረ ት ሥራ ማኅ በ ር አ ባ ሎቹ ባ ፀ ደ ቋ ቸው ፖሊሲKች each individual members, if it had been አ ማካ ኝ ነ ት በ አ ካ ባ ቢያ ቸው ላ ለ ው ኅ ብረ ተሰ ብ ዘ ላ ቂ undertaken individually, by sharing it to ልማት ለ ማምጣት የ ሚያ ስ ችል ተግ ባ ር ያ ከ ና ውና ሉ፡ ፡ members; ፮. የ ኅ ብረ ት ሥራ ማህ በ ራት እ ና የ አ ባ ላ ት እ ሴቶች 10/ to develop the social and economic capacity and ፩ / የ ኅ ብረ ት ሥራ ማህ በ ራት እ ሴቶች የ ሚከ ተሉት ይሆና ሉ፦ culture of the members through education and ሀ ) ራስ ን በ ራስ መር ዳ ት ፤ training. ለ ) የ ግ ል ሃ ላ ፊ ነ ትን መወጣት ፤ 5. Guiding Principles of Cooperative Societies ሐ) የ ዴሞክ ራሲ ባ ህ ልን ማስ ፋፋት ፤ 1/ Cooperative societies shall be voluntary መ) እ ኩልነ ት፤ organizations open to all persons willing to use their services and able to accept the ሠ) ፍትሃ ዊነ ት፤ responsibilities of membership without ,24፻ HD ረ ) ወን ድማማችነ ት፡ ፡ discrimination on the basis of gender, social ፪/ የ ኅ ብረ ት ሥራ ማህ በ ራት አባላት የ ሥነ -ምግ ባ ር status, race, political ideology, disability or እ ሴቶች የ ሚከ ተሉት ይሆና ሉ፦ religion. 2/ Cooperative societies shall be democratic ሀ ) ታማኝ ነ ት፤ organizations controlled by their members ለ ) ግ ልፀ ኝ ነ ት፤ who actively participate in setting their L) $&፤ policies and making decisions; each member >) AB@N፤ having equal voting right as well as one ሠ) ማህ በ ራዊ ኃ ላ ፊ ነ ት፤ እ ና member having only one vote. ረ ) ለ ሌሎች ማሰ ብ፡ ፡ ክ ፍል ሁለ ት gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9443 ስ ለ ኅ ብረ ት ሥራ ማኅ በ ራት አ መሠራረ ትና ምዝገ ባ 3/ Members shall receive dividends from surplus according to their shares and participation ፯ . ስ ለ ኅ ብረ ት ሥራ ማህ በ ራት አ መሠራረ ት after deducting and setting aside an amount ፩ / የ ኅ ብረ ት ሥራ ማህ በ ራት እ ን ደ የ ባ ህ ሪ ያ ቸው ከ መ ሠረ ታዊ necessary for reserve and other services. እ ስ ከ ፌዴሬሽ ን በ የ ደ ረ ጃው ሊመሰ ረ ቱ ይችላ ሉ፡ ፡ ፪ / የ መሠረ ታዊ ኅ ብረ ት ሥራ ማኅ በ ር ፦ 4/ Cooperative societies shall, when enter into agreement with other organizations including ሀ ) በ ተወሰ ነ አካባቢ በ ሚኖሩ ወይም በ ሚሠሩ ወይም government or raise capital from external በ ተወሰ ነ ሙያ በ ተሰ ማሩ ግ ለ ሰ ቦ ች ፤ እ ና sources, do so on terms that ensure democratic ለ ) ቁ ጥራቸው ከ ሃ ምሣ በ ማያ ን ሱ አ ባ ላ ት ፤ control by their members, maintain their ይደ ራጃል፡ ፡ autonomy and do not affect their self-help ፫ / የ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፪ ) ፊ ደ ል ተራ (ለ ) characteristics. ቢኖር ም የ ሥራ ባ ህ ሪ ያ ቸውን እና የ ኢኮ ኖሚያ ዊ አ ዋጭነ ታቸውን መሠረ ት በ ማድረ ግ አ ግባ ብ ያለው 5/ Cooperative societies shall provide education ባ ለ ሥልጣን የ መነ ሻ ቁ ጥር ን በ መመሪ ያ ሊወስ ን ይችላ ል፤ and training for their members, elected ሆኖም የ መነ ሻ ቁ ጥሩ ከ ፲ ሊያ ን ስ አ ይችልም፡ ፡ representatives, managers and employees so as ፬ / በ ፌደ ራል ደ ረ ጃ የ ሚደ ራጅ መሠረ ታዊ ኅ ብረ ት ሥራ ማህ በ ር to enable them to contribute effectively to the አባላት ነ ዋሪ ነ ታቸው ከ ሁለ ት እና ከ ዚያ በላይ ከ ሆኑ development of their societies and, advertize ክ ልሎች የ ተውጣጡ ግ ለ ሰ ቦ ች መሆን አ ለ ባ ቸው፡ ፡ ፭ / አ ግባ ብ ያ ለ ው ባ ለ ሥልጣን የ ኅ ብረ ት ሥራ ማህ በ ራትን to the public at large particularly to the youth በ ፌደ ራል ወይም በ ክ ልል ደረ ጃ በ ማደ ራጀት የ ሚመዘ ግ ብ about the nature and benefit of societies. ይሆና ል፡ ፡ 6/ Cooperative societies shall serve their ፰ . የ ኅ ብረ ት ሥራ ማኅ በ ራት ዓ ይነ ቶች members most effectively and strengthen the ፩ / የ ኅ ብረ ት ሥራ ማህ በ ር ምር ት የ ማምረ ት ወይ ም አ ገ ልግ ሎት cooperative movement by working together የ መስ ጠት ወይም ምር ት የ ማምረ ት እ ና አ ገ ልግ ሎት የ መስ ጠት ሁለ ገ ብ ተግ ባ ር አ ጣምሮ የ ሚያ ከ ና ውን ሆኖ through local, national, regional and ሊመሠረ ት ይችላ ል፡ ፡ international structures. ,24፻ H/ 7/ Cooperative society shall work for the ፪ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀጽ (፩ ) የ ተደ ነ ገ ገ ው sustainable development of their community እ ን ደ ተጠበ ቀ ሆኖ ለ ኅ ብረ ት ስራ ማህ በ ራት በህግ through policies approved by their members. በ ተከ ለ ከ ሉ የ ህ ዝብን ሞራላ ዊ እ ሴቶች በ ሚነ ኩ፣ የ አ ካ ባ ቢን ደህ ን ነ ት በ ሚጎ ዱ ተግ ባ ራት መደ ራጀት

Values of the Cooperative Societies and their የ ማይቻል ሲሆን አ ግባ ብ ባ ለ ው ባ ለ ስ ልጣን የ ኢኮ ኖሚ Members አ ዋጭነ ት እ ን ዲሁም በ ሚደ ራጁበ ት አ ካ ባ ቢ ሀ ብት መኖሩ ን 1/ The values of the cooperative societies shall በ ጥና ት በ መለ የ ት የ ኅ ብረ ት ሥራ ማህ በ ራት be: የ ሚደ ራጁባ ቸውን የ አ ማራጭ ዓ ይነ ቶች በ ማቅ ረ ብ ሙያ ዊ a) self-help; ድጋ ፍ ይሰ ጣል፡ ፡ b) self-responsibility; ፱ . የ ኅ ብረ ት ሥራ ማኅ በ ር ስ ም c) promoting culture of democracy; ፩ / ማን ኛውም የ ኅ ብረ ት ሥራ ማኅ በ ር መጠሪ ያ ስ ም ይኖረ ዋል፣ d) equality; የ ስም አ ወጣጡም ምክ ን ያ ታዊ፣ ሕግን ና የ ሕዝብን ሞራል e) equity; and የ ማይቃረ ን መሆን አ ለ በ ት፡ ፡ f) Solidarity. ፪ / ከ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር ስም መጨረ ሻ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9444 “ኃ ላ ፊ ነ ቱ የ ተወሰ ነ የ ኅ ብረ ት ሥራ ማህ በ ር ” የ ሚል 2/ The ethical values of the members of the ሐረ ግ መጻ ፍ ይኖር በ ታል፡ ፡ cooperative societies shall be: ፫/ አንድ የ ኅ ብረ ት ሥራ ማህ በ ር በ ተመዘ ገ በ በ ት ስ ም፣ a) honesty; መለ ያ ምልክ ት እ ና የ ሥራ ክ ልል ውስ ጥ ሌላ የ ኅ ብረ ት b) openness; ሥራ ማህ በ ር ተመሳ ሳ ይ እ ና አ ሳ ሳ ች ስ ም ወይም መለ ያ c) accountability; ምልክ ት መጠቀ ም አ ይችልም፡ ፡ d) participatory ; ፬ / የ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ስም ጉ ልህ ሆኖ e) social responsibility; and ተጽፎ የ ኅ ብረ ት ሥራ ማህ በ ሩ ሥራ በ ሚካ ሄ ድበ ት f) caring for others. በ ማን ኛ ውም ሥፍራ መለ ጠፍ አ ለ በ ት፡ ፡ እ ን ዲሁም በ ኅ ብረ ት ሥራ ማህ በ ሩ ማስ ታወቂ ያ ዎች፣ ደ ብዳ ቤዎች ፣ PART TWO ሌሎች መግ ለ ጫ ዎችና በ ኅ ብረ ት ሥራ ማህ በ ሩ ስም FORMATION AND REGISTRATION OF በ ሚፈረ ሙ ሰ ነ ዶች ላይ መጻ ፍ ወይም ማኅ ተም መደ ረ ግ COOPERATIVE SOCIETIES አ ለ በ ት፡ ፡ 7. Formation of Cooperative Societies ፭ / ማን ኛ ውም ሰ ው አ ግ ባ ብ ካ ለ ው ባ ለ ሥልጣን ፈቃድ ሳ ያ ገ ኝ 1/ Cooperative societies may, according to their “የ ኅ ብረ ት ሥራ ማህ በ ር ” የ ሚለ ውን ስ ያ ሜ መጠቀ ም nature, be established at different levels አ ይችልም፡ ፡ from primary up to federation level. ፲ . ስ ለ ኅ ብረ ት ሥራ ማኅ በ ር ምዝገ ባ 2/ The primary cooperative society shall be ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር አ ግባ ብ ባለው established: a) by individuals who live or work or ባ ለ ሥልጣን መመዝገ ብ አ ለ በ ት፡ ፡ engaged in specific profession within a ፪ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር ፣ የ ኅ ብረ ት ሥራ given area; and ማኅ በ ር ሆኖ ለ መመዝገ ብ ማመልከ ቻውን ከ ሚከ ተሉት ጋ ር b) by number of members not less than ,24፻ H9 አ ያ ይዞ አ ግ ባ ብ ላ ለ ው ባ ለ ሥልጣን ያ ቀ ር ባ ል :- fifty. ሀ) የ መሥራቾች ስ ብሰ ባ ቃለ ጉ ባ ኤ፤ 3/ Notwithstanding paragraph (b) of sub-article ለ) የ ኅ ብረ ት ሥራ ማህ በ ሩን መተዳ ደ ሪ ያ ደ ን ብ ሦስ ት (2) of this Article, the appropriate authority may specify in the directive the minimum ቅ ጂዎች፤ number of members of a society based on the ሐ) የ ኅ ብረ ት ሥራ ማህ በ ሩን የ ሥራ አ መራር ኮ ሚቴ nature of the work and economic feasibility; provided, however, that the minimum አ ባ ላ ት ስ ም፣ አ ድራሻ ና ፊ ር ማ፤ number of members shall not be less than 10. መ) የ ኅ ብረ ት ሥራ ማህ በ ሩን የ ቁ ጥጥር ኮ ሚቴ አ ባ ላ ት 4/ Primary cooperative society established at ስ ም፣ አ ድራሻ ና ፊ ር ማ፤ federal level shall consist members from two ሠ) የ ኅ ብረ ት ሥራ ማህ በ ር አባላት ሆነ ው or more regional states. የ ሚመዘ ገ ቡት ግ ለ ሰ ቦ ች በ ዚህ አ ዋጅና በ ኅ ብረ ት 5/ The appropriate authority shall establish and ሥራ ማኅ በ ሩ መተዳ ደ ሪ ያ ደን ብ በ ተወሰ ነ ው register cooperative societies at federal or መሠረ ት አባል ለ መሆን ብቁ መሆና ቸውን regional levels. የ ሚያ ስ ረ ዱ ዝር ዝር መግ ለ ጫዎች፤ 8. 9. Name of a cooperative Society ማመልከ ቻ መር ምሮ የ ተሟላ መሆኑ ን ሲያ ረ ጋ ግ ጥ በ አ ምስ ት ተከ ታታይ የ ሥራ ቀ ና ት ውስ ጥ የ ኅ ብረ ት ሥራ 1/ Any cooperative society shall have its own ማህ በ ሩን መዝግ ቦ የ ምዝገ ባ ምስ ክ ር ወረ ቀ ት name; and such name shall be rational, does ይሰ ጠዋል፡ ፡ በ ዚህ ም የ ምዝገ ባ ምስ ክ ር ወረ ቀ ት ላ ይ not contravene law and public morality. የ ኅ ብረ ት ሥራ ማህ በ ሩ በ ኅ ብረ ት ሥራ ማህ በ ር ነ ት 2/ The phrase “Cooperative Society with ,24፻ H? የ ተመዘ ገ በ በ ት ቀ ን ይጠቀ ሳ ል፡ ፡ Limited Liability” shall appear in the end of ፬ / አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን አ መልካ ቹን የ ኅ ብረ ት ሥራ the name of any cooperative society. ማህ በ ር መመዝገ ብ አ ይገ ባ ውም ሲል የ ወሰ ነ እ ን ደ ሆነ 3/ No similar and misleading name or ምክ ን ያ ቱን በ ጽሑፍ በ ማድረ ግ ለ ኅ ብረ ት ሥራ ማህ በ ሩ distinguishing mark shall be used by another ወኪሎች ካ መለ ከ ቱበ ት ቀ ን ጀምሮ በ አ ምስ ት ተከ ታታይ cooperative society within the same የ ሥራ ቀ ና ት ውስ ጥ መግ ለ ፅ አ ለ በ ት፡ ፡ operation area of a registered name or distinguishing mark of a given cooperative ፭ / የ አ መልካ ች ወኪሎች በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀጽ society. (፬ ) መሠረ ት በ ጽ ሑፍ በ ተሰ ጠው ውሳ ኔ ላይ ቅ ሬታ 4/ The name of any cooperative society shall be ያ ላ ቸው ከ ሆነ ፣ በ ክ ልል ሲሆን አ ግ ባ ብ ላ ለ ው የ ክ ል ሉ written boldly and be put at every place ፍር ድ ቤት ወይም በ ፌደ ራል ደረ ጃ ሲሆን ለ ፌደ ራል where the cooperative society's activities are ከ ፍተኛ ፍር ድ ቤት በ ፷ ተከ ታታይ ቀ ና ት ውስ ጥ performed. It shall also be written or sealed አ ቤቱታ ማቅ ረ ብ ይችላ ሉ፡ ፡ on any notices, letters, other statements and ፮ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፫ ) መሠረ ት የ ተሰ ጠ documents which are signed on behalf of the የ ምዝገ ባ የ ምስ ክ ር ወረ ቀ ት የ ኅ ብረ ት ሥራ ማህ በ ሩ cooperative society. በ ዚህ አ ዋጅ በ ተደ ነ ገ ገ ው መሠረ ት የ ተመዘ ገ በ ለ መሆኑ 5/ No person may use the name “Cooperative በ ቂ ማስ ረ ጃ ይሆና ል፡ ፡ Society” without obtaining permission from the appropriate authority. ፯ / በ ዚህ አ ን ቀ ጽ በ ን ዑስ አ ን ቀ ጽ (፫ ) መሠረ ት በ ሕጋ ዊ መን ገ ድ የ ተመዘ ገ በ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር 10. Registration of a cooperative society በ ተመዘ ገ በ በ ት ዓ ላ ማና በ መተዳ ደ ሪ ያ ደን ቡ ውስ ጥ 1/ Any cooperative society shall be registered by ለ ተፈቀ ደ ለ ት የ ሥራ መስ ክ ሌላ ተጨማሪ የ ን ግ ድ ፈቃድ the appropriate authority. ሳ ያ ስ ፈልገ ው ይሠራል፡ ፡ 2/ Any cooperative society, to get registered as a ፰ / በ ዚህ አ ን ቀጽ ከ ን ዑስ አ ን ቀጽ (፪ ) (ሀ ) እ ስ ከ cooperative society, shall submit an (ሸ ) የ ተዘ ረ ዘ ሩት መስ ፈር ቶች የ ተሟሉ መሆኑ ን application for registration together with the አ ግባ ብ ያ ለ ው ባ ለ ሥልጣን ሲያ ረ ግ ጥ ከአን ድ አ መት following particulars to the appropriate ላ ልበ ለ ጠ ጊ ዜ የ ሚያ ገ ለ ግ ል ጊ ዜ ያ ዊ የ ምስ ክ ር ወረ ቀ ት authority: gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9446 ሰ ጥቶ የ ተቀ ሩት መስ ፈር ቶች በ ተሰ ጠው የ ጊ ዜ ገ ደብ a) minutes of the founders meeting; ውስ ጥ እ ን ዲሟሉ ማስ ደ ረ ግ ይችላ ል፡ ፡ b) the by-laws of the cooperative society in ፱ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ከ ተቋ ቋ መበ ት three copies; ዓ ላ ማና መር ህ ውጪ ሲን ቀ ሳ ቀ ስ ከ ተገ ኘ በ ዚህ ሕግ c) names, address and signature of the የ ተፈቀ ደ ለ ትን ሥራ እ ን ዳ ይሠራ አ ግባ ብ ያለው members of the management committee of the cooperative society; ባ ለ ሥልጣን ሊያ ግ ደ ው ይችላ ል፡ ፡ d) name, address and signature of the members of the control committee of the cooperative society; ,24፻ HG e) a detailed description which proves that the ፲ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፱ ) መሠረ ት የ ታገ ደ ው registered members of the cooperative የ ኅ ብረ ት ሥራ ማህ በ ር ዕ ግዱ እ ን ዲነ ሳ ለ ት በ፴ society have met the requirements for ተከ ታታይ ቀና ት ውስ ጥ ካ ላ መለ ከ ተ አ ግባ ብ ያለው membership in accordance with the ባ ለ ሥልጣን ሕጋ ዊ የ ማፍረ ስ እ ር ምጃ ይወስ ዳ ል፡ ፡ provisions of this Proclamation and the by- ፲ ፩ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፱ ) መሠረ ት የ ታገ ደ laws of the cooperative society; የ ኅ ብረ ት ስራ ማህ በ ር ጠቅ ላ ላ ጉባ ኤ ዕ ግዱ እ ን ዲነ ሳ ለ ት አ ግባ ብ ላለው ባ ለ ሥልጣን ጥያ ቄ f) if the cooperative society is of a higher ሊያ ቀ ር ብ ይችላ ል፡ ፡ ጥያ ቄ ውን የ ተቀ በ ለ ው አ ግ ባ ብ level than the primary cooperative society, ያ ለ ው ባ ለ ሥልጣን የ ኅ ብረ ት ሥራ ማህ በ ሩ ጠቅ ላ ላ the name and address of the member ጉ ባ ኤ እ ግ ዱ እ ን ዲነ ሳ ለ ት ያ ቀ ረ በ ው ምክ ን ያ ት በ ቂ ና primary cooperative societies and signature አ ግባ ብ ሆኖ ሲያ ገ ኘው እ ግ ዱን ሊያ ነ ሳ ይችላ ል፡ ፡ አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን እ ግ ዱን ያላነ ሳ እ ን ደ ሆነ of their representatives; ያ ላ ነ ሳ በ ትን ምክ ን ያ ት በ ጽሑፍ ያ ሳ ውቃል፡ ፡ አ ግባ ብ g) three up to five years action plan of the society; ያ ለ ው ባ ለ ሥልጣን በ ሰ ጠው ውሳ ኔ ያ ልተስ ማማ አ ካ ል ዕ ግዱ የ ተሰ ጠው በ ፌደ ራል ደረ ጃ ከ ሆነ ለ ፌደ ራል h) documents showing the amount of initial ከ ፍተኛ ፍር ድ ቤት ወይም ዕ ግ ዱ በ ክ ልል ደ ረ ጃ ከ ሆነ capital of the society and the capital that has ስ ልጣን ላ ለ ው ለ ክ ልሉ ፍር ድ ቤት ይግ ባ ኝ ማቅ ረ ብ been collected and deposited in a bank ይችላ ል፡ ፡ account, if there is no bank in the area, that it has been deposited in a Financial ፲ ፩. የ ሕግ ሰ ውነ ትና ኃ ላ ፊነ ት Institution where the appropriate authority ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር በ ዚህ አ ዋጅ አ ን ቀ ጽ has designated; ፲ መሠረ ት ከ ተመዘ ገ በ በ ት ቀ ን ጀምሮ በ ሕግ የ ሰ ውነ ት i) the description of the place at which the መብት ይኖረ ዋል፡ ፡ cooperative society operates; ፪ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ካለው ጠቅ ላ ላ j) other particulars that may be specified in the ን ብረ ት በላይ በዕ ዳ ተጠያ ቂ አ ይሆን ም፤ ኃ ላ ፊነ ቱ regulations or directives issued hereunder; የ ተወሰ ነ ነ ው፡ ፡ ፲ ፪. የ ኅ ብረ ት ሥራ ማኅ በ ር መተዳዳሪ ያ ደን ብ 3/ The appropriate authority shall register the cooperative society and issue a certificate of ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር መተዳ ደ ሪ ያ ደን ብ registration within five consecutive working ይኖረ ዋል፣ የ መተዳ ደ ሪ ያ ደን ቡ ይዘ ት የ ሚከ ተሉትን days when it is satisfied that the application ይጨምራል :- for registration submitted to it has fulfilled the ሀ) የ ኅ ብረ ት ሥራ ማህ በ ሩን ስ ምና አ ድራሻ ፤ requirements for registration. The date of registration of the cooperative society as a ለ) የ ኅ ብረ ት ሥራ ማህ በ ሩን ዓ ላ ማና ተግ ባ ር ፤ cooperative society shall be recorded on the certificate of registration. ሐ) የ ኅ ብረ ት ሥራ ማህ በ ሩን የ ሥራ ቦታ እና gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9447 አ ካ ባ ቢ፤ 4/ When the appropriate authority rejects the መ) የ ኅ ብረ ት ሥራ ማህ በ ሩ አባል ለ መሆን application for the registration of a cooperative society, it shall give a written የ ሚያ በ ቁ መመዘ ኛ ዎችን ፤ explanation to the representatives of the ሠ) ስ ለ ኅ ብረ ት ሥራ ማህ በ ሩ አባላት መብትና cooperative society starting from the date of ግ ዴታዎች፤ application within five consecutive working ,24፻ H, days. ረ) ስ ለ ኅ ብረ ት ሥራ ማህ በ ሩ አ መራር አ ካ ላ ት 5/ If representatives of the cooperative society ሥልጣን ፣ ኃ ላ ፊ ነ ትና ተግ ባ ር ፤ have grievance on the written decision of the appropriate authority given pursuant to sub- ሰ) አ ባ ላ ት ከ ኅ ብረ ት ሥራ ማኅ በ ሩ ስ ለ ሚወጡበ ትና article (4) of this Article, they may lodge ስ ለ ሚሰ ና በ ቱበ ት ሁኔ ታ፤ petition, to the appropriate Regional Court, if ሸ) ስ ለ ኅ ብረ ት ሥራ ማህ በ ሩ ሥራ አ መራር ኮ ሚቴ it is at regional level and to the Federal High አ ባ ላ ትና ሌሎች የ ሥራ ኃ ላ ፊ ዎች ምር ጫ፣ Court, if it is at federal level, within 60 ሹመትና የ ሥራ ጊዜ እ ን ዲሁም ከ ኃ ላ ፊነ ት consecutive days to high court which has ስ ለ ሚታገ ዱበ ት ወይም ስ ለ ሚ ሰ ና በ ቱበ ት ሁኔ ታ፤ jurisdiction. ቀ) ስ ለ ኅ ብረ ት ሥራ ማህ በ ሩ ስ ብሰ ባ አ ጠራር እ ና 6/ The certificate of registration issued to a ስ ለ ድምጽ አ ሰ ጣጥ፤ cooperative society pursuant to sub-article (3) በ) ስ ለ ትር ፍ አ መዳ ደ ብና ክ ፍፍል፤ of this Article shall be a sufficient evidence to ተ) ስ ለ ሂ ሣብ ምር መራ፤ prove that a cooperative society is registered ቸ) ስ ለ ሠራተኛ አ ቀ ጣጠር ፤ in accordance with this Proclamation. 7/ Any cooperative society which has been ኀ) ይህ ን አ ዋጅ እና በ ዚህ አ ዋጅ መሰ ረ ት legally registered pursuant to sub -article (3) የ ሚወጣ ደን ብ እና መመሪ ያ ን የ ማይ ቃረ ኑ of this Article shall engage in business in ሌሎች ጉ ዳ ዮች፡ ፡ accordance with its objectives and activities endorsed in its by-law as of the date of ፪ / የ ኅ ብረ ት ሥራ ማህ በ ሩ መተዳ ዳ ሪ ያ ደን ብ በ ጠቅ ላ ላ registration without the need to secure ጉ ባ ዔው ልዩ ውሣኔ ሊሻ ሻ ል ይችላ ል፤ ሆኖም additional business license. የ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር መተዳ ዳ ሪ ያ ደን ብ 8/ Where the appropriate authority ensures that ማሻ ሻ ያ ሊጸ ና የ ሚችለ ው አ ግ ባ ብ ላ ለ ው ባ ለ ሥልጣን requirements indicated under paragraph (a) to ቀ ር ቦ ከ ተመዘ ገ በ በ ት ቀ ን አ ን ስ ቶ ይሆና ል፡ ፡ (h) of sub-article of this Article are met, it ፫ / የ ማን ኛ ውም ኅ ብረ ት ሥራ ማህ በ ር የ መተዳ ደ ሪ ያ ደን ብ shall grant temporary certificate which may እ ን ዲሻ ሻ ል በ ጠቅ ላ ላ ጉ ባ ዔው ሲወሰ ን የ ተደ ረ ገ ው serve not more than a year and shall cause the ማሻ ሻ ያ እ ና በ ዚህ አ ዋጅ መሠረ ት የ ተላ ላ ፈ የ ኅ ብረ ት rest requirements to be observed within a ሥራ ማህ በ ሩ ጠቅ ላ ላ ጉ ባ ኤ ልዩ ውሳ ኔ በ ሦስ ት ቅ ጅ specified period of time. ተደ ር ጎ ዉሳ ኔ በ ተላ ለ ፈ በ ፲ ፭ ተከ ታታይ የ ስ ራ ቀ ና ት ውስ ጥ አ ግ ባ ብ ላ ለ ው ባ ለ ሥልጣን መቅ ረ ብ አ ለ በ ት፡ ፡ 9/ Where any cooperative society is found የ መተዳ ደ ሪ ያ ደን ቡ ማሻ ሻ ያ በ ተጠቀ ሰ ው ቀ ን ውስ ጥ operating out of the objectives and principles አ ግባ ብ ላለው ባ ለ ሥልጣን ካ ልቀ ረ በ ተቀ ባ ይነ ት for which it is established, the appropriate አ ይኖረ ውም፡ ፡ authority may suspend it from carrying out ፬ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፫ ) መሠረ ት የ ቀ ረ በ ው activities permitted by this law. የ መተዳ ደ ሪ ያ ደ ን ብ ማሻ ሻ ያ ይህ ን ን አ ዋጅና አ ዋጁን ለ ማስ ፈጸ ም የ ወጣውን ደን ብ እ ና መመሪ ያ የ ማይቃረ ን መሆኑ ን አ ግባ ብ ያለው ባ ለ ሥልጣን ሲያ ረ ጋ ግ ጥ ,24፻ O gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9448 ማሻ ሻ ያ ውን ይመዘ ግ ባ ል፤ የ ምዝገ ባ ማስ ረ ጃውን ም 10/ Whereas the cooperative society suspended በ አ ምስ ት ተከ ታታይ የ ሥራ ቀ ና ት ውስ ጥ ይሰ ጣል፡ ፡ pursuant to sub-article (9) of this Article fails to apply within 30 consecutive days to lift up ፭ / አ ግባ ብ ያለው ባ ለ ሥልጣን የ መተዳ ደ ሪ ያ ደ ን ቡን the suspension, the appropriate authority may ማሻ ሻ ያ ካ ልመዘ ገ በ ወይም የ ማይመዘ ግ ብበ ትን ምክ ን ያ ት take legal liquidation measure. በ አ ምስ ት ተከ ታታይ የ ሥራ ቀ ና ት ውስ ጥ ለ ኅ ብረ ት ሥራ ማህ በ ሩ ካ ላ ሳ ወቀ የ ተሻ ሻ ለ ው መተዳ ደ ሪ ያ ደን ብ 11/ Where the General Assembly of a cooperative እ ን ደ ተመዘ ገ በ ተቆ ጥሮ በ ሥራ ላ ይ ይውላ ል፡ society suspended pursuant to sub-articles (9) ፮ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር በ መተዳ ደ ሪ ያ ደን ቡ of this Article submits its request to lift up the ውስ ጥ የ ኅ ብረ ት ሥራ ማኅ በ ሩን መር ሆዎች እ ና እ ሴቶች suspension and where the appropriate authority found the request appropriate, it may ማካ ተት አ ለ በ ት፡ ፡ lift up the suspension. If the appropriate ፯ / ማን ኛ ውም የ ኅ ብረ ት ስ ራ ማህ በ ር በ ማህ በ ሩ የ አ መራር authority doesn’t lift up the suspension, it አ ካ ላ ት አ ባ ልነ ት ውስ ጥ የ ሴቶችን ተሣትፎ ለ ማሣደ ግ ና shall give a written explanation. Any party ለ ማበ ረ ታታት የ ሚያ ስ ችል መስ ፈር ት ማካ ተት አ ለ በ ት፡ ፡ dissatisfied by the decision rendered at the ፰/ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር የ ሴቶችን ፣ federal level may lodge petition to The የ ወጣቶችን እና የ አካል ጉ ዳ ተኞችን ተሳ ትፎ Federal High Court or if the decision is የ ሚያ ሳ ድጉ ተግ ባ ራትን በ ስ ትራቴጂክ እና በ ዓ መታዊ rendered at regional level may lodge petition እ ቅ ዶቹ ውስ ጥ ማካ ተት አ ለ በ ት። to the appropriate court which has jurisdiction. ፲ ፫ . ስ ለ ኅ ብረ ት ሥራ ማኅ በ ራት ውህ ደትና መከ ፋፈል 11. Juridical Personality and Responsibility ፩ / የ ኅ ብረ ት ሥራ ማህ በ ር ጠቅ ላ ላ ጉ ባ ዔ በ ልዩ ውሣኔ ፦ 1/ Any cooperative society registered in pursuance of Article 10 of this Proclamation ሀ) ራሱን በ ሁለ ት ወይም ከ ዚያ በ ላ ይ በ ሆኑ shall have juridical personality from the date የ ኅ ብረ ት ሥራ ማህ በ ራት ሊከ ፋፍል፤ ወይም of its registration. ለ) ከ አ ን ድ ወይም ከ ዚያ በ ላ ይ ከ ሆኑ ኅ ብረ ት 2/ Any cooperative society shall not be liable ሥራ ማህ በ ራት ጋር በ መዋሃ ድ አ ዲስ የ ኅ ብረ ት beyond its total asset; and it has limited ሥራ ማኅ በ ር ሊመሠር ት፤ ይችላ ል፡ ፡ liability. ፪ / የ ኅ ብረ ት ሥራ ማኅ በ ር መዋሃ ድ ወይም መከ ፋፈል ልዩ 12. By-laws of a Cooperative Society ውሣኔ ተፈፃ ሚ የ ሚሆነ ው፦ 1/ Any cooperative society shall have its own ሀ) የ ኅ ብረ ት ሥራ ማኅ በ ሩ አባላት እና ዕዳ by-laws; and the contents of the by-laws shall ጠያ ቂ ዎች በ መዋሃ ዱ ወይም በ መከ ፋፈሉ include the following particulars: የ ተስ ማሙበ ት መሆኑ ፤ ወይም a) name and address of the cooperative society; ,24፻ OI b) objectives and activities of the cooperative society; ለ) ያ ልተስ ማሙ አ ባ ላ ትና ዕዳ ጠያ ቂ ዎች c) working place and area of the cooperative የ ተከ ፈላ ቸው መሆኑ ወይም የ ክ ፍያ ዋስ ትና society; የ ተሰ ጣቸው መሆኑ ተረ ጋ ግ ጦ ልዩ ውሣኔ ው አ ግ ባ ብ ባ ለ ው ባ ለ ሥልጣን የ ተመዘ ገ በ መሆኑ ፤ d) requirements necessary for membership ሐ) የ ቀ ድሞው የ ኅ ብረ ት ሥራ ማህ በ ራት ወይም ኅ ብረ ት of the cooperative society; ሥራ ማህ በ ር ምዝገ ባ ከ መዝገ ብ መሰ ረ ዙ እ ና e) the rights and duties of members of the በ ውህ ደ ት ወይም በ መከ ፈሉ የ ተፈጠረ የ ኅ ብረ ት cooperative society; ሥራ ማህ በ ራት ወይም የ ኅ ብረ ት ሥራ ማኅ በ ር gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9449 መመዝገ ቡ፤ f) the powers, responsibilities and duties of ሲረ ጋ ገ ጥ ይሆና ል፡ ፡ management bodies; ፫ / በ ውህ ደ ቱ ህ ልውና ቸውን ያ ጡ የ ኅ ብረ ት ሥራ ማህ በ ራት g) conditions for withdrawal and dismissal መብት እ ና ግ ዴታዎች በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀጽ from membership; (፪ ) መሠረ ት በ ተመዘ ገ በ ው የ ኅ ብረ ት ሥራ ማህ በ ር ልዩ ውሳ ኔ ላ ይ በ ተመለ ከ ተው ዝር ዝር መሠረ ት አ ዲስ h) conditions for election, appointment, term ወደ ተቋ ቋ መው የ ኅ ብረ ት ሥራ ማህ በ ር ይተላ ለ ፋሉ፡ ፡ of office and suspension or dismissal of ፬ / በ መከ ፋፈሉ ሕልውና ውን ያ ጣው የ ኅ ብረ ት ሥራ ማህ በ ር the members of the management መብት እ ና ግ ዴታዎች በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ committee or other management bodies; (፪ ) መሠረ ት በ ተመዘ ገ በ ው የ ኅ ብረ ት ሥራ ማኅ በ ሩ ልዩ ውሣኔ ላ ይ በ ተመለ ከ ተው ዝር ዝር መሠረ ት አ ዲስ i) conditions for calling of meeting and ወደ ተቋ ቋ ሙት የ ኅ ብረ ት ሥራ ማኅ በ ራት ይተላ ለ ፋሉ፡ ፡ voting procedures of the cooperative society; ፲ ፬ . ስ ለ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬን አ ደረ ጃጀት j) allocation and distribution of profit; ፩/ የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬን ተመሳ ሳ ይ ዓላ ማ k) auditing; ባ ላ ቸው ሁለ ትና ከ ዚያ በላይ በ ሆኑ መሠረ ታዊ የ ኅ ብረ ት ሥራ ማህ በ ራት ይደ ራጃሉ፡ ፡ l) employment of workers; ፪/ የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ን ን በ ፌደ ራል ወይም m) other particulars not contrary to this በ ክ ልል ደረ ጃ ማህ በ ራዊና ኢኮ ኖሚያ ዊ አ ዋጭነ ቱ proclamation, and regulation and directive እ የ ታየ ማደ ራጀት የ ሚቻል ይሆና ል፡ ፡ for the implementation of this proclamation. ፫/ በ ፌደ ራል ደ ረ ጃ የ ሚደ ራጁ የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ን አ ባ ላ ት ቢያ ን ስ ከ ሁለ ት ክ ልሎች የ ተውጣጡ 2/ By-laws of a cooperative society may be መሠረ ታዊ ኅ ብረ ት ሥራ ማህ በ ራት መሆን አ ለ ባ ቸው፡ ፡ amended by the special resolution of the ፲ ፭ . ስ ለ ኅ ብረ ት ሥራ ማህ በ ራት ፌዴሬሽ ን አ ደረ ጃጀት general assembly; provided, however, that the amendment of the by-laws of the society ፩ / ተመሳ ሳ ይ ዓ ላ ማ ባ ላ ቸው ሁለ ትና ከ ዚያ በ ላ ይ በ ሆኑ shall be effective on the date of its submission to and registration by the የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ኖች የ ኅ ብረ ት ሥራ appropriate authority. ማህ በ ራት ፌዴሬሽ ን ይደ ራጃል :: ,24፻ O1 3/ Where the cooperative society decides on ፪ / ማህ በ ራዊና ኢኮ ኖሚያ ዊ አ ዋጭነ ቱ ታይቶ የ ኅ ብረ ት ሥራ the amendment of its by-laws three copies ማህ በ ራት ፌዴሬሽ ን ን በ ፌደ ራል ወይም በ ክ ልል ደ ረ ጃ of the amendment and the special resolution ማደ ራጀት ይቻላ ል፡ ፡ of the cooperative society general assembly made in accordance with this Proclamation ፫ / በ ፌደ ራል ደረ ጃ የ ሚደ ራጅ የ ኅ ብረ ት ሥራ ማህ በ ራት ፌዴሬሽ ን አ ባ ላ ት ቢያ ን ስ ከ ሁለ ት ክ ልሎች የ ተውጣጡ shall be submitted to appropriate authority ሁለ ት እና ከ ዚያ በላይ የ ኅ ብረ ት ሥራ ማህ በ ራት within 15 consecutive working days from ዩ ኒ ዬ ኖች መሆን አ ለ ባ ቸው፡ ፡ the date of the decision. 13. Amalgamation and Division of Cooperative ፫ / የ ኅ ብረ ት ስ ራ ማህ በ ራት ከ ሚያ ገ ኙት ገ ቢ ላ ይ ከ ገ ቢ Societies ግ ብር በ ስ ተቀ ር ሌሎች ለ መን ግ ስ ት መክ ፈል 1/ The general assembly of a cooperative የ ሚገ ባ ቸውን ክ ፍያ በ ሕጉ መሠረ ት ወቅ ቱን ጠብቀ ው society through a special resolution may; ገ ቢ የ ማድረ ግ ፤ a) divide itself into two or more ፬ / የ መተዳ ደ ሪ ያ ደ ን ቡን አ ክ ብሮ የ መስ ራት፤ cooperative societies, or ፭ / ለ ሚመለ ከ ተው አ ካ ል አ ስ ፈላ ጊ ውን መረ ጃ በ ተጠየ ቁ ጊ ዜ b) amalgamate with one or more የ መስ ጠት፤ cooperative societies and form a new ፮/ የ ተቋ ቋ ሙበ ትን መር ህ እና ዓላ ማ አ ክ ብረ ው cooperative society. የ መስ ራት፡ ፡ ፲ ፱. ሥራ ስ ለ መጀመር 2/ The special resolution on the amalgamation ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ከ ተመዘ ገ በበት or division of a cooperative society shall be effective upon verifying that: ቀን ጀምሮ በ ስ ድስ ት ወር ውስ ጥ በ ዕ ቅ ዱ መሠረ ት a) the members and creditors of the ሥራ ካ ልጀመረ በ ተጨማሪ በ ሦስ ት ወር ውስ ጥ cooperative society are agreed on the እ ን ዲጀምር ማስ ጠን ቀ ቂ ያ ይሰ ጠዋል፡ ፡ amalgamation or division; ፪ / የ ኅ ብረ ት ሥራ ማህ በ ሩ በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፩ ) መሠረ ት በ ተሰ ጠው የ ማስ ጠን ቀ ቂ ያ ጊዜ ውስ ጥ ሥራ ካ ልጀመረ የ ኅ ብረ ት ሥራ ማህ በ ሩ ሂ ሣብ ከ ተጣራ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9451 እና መፍረ ሱ ከ ተወሰ ነ በ ኋላ ምዝገ ባ ው ተሰ ር ዞ b) the members and creditors that did not ሕጋ ዊ ሰ ውነ ቱን እ ን ዲያ ጣ ይደ ረ ጋ ል፡ ፡ agree have been paid off or the payment ፳. የ ምዝገ ባ ምስ ክ ር ወረ ቀትን ስ ለ ማሳ ደስ guarantee determined in the special ፩/ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር በ ዚህ አ ዋጅ መሠረ ት resolution is registered by appropriate ተቋ ቁ ሞ ከ ተመዘ ገ በ በ ት እ ና ሕጋ ዊ ሰ ውነ ት ካ ገ ኘበ ት authority; ቀ ን ጀምሮ አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን ባ ወጣው መመሪ ያ c) the registration of the former cooperative መሠረ ት በ የ ሦስ ት ዓ መቱ የ ምዝገ ባ ምስ ክ ር ወረ ቀ ቱን ማሳ ደ ስ አ ለ በ ት፡ ፡ societies or cooperative society has been canceled from the register and the newly amalgamated or divided cooperative ,24፻ OD societies are registered. ፪/ በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፩ ) መሠረ ት የ ምዝገ ባ 3/ The rights and duties of cooperative societies ምስ ክ ር ወረ ቀ ት ያ ላ ሳ ደሰ ማን ኛ ውም የ ኅ ብረ ት ሥራ which have lost their identities by ማህ በ ር አ ግ ባ ብ ባ ለ ው ባ ለ ሥልጣን በ ሚያ ወጣው መመሪ ያ amalgamation shall be transferred to the newly መሠረ ት እ ር ምጃ ይወሰ ድበ ታል፡ ፡ formed cooperative society as specified in the ፳፩ . የ ኅ ብረ ት ሥራ ማኅ በ ራት ተግባ ራትና ኃ ላ ፊነ ቶች፣ special resolution passed pursuant to sub- ፩/ የ ኅ ብረ ት ሥራ ማኅ በ ራት በ የ ደ ረ ጃ ቸው በ ዚህ አ ን ቀ ጽ article (2) of this Article. ከ ን ዑስ አ ን ቀጽ (፪ ) እ ስ ከ (፱ ) የ ተመለ ከ ቱት ተግ ባ ራትና ኃ ላ ፊ ነ ቶች ይኖራቸዋል፡ ፡ 4/ The rights and duties of a cooperative society which has lost its identity by division shall be ፪/ መሠረ ታዊ ኅ ብረ ት ሥራ ማኅ በ ራት በ ዋና ነ ት ግ ለ ሰ ብ transferred to the newly formed cooperative አ ባ ላ ት በ ተና ጠል መወጣት የ ማይችሉትን ና ከ አ ቅ ማቸዉ በ ላ ይ የ ሆነ ን የ ጋ ራ ኢኮ ኖሚያ ዊ ና ማኅ በ ራዊ ችግ ር societies as specified in the special resolution መፍታት የ ሚችሉ ተግ ባ ራት ላ ይ የ ሚያ ከ ና ውኑ ሆኖ passed pursuant to sub-article (2) of this በ ተለ ይ የ ሚከ ተሉትን ያ ካ ትታል፦ Article. ሀ) ለ አ ካ ባ ቢው ህ ብረ ተሰ ብ ስ ለ ኅ ብረ ት ሥራ 14. Establishment of Cooperative Societies Union ማኅ በ ር ፅንሰ ሃ ሳ ብ ግ ን ዛ ቤ ማስ ጨበ ጥ እ ና 1/ A cooperative societies union shall be ቅ ስ ቀ ሳ የ ማድረ ግ ፤ establish by two or more primary cooperative ለ) በአካባቢ ልማት እና ጥበ ቃ ሥራ ላይ societies having similar objectives. የ መሳ ተፍ፤ 2/ Cooperative societies union may be ሐ) ለ አ ባ ላ ት በ ቅ ድመ ምር ት እ ና በ ድህ ረ ምር ት established at the federal or regional levels ላ ይ ስ ለ ምር ት ጥራት ሥልጠና የ መስ ጠት፤ based on their social and economic መ) ለ አ ባ ላ ት የ መጋ ዘ ን አ ገ ልግ ሎት የ መስ ጠት፤ feasibility. ሠ) የ አ ባ ላ ትን ችግ ር የ ሚፈቱ ፕሮጄክ ቶችን 3/ The members of a cooperative societies የ መን ደ ፍ፤ ረ) የ አ ባ ላ ትን ምር ት በ መረ ከ ብ ዕ ሴት በ መጨመር union established at federal level shall be አ ባ ል ለ ሆኑ ባ ቸው ዩ ኒ ዬ ን ወይም ፌዴሬሽ ን drawn at lest from two regional primary የ ማስ ረ ከ ብ ወይም የ ተሻ ለ የ ገ በ ያ መዳ ረ ሻ cooperative societies. በ ማፈላ ለ ግ የ መሸ ጥ፤ 15. Establishment of Cooperative Societies ሰ) ሌሎች በ መተዳ ደ ሪ ያ ደ ን ባ ቸው ላ ይ የ ተዘ Federation ረ ዘ ሩትን ተግ ባ ራት የ ማከ ና ወን ። 1/ Cooperative societies federation shall be established by two or more cooperative ፫/ የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ የ ኖ ች በ ዋና ነ ት አ ባ ል societies unions having similar objectives. መሠረ ታዊ ኅ ብረ ት ሥራ ማኅ በ ራት በ ተና ጠል መወጣት gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9452 የ ማይችሉትን የ ጋ ራ ኢኮ ኖሚያ ዊና ማኅ በ ራዊ ችግ ሮች 2/ Where it is socially and economically መፍታት የ ሚችሉ ተግ ባ ራት ላይ የ ሚያ ከ ና ውኑ ሆኖ feasible, cooperative societies’ federation ,24፻ O/ በ ተለ ይ የ ሚከ ተሉትን ያ ካ ትታል ፦ may be established at federal or regional ሀ) ለ አ ባ ል መሠረ ታዊ የ ኅ ብረ ት ሥራ ማህ በ ራት levels. በ ተሰ ማሩበ ት መስ ክ ሥልጠና መስ ጠት፤ 3/ The members of a cooperative societies ለ ) ለ አ ባ ል መሠረ ታዊ የ ኅ ብረ ት ሥራ ማህ በ ራት federation to be established at federal level የ ማማከ ር አ ገ ልግ ሎት መስ ጠት፤ shall be two or more than two cooperative ሐ) ለ አ ባ ል መሠረ ታዊ የ ኅ ብረ ት ሥራ ማህ በ ራት societies unions drawn at least from two የ ገ በ ያ መረ ጃ አ ገ ልግ ሎት መስ ጠት፤ regional cooperative societies unions መ) ለ አ ባ ል መሠረ ታዊ የ ኅ ብረ ት ሥራ ማህ በ ራት የ ገ በ ያ ትስ ስ ር ማመቻቸት፤ 16. Requirements to Establish a Professional Cooperative Society ሠ) የ መጋ ዘ ን አ ገ ልግ ሎት መስ ጠት፤ 1/ If any primary cooperative society is ረ) የ ምር ት ማሳ ደ ጊ ያ ዎችን እ ና የ ፍጆታ እ ቃዎችን established based on the members profession, በ ጅምላ ማቅ ረ ብ፤ such members shall produce evidence of ሰ) በ አ ባ ላ ት ምር ት ላ ይ እ ሴት መጨመር እና occupational competence certificate from the ሌሎች በ መተዳ ደ ሪ ያ ደ ን ባ ቸው ላይ appropriate authority. የ ተዘ ረ ዘ ሩትን ተግ ባ ራት ማከ ና ወን ፡ ፡ 2/ pursuant to sub-article (1) of this Article, the ፬ / የ ኅ ብረ ት ሥራ ማህ በ ራት ፌዴሬሽ ኖች አ ባ ል የ ኅ ብረ ት occupational competence certificate produced ሥራ ማህ በ ራት ዩ ኒ ዬ ኖች በ ተና ጠል መወጣት for professionals carrier shall be those የ ማይችሉትን የ ጋራ ኢኮ ኖሚያ ዊና ማኅ በ ራዊ ችግ ሮች activities obliged by law. መፍታት የ ሚችሉ ተግ ባ ራት ላይ የ ሚያ ከ ና ውኑ ሆኖ በ ተለ ይ የ ሚከ ተሉትን ያ ካ ትታል፡ - 3/ Professional cooperative societies shall present ሀ) ለአባል ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ኖች quality assurance certificate for their value የ ኦ ዲት አ ገ ልግ ሎት ማመቻቸት እ ና መስ ጠት፤ added products they produce or services they ለ) በ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ኖች ጉ ዳ ይ ላ ይ አ ባ ላ ትን በ መወከ ል መን ግ ስ ትን እ ና ባ ለ ድር ሻ provide. አ ካ ላ ትን ማግ ባ ባ ት፤

17. Establishment of Cooperative Societies ሐ) የ ኅ ብረ ት ሥራ አ ስ ተሳ ሰ ብን በ ማስ ረ ጽ እና League የ ኅ ብረ ት ሥራ ማኅ በ ራት ገ ፅ ታ ግ ን ባ ታ ሥራ 1/ Subject to the provision of this Proclamation በ መሥራት የ ኅ ብረ ት ሥራ ማህ በ ራትን and that of other relevant laws, primary ማስ ፋፋት፤ cooperative societies, cooperative society መ) የ አ ገ ር አ ቀፍ እ ና የ ዓለ ም አ ቀፍ የ ኅ ብረ ት unions and federations may establish a league ሥራ ማህ በ ራት ግኑ ኝነ ት መፍጠር እና እ ን ዲጠና ከ ር ማድረ ግ ፤ that represents all cooperative societies in Ethiopia. ሠ) ከ መሠረ ታዊ ኅ ብረ ት ሥራ ማህ በ ራት እና ከ ዩ ኒ ዬ ኖች አ ቅ ም በ ላ ይ የ ሆኑ አገ ር አ ቀፍ 2/ The number of the league established pursuant እና ዓለ ም አ ቀፍ የ ጅምላ ግ ብይት ሥራዎች to sub-article (1) of this article shall not ላ ይ መሳ ተፍ፤ exceed one. ረ) የ ተለ ያ ዩ የ እ ሴት መጨመሪ ያ ኢን ዱስ ት ሪ ዎችን ማቋ ቋ ም ወይም አባላት እ ን ዲያ ቋ ቁ ሙ አ ቅ ም 3/ The establishment, functions and financial ,24፻ O9 መፍጠር ፤ sources of cooperative societies’ league shall ሰ) ስ ለ ኅ ብረ ት ሥራ ማኅ በ ራት ተግ ባ ር ተኮ ር be determined by the council of ministers ጥና ት እ ና ምር ምር ማካ ሄ ድ፤ regulation. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9453 ሸ) የ ማማከ ር አ ገ ልግ ሎት ለአባል ኅ ብረ ት ሥራ 18. Obligations of Cooperative Societies ማህ በ ራት ዩ ኒ ዬ ኖች መስ ጠት፤ The cooperative societies shall have the following obligations: ቀ) በ ኅ ብረ ት ሥራ ዘ ር ፍ ላ ይ የ ሰ ው ሀ ብት ልማት ማካ ሄ ድ፤ 1/ provide services to their members according በ) በአገ ር አ ቀፍ እ ና በ ዓ ለ ም አ ቀ ፍ የ ኅ ብረ ት to the plans uphold; ሥራ ማህ በ ራት መካ ከ ል የ መረ ጃ ልውውጥ 2/ protect the rights of employees of the ሥር ዓ ት መዘ ር ጋ ት፤ cooperative society according to the labor ተ) የ ኅ ብረ ት ሥራ ማኅ በ ራት ፈን ድ ማቋ ቋ ም እ ና law of the country; ማስ ተዳ ደ ር ፤ 3/ except income tax cooperative societies ቸ) ለ ኅ ብረ ት ሥራ ማህ በ ራት ተግ ባ ራት የ ሚያ ግ ዙ shall pay the necessary payments to የ ፋይና ን ስ እ ና የ ቴክ ኒ ክ ድጋ ፍ መስ ጠት፤ government according to the law and on ኀ) ለ ኅ ብረ ት ሥራ ማህ በ ራት የ መሠረ ተ -ልማት time; ግ ን ባ ታዎችን ማስ ተባ በ ር እ ና መደ ገ ፍ፤ 4/ respect and work according to the by-laws; ነ ) ሌሎች በ መተዳ ደ ሪ ያ ደ ን ባ ቸው ላ ይ የ ተዘ ረ ዘ ሩትን ተግ ባ ራት ማከ ና ወን ። 5/ provide the necessary information to the ፭ / በ ዩ ኒ ዬ ን ወይም በ ፌዴሬሽ ን ደ ረ ጃ የ ተቋ ቋ መ የ ኅ ብረ ት appropriate body at request time; ሥራ ማህ በ ር በ አ ባ ላ ት ምር ት ወይም አ ገ ልግ ሎት ላ ይ 6/ operate only by upholding the principle and እ ሴት ሳ ይጨምር አባላቱ የ ሚያ ከ ና ውኑ ትን ተግ ባ ራት purpose for which it is established. በ ተመሳ ሳ ይ ሊሠራ አ ይችልም፡ ፡

19. Commencement of Operations ፮/ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ከአባላቱ 1/ A cooperative society fails to commence የ ሰ በ ሰ በ ውን ምር ት በ ወቅ ቱ ገ በ ያ ዋጋ በ ምር ት ዘ መኑ operation in accordance with its plan within ውስ ጥ የ መሸ ጥ ኃ ላ ፊ ነ ት አ ለ በ ት፡ ፡ six months after its registration shall be given a written notice so as to commence ፯/ የ ኅ ብረ ት ሥራ ማህ በ ራት በ ሚያ ደ ር ጉ ት የ ሥራ within three months. እ ን ቅ ስ ቃሴ በ አ ካ ባ ቢ እ ና በ ሰ ው ደ ኅ ን ነ ት ላ ይ ጉ ዳ ት እ ን ዳ ይደ ር ስ አ ካ ባ ቢን የ መጠበ ቅ ፣ የ ማልማት እና 2/ When a cooperative society fails to የ መን ከ ባ ከ ብ ኃ ላ ፊ ነ ት አ ለ ባ ቸው፡ : commence operation within the notice period ፰ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ለ አ ባ ሉ አ ነ ስ ተኛ given pursuant to sub-article (1) of this የ መድን ዋስ ትና አ ገ ልግ ሎት ሲሠጥ በ ሚከ ተለ ው Article, upon liquidation and decision on its መሠረ ት መሆን አ ለ በ ት፡ - dissolution, its registration shall be cancelled ሀ) የ ኅ ብረ ት ሥራ ማህ በ ሩ ለ ራሱ ን ብረ ት ወይም and lose its legal personality. ለ አ ባ ሉ ን ብረ ት የ መድን ዋስ ትና ሊገ ባ ፤

@AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9457 አ ባ ልነ ት ሊመለ ስ ይችላ ል፡ ፡ b) on the request and consent of its member ፯ / በ ማን ኛ ውም ምክ ን ያ ት የ ተሰ ና በ ተ አ ባ ል የ ዚህ አ ዋጅ provide micro insurance service for crop, ድን ጋ ጌ ዎች እ ን ደ ተጠበ ቁ ሆነ ው ተመልሶ አ ባ ል ለ መሆን animal or for other produces to avert risk ይችላ ል፤ ሆኖም በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፭ ) or enter into agreement as agent of the እና (፮ ) መሠረ ት የ ተሰ ና በ ተ አ ባ ል ተመልሶ አ ባ ል insurance company; or ለ መሆን የ ሚችለ ው በ ጠቅ ላ ላ ጉ ባ ዔው ውሣኔ ሲፈቀ ድለ ት c) The cooperative society may give micro ብቻ ነ ው፡ ፡ insurance for loan life insurance service or enter insurance agreement for its member. ,24፻ |I 9/ saving and credit cooperate society collect ፳፯ . ስ ለ ዕ ጣ ክ ፍያ member saving, provide credit, and also provide micro credit life insurance service for ፩/ ማን ኛ ውም ኅ ብረ ት ሥራ ማህ በ ር ሥራውን ለ ማን ቀ ሳ ቀ ስ የ ሚያ ስ ፈልገ ውን ካ ፒታል ማግ ኘት እ ን ዲችል እ ኩል ዋጋ members loan or saving or for future saving, እና ብዛ ት ያ ላ ቸውን ዕ ጣዎች በ ጠቅ ላ ላ ጉባ ኤ based on contractual agreement, for the አ ስ ወስ ኖ እ ን ዲሸ ጡ ያ ደ ር ጋ ል፡ ፡ amount of premium paid money by saving and ፪/ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ሲመሠረ ት በ ጠቅ ላ ላ credit cooperative society. ጉባ ኤ እ ን ዲሸ ጥ ከ ተወሰ ነ ው የዕጣ መጠን ውስ ጥ ቢያ ን ስ አንድ አ ምስ ተኛ ው ከ አ ባ ላ ት ይሰ በ ሰ ባ ል፡ ፡ 10/ pursuant to sub-article (8) and (9) of this እ ን ደ ዚሁም ቀ ሪ ውን ዕ ጣ ከ ተመሠረ ተበ ት ጊዜ ጀምሮ Article detail implantation shall be prescribed ባ ሉት አ ራት ዓ መታት ውስ ጥ ለአባላት መሸ ጥ by regulation issued by the Council of ይኖር በ ታል፡ ፡ Ministers.

22. Provision of Services to Non-members 1/ The conditions under which cooperative ካ ልተወሰ ነ አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን የ ኅ ብረ ት ሥራ societies give service to non-members shall ማህ በ ሩ የ ሂ ሳ ብ መግ ለ ጫዎች እ ን ደገ ና ተስ ተካ ክ ለ ው be based on contract and for the following እ ን ዲዘ ጋ ጁ ማድረ ግ አ ለ በ ት ፡ ፡ purposes: a) distributing inputs supplied by ,24፻ |1 government to increase productivity and production; ፱ / በ አ ራት ዓ መት ውስ ጥ ያ ልተሸ ጡትን ዕ ጣዎች በ ስ ማቸው b) distributing consumable products ይዘ ው የ ቆ ዩ ት አ ባ ላ ት በ ገ ቡት ውል እ ና በ ኅ ብረ ት supplied by government to balance ሥራ ማህ በ ሩ መተዳ ደ ሪ ያ ደ ን ብ በ ተወሰ ነ ው የ ወለ ድ supply and demand; መጠን መሰ ረ ት ወለ ድ እ ን ዲከ ፍሉ ይደ ረ ጋ ል፡ ፡ በ ሚቀ ር በ ው ማስ ረ ጃ መሰ ረ ትም ኪሳ ራ ይከ ፍላ ሉ፡ ፡ c) distributing revolving funds and social ፳፰ . የ አ ባ ላ ት መዝገ ብ ስ ለ ማደራጀት service to the society availed by different ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር የ አ ባ ላ ት ን መዝገ ብ development partners; ማደ ራጀትና መያ ዝ አ ለ በ ት፡ ፡ d) supply agricultural inputs and collect ፪ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፩ ) መሠረ ት የ ተደ ራጀ agricultural products from farmers የ አ ባ ላ ት መዝገ ብ የ ሚከ ተሉትን ዝር ዝር ይይዛ ል፦ engaged in farming. ሀ) መሠረ ታዊ የ ኅ ብረ ት ሥራ ማህ በ ር ከ ሆነ 2/ The details shall, for the implementation of የ እ ያ ን ዳ ን ዱን አባል ስ ም፣ አ ድራሻ ፣ ሥራ፣ ዕ ድሜ እና ጾታ የ ያዘ ሲሆን ከ መሠረ ታዊ sub-article (1) of this Article, be determined የ ኅ ብረ ት ሥራ ማህ በ ር በላይ ከ ሆነ ስ ም፣ in the by-laws of the cooperative society. አ ድራሻ ፣ የ ተመሰ ረ ተበ ት ዓ መተ ምሕረ ት እና የ ተሰ ማራበ ት የ ሥራ መስ ክ ፤ PART THREE ለ ) አ ባ ል የ ሆነ በ ት ወይም አ ባ ልነ ቱን ያ ቋ ረ ጠበ ት RIGHTS AND DUTIES OF MEMBERS OF A COOPERATIVE SOCIETY ቀን ፤

24. Requirements Necessary for Member ship in ሐ) እ ያ ን ዳን ዱ አ ባ ል የ ያ ዘ ውን የ ዕ ጣ መጠን a Cooperative Society እ ና የ ከ ፈለ ውን የ መመዝገ ቢያ ክ ፍያ ፤ 1/ Any person who meets the requirements መ) በ መተዳ ደ ሪ ያ ደ ን ቡ የ ተወሰ ኑ ሌሎች ዝር ዝሮች :: specified under sub-article (2) and (3) of this ፳፱ . ስ ለ ድምጽ አ ሰ ጣጥ Article may become a member of a ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ውሳ ኔ የ ሚ ያ ፀ ድቀ ው cooperative society. በ አ ብላ ጫ ድምፅ (ሃ ምሳ ሲደ መር አ ን ድ) ነ ው፤ ሆኖም ግን ልዩ ውሳ ኔ የ ሚፈልጉ ጉ ዳ ዮች በ ሁለ ት ሶ ስ ተኛ 2/ If the membership is for primary cooperative ድምፅ መጽደ ቅ ይኖር ባ ቸዋል፡ ፡ society, the individual: ፪ / ማን ኛ ውም አ ባ ል ያ ለ ው የ ዕ ጣ መጠን ከ ግ ምት ውስ ጥ a) has attained the age of 18; ሳ ይገ ባ በ ኅ ብረ ት ሥራ ማኅ በ ር ስ ብሰ ባ ላ ይ ተገ ኝ ቶ የ ሚሰ ጠው ድምጽ አ ን ድ ብቻ ይሆና ል፡ ፡ b) is able to pay the share capital and registration fee required by the ፫ / ማን ኛ ውም የ መሠረ ታዊ ኅ ብረ ት ሥራ ማኅ በ ር አባል cooperative society; በ ስ ብሰ ባ ላይ ተገ ኝ ቶ ራሱ ድምፅ መስ ጠት c) has accepted the objectives of the ይኖር በ ታል፤ ሆኖም የ መሠረ ታዊ ኅ ብረ ት ሥራ ማህ በ ራት cooperative society and its by-laws and አ ባ ላ ት ቁ ጥር ከ፭፻ በ ላ ይ ከ ሆነ ድምጽ በ ውክ ልና willing to discharge his obligation; ሊሰ ጥ ይችላ ል ፡ ፡ gA ,24፻ |J Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9459 ፬ / በ ኅ ብረ ት ሥራ ማኅ በ ር ውክ ልና ስ ለ ሚሰ ጥበ ት ሁኔ ታ d) fulfills other requirements specified in the አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን በ ሚያ ወጣው መመሪ ያ regulations and directives issued for the ይወሰ ና ል፡ ፡ implementation of this Proclamation. ፭ / ከ መሠረ ታዊ ኅ ብረ ት ሥራ ማኅ በ ር በ ላ ይ ባ ሉት ኅ ብረ ት 3/ If the membership is for a cooperative ሥራ ማኅ በ ራት ድምጽ የ ሚሰ ጠው በ ተወካ ዮች አ ማካ ኝ ነ ት society above a primary cooperative society, the member shall be a cooperative society ይሆና ል፡ ፡ registered by the appropriate authority and ፮ / በ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዮን ወይም have legal personality. የ ኅ ብረ ት ሥራ ማህ በ ራት ፌዴሬሽ ን ጠቅ ላ ላ ጉባ ዔ 25. Rights and Duties of Members በ መተዳ ደ ሪ ያ ደን ቡ ውስ ጥ በ ተወሰ ነ ው መሠረ ት 1/ Any member of a cooperative society shall have the following rights: ከ እ ያ ን ዳን ዱ አባል ኅ ብረ ት ሥራ ማህ በ ር ቢያ ን ስ a) to obtain services and benefits አ ን ድ ተወካ ይ መገ ኘት አ ለ በ ት፤ አ ወካ ከ ሉም አ ግ ባ ብ proportionate to his participation in the ያ ለ ው ባ ለ ስ ልጣን በ ሚያ ወጣው መመሪ ያ ይወሰ ና ል፡ ፡ cooperative society; ፯ / የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ን ና የ ፌዴሬሽ ን የ ሥራ b) the member or representative to አ መራር ኮ ሚቴ ምር ጫ ድምጽ አ ሰ ጣጥ በ ተመለ ከ ተ participate in the meetings of the cooperative society and to vote; በ መተዳ ደ ሪ ያ ደ ን ቡ በ ሚወሰ ነ ው መሰ ረ ት ይሆና ል፡ ፡ c) the member or representative to ፴. ዕ ጣን ወይም ጥቅምን ስ ለ ማስ ተላ ለ ፍ participate in the General assembly to ፩/ ማን ኛ ውም አባል በ ኅ ብረ ት ሥራ ማኅ በ ር ውስ ጥ elect and be elected; የ ያ ዘ ውን ዕ ጣ ወይም ጥቅ ም ለ ማስ ተላ ለ ፍ የ ሚችለ ው፡ - d) to withdraw from the cooperative society ሀ) ዕ ጣውን ወይም ጥቅ ሙን ከ ሦስ ት ዓ መት ላ ላ ነ ሰ on his request upon securing his rights ጊ ዜ ይዞ ት የ ቆ የ ፤ እ ና and benefits. ለ) የ ማስ ተላ ለ ፉ ተግ ባ ር የ ሚፈፀ መው በ ሥራ አ መራር e) the member of a cooperative society shall ኮ ሚቴ የ ተፈቀ ደ ፣ have the right to obtained any ሲሆን ነ ው፡ ፡ information about the activities of ፪ / አ ን ድ የ መሠረ ታዊ ኅ ብረ ት ሥራ ማኅ በ ር አ ባ ል ሲሞት cooperative societies’ 2/ Any member of a cooperative society shall ዕ ጣው ወይም ጥቅ ሙ በ ሕግ ለ መውረ ስ ለ ሚችል ወራሹ have the following obligation: ይተላ ለ ፋል፡ ፡ ይህ ም የ ሚሆነ ው ወራሹ የ ኅ ብረ ት ሥራ ማኅ በ ሩ አባል ከ ሆነ ወይም ለ መሆን ፈቃደ ኝ ነ ቱን a) to respect the by-laws, directives and ከ ገ ለ ጸ ነ ው፡ ፡ decisions of the cooperative society; ፫ / ወራሹ የ ኅ ብረ ት ሥራ ማኅ በ ሩ አ ባ ል ካ ልሆነ ወይም b) to perform activities which ought to be አ ባ ል ለ መሆን የ ማይፈልግ ወይም የ ማይፈቀ ድለ ት ከ ሆነ performed in accordance with the by-laws የ ሟቹ የ ዕ ጣው ዋጋ እ ና ጥቅ ም ይከ ፈለ ዋል፡ ፡ and directives of the cooperative society; c) to protect the common property of the ,24፻ |D cooperative society; ፬ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀጽ (፪ ) መሠረ ት ዕ ጣ d) to conduct transaction of products or ወይም ጥቅ ም የ ሚተላ ለ ፍለ ት አ ባ ል ዕ ጣው በ ዚህ አ ዋጅ services with the cooperative society in አ ን ቀ ጽ ፳፯ (፭ ) የ ተወሰ ነ ውን ገ ደ ብ የ ሚያ ልፍ ሆኖ accordance with the contractual ሲገ ኝ ልዩ ነ ቱ በ ገ ን ዘ ብ ይከ ፈለ ዋል፡ ፡ agreement or as determined in the by- ፭ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፪ ) መሠረ ት የ ተደ ረ ገ laws of the cooperative society ; ማስ ተላ ለ ፍ ወይም ክ ፍያ ሦስ ተኛ ወገ ኖች በ ኅ ብረ ት gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9460 ሥራ ማኅ በ ሩ ላይ በ ሚያ ቀ ር ቡት ጥያ ቄ ምክ ን ያ ት e) to respect the Proclamation, the አ ይሻ ር ም፡ ፡ regulations and directives issued pursuant ክ ፍል አ ራት to this Proclamation. ስ ለ ኅ ብረ ት ሥራ ማኅ በ ር አ መራር አ ካ ላ ት እ ና 26. Dismissal from membership ተቀጣሪ ሰ ራተኞች 1/ Any member of a cooperative society may ፴፩ . ስ ለ ኅ ብረ ት ሥራ ማኅ በ ር የ በ ላ ይ አ ካ ል leave the cooperative society on his own initiative. የ ማን ኛ ውም ኅ ብረ ት ሥራ ማኅ በ ር የ በ ላ ይ አ ካ ል የ ኅ ብረ ት 2/ Any member of a society may leave the ሥራ ማኅ በ ሩ ጠቅ ላ ላ ጉ ባ ኤ ነ ው፡ ፡ cooperative society when it is decided by the ፴፪ . የ ጠቅላ ላ ጉባ ኤ ሥልጣን ና ተግባ ር general assembly to dismiss him from the የ ኅ ብረ ት ሥራ ማኅ በ ር ጠቅ ላ ላ ጉባ ኤ የ ሚከ ተሉት cooperative society because of committing ሥልጣን ና ተግ ባ ራት ይኖሩታል :- repeated faults or disobedience. ፩ / የ ኅ ብረ ት ሥራ ማኅ በ ሩን አ ጠቃላ ይ የ ሥራ እ ን ቅ ስ ቃሴዎች እ የ ገ መገ መ ውሣኔ ዎችን ያ ስ ተላ ልፋል፤ 3/ The rights of any dismissed member shall be ፪ / የ ኅ ብረ ት ሥራ ማኅ በ ሩን መተዳ ደ ሪ ያ ደ ን ብና ውስ ጠ respected in accordance with the by-laws of ደ ን ብ ያ ጸ ድቃል ፣ ያ ሻ ሽ ላ ል፤ the cooperative society. ፫ / የ ኅ ብረ ት ሥራ ማኅ በ ሩን የ ሥራ አ መራር ኮ ሚቴ፣ 4/ Any member of a cooperative society who የ ቁ ጥጥር ኮ ሚቴ እና የ ሌሎች ን ዑሣን ኮ ሚቴዎች left the cooperative society on his own አ ባ ላ ት ይመር ጣል፤ ይሽ ራል፤ initiative; reapply may become a member if ፬ / የ ኅ ብረ ት ሥራ ማኅ በ ሩን የ ዕ ጣ መጠን ይወስ ና ል፤ he obtains the approval of the management ፭ / የ ኅ ብረ ት ሥራ ማኅ በ ሩን የ ተጣራ ትር ፍ ድልድል committee after one fiscal year. ይወስ ና ል፤ 5/ Any member of a cooperative society who ፮ / በ ኦ ዲት ሪ ፖር ት ላ ይ መክ ሮ ውሳ ኔ ይሰ ጣል፤ has been dismissed for failing to meet his obligations; reapply may become a member, ፯ / የ ሥራ ክ ን ውን ሪ ፖር ቶችን ያ ዳ ምጣል፤ ተገ ቢውን if he obtains approval of the general ውሣኔ ይሰ ጣል፤ assembly after one fiscal year. ፰ / በ ዚህ አ ዋጅ መሠረ ት የ ኅ ብረ ት ሥራ ማህ በ ሩ ከ ሌላ 6/ in relation to cooperative society who has የ ኅ ብረ ት ሥራ ማህ በ ር ጋ ር እ ን ዲዋሀ ድ ወይም been dismissed because of criminal የ ኅ ብረ ት ሥራ ማህ በ ሩ በ ሁለ ት ወይም ከ ዚያ በ ላ ይ conviction ; may be accepted as a member, እ ን ዲከ ፈል ወይም እ ን ዲፈር ስ በ አ ባ ላ ት ጠቅ ላ ላ ,24፻ |/ after five fiscal years from the date of his ጉ ባ ዔ ልዩ ውሳ ኔ ይወስ ና ል፤ dismissal, if he obtains the approval of the ፱/ የ ኅ ብረ ት ሥራ ማኅ በ ሩን ዓ መታዊ የ ሥራ ዕ ቅ ድና general assembly. በ ጀት ያ ጸ ድቃል፤ 7/ Without prejudice to the provisions of this ፲ / በ አ ባ ልነ ት መቀ በ ልን ና ከ አ ባ ልነ ት ስ ን ብትን ከ ሥራ አ መራር ኮ ሚቴ በ ሚቀ ር ብለ ት ሪ ፖር ት መሠረ ት Proclamation, any member dismissed may ያ ፀ ድቃል፤ reapply for membership; provided, however, a member dismissed in accordance with sub- ፲ ፩ /በ ሥራ አ መራር ኮ ሚቴና ሌሎች ኮ ሚቴዎች የ ሚቀ ር ቡለ ትን article (5) and (6) of this Article may become ማና ቸውም ጉ ዳ ዮች በ መተዳ ደሪ ያ ደን ብ ውስ ጥ በ ተሰ ጠው ሥልጣን መሰ ረ ት ይወስ ና ል፡ ፡ a member of the society only if he obtains the ፴፫ . ጠቅላ ላ ጉባ ኤ ስ ለ መጥራት approval of the general assembly. ፩/ የ ኅ ብረ ት ሥራ ማኅ በ ር ጠቅ ላ ላ ጉባ ኤ ቢያ ን ስ በ ዓ መት ሁለ ት ጊ ዜ ይሰ በ ሰ ባ ል :: ፪ / የ ኅ ብረ ት ሥራ ማህ በ ሩ የ ሥራ አ መራር ኮ ሚቴ በ ድምጽ ብልጫ ሲወስ ን ወይም ከ ጠቅ ላ ላ አ ባ ላ ቱ መካ ከ ል አ ን ድ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9461 ሦስ ተኛ ው ስ ብሰ ባ እ ን ዲጠራ ሲጠይቁ የ ፲/ ቀን 27. Payment of Shares ቅ ድሚያ ማስ ታወቂ ያ በ ማውጣት አ ስ ቸኳይ የ ጠቅ ላ ላ 1/ Any cooperative society shall, after securing ጉ ባ ኤ ስ ብሰ ባ ሊጠራ ይችላ ል፡ ፡ the decision of the general assembly, sell approved number of shares that shall have ፫/ በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፪ ) መሠረ ት ከ ጠቅ ላ ላ equal par value with the view to enable the አባላቱ መካ ከ ል አ ን ድ ሦስ ተኛ የ ሚሆኑ ት አ ስ ቸኳይ society to obtain capital necessary to start its ጠቅ ላ ላ ጉባ ኤ ስ ብሰ ባ እ ን ዲጠራ ጠይቀ ው የ ሥራ function. አ መራር ኮ ሚቴ ጥሪ ያ ላ ደ ረ ገ እ ን ደ ሆነ አ ግባ ብ ያ ለ ው 2/ Any cooperative society shall collect, upon its formation from the members at least one ባ ለ ሥልጣን ጥሪ ውን ያ ደ ር ጋ ል፤ በ ዚህ ጊዜ ይህ fifth of the amount of the share that the አ ስ ቸኳይ የ ጠቅ ላ ላ ጉባ ኤ ስ ብሰ ባ በ ሥራ አ መራር general assembly has decided to be sold. ኮ ሚቴ እ ን ደ ተጠራ አ ስ ቸኳይ ጠቅ ላ ላ ጉ ባ ኤ ስ ብሰ ባ And it shall sell the rest of the shares to members within four years as of the time of ይቆ ጠራል፡ ፡ its establishment. ፬/ የ ኅ ብረ ት ሥራ ማህ በ ራት ምልዓ ተ ጉባ ዔ ተሟልቷል 3/ where the need for additional capital is የ ሚባ ለ ው፦ arose, upon completion of the sale of shares decided by the general assembly it may ሀ ) መደ በ ኛ ጠቅ ላ ላ ጉ ባ ኤ ከ ሆነ ከ ጠቅ ላ ላ የ ኅ ብረ ት decide once again for the sale of additional ሥራ ማህ በ ራቱ አ ባ ላ ት ወይም ተወካ ዮች ዉስ ጥ shares in accordance with Sub article (1) of ከ ግ ማሽ በ ላ ይ የ ሚሆኑ ት ሲገ ኙ፤ ወይም this Article. ለ) አ ስ ቸኳይ ጠቅ ላ ላ ጉባ ኤ ከ ሆነ ከ ጠቅ ላ ላ 4/ The share that the cooperative society sells የ ኅ ብረ ት ሥራ ማህ በ ራቱ አባላት ወይም ከ ተወካ ዮች ዉስ ጥ ሁለ ት ሦስ ተኛ የ ሚሆኑ ት may be sold either in cash or in kind. Shares ሲገ ኙ፤ paid in kind shall be determined by the by- ይሆና ል፡ ፡ law of the cooperative society. ,24፻ |9 ፴፬ . የ ሥራ አ መራር ኮ ሚቴ 5/ No primary cooperative society member shall hold more than 10% of the total share ፩ / እ ያ ን ዳን ዱ ኅ ብረ ት ሥራ ማኅ በ ር ቁ ጥራቸውና sold by the decision of the general አ መራረ ጣቸው በ መተዳ ደ ሪ ያ ደ ን ቡ የ ሚወሰ ን በ ኅ ብረ ት assembly. ስራ ማህ በ ሩ አባላት ታማኝ ና ተቀ ባ ይነ ት ያ ላ ቸው 6/ Any member of a cooperative society union እ ን ዲሁም ኃ ላ ፊ ነ ትን ሊወጡ የ ሚችሉ አ ባ ላ ትን የ ያዘ and federation shall not hold more than 50% ለ ጠቅ ላ ላ ጉባ ኤ ተጠሪ የ ሆነ የ ሥራ አ መራር ኮ ሚቴ ይኖረ ዋል፡ ፡ of shares out of those that the general assembly decided to be sold. ፪ / የ ሥራ አ መራር ኮ ሚቴ አባላት የ ሥራ ዘ መን ሦስ ት 7/ If the value of shares prescribed in the name ዓ መት ይሆና ል፡ ፡ of any member are not sold within four ፫ / የ ማን ኛ ውም ኅ ብረ ት ሥራ ማህ በ ር የ ሥራ አ መራር ኮ ሚቴ years, it shall be presented for special አ ባ ል ከ ሁለ ት ተከ ታታይ የ ሥራ ዘ መን በ ላ ይ ሊመረ ጥ decision of the General Assembly. አ ይችልም፤ ሆኖም የ አ መራር ኮ ሚቴ አባል የ ሥራ 8/ If the value of shares are not presented for ዘ መኑ ን ጨር ሶ ከ ተሰ ና በ ተ ከአን ድ የ በ ጀት ዓ መት the special decision of the General በ ኋላ ዳ ግ ም ሊመረ ጥ ይችላ ል፡ ፡ Assembly, to be sale the appropriate ፬ / የ ሥራ አ መራር ኮ ሚቴ አባላት በ ተመረ ጡበ ት የ ሥራ authority shall cause adjustment of the ዘ መን ውስ ጥ በ ማና ቸውም ጊ ዜ በ ጠቅ ላ ላ ጉ ባ ኤ ሊሻ ሩ financial statement of the cooperative ይችላ ሉ፡ ፡ society. ፭ / የ ሥራ አ መራር ኮ ሚቴ አባላት በ ማና ቸውም ምክ ን ያ ት gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9462 ሥራቸውን ሲለ ቁ በ ሥራ ዘ መና ቸው ያ ከ ና ወኑ ትን 9/ The members of the cooperative society ተግ ባ ራት የ ማስ መር መር ግ ዴታ አ ለ ባ ቸው፡ ፡ retaining value of shares prescribed in their names but not sold within four years shall ፮ / የ ሥራ አ መራር ኮ ሚቴ ምር ጫ ከ ሁለ ተኛ ው ምር ጫ ዓ መት be subject to pay interest pursuant to the ጀምሮ በ የ ዓ መቱ ቢያ ን ስ አንድ ሦስ ተኛ ውን የ ሥራ prescribed in the by-laws of the cooperative አ መራር የ ኮ ሚቴ አ ባ ላ ት በ መተካ ት ይሆና ል፤ አ ተካ ኩም society. The member shall be subject to pay the loss incurred based on the evidence አ ግባ ብ ያለው ባ ለ ሥልጣን በ ሚያ ወጣው መመሪ ያ provided. ይወሰ ና ል፡ ፡

28. Organizing Register of Members 1/ Any cooperative society shall organize and ፯ / ቁ ጥራቸው የ ሚፈቅ ድ አ ባ ል ሴቶች በ ሚገ ኙበ ት ማን ኛ ውም keep register of members. የ ኀ ብረ ት ሥራ ማህ በ ር ውስ ጥ ቢያ ን ስ ፴ % አ መራር በ ሴት አ ባ ላ ት መያ ዝ አ ለ በ ት፡ ፡ 2/ The register to be organized pursuant to sub- ፴፭ . የ ሥራ አ መራር ኮ ሚቴ ሥልጣን ና ተግባ ር article (1) of this Article shall contain የ ሥራ አ መራር ኮ ሚቴ ሥልጣን ና ተግ ባ ሩ በ ኅ ብረ ት ሥራ the following particulars: ማህ በ ሩ መተዳ ዳ ሪ ያ ደን ብ የ ሚወሰ ን ሆኖ በ ተለ ይ a) When it is primary cooperative society, የ ሚከ ተሉትን ያ ካ ትታል፡ - the name, address, occupation, age and sex of each member; where it is above ፩/ የ ስ ብሰ ባ ቃለ ጉ ባ ኤዎችን በ ጽሑፍ ይይዛ ል፤ primary coopretive society, the name, ,24፻ |? መዛ ግ ብትን ያ ደ ራጃል፤ address, date of establishment and kind ፪/ የ ኅ ብረ ት ሥራ ማህ በ ሩን መዛ ግ ብትና የ ሂ ሣብ ሰ ነ ድ of work field the cooperative society በ ሚገ ባ ይይዛ ል፤ holds. b) the date on which he became a member or ፫/ የ ኅ ብረ ት ሥራ ማህ በ ሩን ዓ መታዊ የ ሥራ ዕ ቅ ድና ceased to be a member; በ ጀት ያ ዘ ጋ ጃል፤ ሲፈቀ ድም ተግ ባ ራዊ ያ ደ ር ጋ ል፤ c) the amount of shares held and the ፬/ በ ኅ ብረ ት ሥራ ማህ በ ሩ መተዳ ደ ሪ ያ ደ ን ብ መሰ ረ ት registration fee paid by each member; ጠቅ ላ ላ ጉ ባ ኤውን ይጠራል፤ d) any other particulars that may be ፭/ የ ጠቅ ላ ላ ጉ ባ ኤ ውሣኔ ዎችን ያ ስ ፈጽማል፤ specified in the by-laws. ፮/ የ ኅ ብረ ት ሥራ ማህ በ ሩን የ ሥራ እ ን ቅ ስ ቃሴ ይመራል፣ 29. 30. Transfer of share or benefit ሌሎች ን ዑሣን ኮ ሚቴዎች በ ኅ ብረ ት ሥራ ማኅ በ ሩ 1/ A member may transfer the share or benefit መተዳ ደ ሪ ያ ደ ን ብ መሠረ ት ሊቋ ቋ ሙ ይችላ ሉ፡ ፡ he holds in a cooperative society if: ፴፱ . ስ ለ ኅ ብረ ት ሥራ ማህ በ ሩ ሥራ አ ስ ኪያ ጅ እ ና ተቀጣሪ ሠራተኞች a) the member has held such share or ፩ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ተጠሪ ነ ቱ ለ ሥራ benefit for at least three years; and አ መራር ኮ ሚቴ የ ሆነ ሥራ አ ስ ኪያ ጅ ሊቀ ጥር b) the transfer is permitted by the ይችላ ል፡ ፡ management committee. ፪/ ማን ኛ ውም የ ህ ብረ ት ስራ ማህ በ ር ሥራ አ ስ ኪያ ጅ 2/ On the death of a member of a primary ወይም ሰ ራተኛ ሲቀ ጥር የ ተቀ ጣሪ ውን የ ግ ል ን ብረ ት cooperative society, his share or benefit እና ሀ ብት መረ ጃ በ ተዘ ጋ ጀው የ ሀ ብት ማስ መዝገ ቢያ shall be transferred to one of his heirs ቅፅ ላይ አ ስ መዝግ ቦ ማስ ፈረ ም አ ለ በ ት ፤ ዝር ዝር designated as such in the register of አ ፈፃ ፀ ሙ በ ሚኒ ስ ትሮች ምክ ር ቤት በ ሚወጣው ደ ን ብ cooperative society or failing such designation to his legal heir at law, and ይወሰ ና ል፡ ፡ where such heir is a member or is willing to ፫ / ሥራ አ ስ ኪያ ጁም የ ኅ ብረ ት ሥራ ማህ በ ሩን የ ዕ ለት be a member. ተዕ ለ ት ተግ ባ ራት ይመራል፤ በ ተሰ ጠው የ ሥራ 3/ Where such heir is not a member and does ዝር ዝር እና ውክ ልና መሠረ ት እ ን ዲሁም በ ሥራ not wish to become or is not allowed to be አ መራር ኮ ሚቴ የ ሚሰ ጡትን ሥራዎች ያ ከ ና ውና ል፡ ፡ admitted as a member, he shall be paid the = value of the share or benefit of the deceased ፬ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ተጠሪ ነ ታቸው member. ለ ሥራ አ ስ ኪያ ጅ የ ሆኑ የ ማህ በ ሩን የ ዕ ለ ት ተዕ ለ ት ሥራ የ ሚያ ን ቀሳ ቅሱ ተቀ ጣሪ ባ ለ ሙያ ዎች ይኖሩታል፡ ፡ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9464 ፭ / አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን ስ ለ ሠራተኞች አ ቀ ጣጠር 4/ If the shares or benefit to be transferred to a ,24፻ |, እ ና አ ስ ተዳ ደ ር መመሪ ያ ያ ወጣል፡ ፡ member under sub-article (2) of this Article ክ ፍል አ ምስ ት are found to be beyond the limits prescribed የ ኅ ብረ ት ሥራ ማኅ በ ር ልዩ መብቶች in Article 27 (5) of this Proclamation, the ፵ . ለ ኅ ብረ ት ሥራ ማኅ በ ር ዕ ዳ ክ ፍያ ቅድሚያ ስ ለ መስ ጠት member shall be paid the difference in cash. በ ማን ኛ ውም ሕግ በ ሌላ ሁኔ ታ የ ተደ ነ ገ ገ ቢኖር ም ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር ከአን ድ አባል ወይም ተቀ ጥረ ው 5/ The transfer or payment concluded in ከ ሚሰ ሩ ሰ ራተኞች ወይም ከ ሌሎች አ ካ ላ ት ላ ይ የ ሚፈልገ ው pursuance of sub-article (2) of this Article የ ዕ ዳ ክ ፍያ የ መን ግ ሥት ዕ ዳ ን ሳ ይጨምር ከ ሌሎች ዕ ዳ ዎች shall not be reversed due to the claims ክ ፍያ ቅ ድሚያ ይሰ ጠዋል፡ ፡ raised by third parties on the cooperative ፵፩ . የ አ ባ ላ ትን ዕ ጣ ወይም ጥቅም ስ ለ ማቻቻል society. የ ማን ኛ ውም አ ባ ል ዕ ጣ ወይም ጥቅ ም ኅ ብረ ት ሥራ ማኅ በ ሩ PART FOUR ለ ሚፈልግ በ ት የ ዕ ዳ ክ ፍያ ማቻቻያ ሊደ ረ ግ ይችላ ል፡ ፡ MANAGEMENT BODIES AND EMPLOYEES ፵፪ . ዕ ጣን ወይም ጥቅምን ለ ማስ ከ በ ር ወይም ለ መሸ ጥ OF THE COOPERATIVE SOCIETY ስ ላ ለ መቻል

31. Supreme Organ of a Cooperative Society በ ዚህ አ ዋጅ አ ን ቀ ጽ ፵፩ ከ ተደ ነ ገ ገ ው በ ስ ተቀ ር ማን ኛ ውም አ ባ ል በ ኅ ብረ ት ሥራ ማኅ በ ሩ ውስ ጥ የ ሚኖረ ው ዕ ጣ ወይም The supreme organ of any cooperative society ጥቅ ም አ ባ ሉ ላ ለ በ ት ዕ ዳ ማስ ከ ፈያ ሲባ ል ሊከ በ ር ወይም shall be the general assembly. ሊሸ ጥ አ ይችልም፡ ፡

32. Powers and Duties of the General Assembly ፵፫ . የ መን ግስ ት ድጋ ፍ The general assembly of a cooperative society ፩ / በ ኢን ቨ ስ ትመን ት ሕጐችና በ ሌሎች ሕጐች የ ተፈቀ ዱት shall have the following powers and duties: ማበ ረ ታቻዎች ለ ኅ ብረ ት ሥራ ማኅ በ ራት መፈቀ ዱ 1/ pass decisions after evaluating the general እ ን ደ ተጠበ ቀ ሆኖ በ ዚህ አ ዋጅ መሠረ ት የ ሚደ ራጅ ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር የ ሚከ ተሉትን ድጋ ፍና activities of the cooperative societies; ማበ ረ ታቻ ያ ገ ኛ ል፡ - 2/ approve and amend the by-laws and internal ሀ) የ ሚያ ገ ኘው ገቢ ከገ ቢ ግ ብር ነፃ regulations of the cooperative society; ይሆና ል፤ ሆኖም ግ ለ ሰ ብ አ ባ ላ ት ከ ኅ ብረ ት ሥራ ማኅ በ ራቸዉ ጋ ር በ ሚያ ደ ር ጉ ት ተሳ ትፎና በ ገ ዙት 3/ elect and dismiss the members of the ዕ ጣ መጠን ከ ሚያ ገ ኙት ገ ቢ ላ ይ አ ግ ባ ብ ባ ለ ዉ management committee, control committee ሕግ መሰ ረ ት የ ገ ቢ ግ ብር ይከ ፍላ ሉ፤ and other members of sub-committees; ለ) የ ኅ ብረ ት ሥራ ማህ በ ራት ለ ሚያ ከ ና ውኑ ት 4/ determine the amount of shares of the ተግ ባ ራት እና ለ ሚሰ ጡት አ ገ ልግ ሎት የ ሚውል cooperative society; መሬት ከ ክ ልል በ ምደ ባ ያ ገ ኛ ሉ፤ 5/ decide the distribution of the annual net profit ሐ) ከ ብሔራዊ የ ኅ ብረ ት ሥራ ማህ በ ር ሥልጠና of the cooperative society; ተቋ ም የ ኅ ብረ ት ሥራ ማህ በ ር እ ን ቅ ስ ቃሴ 6/ review and give decision on the audit report; ማጎ ልበ ቻና የ ሰ ው ሃ ይል አ ቅ ም ግ ን ባ ታ ሥልጠና ድጋ ፍ ያ ገ ኛ ሉ፤ 7/ hear work reports and give proper decision; ,24፻  8/ decide in accordance with this Proclamation መ) ከ ፌደ ራሉ ወይም ከ ክ ልል መን ግ ሥት አ ግ ባ ብ ያ ለ ው on the amalgamation of the cooperative ባ ለ ሥልጣን በ ሚያ ወጣው መመሪ ያ የ ሚወሰ ኑ ሌሎች society with another cooperative society or its division into two or more or dessolution ድጋ ፎችን ያ ገ ኛ ሉ፡ ፡ of the cooperative society by the general ፪ / ማን ኛ ውም መሠረ ታዊ ኅ ብረ ት ሥራ ማህ በ ር ከ ን ብረ ቱ assembly special resolution ; gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9465 ጋ ር በ ተያ ያ ዘ በ ፍር ድ ቤት ላ ለ በ ት ክ ር ክ ር ከ ሚከ ፈ ል 9/ approve the annual work plan and budget of የ ዳ ኝ ነ ት ክ ፍያ ነ ፃ ና ቸው፡ ፡ the cooperative society; ክ ፍል ስ ድስ ት 10/ approve members admission or dismissal የ ኅ ብረ ት ሥራ ማኅ በ ራት ን ብረ ትና ገ ን ዘ ብ from membership based on the report submitted by the Management Committee; ፵፬ . የ ኅ ብረ ት ሥራ ማኅ በ ራት ን ብረ ትና ገ ን ዘ ብ የ ማይከ ፋፈል 11/ decide, in accordance with the powers ስ ለ መሆኑ vested in it by the by-law, on any issue በ ዚህ አ ዋጅ አ ን ቀ ጽ ፵፭ እና ፶ , መሠረ ት ለ አ ባ ላ ት submitted to it by the management እ ን ዲከ ፋፈል ከ ሚወሰ ነ ው በ ስ ተቀ ር የ ኅ ብረ ት ሥራ ማኅ በ ር committee and other committees. ን ብረ ትና ገ ንዘብ ለአባላቱ ወይም ለ ሌላ ወገ ን

33. Calling of General Assembly አ ይከ ፋፈልም፡ ፡ 1/ The general assembly shall meet at least ፵፭ . የ ተጣራ ትር ፍ አ ደላ ደል twice in a year. ፩ / ማን ኛ ውም ኅ ብረ ት ሥራ ማህ በ ር ከ ተጣራ ትር ፍ ላ ይ ፴% እ የ ቀነ ሰ በ መጠባ በ ቂ ያ ሂሳብ ያ ስ ቀ ምጣል፤ 2/ If the management committee decides by a ለ መጠባ በ ቂ ያ ነ ት የ ሚቀ ነ ሰ ው ገ ን ዘ ብ የ ኅ ብረ ት ሥራ majority vote or if one-third of the members ማህ በ ሩን ካ ፒታል ፴ % እ ስ ኪሞላ ድረ ስ የ ሚቀ ጥል ሆኖ of the General Assembly requires a meeting የ ሚቀ መ ጠውም በ ኅ ብረ ት ሥራ ማኅ በ ሩ ቁ ጠባ ሂሳብ to be called, an emergency general assembly ውስ ጥ ይሆና ል፡ ፡ may be held by giving 15 days prior notice. ፪ / ለ መጠባ በ ቂ ያ ከ ተቀ ነ ሰ በ ኋላ የ ሚቀ ረ ው ፸ % የ ተጣራ 3/ Where the management committee fails to ትር ፍ ክ ፍፍል የ ኅ ብረ ት ሥራ ማህ በ ሩ ጠቅ ላ ላ ጉ ባ ኤ በ ሚወስ ነ ው መሠረ ት ይሆና ል፤ ሆኖም ጠቅ ላ ላ ጉ ባ ኤው call an emergency general assembly meeting በ ኅ ብረ ት ሥራ ማህ በ ሩ መተዳ ደ ሪ ያ ደ ን ብ መሠረ ት in accordance with sub-article (2) of this ከ ዚሁ የ ተጣራ ትር ፍ ውስ ጥ ለ ትምህ ር ት ወይም Article in response to the request of one-third ለ ስ ልጠና ወይም ለ ማበ ረ ታቻ ወይም ለ ኦ ዲት ፈን ድ ወይም ለ ማህ በ ራዊ አ ገ ልግ ሎት ደ ልድሎ ሊመድብ members of the general assembly; such ይችላ ል፡ ፡ emergency general assembly called by the ፫ / የ ኅ ብረ ት ሥራ ማህ በ ሩ አ ባ ላ ት በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፪ ) መሠረ ት ከ ሚያ ገ ኙት የ ተጣራ ትር ፍ appropriate authority shall be presumed as an ውስ ጥ ተጨማሪ ዕ ጣ ሊገ ዙበ ት ይችላ ሉ፡ ፡ emergency general assembly called by the ፵፮ . ስ ለ ኅ ብረ ት ሥራ ማህ በ ራት ፈን ድ ማቋቋም Management Committee. ፩ / የ ኅ ብረ ት ሥራ ማህ በ ራት በ ሂ ደት ራሳ ቸውን ችለ ው በ ራሳ ቸው አ ቅ ም የ ኦ ዲት ወይም የ ሕግ 4/ There shall be a quorum of cooperative ,24፻ I አ ገ ልግ ሎት ወይም የ አ ቅ ም ግ ን ባ ታ ወይም የ ጥና ትና society where: ምር ምር ወይም የ ፕሮሞሽ ን ና ኮ ሚኒ ኬሽ ን ወይም a) more than half of the members or የ መሳ ሰ ሉትን ወጪዎች ለ መሸ ፈን የ ሚረ ዳ የ ኅ ብረ ት ሥራ representatives of the cooperative society ፈን ድ ማቋ ቋ ም ይችላ ሉ፡ ፡ are present during the regular meeting of the general assembly; ፪ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀጽ (፩ ) መሠረ ት b) two-third of members or representatives የ ሚቋ ቋ መው ፈን ድ አ ደ ረ ጃጀት እ ና የ ፋይና ን ስ of the cooperative society are present ምን ጭ የ ሚኒ ስ ትሮች ምክ ር ቤት በ ሚያ ወጣው ደ ን ብ during emergency meeting of the general ይወሰ ና ል፡ ፡ assembly. ፵፯ . ስ ለ መበ ደር ወሰ ን gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9466 የ ኅ ብረ ት ሥራ ማኅ በ ሩ ከ አ ባ ላ ት ወይም ከ ሌሎች ድር ጅቶች 34. Management Committee የ ሚበ ደ ረ ው ብድር መጠን እ ና የ ብድሩ ሁኔ ታ በ ኅ ብረ ት ሥራ 1/ Any cooperative society shall have a ማህ በ ሩ መተዳ ዳ ሪ ያ ደ ን ብ በ ሚወሰ ነ ው መሠረ ት ይሆና ል፡ ፡ management committee which are loyal and ፵፰ . ስ ለ ማበ ደር ወሰ ን respectful and also can overcome their ፩ / የ ኅ ብረ ት ሥራ ማኅ በ ር ለ አ ባ ላ ት ወይም በ ዚህ አ ዋጅ responsibility and accountable to the general መሠረ ት ለ ተቋ ቋ መ ሌላ የ ኅ ብረ ት ሥራ ማህ በ ር ካ ልሆነ assembly and whose members and manner of በ ስ ተቀ ር ብድር መስ ጠት አ ይችልም፡ ፡ election to be determined in the by-laws of ፪ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ለ ሚያ በ ድረ ው the cooperative society. ገ ንዘብ በ ጠቅ ላ ላ ጉባ ኤ ልዩ ውሳ ኔ መሠረ ት 2/ The term of office of the management በ መተዳ ደ ሪ ያ ደ ን ብ ውስ ጥ የ ወለ ድ መጠን ይወስ ና ል፡ ፡ committee shall be three years. ፫ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፩ ) መሠረ ት ማን ኛ ውም 3/ Members of the management committee of የ ኅ ብረ ት ሥራ ማህ በ ር የ ሚያ በ ድረ ው የ ብድር መጠን ና any cooperative society shall not be elected የ ሚያ በ ድር በ ት ሁኔ ታ የ ኅ ብረ ት ሥራ ማህ በ ሩ for more than two consecutive terms; provided, however, the management መተዳ ደ ሪ ያ ደ ን ብ በ ሚወሰ ነ ው መሰ ረ ት ይሆና ል :: committee member may be re-elected after ፬ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር የ ሚያ በ ድረ ው one fiscal year after he left office upon ዓ መታዊ የ ብድር መጠን በ የ ዓ መቱ በ ጠቅ ላ ላ ጉባ ኤ completion of his term. ተወስ ኖ በ ዕ ቅ ድ መያ ዝ አ ለ በ ት :: 4/ Members of management committee of any ፵፱ . ስ ለ ዋስ ትና ዓ ይነ ት እ ና አ ማራጮች cooperative society may be dismissed at any ማን ኛ ውም የ ኅ ብረ ት ሥራ ማኅ በ ር ለ ሚሰ ጠው የ ብድር time by the general assembly. አ ገ ልግ ሎት የ ሚጠይቀ ውን የ ዋስ ትና ዓ ይነ ት እ ና አ ማራጮቹን 5/ When members of the management በ መተዳ ደ ሪ ያ ደ ን ቡ ወስ ኖ መጠቀ ም ይችላ ል :: committee leave their office for whatever reasons, they have obligation to cause inspection of the activities they performed ,24፻ 1 during their term of office. ክ ፍል ሰ ባ ት 6/ The election of management committee ስ ለ ኅ ብረ ት ሥራ ማህ በ ራት ኦ ዲት እ ና ኢን ስ ፔክ ሽ ን members shall be conducted starting from the ፶. ስ ለ ኦ ዲት second election year by replacing at least one ፩ / አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን በ ኅ ብረ ት ሥራ ማህ በ ሩ የ በ ጀት third of the members every year; the particulars as to election of management ዓ መት መሰ ረ ት ቢያ ን ስ በ ዓ መት አ ን ድ ጊ ዜ የ ማን ኛ ውን ም committee members of any cooperative ኅ ብረ ት ሥራ ማኅ በ ር ሂ ሣብ ራሱ ወይም እ ሱ በ ሚወክ ለ ው society shall be determined by the directive ሰ ው ኦ ዲት ያ ደ ር ጋ ል፡ ፡ of the appropriate committee. ፪ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀ ጽ (፩ ) መሠረ ት የ ሚደ ረ ግ 7/ Where there is possible number of female at ኦ ዲት ያ ልተከ ፈለ ዕዳ ካለበት ይህ ን ኑ ዕ ዳ ውን እና least 30% of any cooperative society management committee shall be held by የ ጥሬ ገ ንዘብ ሂ ሣብ፣ የ ዋስ ትና ሰ ነ ዶች፣ የ ሀ ብቱን female members. ዋጋ ፣ ኃ ላ ፊ ነ ቱን ም ኦ ዲት ማድረ ግ ይጨምራል፡ ፡ 35. Powers and Duties of the Management ፫ / የ ኦ ዲት ሪ ፖር ቱ ተጠና ቆ ለ ኅ ብረ ት ሥራ ማህ በ ሩ Committee The powers and duties of the management ከ ደ ረ ሰ በ ት ቀ ን ጀምሮ በ ፴ ቀ ና ት ውስ ጥ ለ ጠቅ ላ ላ ጉ ባ ኤ committee shall be determined in pursuance of መቅ ረ ብ አ ለ በ ት፡ ፡ the by-laws of the cooperative society and in ፬ / የ ኦ ዲት ሪ ፖር ቱ በ ጠቅ ላ ላ ጉ ባ ኤ ከ ፀ ደ ቀ በ ኋላ በ ኦ ዲት particular shall include the following: 1/ maintain the minutes of a meeting in writing ሪ ፖር ቱ ላ ይ ቅ ሬታ አ ለ ኝ የ ሚል ወገ ን ሒሳ ቡ እ ን ደ ገ ና ይታይልኝ በ ማለ ት የ ሚያ ቀ ር በ ዉ ጥያ ቄ ቢኖር በ ፴ ቀ ና ት and keep records; gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9467 ዉስ ጥ መቅ ረ ብ አ ለ በ ት፡ ፡ 2/ maintain the documents and books of ፭ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀ ጽ (፬ ) በ ተመለ ከ ተው ጊ ዜ accounts of the cooperative society; ውስ ጥ በ ኦ ዲት ሪ ፖር ቱ ላይ ያ ልቀ ረ በ ቅ ሬታ እና 3/ prepare the annual work plan and budget of እ ን ደ ገ ና ይመር መር ልኝ ጥያ ቄ ተቀ ባ ይነ ት የ ለ ውም፡ ፡ the cooperative society and implements ፶ ፩ . ስ ለ ኦ ዲተሮች ሥነ -ምግባ ር same upon approval; ፩ / ማን ኛ ውም ኦ ዲተር የ ሚያ ቀ ር በ ው የ ኦ ዲት ሪ ፖር ት ውጤት 4/ call general assembly in accordance with the የ ተመር ማሪ ውን ኅ ብረ ት ሥራ ማህ በ ር ትክ ክ ለ ኛ አ ቋም by-laws of the cooperative society; የ ሚገ ልጽ መሆን አ ለ በ ት፡ ፡ ፪ / የ ኦ ዲት ተደ ራጊ ውን የ ኅ ብረ ት ሥራ ማህ በ ር ትክ ክ ለ ኛ 5/ execute decisions of the general assembly; የ ሂ ሳ ብ አ ቋ ም የ ማይገ ልጽ እ ና ከ ፍ ወይም ዝቅ አ ድር ጎ 6/ manage all activities of the cooperative የ ኦ ዲት ሪ ፖር ት በ ማቅ ረ ብ በ ኅ ብረ ት ሥራ ማህ በ ሩ፣ society, submit reports to the general በ ተመራጮች፣ በ ሠራተኞች፣ በ ሦስ ተኛ ወገ ኖች፣ assembly; በ አ በ ዳ ሪ ዎች እ ና በ ሌሎች ሰ ዎች ላ ይ ሆን ብሎ ጉ ዳት 7/ distribute dividend Based on the approved ያ ደረ ሰ ማን ኛ ውም ኦ ዲተር አ ግ ባ ብ ባ ለ ው ሕግ መሠረ ት audit reports by the general assembly of the ተጠያ ቂ ይሆና ል፡ ፡ coopperative society. ,24፻ J

36. Control Committee ፶ ፪ . ስ ለ ኢን ስ ፔክ ሽ ን 1/ Any cooperative society shall have not less ፩ / አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን የ አ ን ድን ኅ ብረ ት ሥራ ማህ በ ር than three control committee members አ ቋ ም፣ የ ሥራ አ ፈጻ ጸ ም፣ መዛ ግ ብት እ ና የ ገ ን ዘ ብ ሁኔ ታ which is accountable to the general ኢን ስ ፔክ ት ማድረ ግ ይችላ ል፡ ፡ assembly and the number and manner of election of which shall be specified by the ፪ / የ ሥራ አ መራር ኮ ሚቴ አባላት አ ብዛ ኛ ዎቹ ወይም by-laws of the society. ከ ጠቅ ላ ላ ው የ ኅ ብረ ት ሥራ ማህ በ ሩ አባላት ወይም 2/ The term of office of members of the ተወካ ዮች ከ አ ን ድ ሦስ ተኛ ያ ላ ነ ሱ ሲጠይቁ አ ግ ባ ብ ያ ለ ው control committee shall be three years and ባ ለ ሥልጣን ኢን ስ ፔክ ት ያ ደ ር ጋ ል፡ ፡ no member of the control committee shall be elected for more than two consecutive ፫ / ማን ኛ ውም የ ኅ ብረ ት ሥራ ማህ በ ር ከ ሥራ ባ ህ ሪ ው አ ን ጻ ር terms and they may be dismissed by the ተቀ ባ ይነ ት ያ ለ ው የ አ ፈጻ ጸ ም መለ ኪያ ስ ታን ዳ ር ዶች ጥቅ ም general assembly at any time during their ላ ይ በ ማዋል የ አ ፈጻ ጸ ም ደ ረ ጃውን ማስ ለ ካ ት አ ለ በ ት፡ ፡ term of office. ፬ / የ ኅ ብረ ት ሥራ ማህ በ ራትን አ ቋም ለ መለ ካ ት የ ሚያ ግ ዙ 3/ The election of members of control የ አ ፈፃ ፀ ም መለ ኪያ ዎቹን በ ሚመለ ከ ት አ ግባ ብ ያለው committee shall be conducted starting from ባ ለ ሥልጣን መመሪ ያ ያ ወጣል፡ ፡ the second election year by replacing at least one third of the members every year. ፶ ፫ . የ ኢን ስ ፔክ ሽ ን እ ና የ ኦ ዲት ውጤትን ስ ለ ማስ ቀመጥ 4/ Any member of control committee may be በ ዚህ አ ዋጅ አ ን ቀጽ ፶ እና ፶፪ መሠረ ት የ ተደ ረ ገ reelected after one fiscal year after he left የ ኢን ስ ፔክ ሽ ን ና የ ኦ ዲት ውጤት ማን ኛ ውም ሰ ው በቀላ ሉ office upon completion of their term. ሊያ ገ ኘውና ሊያ የ ው በ ሚችል አ ኳኋን አ ግባ ብ ባለው ባ ለ ሥልጣን እ ና በ ኅ ብረ ት ሥራ ማህ በ ሩ ጽሕፈት ቤት ውስ ጥ 37. Powers and duties of the control committee መቀ መጥ ይኖር በ ታል፡ ፡ The Control Committee shall have the following powers and duties: ፶ ፬ . በ ኅ ብረ ት ሥራ ማኅ በ ሩ ን ብረ ትና ገ ን ዘ ብ ላ ይ ጉድለ ት ሲደር ስ ስ ለ ሚወሰ ድ እ ር ምጃ 1/ follows up that the management committee is ፩ / ኦ ዲት ወይም ኢን ስ ፔክ ሽ ን በ ሚደ ረ ግ በ ት ጊ ዜ የ ኅ ብረ ት discharging its responsibilities properly; ሥራ ማህ በ ሩን ሥራ እ ን ዲያ ካ ሄ ድ ኃ ላ ፊ ነ ት የ ተጣለ በ ት gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9468 ወይም ተጥሎበ ት የ ነ በ ረ ው ሰ ው ወይም የ ኅ ብረ ት ሥራ 2/ control that the fund and property of the ማህ በ ሩ ሥራ አ መራር ኮ ሚቴ አባላት ወይም የ ቦ ር ድ cooperative society is properly utilized; አ ባ ላ ት ወይም የ ቁ ጥጥር ኮ ሚቴ አ ባ ላ ት ወይም የ ሌሎች 3/ follow up that the various activities of the ኮ ሚቴ አባላት ወይም የ ኅ ብረ ት ሥራ ማኅ በ ሩ ሥራ cooperative society are carried out pursuant አ ስ ኪያ ጅ ወይም ሠራተኛ ፡ - to law, by-laws and internal regulations of ሀ) በ ዚህ አ ዋጅ፣ በ ደን ቦ ቹ ወይም the cooperative society; በ መተዳ ደ ሪ ያ ደን ቦ ቹ ወይም በ ጠቅ ላ ላ ጉባ ዔ 4/ execute decisions of the general assembly; ባ ልፀ ደ ቀ የ በ ጀት እ ቅ ድ ያ ልተፈቀ ደ ክ ፍያ ፈጽሞ ከ ተገ ኘ፤ 5/ performs other duties given to it by the general assembly. ,24፻ D

38. Other Sub-committees ለ) አ ግባ ብ ያ ለ ው ባ ለ ስ ልጣን በ ሚያ ወጣው መመሪ ያ Other sub-committees may be established የ ተገ ለ ጹ የ ግዥ ስ ር ዓ ትን ያ ልተከ ተሉ ውሎችን pursuant to the by-laws of the cooperative በ መዋዋል ግ ዥዎችን እና ክ ፍያ ዎችን ፈፅ መው society. ከ ተገ ኙ፤

39. Manager and Employee Professionals of the ሐ) እ ምነ ትን በ ማጉ ደ ል ወይም ሆን ብሎ ወይም Cooperative Society በ ቸልተኝ ነ ት በ ኅ ብረ ት ሥራ ማኅ በ ሩ ን ብረ ት 1/ Any cooperative society may employ a ላ ይ ጉ ዳ ት አ ድር ሶ ከ ተገ ኘ ፤ ወይም manager who is accountable to the መ) የ ኅ ብረ ት ሥራ ማኅ በ ሩ የ ሆነ ውን ገ ንዘብ management committee. አ ለ አ ግ ባ ብ ከ ወሰ ደ ፤ ተቆ ጣጣሪ ው ወይም መር ማሪ ው ስ ለ ሁኔ ታው እ ን ደ ጉ ዳዩ 2/ any cooperative society shall record personal አ ግ ባ ብነ ት ለ ሥራ አ መራር ኮ ሚቴ ወይም ለ ጠቅ ላ ላ ጉ ባ ኤ ወይም አ ግ ባ ብ ላ ለ ው ባ ሥልጣን ሪ ፖር ት ያ ደ ር ጋ ል፡ ፡ property of the manager and employed ፪ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀጽ (፩ ) መሠረ ት ሪ ፖር ት during recruitment on personal property የ ቀረ በ ለ ት አ ግባ ብ ያለው ባ ለ ሥልጣን ጉዳዩ registration form and make them to sign on የ ሚመለ ከ ተውን ሰ ው በ መጥራት መከ ላ ከ ያ መልስ ካለው it .The details shall be determined by በ ሁለ ት ተከ ታታይ የ ስራ ቀና ት እ ን ዲያ ቀ ር ብ ያ ደ ር ጋ ል፡ ፡ council of ministers regulation. ፫ / በ ዚህ አ ን ቀጽ ን ዑስ አ ን ቀጽ (፩ ) እና (፪ ) 3/ The manager shall administer and lead the የ ተደ ነ ገ ገ ው እ ን ደ ተጠበ ቀ ሆኖ ጉ ድለ ት አ ድር ሷል day to day activities of the cooperative የ ተባ ለ ው ሰ ው ጥፋተኛ ሆኖ ሲገ ኝ ያ ጎ ደ ለ ውን ገ ንዘብ society; perform his activity in accordance ወይም ን ብረ ት ከ ነ ወለ ዱ እ ን ዲሁም የ ሚወሰ ነ ውን ካሳ ና with his job description and representation ኪሳ ራ እ ን ዲመልስ ወይም እ ን ዲከ ፍል አ ግባ ብ ያለው ባ ለ ስ ልጣን ይጠይቃል፤ ያ ጎ ደ ለ ው ሰ ው ፈ ቃደ ኛ ሆኖ and as well as activities assigned to him by ካ ልተገ ኘ አ ግባ ብ ያ ለ ው ባ ለ ሥልጣን የ ኅ ብረ ት ሥራ the management committee. ማህ በ ሩን በ መወከ ል ተገ ቢው የ ፍትሐ ብሔር ክስ 4/ Any cooperative society shall have እ ን ዲቀ ር ብበ ት ያ ደ ር ጋ ል፡ ፡ professional workers accountable to the ክ ፍል ስ ምን ት manager and perform day-to-day activities ስ ለ ኅ ብረ ት ሥራ ማኅ በ ራት መፍረ ስ ና ሂ ሣባ ቸውን ስ ለ ማጣራት of the society. ፶ ፭ . ስ ለ ኅ ብረ ት ሥራ ማኅ በ ር መፍረ ስ 5/ The appropriate authority shall issue a ፩ / የ ኅ ብረ ት ሥራ ማኅ በ ር ከ ሚከ ተሉት በ አ ን ዱ ምክ ን ያ ት directive on particulars as to the recruitment ይፈር ሳ ል፦ and management of workers. ሀ ) እ ን ዲፈር ስ በአባላት ጠቅ ላ ላ ጉባ ኤ ልዩ ውሣኔ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9469 ሲሰ ጥ፤ PART FIVE SPECIAL PRIVILEGES OF COOPERATIVE SOCIETY ለ ) በ መሰ ረ ታዊ የ ኅ ብረ ት ሥራ ማኅ በ ር የ አ ባ ላ ቱ ቁ ጥር

40. Priority of Claims by Cooperative Society በ ዚህ አ ዋጅ አ ን ቀጽ ፯ (፪ ) እና (፫ ) Notwithstanding any provision to the contrary ከ ተጠቀ ሰ ው ቁ ጥር አ ን ሶ ሲገ ኝ ፤ in any law, debts owed to the cooperative ሐ) የ ኅ ብረ ት ሥራ ማህ በ ራት ዩ ኒ ዬ ን እና ፌዴሬሽ ን society by member or employee of the መስ ራች አ ባ ላ ት ቁ ጥር በ ዚህ አ ዋጅ ከ ተወሰ ነ ው cooperative society or other bodies shall take ቁ ጥር ዝቅ ሲል፤ precedence over all other debts, except the debt ,24፻ / owed to the government. መ) ፍር ድ ቤት እ ን ዲፈር ስ ሲወስ ን ፤

41. Set-off in Respect of Share or Benefit of Members ሠ) በ ኅ ብረ ት ሥራ ማህ በ ሩ የ ሂ ሳ ብ ምር መራ ውጤት The shares or benefits of any member may be መሠረ ት የ ከሰረና የ ኪሳ ራውም መጠን የ ኅ ብረ ት set-off for debts due to the cooperative society ሥራ ማህ በ ሩን ህ ልውና የ ሚያ ሳ ጣ መሆኑ ን አ ግ ባ ብ from such a member. ያ ለ ው ባ ለ ሥልጣን ሲያ ረ ጋ ግ ጥና ይኸው በ ጠቅ ላ ላ ጉ ባ ኤ ሲጸ ድቅ ፡ ፡ 42. Share or Benefit not Liable to Attachment or Sale ፪/ ጠቅ ላ ላ ጉባ ኤ ማን ኛ ውን ም የ ኅ ብረ ት ሥራ ማኅ በ ር Except as provided in Article 41 hereof, the እ ን ዲፈር ስ ሲወስ ን አ ግባ ብ ላለው ባ ለ ሥልጣን share or benefit of a member in a cooperative የ ማፍረ ስ ውሳ ኔ ውን በሰባት ቀና ት ውስ ጥ ማሳ ወቅ society shall not be liable to attachment or sale. ይኖር በ ታል፡ ፡ ፶ ፮ . ስ ለ ሂ ሣብ አ ጣሪ

43. Indivisibility of asset and funds of a cooperative society ፪ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፩ ) ፊ ደ ል ተራ (ሐ) Except as otherwise prescribed under Article 45 መሠረ ት የ ን ብረ ት ክ ፍፍል ከ መደ ረ ጉ በ ፊት ኅ ብረ ት and 59 of this Proclamation, the asset and fund ሥራ ማህ በ ሩ የ ሚፈር ስ ስ ለ መሆኑ ሰ ፊ ሥር ጭት ባ ለ ው of a cooperative society shall not be divided for ጋ ዜጣ ማስ ታወቂ ያ ያ ወጣል፡ ፡ ማስ ታወቂ ያ ከ ወጣበ ት the members or any other party. ቀ ን ጀምሮ እ ስ ከ ሁለ ት ወር ድረ ስ ተቃዋሚ ካ ልቀ ረ በ የ ን ብረ ት ክ ፍፍሉን ያ ደ ር ጋ ል፡ ፡ ከ አ ቅ ም በ ላ ይ በ ሆነ 45. Allocation of net profit ምክ ን ያ ት ካ ልሆነ በ ስ ተቀ ር ከ ዚህ ጊ ዜ ገ ደ ብ በ ኋላ 1/ Any cooperative society shall deduct 30% የ ሚቀ ር ብ የ መብት ጥያ ቄ ተቀ ባ ይነ ት አ ይኖረ ውም፡ ፡ of the net profit and allocate for the reserve ፫ / የ ሂ ሣብ አ ጣሪ ው የ ሂ ሣብ ማጣራቱን ሥር ዓ ት እ ን ደ ፈፀ መ fund. The amount allocated for the reserve ሪ ፖር ቱን አ ዘ ጋ ጅቶ አ ግባ ብ ላለው ባ ለ ሥልጣን fund shall continue to be deducted until it ያ ቀ ር ባ ል፤ የ ኅ ብረ ት ሥራ ማህ በ ሩን መዛ ግ ብትና reaches 30% of the capital of the ሰ ነ ዶችን አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣን በ ሚያ ዘ ው ሥፍራ cooperative society and it shall be deposited ያ ስ ቀ ምጣል፡ ፡ in the saving account of the society. ፶ ፰ . ገ ን ዘ ብ ጠያ ቂዎችን ስ ለ መጥራት 2/ The distribution of the remaining 70% net ፩/ የ ገ ንዘብ ጠያ ቂ ዎች አ ከ ፋፈል ሂ ሣብ አ ጣሪ ው ሥራ profit shall be determined by the general assembly; provided, however, that the በ ሚጀምር በ ት ጊዜ ባ ዘ ጋ ጀው የ ሂ ሣብ ሚዛ ን መሠረ ት general assembly may allocate for education ይፈጸ ማል፡ ፡ or training or incentive or audit fund for ፪ / በሂሳብ አ ጣሪ ው አ ማካ ኝ ነ ት ለገ ንዘብ ጠያ ቂ ዎቹ social service from same net profit pursuant የ ኅ ብረ ት ሥራ ማኅ በ ሩ መፍረ ስ ተነ ግ ሯቸው to the by-law of the cooperative society. አ ቤቱታቸውን እ ን ዲያ ስ ታ ውቁ ና የ ሚጠይ ቁ ትን ም 3/ The members of cooperative society who ገ ንዘብ በ ማስ ረ ጃ ሰነ ድ እ ን ዲያ ስ ደ ግ ፉ has received net profit pursuant to sub- ያ ደ ር ጋ ቸዋል፡ ፡ article (2) of this Article may buy additional share. ፫ / በ ኅ ብረ ት ሥራ ማህ በ ሩ መዝገ ቦ ች ውስ ጥ ለ ተጻ ፉት

46. Establishment of Cooperative Societies Fund ገ ንዘብ ጠያ ቂ ዎች ወይም በ ሌላ አ ኳኋን ለ ታወቁ ም 1/ To enable the cooperative societies ገ ንዘብ ጠያ ቂ ዎች በ ሪ ኮ ማን ዴ ደ ብዳ ቤዎች በ ቀ ጥታ progressively so as to cover expenses ይላ ክ ላ ቸዋል፤ ለ ሌሎቹ ግን ሰፊ ሥር ጭት ባለው related to audit activities or legal services or ጋ ዜጣ በአንድ ወር ጊዜ ውስ ጥ ሁለ ት ተከ ታታይ capacity building or for research and study ማስ ታወቂ ያ በ ማውጣት ይጠራቸዋል፡ ፡ or promotion and communication or other similar activities by their own capacities, gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9471 ,24፻ ? they may establish a cooperative society ፶ ፱ . የ ገ ን ዘ ብ ጠያ ቂዎችን መብት ስ ለ መጠበ ቅ fund. ፩ / ከ ኅ ብረ ት ሥራ ማህ በ ሩ ገ ን ዘ ብ ጠያ ቂ ዎች የ ሆኑ ት ካ ልተከ ፈላ ቸው ወይም የ እ ነ ር ሱን ገ ን ዘ ብ ለ መክ ፈል አ ስ ፈላ ጊ የ ሆነ ው ገ ን ዘ ብ ተቀ ማጭ ካ ልተደ ረ ገ በ ቀ ር 2/ The establishment and source of finance for አ ጣሪ ዎች የ ኅ ብረ ት ሥራ ማህ በ ሩን ን ብረ ት በ ከ ፊ ልም ቢሆን ለ ኅ ብረ ት ሥራ ማህ በ ሩ አ ባ ላ ት ማከ ፋፈል a Fund to be established pursuant to sub- አ ይችሉም፡ ፡ article (1) of this Article shall be prescribed ፪ / የ ታወቁ ት ገ ን ዘ ብ ጠያ ቂ ዎች ማስ ረ ጃቸውን ሳ ያ ቀ ር ቡ by regulations to be issued by the Council የ ቀሩ እ ን ደ ሆነ የ ሚከ ፈላ ቸው ገ ን ዘ ብ ልክ በ ፍር ድ of Ministers. ቤት ውሣኔ ይቀ መጣል፡ ፡

47. Restriction on Borrowings ፫ / ገ ን ዘ ብ ጠያ ቂ ዎቹ ለ ሚፈልጉ ት ሂ ሣብ ተመጣጣኝ የ ሆኑ A cooperative society shall receive loans from ዋስ ትና ዎች ካ ልተሰ ጧቸው ወይም የ ማኅ በ ሩ ን ብረ ት its members or other organizations to such አ ከ ፋፈል እ ነ ዚሁ ግ ዴታዎች እ ስ ኪከ ፈሉ ድረ ስ ሌላ extent and on such conditions as may be ቀ ጠሮ ካ ልተያ ዘ በ ቀር ላ ልተ ፈ ጸ መው ግ ዴታ ወይም specified in the by-laws of the cooperative በ ክ ር ክ ር ላ ይ ላ ሉት የ ኅ ብረ ት ሥራ ማኅ በ ሩ ግ ዴታዎች society. ተመጣጣኝ የ ሆነ ገ ን ዘ ብ ተይዞ መቀ መጥ አ ለ በ ት፡ ፡

48. Restriction on Loans ፬ / የ ኅ ብረ ት ሥራ ማኅ በ ሩ ዕዳ ተከ ፍሎ ካለቀ ወይም 1/ A cooperative society shall not extend loan ዕ ዳ ውን ለ መክ ፈል በ ቂ የ ሆነ ገ ን ዘ ብ መቀ መጡ አ ግ ባ ብ other than to its members or a cooperative ባ ለ ው ባ ለ ሥልጣን ከ ተረ ጋ ጠ በ ኋላ አ ጣሪ ዎች ቀ ሪ ውን society established under this Proclamation. የ ኅ ብረ ት ሥራ ማህ በ ሩን ገ ንዘብ ለ ኅ ብረ ት ሥራ 2/ Any cooperative society for the money ማህ በ ሩ አ ባ ላ ት በ ሚገ ባ ቸው መጠን ያ ከ ፋፍላ ሉ፡ ፡ lends, shall prescribe the interest rate in its ፷. ማኅ በ ር ን ከ መዝገ ብ ስ ለ መሰ ረ ዝ by-laws based on the special resolution of የ ሂ ሣብ ማጣራት ሥራ እ ን ደ ተፈጸ መ የ ኅ ብረ ት ሥራ ማህ በ ሩ the General Assembly. የ ምዝገ ባ የ ምስ ክ ር ወረ ቀ ት አ ግባ ብ ላ ለ ው ባ ለ ሥልጣን 3/ Particulars as to amount and conditions ይመለ ሳ ል፤ አ ግ ባ ብ ያ ለ ው ባ ለ ሥልጣ ን ም የ ኅ ብረ ት ሥራ under which any cooperative society may ማህ በ ሩን ከ መዝገ ብ ይሠር ዛ ል፤ የ ኅ ብረ ት ሥራ ማህ በ ሩም extend loans pursuant to sub-article (1) of ከ መዝገ ብ ከ ተሠረ ዘ በ ት ቀ ን ጀምሮ ሕልውና ውን ያ ጣል፡ ፡ this Article shall be specified in the by-laws of the cooperative society. ክ ፍል ዘ ጠኝ ስ ለ ክ ር ክ ር አ ወሳ ሰ ን 4/ The amount of annual loan to be extended ፷፩ . ጉዳዮችን በ ዕ ር ቅ ስ ለ መጨረ ስ by any cooperative society shall be decided ፩ / በ ዚህ አ ዋጅ በ አ ን ቀጽ ፷፬ የ ተመለ ከ ቱት ክ ር ክ ሮች by the general assembly and be included in ለ ሽ ምግ ልና ዳኝነ ት ከ መቅ ረ ባ ቸው በ ፊት ተከ ራካ ሪ annual plan of the cooperative society. ወገ ኖች በ ሚመር ጡት ሦስ ተኛ ወገ ን አ ስ ታራቂ ዎች

49. Types of Guarantee and Alternatives በ እ ር ቅ መታየ ት ይችላ ሉ፡ ፡ ,24፻ G Any cooperative society may decide and use in ፪ / ጉ ዳ ያ ቸውን በ እ ር ቅ ለ መጨረ ስ እ ያ ን ዳ ን ዱ ወገ ን አ ን ድ its by-laws the types and alternative guarantee አ ስ ታራቂ ይመር ጣል፤ የ አ ስ ታራቂ ዎች ሰ ብሳ ቢ በ ሁለ ቱ it uses for the loans it extends. ወገ ኖች ስ ምምነ ት ይመረ ጣል፡ ፡ ፫ / የ አ ስ ታራቂ ዎቹን ሰ ብሳ ቢ ለ መምረ ጥ ሁለ ቱ ወገ ኖች ስ ምምነ ት ላይ ያ ልደ ረ ሱ እ ን ደ ሆነ አ ግባ ብ ያለው gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9472 ባ ለ ሥልጣን ሰ ብሳ ቢውን ይመረ ጣል፡ ፡ PART SEVEN ፷፪ . ስ ለ ሽ ምግልና ዳኝ ነ ት COOPERATIVE SOCIETY AUDIT AND ፩ / በ ዚህ አ ዋጅ አ ን ቀ ጽ ፷፬ የ ተመለ ከ ቱት የ ኅ ብረ ት ሥራ INSPECTION

50. Audit ማኅ በ ራት ክ ር ክ ሮች በእርቅ ያላለቁ እ ን ደ ሆነ 1/ The appropriate authority shall audit or ለ ሽ ምግ ልና ዳ ኝ ነ ት ሊቀ ር ቡ ይችላ ሉ፡ ፡ causes to be audited by a person assigned by it, the accounts of any cooperative society at ፪ / የ ሽ ምግ ልና ዳ ኞቹ ክ ር ክ ሮችን የ ሚሰ ሙትና ማን ኛ ውም least once in a year in accordance to its ተግ ባ ራትን ሁሉ የ ሚፈጽሙት በ ፍትሐ ብሔር ሥነ - fiscal year. ሥር ዓ ት ሕግ መሠረ ት ነ ው፡ ፡ ፷፫ . የ ሽ ምግልና ዳኞች አ መራረ ጥ 2/ The audit conducted pursuant to sub-article ፩ / ለ ሽ ምግ ልና ዳ ኝ ነ ት ተግ ባ ር የ ሚመረ ጡ ሰ ዎች ቁ ጥራቸው (1) of this Article shall include the ሦስ ት ሆኖ የ ማያ ዳ ሉና መልካ ም ስም ያ ላ ቸው examination and verification of overdue ይሆና ሉ፡ ፡ debts, if any, and cash balance, securities ፪ / እ ያ ን ዳ ን ዱ ወገ ን አ ን ድ የ ሽ ምግ ልና ዳ ኛ ይመር ጣል፤ and assets and liabilities. ለ ሽ ምግ ልና ዳ ኝ ነ ቱ ሰ ብሳ ቢ እ ን ዲሆን የ ሚመረ ጠው ሦስ ተኛ ዳ ኛ በ ሁለ ቱም ወገ ኖች በ ጋ ራ ይመረ ጣል፡ ፡ 3/ The audit report shall be presented to the ፫ / ሰ ብሳ ቢውን ዳኛ ለ መምረ ጥ ሁለ ቱ ወገ ኖች ስ ምምነ ት general assembly within 30 days starting from the date of its submission to the ላይ ያ ልደ ረ ሱ እ ን ደ ሆነ አ ግባ ብ ያ ለ ው ባ ለ ሥልጣን cooperative society. ይመር ጣል፡ ፡ 4/ Any complaint and requested for re- ፷፬ . ለ ሽ ምግልና ዳኝ ነ ት ስ ለ ሚቀር ቡ ክ ር ክ ሮች examination of the audit report shall be የ ሽ ምግ ልና ዳ ኞቹ ስ ለ አ ን ድ ኅ ብረ ት ሥራ ማኅ በ ር አ ቋ ም፣ presented within 30 days starting from the ስ ለ ሥራው አ ካ ሄ ድ ወይም ስ ለ ሥራው አ ፈጻ ጸ ም በ ተመለ ከ ተ በ ዕ ር ቅ ያ ላ ለ ቁ የ ሚከ ተሉትን የ ሚመለ ከ ቱ ክ ር ክ ሮች አ ይተው date of its approval by the general assembly. ለ መወሰ ን ሥልጣን ይኖራቸዋል፦ 5/ Any complaint and requested for re- ፩/ በአባላት ወይም በ ቀ ድሞ አ ባ ላ ትና ወይም በ ቀ ድሞ examination of the audit report not presented within the period specified under አ ባ ላ ት ወኪሎች ወይም በ ሞት በ ተለ ዩ አ ባ ላ ት መብት sub-article (4) of this Article shall not be ስም ክርክር በ ሚያ ቀ ር ቡ ሰ ዎች መካ ከ ል የ ሚነ ሳ acceptable. ክርክር፤

51. Auditors’ Ethics ,24፻ , 1/ Any audit report result produced by an ፪ / በአባላት ወይም በ ቀ ድሞ አባላት ወይም በአባላት auditor shall represent the right status of the ወይም በ ቀ ድሞ አ ባ ላ ት ወኪሎች ወይም በ ሞት በ ተለ ዩ cooperative society audited. አ ባ ላ ት ወራሾ ችና በ ኅ ብረ ት ሥራ ማኅ በ ሩ ሥራ አ መራር ኮ ሚቴ አ ባ ል፣ በ ማና ቸውም ሥራ አ ስ ኪያ ጅ፣ በ ወኪሉ 2/ Any auditor who produced an over or under ወይም በ ህ ብረ ት ስ ራ ማህ በ ሩ ቅ ጥር ሠራተኛ መካ ከ ል statement audit report that does not represent የ ሚነ ሳ ክ ር ክ ር ፤ the right financial status of a cooperative ፫ / በ ኅ ብረ ት ሥራ ማኅ በ ሩ ወይም በ ሥራ አ መራር ኮ ሚቴ society; and intentionally causes damage on ወይም በ ማን ኛ ውም የ ቀ ድሞ የ ሥራ አ መራር ኮ ሚቴ አ ባ ል፣ ማን ኛ ውም ሥራ አ ስ ኪያ ጅ፣ ወኪል ወይም ቅ ጥር the cooperative society, elected leader, ሠራተኛ ወይም የ ቀ ድሞ ሥራ አ ስ ኪያ ጅ፣ የ ቀ ድሞ ወኪል employees, third parties, creditors and others ወይም የ ቀ ድሞ ቅ ጥር ሠራተኛ ተጠሪ ው፣ ወራሾ ቹ ወይም shall be liable in accordance with relevant ወኪሎቹ ወይም በ ሞት በ ተለ ዩ የ ኅ ብረ ት ሥራ ማህ በ ሩ law. ሥራ አ ስ ኪያ ጆች፣ ወኪሎች ወይም ቅ ጥር ሠራተኞች መካ ከ ል የ ሚነ ሳ ክ ር ክ ር ፤ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9473 ፬/ በአንድ ኅ ብረ ት ሥራ ማኅ በ ር ና በ ማን ኛ ውም ሌላ 52. Inspection ኅ ብረ ት ሥራ ማኅ በ ር መካ ከ ል የ ሚነ ሳ ክ ር ክ ር ፡ ፡ 1/ The appropriate authority may make an ፷፭ . የ ሽ ምግልና ዳኞች የ ፍትሐ ብሔር ሥልጣን inspection of any cooperative society’s በ ዚህ አ ዋጅ አ ን ቀጽ ፷፬ መሠረ ት የ ሚታዩ ጉ ዳ ዮችን organizational status, operations, documents and financial conditions. በ ተመለ ከ ተ ምስ ክ ሮችን ለ መጥራት፣ ማስ ረ ጃዎችን 2/ The appropriate authority shall make an ለ ማስ ቀ ረ ብ፣ ትዕ ዛ ዝም ለ መስ ጠትና ሌላ ማን ኛ ውን ም ሕጋ ዊ inspection of a cooperative society when the እ ር ምጃ ለ መውሰ ድ የ ሽ ምግ ልና ዳ ኞች የ ፍትሐ ብሔር ችሎት majority of the executive committee or one ሥልጣን ይኖራቸዋል፡ ፡ third of the total members or their ፷፮ . አ ፈጻ ጸ ም representatives request. በ ዚህ አ ዋጅ መሠረ ት የ ሚሰ ጥ ማን ኛ ውም ውሣኔ ፣ ትዕ ዛ ዝ 3/ Any cooperative society shall let its ወይም ብይን በ መደ በ ኛ ፍትሐ ብሔር ችሎት እ ን ደ ተሰ ጠ operations be measured by setting acceptable ተቆ ጥሮ አ ስ ፈላ ጊ ሲሆን ፍር ድ ቤቶች ውሣኔ ው፣ ትዕ ዛ ዙ standards in its area of operation. ወይም ብይኑ እ ን ዲፈጸ ም የ ማስ ገ ደ ድ ሥልጣን ይኖራቸዋል፡ ፡ 4/ The appropriate authority shall issue directive ፷፯ . ስ ለ ፍር ድ ቤት ሥልጣን on operational standards to measure the ፩ / በ ዚህ አ ዋጅ አ ን ቀ ጽ ፷፭ መሠረ ት በ ሽ ምግ ልና ዳ ኝ ነ ት status of a cooperative society. በ ተሰ ጡ ውሣኔ ዎች ላይ ቅ ሬታ ያ ለ ው ሰ ው በ ክ ልል ሲሆን ስ ልጣን ላለው ለ ክ ልሉ ፍር ድ ቤት ወይም 53. Keeping Audit and Inspection Results በ ፌደ ራል ደ ረ ጃ ሲሆን ለ ፌደ ራል ከ ፍተኛ ፍር ድ ቤት Audit and inspection results conducted pursuant ,24፻ . ይግ ባ ኝ ማቅ ረ ብ ይ ችላ ል፡ ፡ to article 50 and 52 of this Proclamation shall be ፪/ በ ዚህ አ ዋጅ አ ን ቀጽ ፷፩ እና ፷፪ የ ተደ ነ ገ ጉ ት kept in the office of the appropriate authority እ ን ደ ተጠበ ቁ ሆነ ው በ እ ር ቅ እና በ ሽ ምግ ልና ዳኝነ ት and the cooperative society in an easily ጉ ዳ ያ ቸውን ለ መጨረ ስ ካ ልተስ ማሙ ሥልጣን ላ ለ ው መደ በ ኛ accessible and visible manner to any person. ፍር ድ ቤት ማቅ ረ ብ ይችላ ሉ፡ ፡ ክ ፍል አ ሥር 54. Actions to be taken for losses of property and fund of the society ልዩ ልዩ ድን ጋ ጌ ዎች 1/ The auditor or inspector shall make a report ፷፰ . የ ይር ጋ ዘ መን to the management committee or the general የ ኀ ብረ ት ስ ራ ማህ በ ር ከ ን ብረ ት ጋ ር በ ተያ ያ ዘ ከ ሚፈፅ መው assembly or the appropriate authority, as the ውል የ ሚመነ ጭ መብት ከ ፲ ዓ መት በ ኋላ ቀ ሪ ይሆና ል፡ ፡ case may be, where the person who is or was entrusted with the management of the ፷፱ . ስ ለ ኅ ብረ ት ሥራ ማህ በ ር አ ድራሻ cooperative society or members of ፩ / ማን ኛ ውም ኅ ብረ ት ሥራ ማህ በ ር በ ዚህ አ ዋጅ በ አ ን ቀ ጽ management committee or members of board or members of controle committee or ፲ መሠረ ት የ ተመዘ ገ በ አ ድራሻ ይኖረ ዋል፤ የ ሚላ ኩለ ት other committee members or who is or has መጥሪ ያ ዎች፣ ማስ ታ ወቂ ያ ዎች እ ና ሌሎች ግ ን ኙነ ቶች been a manager or an employee of the ሁሉ በ ዚህ አ ድራሻ ይላ ካ ሉ፡ ፡ society, who in the course of an audit or inspection has been found to have committed ፪ / የ ኅ ብረ ት ሥራ ማህ በ ሩ አ ድራሻ ውን ሲለ ውጥ በ ፴ ቀ ና ት the following acts: ውስ ጥ አ ግ ባ ብ ላ ለ ው ባ ለ ሥልጣን ማስ ታወቅ አ ለ በ ት፡ ፡ a) had made any payment not allowed by ፸ . አ ግባ ብ ያ ለ ው ባ ለ ስ ልጣን ሥልጣን ና ተግባ ር this Proclamation, the regulation or the በ ሌሎች ሕጎ ች አ ግባ ብ ላ ላ ው ባ ለ ስ ልጣን የ ተሰ ጠው ሥልጣን ና by-laws or budget plan not approved by ተግ ባ ር እ ን ደ ተጠበ ቀ ሆኖ በ ኅ ብረ ት ሥራ ማህ በ ራት አ ሠራር the general assembly; ውስ ጥ ጣልቃ ሳ ይገ ባ የ ሚከ ተሉት ሥልጣን ና ተግባ ር ይኖሩታል፦ ፩ / የ ኅ ብረ ት ሥራ ማህ በ ራትን ያ ደ ራጃል፣ ይመዘ ግ ባ ል፣ gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9474 ያ ጠና ክ ራል፣ ይሰ ር ዛ ል፤ b) had made contract of purchase and ፪ / የ ኅ ብረ ት ሥራ ማህ በ ራት የ ሂ ሳ ብ አ ያ ያ ዝ ስ ር ዓ ት ወጥ payment out of the procurement system and directive issued by the appropriate ሆኖ እ ን ዲጠና ከ ር ያ ደ ር ጋ ል፤ authority; ፫ / ኅ ብረ ት ሥራ ማህ በ ራትን በ ተመለ ከ ተ ጥና ት እ ና ምር ምር c) had intentionally or negligently caused ያ ካ ሂ ዳ ል፤ any damages to the assets of the ፬ / ኅ ብረ ት ሥራ ማህ በ ራትን በ ተመለ ከ ተ የ ኢን ስ ፔክ ሽ ን cooperative society by breach of trust; or ሥራ ያ ከ ና ውና ል፣ የ ኦ ዲት እ ና የ ሕግ ምክ ር አ ገ ልግ ሎት ይሰ ጣል፤ d) had misappropriated the properties of the ፭ / የ ኅ ብረ ት ሥራ ማህ በ ራትን የ ብቃት ደ ረ ጃ ያ ረ ጋ ግ ጣል፣ cooperative society. የ ደ ረ ጃ ዕ ውቅ ና ይሰ ጣል፤ ፮ / የ ኅ ብረ ት ሥራ ማህ በ ራትን እና ባ ለ ሙያ ዎችን አ ቅም ,24፻ .Iይገ ነ ባ ል፤ 2/ The appropriate authority who received the ፯/ ለ ኅ ብረ ት ሥራ ማህ በ ራት የ ምር ት ግ ብይት ሙያ ዊ report pursuant to sub-article (1) of this ድጋ ፍ ይሰ ጣል፤ Article shall immediately call the person ፰/ ኅ ብረ ት ሥራ ማህ በ ራት የ ሚመሩበ ትን የ አ ሰ ራር concerned and give an opportunity to ሥር ዓ ት ይዘ ረ ጋ ል፡ ፡ present his defense with in two consecutive working days, if any. ፸፩ . የ ኅ ብረ ት ሥራ ማኅ በ ር አ ማካ ሪ ምክ ር 3/ With out the prejudice to the provisions of ቤት ስ ለ ማቋቋም sub-article (1) and (2) of this article the ፩ / ተጠሪ ነ ቱ ለእርሻና የ ተፈጥሮ ሀ ብት ሚኒ ስ ቴር የ ሆነ appropriate authority shall ask the person የ ኅ ብረ ት ሥራ አ ማካ ሪ ምክ ር ቤት (ከ ዚህ በ ኋላ ምክ ር who has been found responsible for ቤት እ የ ተባ ለ የ ሚጠራ ) በ ዚህ አ ዋጅ ተቋ ቁ ሟል፡ ፡ misappropriation of the fund or property of the cooperative society to return or pay ፪ / የ ምክ ር ቤቱ አባላት የ ኅ ብረ ት ሥራ ማኅ በ ራትን same with interest including compensation and damages; Where the person concerned በ አ ገ ሪ ቱ ውስ ጥ የ ሚወክ ሉ ሰ ዎች ይሆና ሉ፡ ፡ is not willing to do so, the authority shall ፫ / የ ምክ ር ቤቱ ሰ ብሳ ቢ በእርሻና የ ተፈጥሮ ሀ ብት take the appropriate civil action by representing the cooperative societies. ሚኒ ስ ቴር የ ሚመደ ብ ይሆና ል፡ ፡ PART EIGHT ፬ / የ ምክ ር ቤቱ አባላት አ መራረ ጥ እ ና ብዛ ት በ ፌደ ራል DISSOLUTION AND WINDING UP OF ኅ ብረ ት ሥራ ኤጄን ሲ ይወሰ ና ል፡ ፡ COOPERATIVE SOCIETIES

55. Dissolution of Cooperative Society ፭ / በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፬ ) መሠረ ት የ ሚመረ ጡት 1/ A cooperative society shall be dissolved on one of the following grounds: የ ምክ ር ቤቱ አ ባ ላ ት የ ኅ ብረ ት ሥራ ሙያ ያ ላ ቸው እ ና a) where a special resolution for its ስ ለ ኅ ብረ ት ሥራ ዕ ድገ ት መሪ ሀ ሳ ብ የ ሚያ ቀ ር ቡ፡ - dissolution is given by the members of general assembly; ሀ ) ከ ኅ ብረ ት ሥራ ማህ በ ራት ን ቅ ና ቄ ፣ የ ኅ ብረ ት ሥራ b) where the number of members of a ትምህ ር ት ከ ሚሰ ጡ ዩ ኒ ቨ ር ሲቲዎች እና ማሰ ልጠኛ primary cooperative society falls below ተቋ ማት፣ what is specified under sub-article (2) ለ ) ከ ኅ ብረ ት ሥራ ማህ በ ራት ባ ለ ሙያ ዎች ማህ በ ር ፣ and (3) of Article 7 of this Proclamation; c) where the number of founder members of ሐ) የ ኅ ብረ ት ሥራ ማህ በ ራት ን ቅና ቄን ከ ሚደ ግፉ a cooperative societies union and መን ግ ስ ታዊና መን ግ ስ ታዊ ካ ልሆኑ ድር ጅቶች እና federation falls below that which is ታዋቂ ግ ለ ሰ ቦ ች፣ ይሆና ሉ፡ ፡ predetermined in this Proclamation; gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9475 ፮ / የ ምክ ር ቤቱ የ ሥራ ዘ መን በ ፌደ ራል ኅ ብረ ት ሥራ d) Where the court decides for its ኤጄን ሲ የ ሚወሰ ን ሆኖ ከ ሦስ ት ዓ መት ሊበ ልጥ dissolution; e) where the audit report reveals that it is አ ይችልም፤ ሆኖም የ ሥራ ዘ መኑ ን የ ጨረ ሰ የ ምክ ር ቤቱ አባል ለ ሁለ ተኛ ጊዜ እ ን ደገ ና ሊመረ ጥ bankrupt and the appropriate authority ይችላ ል፡ ፡ ensures that such cause affects the ፯ / ማን ኛ ውም የ ምክ ር ቤት አባል በ ጽሑፍ አ ባ ልነ ቱን viability of the cooperative society and ,24፻ .1 ሊለ ቅ ይችላ ል፡ ፡ this approved by the general assembly. ፰ / የ ምክ ር ቤት አባላት ለ ሚሰ ጡት አ ገ ልግ ሎት ምን ም 2/ The general assembly shall, within seven ክ ፍያ አ ይሰ ጣቸውም፤ ሆኖም ግን ለ ሥራው ሲባ ል days from the date of decision, notify to the ያ ወጡት ወጪ በ ፌደ ራል ኅ ብረ ት ሥራ ኤጄን ሲ appropriate authority the dissolution of any cooperative society. በ ሚወሰ ነ ው መሰ ረ ት ይተካ ላ ቸዋል፡ ፡ ፱ / የ ምክ ር ቤት አ ባ ል በ ሚከ ተሉት ምክ ን ያ ቶች ያ ለ ምን ም 56. Liquidator ማስ ጠን ቀ ቂ ያ ከ አ ባ ልነ ት ሊሰ ና በ ት ይችላ ል፤ 1/ Where the dissolution of a cooperative society has been decided upon, pursuant to ሀ) በ ከ ፍተኛ የ ሥነ -ምግ ባ ር ጉ ድለ ት፤ Article 55 of this Proclamation, the ለ) ዘ ላ ቂ በ ሆነ ችሎታ ማነ ስ ፤ appropriate authority may assign a liquidator. ሐ) የ ምክ ር ቤቱን ተአ ማኒ ነ ት የ ሚያ ጎ ድፍ ሥራ It shall, if necessary, determine that his ፈፅ ሞ ሲገ ኝ ፡ ፡ remuneration be paid out of the accounts of the cooperative society. ፲/ የ ምክ ር ቤቱ ስ ብሰ ባ ጊ ዜ፣ ቦታ እና የ ስ ብሰ ባ ው ሥነ -ሥር ዓ ት ምክ ር ቤቱ በ ሚያ ወጣው መመሪ ያ 2/ The liquidator shall receive records, documents and properties of the society as የ ሚወሰ ን ሆኖ በ ፌዴራል ኅ ብረ ት ሥራ ኤጄን ሲ soon as he is assigned. He shall also take the ሲፀ ድቅ ም በ ሥራ ላ ይ ይውላ ል፡ ፡ necessary measures to protect the properties ፲ ፩ / የ ምክ ር ቤቱ አ ባ ላ ት ተግ ባ ር ና ኃ ላ ፊ ነ ት የ ፌዴራል and rights, records and documents of the ህ ብረ ት ሥራ ኤጀን ሲ በ ሚያ ወጣው መመሪ ያ cooperative society from damages. ይወሰ ና ል፡ ፡ 57. Powers and Duties of the Liquidator 1/ The liquidator shall have all the necessary ፸፪ . ሕጎ ችን ፣ ደን ቦ ችን ፣ መመሪ ያ ዎችና መተዳደሪ ያ ደን ብን powers to complete the winding up ተደራሽ ስ ለ ማድረ ግ proceedings. He shall in particular perform ማን ኛ ውም ኅ ብረ ት ሥራ ማኅ በ ር የ ኅ ብረ ት ሥራ ማህ በ ራትን the following in order to carry out his duties የ ሚመለ ከ ቱ አ ዋጆችን ፣ ደ ን ቦ ችን ፣ መመሪ ያ ዎች እና properly: መተዳ ደ ሪ ያ ደ ን ቦ ችን በ ኅ ብረ ት ሥራ ማህ በ ሩ አ ድራሻ a) investigate all claims against the እ ን ዲገ ኙና ተደ ራሽ እ ን ዲሆኑ ማድረ ግ አ ለ በ ት፡ ፡ cooperative society and decide on ፸፫ . የ መተባ በ ር ግዴታ ለ ዚህ አ ዋጅ አ ፈጻ ጸ ም ማን ኛ ውም አ ካ ል የ መተ ባበር priority of payment among them; ግ ዴታ አ ለ በ ት፡ ፡ b) collect the assets of the cooperative ፸፬ . የ ተሻ ሩና ተፈጻ ሚ የ ማይሆኑ ሕጎ ች society; ፩ / የ ኅ ብረ ት ሥራ ማኅ በ ራት አ ዋጅ ቁ ጥር ፻ ፵፯ /፲ ፱ ፻ ፺ ፩ c) distribute the assets in accordance with (በ አ ዋጅ ቁ ጥር ፬ ፻ ፪ /፲ ፱ ፻ ፺ ፮ እ ን ደ ተ ሻ ሻ ለ ) በ ዚህ the plan of liquidation approved by the አ ዋጅ ተሽ ረ ዋል፡ ፡ general meeting of the cooperative ፪ / ከ ዚህ አ ዋጅ ጋር የ ሚቃረ ን ማን ኛ ውም ሕግ ፣ ደን ብ society; ወይም መመሪ ያ በ ዚህ አ ዋጅ ውስ ጥ በ ተመለ ከ ቱት ጉ ዳ ዮች ተፈጻ ሚነ ት አ ይኖ ረ ውም፡ ፡ gA ,24፻ .J Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9476 ፸፭ . የ መሸ ጋ ገ ሪ ያ ድን ጋ ጌ d) carry on the work activities of the cooperative society in so far as may be ፩/ ከ ኅ ብረ ት ሥራ ማህ በ ራት አ ዋጅ ቁ ጥር necessary for the proper liquidation of ፻ ፵፯ /፲ ፱ ፻ ፺ ፩ (በ አ ዋጅ ቁ ጥር ፬ ፻ ፪ /፲ ፱ ፻ ፺ ፮ the affairs of the cooperative society; እንደ ተሻ ሻ ለ ) ወይም በ ክ ልል አ ግ ባ ብ ባ ለ ው ህ ግ e) represent the cooperative society in legal በ ተደ ነ ገ ገ ው አ ግባ ብ ሳ ይመዘ ገ ብ እ የ ሠራ ያለ proceedings; ማን ኛ ውም ኅ ብረ ት ሥራ ማህ በ ር ይህ አ ዋጅ በ ሥራ ላ ይ f) call meetings of the members as may be ከ ዋለ በ ት ጊ ዜ ጀምሮ በ ሁለ ት ዓ መታት ውስ ጥ ራሱን necessary for the proper conduct of the በ ማደ ራጀት መመዝብ አ ለ በ ት፤ በ ዚህ ጊ ዜ ውስ ጥ ቀ ር ቦ liquidation. ያ ልተመዘ ገ በ ኅ ብረ ት ሥራ ማህ በ ር መብቱን እና ህ ልውና ውን ያ ጣል፡ ፡ 2/ The liquidator shall issue notice in a newspaper having wider circulation, before ፪/ በ ኅ ብረ ት ሥራ ማህ በ ራት አ ዋጅ ቁ ጥር ፻ ፵፯ /፲ ፱ ፻ ፺ ፩ the distribution of property of the cooperative (በ አ ዋጅ ቁ ጥር ፬ ፻ ፪ /፲ ፱ ፻ ፺ ፮ እንደ ተሻ ሻ ለ ) society takes palace in accordance with paragraph (c) of sub-article (1) of this Article ወይም በ ክ ልል አ ግባ ብ ባለው ህግ ተደ ራጅተው that the cooperative society is to be የ ተመዘ ገ ቡ ኅ ብረ ት ሥራ ማህ በ ራት በ ዚህ አ ዋጅ እ ን ደ dissolved. It shall proceed with the ተመዘ ገ ቡ ተቆ ጥሮ ሥራቸውን ያ ከ ና ውና ሉ፡ ፡ distribution, where no claim is presented within two months from the date of such ፫/ የ ዚህ አ ዋጅ አ ን ቀ ጽ ፸፬ ድን ጋ ጌ ቢኖር ም ይህ አ ዋጅ notice. No claimant shall have a right after በ ሥራ ላ ይ ከ ዋለ በ ት ቀ ን በ ፊ ት በ ክ ር ክ ር ላ ይ ያ ሉ the expiration of such limitation unless ማና ቸውም ጉ ዳ ዮች በ አ ዋጅ ቁ ጥር ፻ ፵፯ /፲ ፱ ፻ ፺ ፩ hindered by force major. (በ አ ዋጅ ቁ ጥር ፬ ፻ ፪ /፲ ፱ ፻ ፺ ፮ እ ን ደ ተሻ ሻ ለ ) ወይም 3/ Upon completion of the winding up proceedings the liquidator shall prepare and ጉ ዳ ዩ በ ክ ልል ከ ሆነ አ ግ ባ ብነ ት ባ ለ ው የ ክ ልሉ ሕግ submit a report to the appropriate authority, መሰ ረ ት ተፈፃ ሚነ ት ያ ገ ኛ ል ፡ ፡ he shall deposit the records and documents of ፸፮ . ደን ብና መመሪ ያ ስ ለ ማውጣት the cooperative society in such places as the ፩ / የ ሚኒ ስ ትሮች ምክ ር ቤት ይ ህ ን አ ዋጅ ለ ማስ ፈጸ ም appropriate authority may direct. የ ሚያ ስ ፈልግ ደ ን ብ ሊያ ወጣ ይችላ ል፡ ፡

58. Calling on creditors ፪ / ክ ልሎች ይህ ን አ ዋጅ እ ና ይህ ን አ ዋጅ ለ ማስ ፈፀ ም 1/ Creditors shall be paid on the basis of a የ ሚወጣ ደ ን ብን በ ማይቃረ ን ሁኔ ታ ሕግ ሊያ ወጡ balance sheet prepared by the liquidator upon ይችላ ሉ፡ ፡ the commencement of his assignment. ፫ / የ ፌደ ራል ሕብረ ት ሥራ ኤጀን ሲ ይህ ን ን አ ዋጅና በ ዚህ አ ን ቀ ጽ ን ዑስ አ ን ቀ ጽ (፩ ) መሠረ ት የ ወጣውን ደ ን ብ 2/ The liquidator shall inform the creditors the ለ ማስ ፈጸ ም መመሪ ያ ሊያ ወጣ ይችላ ል ፡ ፡ about dissolution of the cooperative society and require them to file their claims of money with supporting documents. 3/ Creditors appearing in the records of cooperative society or who are otherwise ,24፻ .D known shall be notified directly by registered ፸፯ . አ ዋጁ የ ሚፀ ና በ ት ጊ ዜ postal letter. Notice to other creditors shall ይህ አ ዋጅ በ ፌደ ራል ነ ጋ ሪ ት ጋ ዜጣ ታትሞ ከ ወጣበ ት ቀ ን be given by a newspaper having wider ጀምሮ የ ፀ ና ይሆና ል፡ ፡ circulation published twice consecutively in a month. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9477 A < A% @AB< CD EF 12, 3.! 59. Protection of Creditors 1/ Until the creditors of the cooperative society €/"  ‚ ƒ> have been paid or amounts required for
I    payment be deposited, the liquidators may not distribute any part of assets among the  „y mF members of the cooperative society. 2/ Where known creditors have failed to present their supporting documents, the amounts owing to them shall be deposited according to the decision of the court. 3/ Sums proportionate shall be set aside to meet the claims in respect of undertakings of the cooperative society which are not completed or which are under liquidation unless the creditors are guaranteed or distribution of assets is postponed until such undertakings are completed. 4/ After the payment of claims have been completed or verified by the appropriate authority that sufficient deposit for payment has been made, the liquidators may distribute the assets of the cooperative society among the members of the cooperative society based on the amount due to them.

60. Cancellation of a society from the Register When the winding up proceedings are completed the certificate of registration of the cooperative society shall be returned to the appropriate authority who shall cancel the registration of the cooperative society; and the cooperative society shall, upon the date of such cancellation, cease to exist. PART NINE SETTLEMENT OF DISPUTES

61. Settling Disputes through Conciliation 1/ Deputes specified under Article 64 of this Proclamation may be settled through conciliators elected by disputant parties before they are submitted to arbitration. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9478 2/ To resolve their issues through conciliation, each party shall elect one conciliator; the chairperson of the conciliators shall be elected by the agreement of the two parties. 3/ Where the two parties failed to reach agreement to elect the chairperson of the conciliation, the appropriate authority shall elect the chair person.

62. Arbitration 1/ When the disputes provided under Article 64 of this Proclamation regarding cooperative societies are not settled by conciliation they shall be referred to arbitration. 2/ The arbitrators shall conduct their hearing and fulfill any of their duties in accordance with the Civil Procedure Code.

63. Appointment of the Arbitrators 1/ The persons to be appointed for arbitration shall consist of three persons of high reputation and impartiality. 2/ Each party to the dispute shall appoint one arbitrator; The presiding arbitrator shall be appointed by the agreement of both parties. 3/ The appropriate authority shall appoint the presiding arbitrator when the parties fail to reach an agreement.

64. Disputes to be Referred to Arbitration The arbitrators shall have the power to hear and decide disputes not settled by conciliation regarding the organization, management or operations of a cooperative society in particular disputes involving the following: 1/ members or former members and members and members or representatives of former members or persons claiming in the name of deceased members; gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9479 2/ dispuses raised among the members or former members or members or representatives of former members or heirs of deceased members and the members of the management committee, any manager or representative of the management committee or employee of the cooperative society; 3/ the cooperative society or the management committee and any former management committee, any manager, agent or employee, or any former manager, agent or employee or the nominee heirs or representatives or representatives or deceased former manager or employees; or 4/ disputes arising between cooperative societies.

65. Civil Court Powers of Arbitrators The Arbitrators shall have the same power, with regard to the cases provided under Article 64 of this Proclamation, as a Civil Court for the summoning of witnesses, production of evidence, the issuing of orders or for the taking of any other legal measures.

66. Execution Any decision, order or award made under this Proclamation shall be considered as it is made by a regular Civil Court, and, where appropriate, the courts shall have jurisdiction to order the enforcement of any such decision, order or award.

67. Power of Courts 1/ Any person who has grievance on the decisions given by the Arbitrators pursuant to Article 65 of this Proclamation may lodge appeal to the Regular Courts if the issue is at Regional level to Regional Court whish have jurisdictiom, if it is at Federal level to the Federal High Court. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9480 2/ With out prejudice to the provisions of article 61 and 62 of this proclamation, parties do not agree on concillation or arbitration the issue to regular court which have jurisdicetion. PART TEN MISCELLANEOUS PROVISIONS 68. period of limitation Any right emanated from a countract concluded by the cooperative society involving it’s properties shall be bared by statue of limitation after ten years.

69. Address of a cooperative society 1/ Any cooperative society shall have an address registered pursuant to Article 10 of this Proclamation; and all summons, notices and other communications shall be sent via such address. 2/ The cooperative society shall, within 30 days, inform the appropriate authority of any change in such address.

70. Power and Duties of the Appropriate Auhority Without prejudice to the powers and duties vested in by the provisions of other laws the Appropriate Auhority without interfering in the affairs of the cooperative societies, shall have the following powers and duties: 1/ organize, register, strengthen and cancel cooperative societies; 2/ provide uniform accounting system of cooperative society and strengthening same ; 3/ conduct study and research on cooperative societies; 4/ inspect, audits and give legal service to cooperative societies; 5/ assess and certify competence status of cooperative societies and accredit their level; 6/ build the capacity of cooperative society and their professionals; gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9481 7/ provide professional product marketing assistance to cooperative societies; 8/ develop working system that guides cooperative societies.

71. Establishment of Cooperative Societies Advisory Council 1/ The cooperative advisory council (herein after the Council) which is accountable to the Ministry of Agriculture and Natural Resource is hereby established. 2/ The members of the Council shall be persons representing the interest of the cooperative society in the country. 3/ The chairperson of the Council shall be assigned by the Ministry of Agriculture and Natural Resource. 4/ The manner of election and the number of members of the Council shall be determined by the Federal Cooperative Societies Agency. 5/ Members of the Council appointed pursuant to sub-article (4) of this Article shall be appropriate experts having the knowledge of cooperative society and dedicated to produce guiding idea, and shall be from: a) cooperative societies movement, universities that offer cooperative programs, and cooperative training centers; b) cooperative societies professionals association; c) Government and non government organizations supporting cooperative societies’ movement and prominent individuals. 6/ The term of office of members of the Council shall be determined by Federal Cooperative Agency and it shall not exceed 3 years; provided, however a member completed his term may be re-elected for additional second term. 7/ Any member of the Council may resign in writing. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9482 8/ There shall be no remuneration for the service of the members of the Council; provided, however, that the expenses incurred by them in carrying out their duties shall be remunerated by the decision of the Federal Cooperative Agency. 9/ A member of Council may, without any notice, be removed from membership for: a) serious misconduct; b) permanent incapacity; c) engaging in any activity that may undermine the integrity of the Council. 10/ The time, place and procedures of meeting of the Council shall be determined in the directive issued by the Council and be implemented upon approval by the Federal Cooperative Agency. 11/ The duties and responsibilities of the members of the Council shall be determined by directive issued by Federal Cooperative Agency.

72. Accessibility of Laws, Regulations, Directives and By-laws Any cooperative society shall deposit in its address and make accessible the Proclamation, Regulations, Directives and the by-laws related to the cooperative societies.

73. Obligation to Cooperate Any concerned organ shall have obligation to cooperate for the implementation of this Proclamation.

74. Repealed and Inapplicable laws 1/ The Cooperative Societies Proclamation No. 147/1998 (as amended by Proclamation No. 402/2004) is hereby repealed. 2/ No law, regulation or directives in so far as it is inconsistent with this Proclamation, be applicable in respect of matters provided for by this Proclamation. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9483

75. Transitory Provisions 1/ The cooperative societies which have been operating, but not registered in accordance with Proclamation No. 147/1998 (as amended by Proclamation No. 402/2004) or appropriate Regional law shall reorganize itself and get register pursuant to this Proclamation within two years from the effective date of this Proclamation. The cooperative society not registered within the prescribed time it may lose it`s right and juridical personalities. 2/ The cooperative societies which have been established and operating in accordance with Proclamation No. 147/1998 (as amended by Proclamation No. 402/2004) or appropriate Regional law shall be deemed to have been established under this Proclamation and shall continue to carry out their functions in accordance with this Proclamation. 3/ Notwithstanding Article 74 of this Proclamation, any pending issues before the effective date of this Proclamation shall be finalized in accordance with Proclamation No. 147/1998 (as amended by Proclamation No. 402/2004) or if the issue is at Regional level with appropriate Regional Proclamation.

76. Issuance of implementing legislations 1/ The Council of Ministers may issue regulation necessary for the implementation of this Proclamation. 2/ Regions may issue law in a manner which is not contrary to this proclamation and regulation issued here under. 3/ The Federal Cooperative Agency may issue directives for the implementation of this Proclamation and regulation issued pursuant to sub-article (1) of this Article. gA Ød‰L ነ U¶T Uz¤È qÜ_R ? @AB< CD qN 12, ›.M Federal Negarit Gazette No. 7 23rd December, 2016 …….page 9484
