Rigena LAW Nº 39/2017 OF 16/08/2017 ESTABLISHING THE NATIONAL FUND FOR ENVIRONMENT AND DETERMINING ITS MISSION, ORGANISATION AND FUNCTIONING We, KAGAME Paul, President of the Republic; THE PARLIAMENT HAS ADOPTED AND WE SANCTION, PROMULGATE THE FOLLOWING LAW AND ORDER IT BE PUBLISHED IN THE OFFICIAL GAZETTE OF THE REPUBLIC OF RWANDA THE PARLIAMENT: The Chamber of Deputies, in its session of 28 June 2017; Pursuant to the Constitution of the Republic of Rwanda of 2003 revised in 2015, especially in Articles 53, 64, 69, 70, 88, 90, 91, 93, 106, 112, 120, 139, 165 and 176; Having reviewed Law nº 16/2012 of 22/05/2012 determining the organization, functioning and mission of the National Fund for Environment (FONERWA); ADOPTS: CHAPTER ONE: GENERAL PROVISIONS Article One: Purpose of this Law This Law establishes the National Fund for Environment. Ingingo ya 3: Ubuzimagatozi n’ubwigenge FONERWA ifite ubuzimagatozi n’ubwigenge mu miyoborere no mu micungire y’umutungo n’abakozi byayo. Ingingo ya 4: Icyicaro cya FONERWA Icyicaro cya FONERWA kiri mu Mujyi wa Kigali, Umurwa Mukuru wa Repubulika y’u Rwanda. Gishobora kwimurirwa ahandi hose mu Rwanda igihe bibaye ngombwa. FONERWA ishobora kugira amashami ahandi hose mu Gihugu bibaye ngombwa, kugira ngo igere ku nshingano zayo, byemejwe n’Iteka rya Minisitiri w’Intebe. Ingingo ya 5: Urwego rureberera FONERWA Iteka rya Minisitiri w’Intebe rigena urwego rurebera FONERWA. UMUTWE WA II: INSHINGANO ZA FONERWA determines its mission, organisation and functioning. Article 2: Establishment of FONERWA There is established a National Fund for Environment hereinafter referred to as “FONERWA” in French acronym. FONERWA is a specialised organ. Article 3: Legal personality and autonomy FONERWA has legal personality and enjoys administrative and financial autonomy. Article 4: Head office of FONERWA The head office of FONERWA is located in the City of Kigali, the Capital of the Republic of Rwanda. It may be transferred elsewhere in Rwanda when considered necessary. FONERWA may have branches elsewhere in the country where considered necessary, in order to fulfill its mission upon approval by a Prime Minister’s Order. Article 5: Supervising organ of FONERWA An Order of the Prime Minister determines the supervising organ of FONERWA. CHAPTER II: MISSION OF FONERWA l’Environnement. Elle détermine également sa mission, son organisation et son fonctionnement. Article 2: Création de FONERWA Il est créé un Fonds National de l’Environnement, dénommé “FONERWA”. FONERWA est un organe spécialisé. Article 3: Personnalité juridique et autonomie FONERWA est doté de la personnalité juridique et de l’autonomie financière et administrative. Article 4: Siège de FONERWA Le siège de FONERWA est établi dans la Ville de Kigali, Capitale de la République du Rwanda. Il peut, en cas de besoin, être transféré en tout autre lieu au Rwanda. FONERWA peut établir, après approbation par arrêté du Premier Ministre, des branches en tout autre lieu du pays en cas de besoin pour s’acquitter de sa mission. Article 5: Organe de tutelle de FONERWA Un arrêté du Premier Ministre détermine l’organe de tutelle de FONERWA. CHAPITRE II: MISSION DE FONERWA 82 Official Gazette nº Special of 18/08/2017 Ingingo ya 6: Inshingano za FONERWA FONERWA ifite inshingano zikurikira: 1 º gushaka no gucunga umutungo ukoreshwa mu gutera inkunga ibikorwa bigamije kurengera no kubungabunga ibidukikije n’umutungo kamere; 2 º gushaka no gucunga inkunga yo guhangana n’imihindagurikire y’ibihe n’ingaruka zayo; 3 º gukusanya no gucunga inkunga zituruka mu nzego za Leta, iz’abigenga, mu bufatanye ku rwego rw’ibihugu bibiri cyangwa mu rwego mpuzamahanga hagamijwe kugera ku ntego z’igihugu zigamije guteza imbere ingamba z’ibanze z’Igihugu mu bijyanye n’ibidukikije n’imihindagurikire y’ibihe; 4 º gutera inkunga inzego za Leta, amashyirahamwe n’abantu ku giti cyabo hagamijwe kurengera no kubungabunga ibidukikije, kubikoraho ubushakashatsi no guhangana n’imihindagurikire y’ibihe; 5 º guhuza ibikorwa no gukora ku buryo amasezerano Article 6: Responsibilities of FONERWA FONERWA has the following responsibilities: 1 º to mobilise and manage resources used in financing activities aiming at protecting and preserving environment and natural resources; 2 º to mobilise and manage funds to be used in the fight against climate change and its impact; 3 º to collect and manage funds from public, private, through a bilateral and multi-lateral partnership to achieve the country’s objectives to advance national priorities in the field of environment and climate change; 4 º to support public organs, associations and individuals for environment protection and conservation, research as well as the fight against the climate change; 5 º to coordinate and ensure that various finance Article 6: Attributions de FONERWA FONERWA a les attributions suivantes: 1 º mobiliser et gérer des fonds pour le financement des activités visant la protection et la préservation de l’environnement et des ressources naturelles; 2 º mobiliser des fonds à utiliser dans la lutte contre les changements climatiques et leurs effets; 3 º collecter et gérer les financements provenant des contributions publiques, privées, dans le cadre d’un partenariat bilatéral et multilatéral en vue d’atteindre les objectifs du pays visant à faire avancer les priorités nationales en matière d'environnement et des changements climatiques; 4 º appuyer les organes publics, les associations et les individus dans le but de la protection et la conservation de l’environnement ainsi que la recherche et la lutte contre les changements climatiques; 5 º coordonner et veiller à ce que les différents accords de partenariat de 83 Official Gazette nº Special of 18/08/2017 y’ubufatanye atandukanye yerekeye inkunga zigamije gukumira ndetse no guhangana n’imihindagurikire y’ibihe ategurwa kandi agacungwa neza mu nzego zose zo mu Gihugu. 6 º gukorana n’izindi nzego zo mu Rwanda, mu karere u Rwanda ruherereyemo no mu mahanga bihuje inshingano. UMUTWE WA III: IMITERERE N’IMIKORERE BYA FONERWA Ingingo ya 8: Inzego z’ubuyobozi za FONERWA FONERWA igizwe nʼinzego z’ubuyobozi ebyiri (2) zikurikira: 1° Inama y’Ubuyobozi; 2° Urwego Nshingwabikorwa. Icyiciro cya mbere: Inama y’Ubuyobozi Ingingo ya 9: Abagize Inama y’Ubuyobozi Inama y’Ubuyobozi ni rwo rwego rukuru rwa FONERWA. Igizwe n’abantu icyenda (9) bashyirwaho partnership agreements related to prevention as well as fighting against climate change are prepared and effectively managed across various national stakeholders. 6 º to collaborate with other national regional and international institutions with the same mission. Article 7: List of activities and projects financed by FONERWA An Order of the Minister in charge of environment establishes the list of activities and projects to be financed by FONERWA. CHAPTER III: ORGANISATION AND FUNCTIONING OF FONERWA Article 8: Management organs of FONERWA FONERWA is comprised of the following two (2) management organs: 1° the Board of Directors; 2° the Executive Organ. Section One: Board of Directors Article 9: Composition of the Board of Directors The Board of Directors is the supreme organ of FONERWA. CHAPITRE III: ORGANISATION ET FONCTIONEMENT DE FONERWA Article 8: Organes de direction de FONERWA FONERWA est doté de deux (2) organes de direction suivants: 1° le Conseil d’Administration; 2° l’Organe Exécutif. Section première: Conseil d’Administration Article 9: Composition du Conseil d’Administration Le Conseil d’Administration est l’organe suprême de FONERWA. Nibura mirongo itatu ku ijana (30%) by’abagize Inama y’Ubuyobozi ya FONERWA bagomba kuba ari abagore. Iteka rya Perezida rigena igihe abagize Inama y’Ubuyobozi bamara ku mirimo yabo n’uburyo basimburwa. Ingingo ya 10: Ububasha bw’Inama y’Ubuyobozi Inama y’Ubuyobozi ya FONERWA ifite ububasha busesuye bwo gufata ibyemezo mu byerekeye ubuyobozi, abakozi n’umutungo bya FONERWA kugira ngo ishobore kugera ku nshingano zayo. Ingingo ya 11: Inshingano z’Inama y’Ubuyobozi Inshingano z’ingenzi z’Inama y’Ubuyobozi ni izi zikurikira: 1° gukurikirana imikorere y’Urwego Nshingwabikorwa rwa FONERWA no gutanga umurongo ngenderwaho ugomba gukurikizwa n’Urwego Nshingwabikorwa appointed by a Presidential Order including the Chairperson and the Vice-Chairperson. Members of the Board of Directors are selected from Rwandans or foreigners on the basis of their competence and expertise in matters related to environment conservation or finance. At least thirty percent (30%) of the members of the Board of Directors of FONERWA must be females. A Presidential Order determines the term of office of the members of the Board of Directors as well as the modalities of their replacement. Article 10: Powers of the Board of Directors The Board of Directors of FONERWA is vested with the most extensive power to make decisions regarding administration, human resources and property of FONERWA in order to fulfil its responsibilities. Article 11: Responsibilities of the Board of Directors The main responsibilities of the Board of Directors are the following: 1 º to oversee the functioning of the Executive Organ of FONERWA and to provide strategic guidance to be followed by the Executive Organ in fulfillment of its mandate; nommés par arrêté présidentiel dont le Président et le Vice- Président. Les membres du Conseil d’Administration sont choisis parmi les Rwandais ou les étrangers sur base de leur compétence et leur expertise dans le domaine de conservation de l’environnement ou des finances. Au moins trente pour cent (30%) des membres du Conseil d’Administration de FONERWA doivent être de sexe féminin. Un arrêté présidentiel détermine le mandat des membres du Conseil d’Administration ainsi que les modalités de leur remplacement. Article 10: Pouvoirs du Conseil d’Administration Le Conseil d’Administration de FONERWA est investi des pouvoirs les plus étendus de décider de tout ce qui concerne l’administration, les ressources humaines et le patrimoine de FONERWA pour s’acquitter de ses attributions. Article 12: Duties of the Chairperson of the Board of Directors The Chairperson of the Board of Directors has the following duties: 1 º to convene and preside over the meetings of the Board of Directors; 2 º to submit on time, reports of FONERWA to relevant organs; 3 º to make a follow up of the implementation of the decisions of the Board of Directors; devoirs et attributions des membres du personnel et fixer les conditions de l’emploi après consultation avec les Ministères ayant la protection et la préservation de l’environnement, la fonction publique et les finances dans leurs attributions; 11 º nommer et révoquer les membres du personnel de FONERWA, à l’exception du Directeur Général en Chef et son adjoint; 12 º décider sur toute autre question en rapport avec la mission de FONERWA que la présente loi ou une autre loi n’a pas confié à un autre organe de FONERWA. Article 13: Duties of the Vice Chairperson of the Board of Directors The Vice-Chairperson of the Board of Directors of FONERWA has the following duties: 1 º to assist the Chairperson and deputize for him/her in case of absence; 2 º to perform such other duties falling within the mission of the Board of Directors as may be assigned to him/her by the Board of Directors. Article 14: Incompatibilities with membership of the Board of Directors of FONERWA Members of the Board of Directors of FONERWA are not allowed to perform any remunerated activity within FONERWA. Members of the Board of Directors are also not allowed, whether individually or through companies in which they hold shares, to bid for tenders of FONERWA. Article 15: Reasons for loss of membership to the Board of Directors and modalities for replacement A member of the Board of Directors loses membership if: 4 º accomplir toutes les tâches relevant de la mission du Conseil d’Administration que ce dernier peut lui confier. Article 16: Convening and holding of meetings of the Board of Directors The meeting of the Board of Directors of FONERWA is held once a quarter and whenever necessary, upon a written invitation by its Chairperson or Vice Chairperson in case of absence of its Chairperson, at his/her own initiative or upon request in writing by at least one third (1/3) of its members. The invitation is submitted in writing to members of the Board of Directors at least fifteen (15) days before the meeting is held. However, an extraordinary meeting is convened in writing at least three (3) working days before the meeting is held. Items to be examined by the meeting of the Board of Directors in the first quarter of the year include the approval of the financial and activity reports of the previous year. In every quarter, the Board of Directors must examine the financial and activity reports relating to the previous quarter to be submitted to the supervising organ of FONERWA. Article 17: Quorum for holding a meeting of the Board of Directors The quorum for the meeting of the Board of Directors to take place is two thirds (2/3) of its members. Article 16: Convocation et tenue des réunions du Conseil d’Administration La réunion du Conseil d’Administration de FONERWA se tient une fois par trimestre et chaque fois que de besoin, sur invitation écrite de son Président ou de son Vice-Président en cas d’absence du Président, de sa propre initiative ou à la demande écrite d’au moins un tiers (1/3) de ses membres. L’invitation est adressée par écrit aux membres du Conseil d’Administration au moins quinze (15) jours avant la tenue de la réunion. Toutefois, une réunion extraordinaire est convoquée par écrit au moins trois (3) jours ouvrables avant la tenue de la réunion. Sur les points à examiner par le Conseil d’Administration au cours du premier trimestre, figure l’approbation du rapport financier et du rapport d’activités de l’année précédente. Chaque trimestre, le Conseil d’Administration doit examiner le rapport financier et le rapport d’activités relatifs au trimestre précédent et les transmet à l’organe de tutelle de FONERWA. Ingingo ya 20: Iyemezwa ry’ibyemezo by’inama y’Inama y’Ubuyobozi n’inyandikomvugo yayo Inyandiko y’ibyemezo by’inama y’Inama y’Ubuyobozi ishyirwaho umukono n’abayitabiriye inama ikirangira. However, when a meeting is convened for the second time, it takes place regardless of the number of its members present. The Chief Executive Officer attends the meetings of the Board of Directors but he/she has no right to vote in decision making. Article 18: Decisions making Modalities for decision-making by the Board of Directors are determined by internal rules and regulations of FONERWA. Article 19: Invitation of a resource person to the meetings of the Board of Directors The Board of Directors may invite to its meeting any person from whom it may seek advice on a certain item on the agenda. The invited person is not allowed to vote or to follow debates on other items on the agenda. Article 20: Approval of resolutions and minutes of the meeting of the Board of Directors Resolutions of the meeting of the Board of Directors are signed by members who participated in the meeting immediately after its end. The minutes of the meeting of the Board of Directors are signed by the Chairperson and its rapporteur upon approval in the next meeting. Toutefois, lorsque la réunion est convoquée pour la deuxième fois, elle se tient sans considération du nombre de ses membres présents. Le Directeur Général en Chef participe aux réunions du Conseil d’Administration mais il n’a pas le droit de voter lors de la prise de décisions. Article 19: Invitation d’une personne ressource aux réunions du Conseil d’Administration Le Conseil d’Administration peut inviter à sa réunion toute personne dont il peut obtenir des conseils sur un point à l’ordre du jour. La personne invitée n’est pas autorisée à voter ou à suivre les débats sur d’autres points à l’ordre du jour. Article 20: Approbation des résolutions et procès-verbal de la réunion du Conseil d’Administration Les résolutions de la réunion du Conseil d’Administration sont immédiatement signées par ses membres présents après la séance de la réunion. Article 21: Rapporteur of the meeting of the Board of Directors The Chief Executive Officer of FONERWA is the rapporteur of the meeting of the Board of Directors. The Chief Executive Officer of FONERWA does not participate in the meetings that take decisions on issues that concern him/her. In that case, members of the Board of Directors elect among themselves a rapporteur. Article 22: Personal interest in issues on the agenda When a member of the Board of Directors has a direct or indirect interest in the issue to be examined, he/she must immediately inform the Board of Directors about where his/her interest lies. The member informing of interests in the issue to be examined cannot attend the meeting deliberating on that issue. When it is proved that many or all members of the Board of Directors have direct or indirect interest in the issue to be examined in such a way that it is impossible to take a decision on the issue, the issue is submitted to the supervising organ of FONERWA for a ruling thereon within thirty (30) days. Article 23: Sitting allowances for members of the Board of Directors Sitting allowances entitled to members of the Board of Directors attending the meetings of the Board of Directors are determined by a Presidential Order. Article 21: Rapporteur de la réunion du Conseil d’Administration Le Directeur Général en Chef de FONERWA est le rapporteur de la réunion du Conseil d’Administration. Article 22: Intérêt personnel dans les points à l’ordre du jour Lorsqu’un membre du Conseil d’Administration a un intérêt direct ou indirect dans un point à examiner, il doit en informer immédiatement le Conseil d’Administration et montrer où ses intérêts reposent. Le membre qui informe de son intérêt dans un point à examiner ne participe pas à la réunion qui examine ce point. Lorsqu’il apparaît que beaucoup ou tous les membres du Conseil d’Administration ont un intérêt direct ou indirect dans un point à examiner de sorte que la prise de décision sur ces points devienne impossible, ces points sont soumis à l’organe de tutelle de FONERWA afin de décider sur l’affaire endéans trente (30) jours. Ingingo ya 26: Imikorere y’Urwego Nshingwabikorwa rwa FONERWA Imikorere y’abagize Urwego Nshingwabikorwa rwa FONERWA igenwa n’amategeko ngengamikorere yayo. Section 2: Executive Organ Article 24: Responsibilities of the Executive Organ The Executive Organ of FONERWA has the following responsibilities: 1 º to monitor and coordinate daily functions and activities; 2 º to perform such other duties falling within the mission of FONERWA as may be assigned by the Board of Directors. Article 25: Composition of the Executive Organ of FONERWA The Executive Organ of FONERWA is comprised of the Chief Executive Officer appointed by a Presidential Order and other staff members recruited in accordance with the rules and regulations of FONERWA. A Presidential Order may also appoint the Deputy Chief Executive Officer and determine his/her powers and responsibilities. Article 26: Functioning of the Executive Organ of FONERWA The functioning of members of the Executive Organ of FONERWA is determined by its internal rules and regulations. d’Administration sont déterminés par arrêté présidentiel. Article 27: Powers and responsibilities of the Chief Executive Officer The Chief Executive Officer of FONERWA is entrusted with the daily management of activities of the Executive Organ. The main responsibilities of the Chief Executive Officer of FONERWA are the following: 1 º to prepare and coordinate the activities of FONERWA; 2 º to follow-up and implement resolutions of the Board of Directors of FONERWA; 3 º to serve as a legal representative of FONERWA; 4 º to monitor the daily management of FONERWA; 5 º to prepare and submit the draft annual budget proposal and submit it to the Board of Directors for approval; 6 º to be the General Chief Budget manager; 7 º to make the annual activities report of FONERWA; 8 º to perform such other duties falling within the mission of FONERWA as may be assigned to him/her by the Board of Directors. UMUTWE WA IV: UMUTUNGO N’IMARI BYA FONERWA Ingingo ya 30: Umutungo wa FONERWA n’inkomoko yawo Umutungo wa FONERWA ugizwe n’ibintu byimukanwa n’ibitimukanwa. Umutungo wa FONERWA ukomoka kuri ibi bikurikira: 1 º ingengo y’imari igenerwa na Leta; 2 º inkunga n’imfashanyo; 3 º impano n’indagano; 4 º zeru n’igice kimwe ku ijana (0.1%) y’ikiguzi cy’umushinga wakorewe isuzumangaruka ku Article 28: Statutes governing the staff of FONERWA The staff of FONERWA are governed by a special statute established by the Board of Directors. Article 29: Salaries and fringe benefits of the members of the Executive Organ of FONERWA A Presidential Order determines the salary and fringe benefits allocated to the Chief Executive Officer and a Deputy Chief Executive Officer of FONERWA. The salary grid and fringe benefits allocated to other staff of FONERWA are approved by the Board of Directors. CHAPTER IV: PROPERTY AND FINANCE OF FONERWA Article 30: Property of FONERWA and its sources The property of FONERWA is comprised of movable and immovable assets. FONERWA internal audit unit submits a report, every quarter, to the Board of Directors and provides a copy to the Chief Executive Officer of FONERWA. Article 32: Annual financial report Within a period not exceeding three (3) months following the end of the financial year, the Chief Executive Officer of FONERWA submits the annual financial report to the supervising organ after its approval by the Board of Directors in accordance with relevant laws. CHAPTER V: MISCELLANEOUS AND FINAL PROVISIONS Article 33: Transfer of property The movable and unmovable assets, debts and name of FONERWA governed by Law nº 16/2012 of 22/05/2012 determining the organization, functioning and mission of FONERWA are transferred to FONERWA established by this Law. Article 34: Drafting, consideration and adoption of this Law This Law was drafted in English, considered and adopted in Kinyarwanda. Article 35: Repealing provision Law nº 16/2012 of 22/05/2012 determining the organization, functioning and mission of the National Fund for Environment (FONERWA) as well as all prior provisions contrary to this Law are repealed. Article 32: Rapport annuel des états financiers Dans un délai ne dépassant pas trois (3) mois qui suivent la fin de l’exercice financier, le Directeur Général en Chef de FONERWA soumet le rapport des états financiers à l’organe de tutelle, après son approbation par le Conseil d’Administration conformément à la législation en la matière. CHAPITRE V: DISPOSITIONS DIVERSES ET FINALES Article 33: Transfert du patrimoine Les biens meubles et immeubles, dettes et le nom de FONERWA régi par la Loi nº 16/2012 du 22/05/2012portant organisation, fonctionnement et mission de FONERWA sont transférés à FONERWA régi par la présente loi. Article 34: Initiation, examen et adoption de la présente loi La présente loi a été initiée en anglais, examinée et adoptée en kinyarwanda.
