It determines also its mission, responsibilities, organisation and functioning. Elle détermine également sa mission, ses attributions, son organisation et son fonctionnement. Article 2: Personnalité juridique et autonomie RWB est doté d’une personnalité juridique et jouit d’une autonomie administrative et financière et est géré conformément à la législation en la matière. UMUTWE WA II: INTEGO, INSHINGANO N’UBUBASHA BYA RWB Ingingo ya 5: Intego ya RWB Intego ya RWB ni uguharanira ko haboneka umutungo kamere w’amazi uhagije kandi ucunzwe neza hagamijwe iterambere rirambye. Article 3: Category of RWB RWB falls within the category of non commercial public institutions. Article 4: Head office of RWB The head office of RWB is located in the City of Kigali, the Capital of the Republic of Rwanda. It may be relocated elsewhere on the Rwandan territory if considered necessary upon approval by a Prime Minister’s Order. RWB may, if considered necessary and upon approval by a Prime Minister’s Order, have branches elsewhere in the country. CHAPTER II: MISSION, RESPONSIBILITIES AND POWERS OF RWB Article 5: Mission of RWB The mission of RWB is to ensure the availability of enough and well managed water resources for sustainable development. Article 3: Catégorie du RWB RWB rentre dans la catégorie des établissements publics à caractère non commercial. Article 4: Siège du RWB Le siège du RWB est établi dans la Ville de Kigali, Capitale de la République du Rwanda. Il peut, en cas de besoin, être transféré en tout autre lieu du territoire du Rwanda sur approbation d’un arrêté du Premier Ministre. RWB peut, en cas de besoin et sur approbation d’un arrêté du Premier Ministre, établir des branches en tout autre lieu du territoire national. CHAPITRE II: MISSION, ATTRIBUTIONS ET POUVOIRS DU RWB Article 5: Mission du RWB La mission du RWB est d’assurer la disponibilité des ressources en eau suffisantes et bien gérées pour un développement durable. CHAPTER IV: ORGANISATION AND FUNCTIONING OF RWB Article 10: Management organs of RWB The management organs of RWB are the following: 1° the Board of Directors; 2° the Executive Organ. Section One: Board of Directors of RWB Article 11: Composition of the Board of Directors of RWB The Board of Directors of RWB is composed of seven (7) members appointed by a Presidential Order, including the Chairperson and the Deputy Chairperson. Members of the Board of Directors of RWB are selected on the basis of their competence and expertise. At least thirty per cent (30%) of members of the Board of Directors of RWB must be female. A Presidential Order determines the term of office and replacement of members of the Board of Directors of RWB. Article 12: Powers of the Board of Directors of RWB The Board of Directors of RWB is the supreme management and decision making organ. It has absolute power to make decisions regarding administration, human resources and property of RWB in order to fulfil its mission. Article 16: Incompatibilities with membership of the Board of Directors of RWB A member of the Board of Directors of RWB is not allowed to perform any remunerated activity within RWB. A member of the Board of Directors is also not allowed, whether individually or through companies in which he or she holds shares, to bid for tenders of RWB. Article 18: Convening and holding of a meeting of the Board of Directors of RWB and decision-making The meeting of the Board of Directors of RWB is held once a quarter and whenever necessary upon invitation by its Chairperson or, in his or her absence, by its Deputy Chairperson at his or her own initiative or at the request in writing of at least one third (1/3) of its members. Every quarter, the Board of Directors of RWB must also examine the financial and activity reports relating to the previous quarter to be transmitted to the supervising authority of RWB. The quorum for a meeting of the Board of Directors of RWB consists of two thirds (2/3) of its members. However, when a meeting is convened for the second time it takes place regardless of its members present. The Director General of RWB attends the meetings of the Board of Directors of RWB. Procedures for decision-making by the Board of Directors of RWB are determined by internal rules and regulations of RWB. Iyo icyo gihe kirenze Article 19: Invitation of a resource person to a meeting of the Board of Directors of RWB The Board of Directors of RWB may invite to its meeting any person from whom it may seek advice on a certain item on the agenda. Article 20: Approval of resolutions and minutes of the meeting of the Board of Directors of RWB Members of the Board of Directors of RWB sign the resolutions of the meeting of the Board of Directors of RWB immediately after the meeting and a copy thereof is sent to the supervising authority of RWB within five (5) working days. The head of the supervising authority of the RWB provides his or her views on the resolutions of the meeting of the Board of Directors of RWB within fifteen (15) working days from the day of reception of the resolutions. The minutes of the meeting of the Board of Directors of RWB are signed jointly by the Chairperson and its rapporteur and approved at the next meeting. A copy of the minutes of the meeting is sent to the supervising organ of RWB within fifteen (15) working days from the day of approval. Article 21: Rapporteur of the meeting of the Board of Directors of RWB The Director General of RWB serves as the rapporteur of the meeting of the Board of Directors of RWB but he or she has no right to vote in decision making. The Director General of RWB does not attend meetings that examine issues concerning him or her. If the meeting is considering issues that concern him or her, members of the Board of Directors elect from among themselves a rapporteur. Section 2: Executive Organ of RWB Article 24: Composition of the Executive Organ of RWB and modalities for appointment The Executive Organ of RWB is comprised of the Director General appointed by a Presidential Order and other staff members recruited in accordance with relevant laws. A Presidential Order may also appoint a Deputy Director General and determine his or her powers and duties. Article 25: Responsibilities of the Executive Organ of RWB The Executive Organ of RWB has the following responsibilities: 1° to monitor and coordinate daily functions and activities of RWB; 2° to perform such other duties under the responsibilities of RWB as the Board of Directors can assign to him or her. Article 29: Organisational structure, salaries and fringe benefits allocated to the staff of RWB A Prime Minister’s Order determines the organisational structure, job profile, salaries and fringe benefits allocated to the staff of RWB. CHAPTER V: PROPERTY AND FINANCE OF RWB Article 30: Property of RWB and its sources The property of RWB comprises of movable and immovable assets. The property of RWB derives from the following sources: 1° State budget allocations; 2° State or development partners’ subsidies; 3° income from services rendered; 4° interests from its property; 5° loans granted to RWB as approved by the Minister in charge of finance; 6° donations and bequests. Article 31: Preparation and approval of the budget of RWB RWB prepares its annual budget to be approved by the competent authority and executed in accordance with relevant laws. Article 32: Use, management and audit of the property of RWB The use, management and audit of the property of RWB are carried out in accordance with relevant laws. The internal audit service of RWB submits a report to the Board of Directors with a copy to the Director General of RWB. Article 33: Annual financial report of RWB The Director General of RWB is required, within three (3) months following the closure of the financial year, to submit the annual financial statements to the supervising authority of RWB after approval by the Board of Directors of RWB in accordance with laws governing the management of State finance and property. CHAPTER VI: MISCELLANEOUS, TRANSITIONAL AND FINAL PROVISIONS Article 34: Transfer of employees The employees of Rwanda Water and Forestry Authority formerly governed by the Law nº 06/2017 of 03/02/2017 establishing Rwanda Water and Forestry Authority and determining its mission, organisation and functioning are transferred to RWB established by this Law, in accordance with its organisational structure. Article 35: Transfer of property, liabilities and contracts The property, liabilities and contracts of the Rwanda Water and Forestry Authority established by the Law nº 06/2017 of 03/02/2017 establishing Rwanda Water and Forestry Authority and determining its mission, organisation and functioning are transferred to RWB established by this Law, in accordance with its responsibilities. CHAPITRE VI: DISPOSITIONS DIVERSES, TRANSITOIRE ET FINALES Article 34: Transfert du personnel Le personnel de l’Office Rwandais des Eaux et des Forêts anciennement régi par la Loi n° 06/2017 du 03/02/2017 portant création de l’Office Rwandais des Eaux et des Forêts et déterminant ses missions, son organisation et son fonctionnement est transféré au RWB créé par la présente loi conformément à son cadre organique. Article 35: Transfert du patrimoine, du passif et des contrats Le patrimoine, le passif et les contrats de l’Office Rwandais des Eaux et des Forêts créé par la Loi n° 06/2017 du 03/02/2017 portant création de l’Office Rwandais des Eaux et des Forêts et déterminant ses missions, son organisation et son fonctionnement sont transférés au RWB créé par la présente loi conformément à ses attributions. Article 36: Transitional period Organs to which this Law applies have a time limit of six (6) months from the date of publication of this Law in the Official Gazette of the Republic of Rwanda to comply with the provisions of this Law. Article 37: Drafting, consideration and adoption of this Law This Law was drafted in English, considered and adopted in Ikinyarwanda. Article 38: Repealing provision Law nº 06/2017 of 03/02/2017 establishing Rwanda Water and Forestry Authority and determining its mission, organisation and functioning and all prior legal provisions contrary to this Law are repealed. Article 36: Période transitoire Les organes auxquels s’applique la présente loi disposent d’un délai de six (6) mois à compter du jour de sa publication au Journal Officiel de la République du Rwanda pour se conformer aux dispositions de la présente loi.
