የኢትዮጵያ ፌደራላዊ ዲሞክራሲያዊ ሪፐብሊክ ፌደራል ነጋሪት ጋዜጣ FEDERAL NEGARIT GAZETTE OF THE FEDERAL DEMOCRATIC REPUBLIC OF ETHIOPIA ሃያ ሁለተኛ ዓመት ቁጥር ፩፻፩ 22nd Year No.101 አዲስ አበባ ሐምሌ ፳፱ ቀን ፪ሺ፰ዓ.ም በኢትዮጵያ ፌደራላዊ ዲሞክራሲያዊ ሪፐብሊክ ADDIS ABABA 5 thAugest, 2016 የሕዝብ ተወካዮች ምክር ቤት ጠባቂነት የወጣ አዋጅ ቁጥር ፱፻፹/፪ሺ፰ ዓ.ም Proclamation No.980/2016 የንግድ ምዝገባና ፍቃድ አዋጅ………..ገጽ ፱ሺ፩፻፺፬ Commercial Registration and Licensing Proclamation …..…………………….. --Page 9194 አዋጅ ቁጥር ፱፻፹/፪ሺ፰ ዓ.ም Proclamation No. 980/2016 የንግድ ምዝገባና ፈቃድ አዋጅ COMMERCIAL REGISTRATION AND BUSINESS LICENSING PROCLAMATION የንግድ ምዝገባ እና የንግድ ሥራ ፈቃድ WHEREAS, it has become necessary to አገልግሎት አሰጣጥ ሥርዓትን ፍትሀዊ፣ ዘመናዊ፣ put in place a fair, modern, fast and accessible system ቀልጣፋ እና ተደራሽ በማድረግ የንግዱን ማህበረሰብ of commercial registration and business licensing እና ህብረተሰቡ ከንግዱ ሥርዓት የሚጠብቀውን services; to close loopholes in legislation and working procedures and, hence, enable the business አገልግሎት እንዲያገኝ የሕግና የአሠራር ክፍተቶችን community and the society obtain the services they በመድፈንና እርካታን በማሳደግ በአገሪቱ ሁለንተናዊ require and expect from the commercial system, to ኢኮኖሚ ውስጥ የበኩሉን ሚና እንዲጫወት ማድረግ increase the societies satisfaction and contribute to the በማስፈለጉ፤ comprehensive economic changes in the nation; የንግድ ምዝገባ እና የንግድ ፈቃድ አሰጣጥን WHEREAS, It is found necessary to በዘመናዊ ቴክኖሎጂ እንዲደገፍ በማድረግ የንግድ support commercial registration and licensing ሥርዓቱ ለመረጃ አያያዝ አመቺ እንዲሆን፣ ሕገወጥ activities with modern technology in order to make እንቅስቃሴ ለመግታት የሚያስችል፣ ለመንግስት፣ them suitable for data management, to combat illegality and make data accessible to the government, ለህብረተሰብ እና የሚመለከታቸው አካላት ተገቢውን the society and concerned authorities; መረጃ እንዲያገኙ ማድረግ በማስፈለጉ፤ የንግድ ሥርዓቱ ግልፅነት፣ ተጠያቂነት እና መልካም It is found imperative that the commercial አስተዳደር የሰፈነበት በማድረግ የአገሪቱን ራዕይ system maintains principles of transparency, ለማሳካት እንዲቻል አገሪቱ ዘመናዊ የንግድ accountability and good governance and, in so doing, realize the nation’s vision; ምዝገባና ፈቃድ ሕግ እንዲኖራት ማድረግ አስፈላጊ ሆኖ በመገኘቱ፤ በኢትዮጵያ ፌደራላዊ ዲሞክራሲያዊ NOW, THEREFORE, this Proclamation ሪፐብሊክ ሕገ መንግስት አንቀፅ ፶፭(፩) መሠረት has been promulgated in pursuance of Article 55/1/ of የሚከተለው ታውጇል፡፡ the Federal Democratic Republic of Ethiopia.

ክፍል አንድ PART ONE ጠቅላላ GENERAL ፩. አጭር ርዕስ 1. Short Title ይህ አዋጅ “የንግድ ምዝገባና ፍቃድ አዋጅ This Proclamation may be cited as the “Commercial Registration and Licensing ቁጥር ፱፻፹/፪ሺ፰” ተብሎ ሊጠቀስ ይችላል፡፡ Proclamation No. 980/2016”. ÃNÇ êU nU¶T Uz¤È ±.œ.q.Ü *¹þ1 Unit Price Negarit G. P.O.Box 80001 gA ፱ሺ፩፻፺፭ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9195 ፪. ትርጓሜ 2. Definitions በዚህ አዋጅ ውስጥ የቃሉ አግባብ ሌላ ትርጉም In this Proclamation unless the context requires የሚያሰጠው ካልሆነ በስተቀር፦ otherwise: ፩/ “የንግድ ሕግ” ማለት የኢትዮጵያ የንግድ 1/ “Commercial Code” means the Commercial ሕግ ነው፤ Code of Ethiopia; ፪/ “ነጋዴ” ማለት ንግድን የሙያ ሥራው 2/ “business person” means any person who አድርጎ ተገቢ ጥቅም ለማግኘት በንግድ ሕግ professionally and for gain carries on any of ላይ የተዘረዘሩትን ሥራዎች የሚሠራ ወይም the activities specified in the Commercial አገልግሎት የሚሰጥ የንግድ ሥራ ነው Code or who dispenses services, or who ተብሎ በሕግ የሚወሰነውን ሥራ የሚሠራ carries on those commercial activities ማንኛውም ሰው ነው፤ designated as such by law; ፫/ “የንግድ ሥራ” ማለት በዚህ አንቀጽ ንዑስ 3/ “commercial activity” means any activity አንቀጽ (፪) በተተረጎመው መሠረት ነጋዴ carried on by a business person as defined የሚሰራው ማንኛውንም ሥራ ነው፤ under sub-article (2) of this Article; ፬/ “አገልግሎት” ማለት ደመወዝ ወይም የቀን 4/ “service” means any commercial dispensing ሙያተኛ ክፍያ ያልሆነ ገቢ የሚያስገኝ of services for consideration other than salary ማንኛውም አገልግሎት የመስጠት ንግድ ሥራ or wages; ነው፤ ፭/ “የአገር ውስጥ ንግድ” ማለት እንደአግባቡ 5/ “domestic trade” includes wholesale or retail በኢትዮጵያ ውስጥ የንግድ ዕቃ በጅምላ ወይም of goods or the dispensing of services or the በችርቻሮ መሸጥን ወይም አገልግሎት supply of live animal to the market after መስጠትን ወይም ቁም እንስሳትን ከአምራች buying from producer or directly after ገዝተው ወይም አደልበው ለገበያ የሚያቀርቡ fattening in Ethiopia as may be appropriate; ትን የሚያካትት ነው፤ ፮/ “የውጭ ንግድ” ማለት ለሽያጭ የሚሆኑትን 6/ “foreign trade” means the exporting from or የንግድ ዕቃዎች እና አገልግሎቶችን importing into Ethiopia of goods and services for sale; ከኢትዮጵያ ወደ ውጭ መላክ ወይም ከውጭ አገር ወደ ሀገር ውስጥ የማስመጣት ንግድ ሥራ ነው፤ ፯/ “የንግድ ወኪል” ማለት ከነጋዴው ጋር 7/ “commercial agents” means a person not bound እንዲሠራ በውል የተቀጠረ ሳይሆን ነጋዴ to a business person by a contract of ሆኖ ራሱን የቻለ ሥራ ሊሠራ በተወሰነ employment and carrying out independent business activity, who is entrusted by a business ሥፍራ በነጋዴው ስምና ምትክ ውል person to represent him permanently in a እንዲዋዋል ውክልና የተሰጠው ሰው ነው፤ specified area and to make agreements in the name and on behalf of the business person; ፰/ “የንግድ ዕቃዎች” ማለት ገንዘብና ገንዘብነት 8/ “goods” means any moveable goods that are ካላቸው ሰነዶች በስተቀር ማናቸውም የሚገዙ being purchased or sold or leased or by ወይም የሚሸጡ ወይም የሚከራዩ ወይም which any commercial activity is conducted በሌላ ሁኔታ በሰዎች መካከል የንግድ ሥራ between persons, except monies in any form and securities; የሚከናወንባቸው የሚንቀሳቀሱ ዕቃዎች ናቸው፤ ፱/ “የንግድ እንደራሴ” ማለት መኖሪያው የወካዩ 9/ “commercial representative” means any person who is not domiciled in the country where the የንግድ ማህበር ወይም ነጋዴ ጽሕፈት ቤት head office of the business organization or the ባለበት አገር ያልሆነና ከንግድ ማህበሩ business person he represents is situate, bound ወይም ከነጋዴው ጋር በተዋዋለው የሥራ to such business organization or business ውል መሠረት በንግድ ማህበሩ ወይም person by a contract of employment and በነጋዴው ስምና ምትክ ሆኖ ነጋዴ ሳይሆን entrusted with the carrying out of any trade የንግድ ማስፋፋት ተግባር የሚያከናውን ሰው promotion activities on behalf and in the name ነው፤ of the business organization or the business person he represents, without being a business person himself;

gA ፱ሺ፩፻፺፮ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9196 ፲/ “የንግድ ስም” ማለት አንድ ነጋዴ ለንግድ 10/ “Trade Name” means a name that a given ሥራው የሚጠቀምበት እና በህብረተሰቡ business person uses for his business or ዘንድ በግልጽ የሚታወቅበት ስም ነው፤ known by the society as such; ፲፩/ “የንግድ ድርጅት ስም” ማለት አንድ የንግድ 11/ “name of business” means a name that is ድርጅት ለንግድ ምዝገባ የሚጠቀምበት፣ used by a business organization for commercial registration and by which such በመዝጋቢው መሥሪያ ቤት እና በሦስተኛ business organization is recognized as a legal ወገኖች የሕግ ሰውነት ያለው መሆኑ person by the registering office or third party; የሚታወቅበት ስም ነው፤ ፲፪/ “የፀና የንግድ ሥራ ፍቃድ" ማለት በዚህ 12/ “valid business license” means a business አዋጅ መሰረት በበጀት ዓመቱ የተሰጠ license issued or renewed in the budget year pursuant to this Proclamation or a valid ወይም የታደሰ ወይም በዚህ አዋጅ መሠረት business license which may be renewed ያለቅጣት የሚታደስበት ጊዜው ያላለፈበት without penalty pursuant to this የንግድ ሥራ ፈቃድ ነው፤ Proclamation; ፲፫/ “ኢንዱስትሪ” ማለት ማንኛውም የንግድ 13/ “industry” means being any commercial ተግባር ሆኖ በሞተር ኃይል የሚንቀሳቀሱ activity, includes the manufacturing of goods and inputs used to produce goods using ወይም በሌሎች መሣሪያዎች የንግድ motor-power-driven equipments or other ዕቃዎችን ወይም የንግድ ዕቃዎችን ለማምረት equipments, engineering services, any other የሚያገለግሉ ግብአቶችን የማምረት ሥራን፣ service provision activity and research and የኢንጂነሪንግ አገልግሎትን፣ ሌላ ማንኛውም dissemination activities; የአገልግሎት መስጠት ሥራን እና የምርምር ሥርጸት ሥራን ያጠቃልላል፤ ፲፬/ “የማምረት ሥራ" ማለት በኢንዱስትሪ 14/ “manufacturing” includes any formulation, የሚከናወን የመቀመም፣የመለወጥ፣የመገጣጠም alteration, assembling or processing or ወይም የማሰናዳት ሥራን ወይም የግብርና agricultural development or mine exploration and development or operation activity carried ልማት ወይም የማዕድን ፍለጋና ልማት out by using industry; ወይም የማምረት ሥራን ያካትታል፤

፲፭/ “የኢንጂነሪንግ አገልግሎት” ማለት 15/ “engineering service” means repairing or ለኢንዱስትሪ የሚያገለግሉ መሣሪያዎች maintaining equipments of industrial use or ወይም የኤሌክትሪክ ወይም የኤሌክትሮኒክስ electrical or electronic equipments or other similar equipments, construction consultancy, መሣሪያዎችን ወይም ሌሎች ተመሳሳይ construction management, consultancy on the መሳሪያዎችን መጠገን፣ ማደስ ወይም erection of equipments, engineering የግንባታ ማማከር፣ የግንባታ አስተዳደር፣ consultancy and predesigned services, የመሣሪያ ተከላና ማማከር አገልግሎት፣ engineering design services, supervisory የኢንጂነሪንግ ማማከር የቅድመ ዲዛይን services and is inclusive of the likes; አገልግሎት፣ የኢንጂነሪንግ ዲዛይን አገልግሎት፣ የቁጥጥር አገልግሎትን ወይም የመሳሰሉትን ያካትታል፤ ፲፮/ “የአገር ውስጥ ባለሀብት” ማለት ካፒታሉን 16/ “domestic investor” means an Ethiopian or a በንግድ ሥራ ላይ ያዋለ ኢትዮጵያዊ ወይም foreign national permitted by the relevant እንደ ሀገር ውስጥ ባለሀብት እንዲቆጠር organ to be deemed as domestic investor, who invests his capital in business activities; አግባብ ባለው አካል የተፈቀደለት የውጭ ሀገር ዜጋ ነው፤ ፲፯/ “የውጭ ባለሀብት” ማለት ካፒታሉን ወደ 17/ “foreign investor” means a foreign national ኢትዮጵያ በማስገባት በኢንቨስትመንት or a business organization who brings capital into the country and invested in a business አዋጁ መሠረት በተፈቀደለት የንግድ ሥራ sector permitted in accordance with the ዘርፍ ላይ ኢንቨስት ያደረገ የውጭ ሀገር Investment Proclamation or has invested in a ዜጋ ወይም ሙሉ በሙሉ በውጭ ሀገር ዜጋ gA ፱ሺ፩፻፺፯ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9197 ባለቤትነት የተያዘ ድርጅት ወይም ከሀገር business sector entirely owned by a foreign ውስጥ ባለሀብት ጋር በቅንጅት ኢትዮጵያ national or, in a business established in ውስጥ በተቋቋመ ድርጅት ኢንቨስት ያደረገ partnership with Ethiopian national; የውጭ ሀገር ዜጋ ወይም ድርጅት ነው፤ ፲፰/ “ተገቢ ያልሆነ የንግድ ሥራ” ማለት 18/ “unfair trade practice” means any act of ማንኛውንም ንግድን የሚመለከት የሕግ violation of any provision of trade related ድንጋጌዎችን የሚጥስ ድርጊት ነው፤ laws;

፲፱/ “የግብርና ልማት” ማለት ማንኛዉንም 19/ “agricultural development” means a business የዕፅዋት ልማት ወይም የእንስሳትና ዓሣ activity engages in the production of any ልማት ወይም እንስሳት ተዋፅኦ የማልማት plant or animal or fisheries development or animal by-products; ንግድ ሥራ ነዉ፤ ፳/ “የንግድ ምዝገባ” ማለት በንግድ ሕጉ እና 20/ “commercial registration” means registration በዚህ አዋጅ መሠረት የሚደረግ ምዝገባ to be made pursuant to the Commercial Code ነው፤ and this Proclamation; ፳፩/ “መዝጋቢ መሥሪያ ቤት” ማለት የንግድ 21/ “registering office” means the relevant ምዝገባ እና የንግድ ስም ምዝገባን authority that undertakes commercial የሚያከናውን አግባብ ያለው ባለሥልጣን registration and trade name registration; ነዉ፤ ፳፪/ “አስመጪ” ማለት የንግድ ዕቃዎችን እና 22/ “importer” means any person who imports አገልግሎቶችን ከውጭ ሀገር ወደ ኢትዮጵያ goods or services from abroad into Ethiopia; የሚያስመጣ ሰው ነው፤ ፳፫/ “ላኪ” ማለት የንግድ ዕቃዎችን እና 23/ “exporter” means any person who exports አገልግሎቶችን ከኢትዮጵያ ወደ ውጭ ሀገር goods and services from Ethiopia to abroad; የሚልክ ሰው ነው፤ ፳፬/ “ልዩ የምዝገባ መለያ ቁጥር” ማለት ለግለሰብ 24/ “special identification number of ነጋዴ፣ ለንግድ ማኅበር ወይም ለእንደራሴ registration” means taxpayer’s identification በሚመለከተው አካል የሚሰጥ የግብር ከፋይ number issued by the concerned government office to a business persons, business መለያ ቁጥር ነው፤ organization or commercial representative; ፳፭/ “ጅምላ ነጋዴ” ማለት የንግድ ዕቃዎችን 25/ “wholesaler” means any person who sells ከአምራች ወይም ከአስመጭ ገዝቶ ለቸርቻሪ goods to retailers or governmental and non- ወይም ለመንግስታዊ እና መንግስታዊ ላልሆኑ governmental organizations or cooperatives ተቋማት ወይም ለህብረት ሥራ ማህበራት by wholesale after having bought such goods በጅምላ የሚሸጥ ማንኛዉም ሰዉ ነዉ፤ from producers or importers; ፳፮/ “ችርቻሮ ነጋዴ” ማለት የንግድ ዕቃዎችን 26/ “retailer” means any person who sells goods ከአምራች፣ ከአስመጭ ወይም ከጅምላ ሻጭ to consumers or end users after buying such goods from producers, importers or ገዝቶ ለሸማች ወይም ለተጠቃሚ የሚሸጥ wholesaler; ማንኛዉም ሰው ነዉ፤ ፳፯/ “የፌደራል መንግስት የልማት ድርጅት” ማለት 27/ “federal public enterprise” means an በመንግሥት የልማት ድርጅትነት አግባብ enterprise established in accordance with the ባለው ሕግ መሠረት የተቋቋመ ድርጅት relevant law or a business organization ወይም ሁሉም አክሲዮኖቹ በፌደራል መንግስት whose shares are totally owned by the የተያዘ የንግድ ድርጅት ነው፤ Federal Government;

፳፰/ “የክልል መንግስት የልማት ድርጅት” ማለት 28/ “regional public enterprise” means an በክልል መንግስታት ሕግ መሠረት enterprise established in accordance of regional state laws or a business organization የተቋቋመ ድርጅት ወይም ሁሉም whose shares are totally owned by the አክሲዮኖቹ በክልል መንግሥታት የተያዘ Regional States; የንግድ ድርጅት ነው፤ gA ፱ሺ፩፻፺፰ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9198 ፳፱/ “መሠረታዊ የንግድ ዕቃ ወይም አገልግሎት” 29/ “basic goods or services” means goods or ማለት በገበያ ላይ እጥረት በመፈጠሩ services related to the daily needs of ምክንያት ተገቢ ያልሆነ የንግድ ሥራ ውድድር consumers, the shortage of which in the ሊያስከትል የሚችል ከሸማቾች የየዕለት ፍላጎት market may lead to unfair trade practice or a ጋር የተገናኘ የንግድ ዕቃ ወይም አገልግሎት good or services that is announced as basic ሆኖ፣ በሚመለከተው አካል መሠረታዊ የንግድ goods or services through public notices; ዕቃ ወይም አገልግሎት ተብሎ በሕዝብ ማስታወቂያ የሚገለጽ የንግድ ዕቃ ወይም አገልግሎት ነው፤ ፴/ “የብቃት ማረጋገጫ የምስክር ወረቀት” 30/ “certificate of competence” means a ማለት ሚኒስቴሩ በሚያወጣዉ መመሪያ certificate issued by the concerned sectoral government offices to a certain relevant መሠረት ለተወሰኑ አግባብነት ላላቸዉ commercial activities in accordance with የንግድ ሥራዎች በዚህ አዋጅና አግባብነት directives issued by the Ministry upon ባላቸው ሌሎች ሕጎች መሠረት ተገቢው verifying that the required competence is ብቃት መሟላቱን በማረጋገጥ ከሚመለከተዉ fulfilled pursuant to this Proclamation and የሴክተር መሥሪያ ቤት የሚሰጥ የምስክር other relevant laws; ወረቀት ነው፤ ፴፩/ “የንግድ እና ዘርፍ ማህበራት ምክር ቤት” 31/ “chamber of commerce and sectoral associations” means chambers established at ማለት ነጋዴዎች የጋራ ጥቅማቸውን each hierarchy by business persons for the ለማስጠበቅ በየደረጃው በሀገሪቱ ሕግ መሰረት observance of their common interests የሚያቋቁሙት ምክር ቤት ነው፤ pursuant to the law of the country; ፴፪/ “የዘርፍ ማህበራት” ማለት በአምራችነት 32/ “sectoral associations” means associations ወይም በአገልግሎት ሰጪነት በአንድ ዓይነት established by business persons engaged as የንግድ ዘርፍ ላይ የተሰማሩ ነጋዴዎችን manufacturers or service providers in the ወይም ፆታን መሠረት በማድረግ ወይም same commercial activity or based on the same gender or in any other manner to በማንኛውም ሁኔታ ንግድን ለመደገፍ support commercial activities; የተደራጁ ማህበራት ናቸው፤ ፴፫/ “የፍራንቻይዝ ስምምነት” ማለት ዕዉቅና 33/ “franchise agreement” means an agreement ባገኘዉ ምርት ወይም አገልግሎት ንግድ concluded for consideration between the franchiser and the franchisee in order to ስም ተጠቅሞ፣ ዕዉቅና ባገኘዉ ምርትና undertake business activities by using the አገልግሎት ባለቤት መሪነት የሥራዉን trade name of the known product or service ባህሪና ልምድ ለመካፈል በፍረንቻይዘርና in order to share the nature and experience of በፍረንቻይዚ መካከል ለጥቅም ተብሎ the work under the leadership of the owner of የሚደረግ ስምምነት ነዉ፤ the products and the service that have got recognition; ፴፬/ “የኢትዮጵያ ንግድ ሥራ ፈቃድ መስጫ 34/ “Ethiopian Business License Issuing መደብ" ማለት በሀገር አቀፍ ደረጃ የንግድ Category” means a business license issuing ሥራ የሚካሄድባቸው የግብርና፣ የኢንዱስትሪ category incorporating agricultural and ምርቶችና የተለያዩ የአገልግሎት ንግድ industrial products and various service ሥራ መስኮችን ያቀፈ መደብ ነው፤ business sectors in which commercial activities are undertaken at the national level; ፴፭/ “ንብረት" ማለት የሚንቀሳቀስና የማይንቀሳ 35/ “property” means movable and immovable ቀስ ንብረት ሆኖ የአዕምሯዊ ፈጠራ ንብረት property and includes intellectual property መብትን ይጨምራል፤ rights; 36/ “administrative measure” includes measures ፴፮/ “አስተዳደራዊ እርምጃ” ማለት አግባብ ባለው such as written reprimand, sealing, ባለሥልጣን የሚወሰድ የጽሁፍ ማስጠንቀቂያ cancelation, suspension or other similar ፣እሸጋ ፣ እገዳ ፣ ስረዛ ወይም መሰል measures to be taken by the relevant እርምጃዎችን ያካትታል፤ authority;

gA ፱ሺ፩፻፺፱ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9199 ፴፯/ “በተመሳሳይ ደረጃ የሚደረግ ግብይት” ማለት 37/ “transaction at similar level” means a type of የጅምላ ነጋዴ ከጅምላ ነጋዴ ወይም transaction between/among wholesalers or የችርቻሮ ነጋዴ ከችርቻሮ ነጋዴ ጋር between/among retailers; የሚያደርገው የግብይት ዓይነት ነው፤ ፴፰/ “አግባብ ያለው የሴክተር መሥሪያ ቤት” 38/ “relevant sector office” means executive ማለት የብቃት ማረጋገጫ የምስክር ወረቀት office empowered to issue certificate of competence or carry out other similar የሚሰጥ ወይም ተመሳሳይ ተግባራትን activities; የሚያከናውን አስፈጻሚ መሥሪያ ቤት ነው፤ ፴፱/ “ኩባንያ” ማለት ኃላፊነቱ የተወሰነ የንግድ 39/ “company” means a limited liability ማህበር ነው፤ business organization; ፵/ “ሆልዲንግ ኩባንያ” ማለት ሁለትና ከዚያ 40/ “holding company” means a company በላይ የሆኑ ኃላፊነታቸዉ የተወሰነ የንግድ incorporating two or more limited liability ማህበራትን ያቀፈ፣ ልዩ የምዝገባ የምስክር companies and issued with a special ወረቀት የተሰጠው እና በሆልደሩ የሚመራ registration certificate and managed by the holder; ኩባንያ ነዉ፤ ፵፩/ “የጠረፍ ንግድ” ማለት ከኢትዮጵያ ድንበር 41/ “boarder trade” means a type of commercial አዋሳኝ በሆኑ ሀገሮች በሁለትዮሽ ስምምነት activity through which a persons or business ወይም በተናጠል ውሳኔ በድንበር አካባቢ persons residing at boarder areas undertake their commercial activities through bilateral የሚኖሩ ሰዎች ወይም ነጋዴዎች ሚኒስቴሩ agreements or unilateral decisions of the በጠረፍ ንግድ መመሪያ በሚወስነው countries sharing border with Ethiopia መሠረት ከሀገሪቱ ድንበር ባሻገር ጭምር pursuant to the border trade directive issued በልዩ ሁኔታ የሚነግዱበት የንግድ ሥራ by the Ministry, including crossing the border ዓይነት ነው፤ of the country; ፵፪/ “የበጀት ዓመት” ማለት በኢትዮጵያ የዘመን 42/ “budget year” means the period from Hamle አቆጣጠር ከሐምሌ ፩ ቀን እስከ ሰኔ ፴ ቀን 01 to Sene 30, according to the Ethiopian calendar or a period on the basis of the ያለው ጊዜ ወይም ነጋዴው በሚያቀርበዉ approved Memorandum and Articles of የፀደቀ የመመስረቻ ጽሁፍና መተዳደሪያ Association of the business organization or a ደንብ ላይ ወይም በሌላ ሁኔታ የወሰነውን period determined in another manner; ጊዜ መሠረት ያደረገ ዓመት ነዉ፤ ፵፫/ “ተቆጣጣሪ” ማለት የንግድ ሥራዎች ሕግን 43/ “inspector” means an officer designated by ተከትለው ስለመተግበራቸው እንዲቆጣጠር the relevant authority to inspect that the አግባብ ባለው ባለሥልጣን የሚመደብ ሰው commercial activities are carried out in ነው፤ accordance with law;

፵፬/ “አግባብ ያለው ባለሥልጣን” ማለት የንግድ 44/ “relevant authority” means the Ministry of ሚኒስቴር ወይም ንግድን የሚያስተዳድር Trade or Regional organs administering commercial activities; የክልል አካል ነው፤ ፵፭/ “ሚኒስቴር ወይም ሚኒስትር” ማለት የንግድ 45/ “Ministry or Minister” means the Ministry of Trade or the Minister of Trade; ሚኒስቴር ወይም የንግድ ሚኒስትር ነው፤ ፵፮/ “ክልል” ማለት በኢትዮጵያ ፌደራላዊ 46/ “region” means any of those regions ዲሞክራሲያዊ ሪፐብሊክ ሕገመንግስት specified under Article 47(1) of the Constitution of the Federal Democratic አንቀጽ ፵፯ (፩) የተመለከተ ማንኛውም Republic of Ethiopia and includes the Addis ክልል ሲሆን የአዲስ አበባና የድሬዳዋ ከተማ Ababa and Dire Dawa Cities Administrations; አስተዳደርን ይጨምራል፤ ፵፯/ “ሰው” ማለት ማንኛውም የተፈጥሮ ሰው ወይም 47/ “person” means any natural person or በሕግ የሰውነት መብት የተሰጠው አካል ነው፤ juridical body; 48/ any expression in a masculine gender ፵፰/ በወንድ ፆታ የተገለፀው አነጋገር የሴት includes the feminine. ፆታንም ያካትታል፡፡ gA ፱ሺ፪፻ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9200 ፫. የተፈፃሚነት ወሰን 3. Scope of application ይህ አዋጅ በአንቀጽ ፳፩ (፬) ከተመለከቱት This Proclamation shall be applicable to any የንግድ ሥራዎች በስተቀር በነጋዴዎች፣ በዘርፍ business persons, sectoral associations, ማህበራት፣ በንግድ እንደራሴዎች እና commercial representatives and any other person በማንኛውም ንግድ ሥራ ላይ ተሰማርቶ በሚገኝ engaged in commercial activity other than those specified under Article 21(4) of this ሰው ላይ ተፈፃሚ ይሆናል፡፡ Proclamation. ፬. አግባብ ያለው ባለሥልጣን ተግባር እና ኃላፊነቶች 4. Powers and duties of the relevant authority ፩/ ሚኒስቴሩ ሀገር አቀፍ ተፈፃሚነት ያለው 1/ The Ministry shall, pursuant to this ማዕከላዊ የንግድ መዝገብ እና የንግድ ስም Proclamation, establish and administer a መዝገብ በዚህ አዋጅ መሠረት ያቋቁማል፣ central commercial register and trade name ያስተዳድራል፤ ለህዝብ ክፍት እንዲሆንም register which has nationwide application; and make open and accessible to the public at ያደርጋል፡፡ large.

፪/ ሚኒስቴሩ የንግድ ምዝገባ እና የንግድ ስም 2/ The Ministry shall undertake commercial ምዝገባ ያከናውናል፡፡ registration and trade name registration. ፫/ ንግድን የሚያስተዳድሩ የክልል አካላት እና 3/ The regional organs administering ኢንቨስትመንት ኮሚሽን ከሚኒስቴሩ በሚሰጥ commercial activities and the Investment ውክልና መሠረት የንግድ ምዝገባ እና Commission may undertake commercial registration and trade name registration when የንግድ ስም ምዝገባ ሊያከናውኑ ይችላሉ፡፡ delegated by the Ministry. ፬/ ሚኒስቴሩ የመዘገበውን የንግድ ምዝገባ እና 4/ The Ministry shall enter the commercial የንግድ ስም ምዝገባ ማዕከላዊ የመረጃ ቋት registration and the trade name registration ውስጥ ያስገባል፤ ንግድን የሚያስተዳድሩ data into the central data base; and the የክልል አካላት እና ኢንቨስትመንት ኮሚሽን regional organs administering commercial በውክልና የመዘገቡትን መረጃ ወደ ማዕከላዊ activities and the Investment Commission shall transfer to the central database the data የመረጃ ቋት ያስተላልፋሉ፡፡ they registered through delegation. ፭/ ሚኒስቴሩ በተለየ ሁኔታ ሕጋዊ ሰውነት 5/ The Ministry shall issue certificates to organs መብት ለሚሰጣቸው እና ልዩ የምስክር upon which it confers legal personality under ወረቀት ለሚሰጣቸው አካላት ይህንኑ special condition and to entities that are የሚያረጋግጡ የምስክር ወረቀት ይሰጣል፡፡ issued special certificates. ፮/ ሚኒስቴሩ በፌደራል ደረጃ የሚቋቋሙ 6/ The Ministry shall register and issue የዘርፍ ማህበራትን መዝግቦ የሕጋዊ ሰውነት certificates to sectoral associations ማረጋገጫ ምስክር ወረቀት ይሰጣል፤ንግድን established at federal level and regional የሚያስተዳድሩ የክልል አካላት በክልል organs administering commercial activities ደረጃ የሚቋቋሙ የዘርፍ ማህበራትን shall register sectoral associations established at regional levels and issue certificates of መዝግበው የሕጋዊ ሰውነት ማረጋገጫ legal personality. የምስክር ወረቀት ይሰጣሉ፡፡ ፯/ ሚኒስቴሩ በፌደራል ደረጃ ፈቃድ 7/ The Ministry shall issue licenses for those ለሚሰጥባቸው የንግድ ሥራ መደቦች የንግድ business categories to which licenses are ሥራ ፈቃድ ይሰጣል፤ ንግድን የሚያስተዳ issued at federal level; and regional organs ድሩ የክልል አካላት በክልል ደረጃ ፈቃድ administering commercial activities shall issue licenses for business categories to ለሚሰጥባቸው የንግድ ሥራ መደቦች የንግድ which licenses are issued at regional level. ሥራ ፈቃድ ይሰጣሉ፡፡ ፰/ አግባብ ያለው ባለስልጣን ለሚመለከታቸው 8/ The relevant authority shall provide trade አካላት እና ጥያቄ ለሚያቀርቡ ለሌሎች related information to the concerned organs and to other persons who submit requests as ሰዎች እንደአስፈላጊነቱ ንግድ ነክ deemed necessary. መረጃዎችን ይሰጣል፡፡

gA ፱ሺ፪፻፩ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9201 ፱/ ሚኒስቴሩ የኢትዮጵያ የንግድ ሥራ ፈቃድ 9/ The Ministry shall prepare directives for መስጫ መደብ መመሪያ ያዘጋጃል፤ Ethiopian business licensing categories and ተግባራዊ ያደርጋል ወይም እንዲተገበሩ implement or cause implementation of same. ያደርጋል፡፡ ፲/ ሚኒስቴሩ የብቃት ማረጋገጫ የሚያስፈልጋ 10/ The Ministry shall, in consultation with the ቸውን የንግድ ሥራ መደቦች ከሚመለከታ concerned sectoral offices, identify business ቸው የሴክተር መሥሪያ ቤቶች ጋር በመሆን categories requiring certificate of competence ይለያል፤ መስፈርቶች እንዲዘጋጅላቸዉ እና and coordinate formulation of criteria and issuance of certificate of competence; issue የብቃት ማረጋጫ ምስክር ወረቀት certificates of competence to those business እንዲሰጥም ያስተባብራል፤ በራሱ ሥልጣን categories fall under its jurisdiction. ሥር ለሚውሉ የንግድ ሥራ መደቦች የብቃት ማረጋገጫ የምስክር ወረቀት ይሰጣል፡፡ ፲፩/ አግባብ ያለው ባለስልጣን አዋጁን፣ ይህንን 11/ The relevant authority shall take አዋጅ ለማስፈጸም የሚወጡ ደንብና administrative measures against persons or መመሪያዎችን ተላልፈው በሚገኙ ሰዎች business persons who contravene this ወይም ነጋዴዎች ላይ አስተዳደራዊ Proclamation, the regulations and directives issued hereunder; and where deemed እርምጃዎችን ይወስዳል፤ አስፈላጊ ሆኖ necessary cause legal measure to be taken by ሲገኝም ሕጋዊ እርምጃዎች በሌሎች አካላት other organs. እንዲወሰዱ ያደርጋል፡፡ ፲፪/ አግባብ ያለው ባለስልጣን ነጋዴዎች 12/ The relevant authority shall make pre and በሰጣቸው የምስክር ወረቀቶች ላይ የተገለፁ post license monitoring and controlling to ተግባራትን በትክክል ተግባራዊ እያደረጉ ensure that business persons carry out their ስለመሆናቸው ቅድመና ድህረ ፈቃድ business activities as appearing on the certificates issued. ክትትልና ቁጥጥር ያደርጋል፡፡ ፲፫/ አግባብ ያለው ባለስልጣን ለንግዱ ማህበረሰብ 13/ The relevant authority shall provide capacity እና ለሚመለከታቸው አካላት የአቅም building and other supports to the business ግንባታ እና ሌሎች ድጋፎችን ይሰጣል፡፡ community and concerned offices.

፲፬/ አግባብ ያለው ባለስልጣን ይህ አዋጅ፣ 14/ The relevant authority shall assign inspectors በአዋጁ መሠረት የወጡ ደንብና መመሪያ to supervise the observance of this ዎች ተግባራዊ እየተደረጉ መሆናቸውን Proclamation, the regulations and directive issued hereunder. የሚታተሉ ተቆጣጣሪዎችን ይመድባል፡፡ ፲፭/ ሚኒስቴር መስሪያ ቤቱ በዚህ አዋጅ 15/ The Ministry shall monitor and control the execution of the delegation it conferred as per መሠረት የሰጣቸው ውክልናዎች አፈፃፀም this Proclamation. ክትትልና ቁጥጥር ያደርጋል፡፡ ፲፮/ አግባብ ያለው ባለስልጣን በሥልጣኑ ሥር 16/ The relevant authority shall implement or የሚውሉ የዚህ አዋጅ፣ የደንቡና የመመሪያ cause implementation of the provisions of ውን ድንጋጌዎች ተግባራዊ ያደርጋል ወይም this Proclamation, regulations and directives fall under its mandate and undertake other ያስተገብራል፤ ሌሎች ተመሳሳይ ተግባራትን similar functions. ያከናውናል፡፡ ክፍል ሁለት PART TWO ስለንግድ መዝገብ COMMERCIAL REGISTER ፭. በንግድ መዝገብ ስለመመዝገብ 5. Registration in the Commercial Register ፩/ ማንኛውም ሰው በንግድ መዝገብ ላይ 1/ No person shall obtain any kind of business ሳይመዘገብ ማንኛውንም ዓይነት የንግድ license without being registered in ሥራ ፈቃድ ማግኘት አይችልም፡፡ commercial register. gA ፱ሺ፪፻፪ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9202 ፪/ ማንኛውም ሰው በንግድ መዝገብ የሚመዘገበው 2/ Any person shall be registered in the ዋና መስሪያ ቤቱ ባለበት ሥፍራ ይሆናል፡፡ commercial register at the place where the head office of his business is situated; ፫/ ማንኛውም ሰው በተለያዩ ክልሎች የተለያዩ 3/ Any person shall register in the commercial የንግድ ሥራዎችን ቢሠራም በንግድ register only once even though he conducts መዝገብ የሚመዘገበው አንድ ጊዜ ብቻ different kinds of business activities in ይሆናል፡፡ different regions. ፬/ በተለያዩ ሥፍራዎች ቅርንጫፍ መሥሪያ 4/ Any person who opens branch offices at ቤት የሚከፍት ማንኛውም ሰው ሥራ various places shall register these branch ከመጀመሩ በፊት የመጀመሪያ ምዝገባ offices at his original registration before በተመዘገበበት ቦታ ቅርንጫፍ መሥሪያ commencing business and immediately ቤቱን ማስመዝገብና ቅርንጫፍ መሥሪያ notify the registering office situated at the places where the branch offices are to be ቤት በሚገኝበት ሥፍራ ላለው መዝጋቢ opened. መሥሪያ ቤት ወዲያዉኑ ማሳወቅ አለበት፡፡ ፭/ በንግድ ሕግ መሠረት ማንኛውም ሰው 5/ When any person is being registered in the በንግድ መዝገብ ሲመዘገብ የድርጅት ስሙ commercial register pursuant to Commercial ከሌላ ነጋዴ ጥቅም ጋር የማይጋጭ መሆኑን Code, it shall be effected by verifying that the በማረጋገጥ በንግድ መዝገብ ውስጥ መግባት company name entered in the commercial አለበት፡፡ register shall not cause conflict of interest against another business person. ፮/ የንግድ ማህበራት መስራቾች ወይም አባላት 6/ Founders or members of a business በተፈረሙና በንግድ መዝገብ በገቡ መመስረቻ organization shall sign their memorandum ጽሁፎቻቸውና መተዳደሪያ ደንቦቻቸው ላይ and articles of association at the Document ከሚያደርጓቸው ማሻሻያዎች በስተቀር ለንግድ Authentication and Registration Agency, ምዝገባ ከመቅረባቸው በፊት የመመስረቻ according to standardized samples of ጽሁፎቻቸውና መተዳደሪያ ደንቦቻቸውን memorandum and articles of association sent መዝጋቢው መሥሪያ ቤት ለሰነዶች ማረጋገጥ to the same office by the registering office, እና ምዝገባ ኤጀንሲ በሚልካቸው ደረጃቸውን before applying for commercial registration, የጠበቁ የመመስረቻ ጽሁፍና የመተዳደሪያ except any amendments to these signed and ደንብ ናሙናዎች መሠረት መፈራረም registered memorandum and articles of አለባቸው፡፡ association.

፯/ የንግድ ማህበር መስራቾች ወይም አባላት 7/ Founders or members of a business የመመስረቻ ጽሁፎቻቸውን ወይም መተዳደሪያ organization shall, before signing the ደንቦቻቸውን ከመፈራረማቸው በፊት የንግድ memorandum and article of association, ማህበሩ ስም በሌላ ነጋዴ ያልተያዘ መሆኑን apply to the registering office and get በቅድሚያ ለመዝጋቢው መስሪያ ቤት verification that another business person has በማመልከት ማረጋገጥ አለባቸው፡፡ not occupied the name of the business organization. ፰/ በንግድ ሥራ ተሰማርቶ የነበረ ግለሰብ ነጋዴ 8/ Where the successors and the spouse of a ወራሾች እና የትዳር ጓደኛ በንግድ ሥራው sole proprietor who was engaged in a ለመቀጠል የንግድ ማህበር ለማቋቋም business, do not want to form a business ያልፈለጉ ከሆነ ከወራሾቹ አንዱ ወይም organization to resume the business, one of የትዳር ጓደኛው ከሌሎቹ ወራሾች እና/ወይም the successors or the spouse can be registered in the commercial register according to the የትዳር ጓደኛ በሚሰጠው ውክልና መሠረት power of attorney given to him by the በንግድ መዝገብ መመዝገብ ይችላል፡፡ successors and/or the spouse. ፱/ በንግድ ማህበር ውስጥ በዓይነት የሚደረግ 9/ The agreement of founders or members of the መዋጮን ግምት የንግድ ማህበሩ መስራቾች business organization on the valuation of ወይም አባላት ባደረጉት ስምምነት የተወሰነ contribution in kind shall be stipulated in the memorandum of association or in the መሆኑ በመመስረቻ ጽሁፉ ወይም amendment of the memorandum of association. በመመሥረቻ ጽሁፉ ማሻሻያ ውስጥ መጠቀስ አለበት፡፡ gA ፱ሺ፪፻፫ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9203 ፮. የንግድ ምዝገባ ስለማከናወን 6. Conducting Commercial Registration ፩/ ለንግድ ምዝገባ የሚቀርብ ማመልከቻ ለዚሁ 1/ An application for commercial registration ዓላማ የተዘጋጀውን ቅጽ በመሙላትና shall be submitted before the commencement አዋጁን ለማስፈጸም በሚወጡ ደንብና date of commercial activity by filling a መመሪያዎች መሠረት የሚጠየቁትን ሰነዶች prescribed form and attaching documents specified under the regulations and directives በማያያዝ የንግድ ሥራው ይጀምራል ተብሎ issued for the implementation of the ከሚታሰብበት ቀን አስቀድሞ መቅረብ Proclamation. ይኖርበታል፡፡ ፪/ ማናቸውም ለመዝጋቢው አካል በንግድ 2/ Where an application submitted for መዝገብ ለመመዝገብ የቀረበ ማመልከቻ commercial registration is found acceptable by the registering office, the registering ተቀባይነት ያለው ሆኖ ከተገኘ መዝገቢው office shall register the application, upon መሥሪያ ቤት የአገልግሎት ክፍያ payment of service fee, and issue a certificate በማስከፈል ምዝገባ በማከናወን የንግድ of registration to the applicant; provided, ምዝገባ ምስክር ወረቀት ወዲያውኑ however, if the application for registration is ለአመልካቹ ይሰጠዋል፤ ሆኖም የምዝገባ rejected, the registering office shall ጥያቄው ተቀባይነት የሌለው ከሆነ ውድቅ immediately notify the applicant in writing በማድረግ ምክንያቱን ገልፆ ለአመልካቹ by stating the reason for rejection. በጽሁፍ ወዲያውኑ ማሳወቅ አለበት፡፡ ፫/ በማዕድን ዘርፍ የሚሰማሩ የውጭ ነጋዴዎች፣ 3/ Foreign business persons engaging in mining sector, federal public enterprises, commercial የፌደራል መንግስት ልማት ድርጅቶች፣ representatives, foreign business persons, የንግድ እንደራሴዎች፤ የውጭ አገር foreign business persons that engage in ነጋዴዎች፣ በዓለም አቀፍ ጨረታ አሸናፊ business by winning international bids, ሆነው የሚገቡ የውጭ አገር ነጋዴዎች፣ foreign business person desirous of acquiring ተቋቁሞ የሚገኝ የንግድ ድርጅቶችን ገዝቶ a local business in its present condition and ባለበት ሁኔታ ንግድ ለማካሄድ የሚፈልግ engage in business, associations authorized የውጭ አገር ነጋዴ፣ በሌሎች ሕጎች የንግድ to engage in business under other laws, and ሥራ እንዲሠሩ የተፈቀደላቸው ማህበራት፣ sectoral associations to be organized at በፌደራል ደረጃ የሚቋቋሙ የዘርፍ federal level as well as foreign branch offices ማህበራት እንዲሁም በሚኒስትሩ ታምኖበት of chambers of commerce whose engagement የተፈቀደላቸው የውጭ አገር ንግድ ምክር is found to be important by the Minister shall ቤቶች ቅርንጫፍ ጽሕፈት ቤቶች be registered by the Ministry. በሚኒስቴሩ ይመዘገባሉ፡፡ ፬/ በክልል መንግስታት የሚቋቋሙ የመንግስት 4/ Regional public enterprises and sectoral የልማት ድርጅቶች እና በተዋረድ በክልል associations organized at different hierarchies የሚቋቋሙ የዘርፍ ማህበራት ንግድን of the regions shall be registered by regional organs administering commerce. በሚያስተዳድሩ የክልል አካላት ይመዘገባሉ፡፡ ፭/ ሚኒስቴሩ ፈቃድ በሚሰጥባቸው የንግድ ሥራ 5/ Any person who wants to engage in business መስክ መሰማራት የሚፈልግ ማንኛውም ሰው category to which the license is issued by the በንግድ መዝገብ ለመመዝገብ በቀጥታ Ministry, may directly apply to the Ministry ለሚኒስቴሩ ማመልከት ይችላል፡፡ for commercial registration.

፮/ ግለሰብ ነጋዴ ወይም የንግድ ማህበር በንግድ 6/ An objection filed in accordance with law መዝገብ እንዳይመዘገብ በሕግ መሠረት shall bar a sole proprietor or a business የሚቀርብ መቃወሚያ በንግድ መዝገብ organization from registration in the commercial register. ከመመዝገብ ያግደዋል፡፡ ፯. የንግድ ምዝገባ ስለሚፀናበት እና የንግድ 7. Validity of Commercial Registration and ማህበራት ሕጋዊ ሰውነት Legal Personality of Business Organizations ፩/ የንግድ ማህበራት የሕግ ሰውነት የሚያገኙት 1/ Business organizations shall attain legal በምዝገባ ይሆናል፡፡ personality upon registration. gA ፱ሺ፪፻፬ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9204 ፪/ የንግድ ማህበራት ሲቋቋሙ በሀገር አቀፍ 2/ Business organizations shall be publicized on ስርጭት ባለው ጋዜጣ ለሕዝብ ይፋ መደረግ a newspaper having nationwide circulation at አለባቸው፡፡ the time of their establishment. ፫/ የንግድ ማህበራት መዝገብ ለሕዝብ ክፍት 3/ The commercial register shall be open to the መሆን ይኖርበታል፤ ሦስተኛ ወገኖችም public at large; third parties are also entitled መዝገቡን መመልከት ይችላሉ፡፡ to look into the register. ፬/ ማንኛውም የንግድ ምዝገባ የሚፀናው በዚህ 4/ Any commercial registration shall be valid as አዋጅ ድንጋጌዎች መሠረት አመልካቹ of the date of the applicant’s registration in the commercial register in accordance with በንግድ መዝገብ ከተመዘገበበት ዕለት ጀምሮ the provisions of this Proclamation. ነው፡፡ ፰. የምዝገባ መረጃዎችና ሰነዶችን ስለማስተላለፍ 8. Forwarding of Information and Documents Relating to Registration ፩/ ንግድን የሚያስተዳድሩ የክልል አካላት ወይም 1/ The regional organs administering commercial የኢትዮጵያ ኢንቨስትመንት ኮሚሽን በዚህ activities or the Ethiopian Investment Commission, upon conducting commercial አዋጅ መሠረት የንግድ ምዝገባ እንዳከናወኑ registration pursuant to this Proclamation የምዝገባ መረጃዎችን ሚኒስቴሩ ለዚሁ ዓላማ shall immediately forward the documents of በሚያዘጋጀው የመረጃ ቋት አማካይነት the registration to the data base of the ወዲያዉኑ ማስተላለፍ ይኖርባቸዋል፡፡ Ministry. ፪/ ሚኒስቴሩ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) 2/ The Ministry shall immediately enter into the መሠረት የተላለፈለትን እና ራሱ Central Commercial Register the data የመዘገባቸውን መረጃዎች ወዲያዉኑ forwarded to it pursuant to sub-article (1) of this Article and documents of registration በማዕከላዊ የንግድ መዝገብ ማስገባት conducted by itself. ይኖርበታል፡፡ ፱. የግብር ከፋይ መለያ ቁጥር 9. Taxpayer’s Identification Number

፩/ መዝጋቢው መሥሪያ ቤት ለምዝገባ 1/ The registering office, before entering into የቀረበው የንግድ ማህበር እና የንግድ the commercial register the business organization or the commercial representative እንደራሴ በንግድ መዝገብ ከመግባቱ በፊት applying for registration, shall request in የግብር ከፋይ መለያ ቁጥር እንዲሰጠው writing the tax collecting authority to assign ግብር አስከፋዩን አካል በደብዳቤ ይጠይቃል፡፡ taxpayer’s identification number. ፪/ ግብር አስከፋዩ አካል በምስረታ ላይ ላለው 2/ The tax collecting authority shall notify the የንግድ ማህበር ወይም የንግድ እንደራሴ registering office the taxpayer’s identification የሰጠውን የግብር ከፋይ መለያ ቁጥር number assigned to a business organization ለመዝጋቢው ያሳውቃል፡፡ under establishment or a commercial representative. ፫/ መዝጋቢው መሥሪያ ቤት ከግብር አስከፋዩ 3/ The registering office shall enter into the አካል የሚሰጠውን የግብር ከፋይ መለያ commercial register the taxpayer’s ቁጥር የምዝገባ ማመልከቻ ላቀረበው ነጋዴ identification number assigned by the tax ወይም የንግድ እንደራሴ በልዩ የምዝገባ collecting authority to the business person or the commercial representative applying for መለያ ቁጥርነት በመዝገብ ያስገባል፡፡ registration as special identification number of registration. ፲. የንግድ ምዝገባ ለውጥ ወይም ማሻሻያ 10. Alterations or Amendments to a Commercial Registration ፩/ ማንኛዉም የንግድ ማህበር ምዝገባ ለውጥ 1/ Any alternation or amendment on ወይም ማሻሻያ በሚመለከተው የሰነድ commercial organization registration shall be አረጋጋጭ አካል በተረጋገጠ በ ፷ ቀናት ውስጥ registered with the registering office within 60 days after its authentication by a notary. ለመዝጋቢው አካል ቀርቦ መመዝገብ አለበት፡፡ gA ፱ሺ፪፻፭ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9205 ፪/ የንግድ ምዝገባ ለውጥ ወይም ማሻሻያ 2/ Where the application for registration of ለማስመዝገብ የቀረበው ማመልከቻ alternation or amendment on commercial ተቀባይነት ካገኘ መዝጋቢው አካል registration is accepted, the registering office ተቀባይነት ያገኘበትን ቀንና በንግድ shall issue confirmation of acceptance of the መዝገብ ስለገባው ለውጥ ወይም ማሻሻያ alteration or amendment to the commercial registration and notify the applicant and በዝርዝር በመግለፅ ለአመልካቹና concerned entities in writing details of the ለሚመለከታቸው አካላት በጽሁፍ ማረጋገጫ alteration or amendment entered into the መስጠት አለበት፤ ይህ የጽሁፍ ማረጋገጫ commercial register. Until written ካልተሰጠ በስተቀር የቀረበው የምዝገባ ለውጥ confirmation is issued, it shall not be ወይም ማሻሻያ በንግድ መዝገብ እንደገባ recognized that the alteration or amendment አይቆጠርም፡፡ submitted is entered in the commercial register. ፫/ መዝጋቢው አካል ያለአግባብ ተለውጧል 3/ The registering office may cancel any ወይም ተሻሽሏል ብሎ የሚያምንበትን alteration or amendment already entered in የንግድ ምዝገባ ለውጥ ወይም ማሻሻያ the commercial register if it believes that it መሰረዝና ይህንኑ አመልካቹ እንዲያውቀው was registered inappropriate and shall notify the applicant in writing the detail grounds of በዝርዝር በጽሁፍ መግለፅ ይችላል፡፡ the cancellation. ፬/ በዚህ አዋጅ ለንግድ ምዝገባ የተቀመጡ 4/ Requirements stated in this Proclamation for መስፈርቶች እንዳስፈላጊነቱ በንግድ ምዝገባ commercial registration shall be applicable ለውጥ ወይም ማሻሻያ ተፈፃሚ ይሆናሉ፡፡ for alternations or amendments to a commercial registration, as appropriate. ፭/ በዚህ አዋጅ መሠረት ለምዝገባ የሚቀርቡ 5/ Original copies of memorandum and articles የንግድ ማህበራት መመስረቻ ጽሁፎች እና of associations of business organizations to መተዳደሪያ ደንቦች ለውጦችና ማሻሻያዎች which amendments and alterations are made ዋና ቅጅዎች በሰነድ አረጋጋጭ የተረጋገጡ shall be authenticated by the notary when መሆን አለባቸው፡፡ they are submitted to registering office pursuant to this Proclamation. ፲፩. የንግድ ምዝገባን ስለመሰረዝ 11. Cancellation of Commercial Registration ፩/ በንግድ ሕጉ ምዝገባን ስለመሰረዝ 1/ Without prejudice to the provisions of the የተደነገጉት እንደተጠበቁ ሆነው፦ Commercial Code, the registering office may cancel a commercial registration, without any precondition, where:

ሀ) ነጋዴው የንግድ ሥራውን በማናቸውም a) the business person abandons his ምክንያት የተወ እንደሆነ፣ business activity for any reason; ለ) ነጋዴው ንግዱን መነገድ እንደማይችል b) an administrative measure is taken or አስተዳደራዊ እርምጃ ሲወሰድበት ወይም court decision is passed on the business በፍርድ ቤት ሲወሰን፣ person not to continue with his business; ሐ) ነጋዴው ሀሰተኛ መረጃ ወይም ሰነድ c) the business person was registered by submitting false information or document; አቅርቦ የተመዘገበ እንደሆነ፣ መ) ነጋዴው ይህንን አዋጅ ወይም አዋጁን d) the business person is found to have violated this Proclamation or regulations ለማስፈፀም የሚወጡ ደንቦችንና and directives issued for the መመሪያዎችን የጣሰ እንደሆነ፣ implementation of this Proclamation; ሠ) ነጋዴው በንግድ መዝገብ ተመዝግቦ e) the business person fails to obtain a የንግድ ፈቃድ ሳያወጣ ለአንድ ዓመት business license within one year after being entered in the commercial register. የቆየ ከሆነ፣ መዝጋቢው መሥሪያ ቤት የንግድ ምዝገባውን ሊሰርዝ ይችላል፡፡ gA ፱ሺ፪፻፮ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9206 ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩)(ሠ) 2/ Where a business person engaged in መሠረት የተመዘገበ ሰው በማምረት፣ manufacturing or engineering or other similar ወይም በኢንጂነሪንግ፣ ወይም በተመሳሳይ investment commercial activities after getting የኢንቨስትመንት ንግድ ሥራዎች ላይ registered pursuant to paragraph (e) of sub- የተሰማራ ከሆነ የኢንቨስትመንት ሥራዎችን article (1) of this Article is able to produce sufficient and acceptable evidence to justify ያላጠናቀቀበትን እና የንግድ ሥራ ፍቃድ the causes of incompletion of investment ሊያወጣ ያልቻለበትን በቂና አሳማኝ ማስረጃ activities and for not obtaining business በማቅረብ በየሁለት ዓመቱ በንግድ ሥራ license, his registration may remain valid if ፍቃድ ማሳደሻ ጊዜ ዉስጥ እየቀረበ he applies within two years during which ሲጠይቅና ሲፈቀድለት ብቻ ምዝገባዉ business license renewal period runs and gets ሳይሰረዝ እንዲቆይ ሊደረግ ይችላል፡፡ approval.

፫/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) (ሀ) 3/ Any business person whose commercial መሠረት የንግድ ምዝገባው የተሰረዘበት registration is cancelled pursuant to sub- article (1)(a) of this Article may conduct the ነጋዴ በማንኛውም ጊዜ ያንኑ የንግድ same registration again at anytime. ምዝገባ መልሶ መመዝገብ ይችላል፡፡ ፬/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) (ለ) 4/ The registering office shall, before cancelling መሠረት የንግድ ምዝገባ ስረዛ ከመደረጉ the commercial registration pursuant to paragraph (b) of sub-article (1) of this በፊት መዝጋቢው መስሪያ ቤት ነጋዴው Article, send a written letter to a business መቃወሚያ ሐሳብ ካለው እንዲያቀርብ person at his registered address and give him በተመዘገበው አድራሻው በደብዳቤ ማሳወቅ opportunity to submit his objection, if any. አለበት፡፡ ፭/ ነጋዴው ደብዳቤው በደረሰው በ ፴ ቀናት 5/ Where the business person, within 30 days ውስጥ መቃወሚያ ሀሳብ ካላቀረበ ወይም after receipt of the letter, fails to submit his ነጋዴው ያቀረበው መቃወሚያ ሀሳብ የሕግ objection or his objection is not legally valid, or it is not possible to find the business መሠረት የሌለው ከሆነ ወይም በተመዘገበው person at his registered address, the አድራሻ ሊገኝ ካልቻለ የንግድ ምዝገባው commercial registration shall be cancelled ይሰረዛል፡፡ from the register. ፮/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) ፊደል ተራ 6/ The business person whose registration is (ለ)፣ (ሐ) ወይም (መ) ምክንያት የንግድ cancelled pursuant to paragraph (b), (c) and ምዝገባ የተሰረዘበት ነጋዴ እንደገና (d) of sub-article (1) of this Article may be እንዳይመዘገብ የሚከለከል አስተዳደራዊ reregistered after one year to be counted from the date of cancellation of his registration, ቅጣት ወይም የፍርድ ቤት ውሳኔ ከሌለ unless there is administrative measure or በስተቀር የተሰረዘውን የንግድ ምዝገባ court decision which prevents such re- እንደገና ሊመዘገብ የሚችለው ከተሰረዘበት registration. ቀን ጀምሮ በሚታሰብ ከአንድ ዓመት በኋላ ይሆናል፡፡ ፯/ የንግድ ማህበራት ምዝገባ ስረዛ የሚፀናው 7/ Cancellation of registration of business የስረዛው ማስታወቂያ በአመልካቹ ወጪ ሰፊ organization shall come into force one month ሥርጭት ባለው ጋዜጣ ታትሞ ከወጣ after publication of notice of cancellation on ከአንድ ወር በኋላ ይሆናል፤ ግለሰብ ነጋዴ a newspaper having wider circulation at the expense of the applicant; in the case of sole በሆነ ጊዜ በማስታወቂያ ማስነገር ሳያስፈልግ proprietor, however, the cancellation shall ስረዛው በመዝገብ ከሰፈረበት ጊዜ ጀምሮ become effective as of the date of its entry የፀና ይሆናል፡፡ into the register and without the need to publicize. ፰/ በማናቸዉም ምክንያት የንግድ ሥራ ፍቃድ 8/ If a business license of a business person is የተሰረዘበት ነጋዴ በንግድ ምዘገባው ሌላ cancelled, his commercial registration shall ተጨማሪ ንግድ ስራ ፍቃድ ያልወጣበት also be cancelled, unless other additional ከሆነ የንግድ ምዝገባዉም ይሰረዛል፡፡ business licenses are issued based on the same commercial registration.

gA ፱ሺ፪፻፯ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9207 ፲፪. ምትክ የንግድ ምዝገባ ምስክር ወረቀት ስለመስጠት 12. Issuance of Substitute Certificate of Commercial Registration የንግድ ምዝገባ ምስክር ወረቀት የጠፋበት Any business person whose certificate of ወይም የተበላሸበት ማንኛውም ነጋዴ ይህንን commercial registration is lost or damaged may አዋጅ ለማስፈፀም በወጣው ደንብ በተመለከተው obtain a substitute certificate of registration pursuant to the criteria set forth in the regulations መስፈርት መሠረት ምትክ የንግድ ምዝገባ issued for the implementation of this የምስክር ወረቀት ማግኘት ይችላል፡፡ Proclamation. ፲፫. የመረጃ ቅጅ ስለመስጠት 13. Issuance of Copies of Entries ፩/ በንግድ መዝገብ ውስጥ የሰፈረው ዝርዝር ቅጅ፣ 1/ Any person or business person requesting a ከመዝገቡ የሚውጣጣ ማስረጃ፣ ተፈላጊው copy of entry made in commercial register, a copy of an extract of entry, a certificate of no ማስረጃ ዝርዝር መዝገቡ ላይ አለመኖሩን entry or a certificate of cancellation or የሚያረጋግጥ ማስረጃ ወይም የንግድ ምዝገባው registration shall submit a written application የተሰረዘ ስለመሆኑ ማስረጃ እንዲሰጠው to the registering office. የሚጠይቅ ሰው ጥያቄውን ለመዝጋቢው አካል በጽሁፍ ማመልከት አለበት፡፡ ፪/ መዝጋቢው አካል በዚህ አንቀጽ ንዑስ 2/ For the application lodged pursuant to sub- አንቀጽ (፩) መሠረት ለቀረበ ማመልከቻ article (1) of this Article, the registering አግባብ ያለውን ክፍያ በማስከፈል መሰጠት office shall, upon payment of the prescribed ያለበትን መረጃ ወዲያውኑ መስጠት service fee, immediately provide the አለበት፡፡ information if it is subject to disclosure. ክፍል ሦስት PART THREE ስለንግድ ስም ምዝገባ REGISTRATION OF TRADE NAME ፲፬. ስለንግድ ስም 14. Trade Name ፩/ የግለሰብ ነጋዴ የሕግ ስም የግለሰቡን ስም 1/ Trade name of a sole proprietor shall include የአባቱን እና የአያቱን ስም የሚያካትት the individual’s first name, his father’s and ይሆናል፤ ስሙ ቀደም ብሎ በሌላ ተመሳሳይ grand-father’s names; where the a sole proprietor’s name has already been ስም ባለው ግለሰብ የተመዘገበ ሲሆን፣ registered, his great grandfather’s name shall የቅድመ አያትን ስም በመጨመር፣ እስከ be added; if the great-grand father’s name ቅድመ አያት ስም ድረስ በሌላ ተመሳሳይ already registered, the individual’s mother’s ስም ባለው ግለሰብ የተያዘ ሲሆን፣ የእናት name shall be added; if the mother’s name is ስም ተጨምሮ ይመዘገባል፤ የእናት ስም also found to have been occupied by other በሌላ ተመሳሳይ ስም ባለው ግለሰብ የተያዘ sole proprietor, a different identification shall ከሆነ ሌላ መለያ እንዲጨምር ይደረጋል፡፡ be used. ፪/ የህብረት የሽርክና ማህበር ስም የንግድ ሥራ 2/ Trade name of a general partnership shall be ዘርፉን በማመልከት በንግድ ሕጉ መሠረት given pursuant to the Commercial Code by ይሰየማል፡፡ specifying the commercial sector of engagement. ፫/ ሁለት ዓይነት ኃላፊነት ያለበት ሽርክና 3/ Trade name of a limited partnership shall be ማህበር ስም የንግድ ሥራ ዘርፉን በማመልከት given pursuant to the Commercial Code by specifying the commercial sector of በንግድ ሕጉ መሠረት ይሰየማል፡፡ engagement. ፬/ የአክሲዮን ማህበር ስም የንግድ ሥራ ዘርፉን 4/ Trade name of a share company shall be በማመልከት በንግድ ሕጉ መሠረት በአባላቱ decided by the shareholders pursuant to the የሚወሰን ይሆናል፡፡ Commercial Code by specifying the commercial sector of engagement. ፭/ የኃላፊነቱ የተወሰነ የግል ማህበር ስም 5/ The trade name of a private limited company የንግድ ሥራ ዘርፉን በማመልከት በንግድ shall be decided by the shareholders pursuant ሕጉ መሠረት በአባላቱ የሚወሰን ይሆናል፡፡ to the Commercial Code by specifying the commercial sector of engagement.

Registration of Trade Name ፩/ ማንኛውም ነጋዴ የንግድ ምዝገባ 1/ Any business person shall cause registration በሚያደርግበት ቦታ የንግድ ስሙን of his trade name at the place where his ማስመዝገብ አለበት፡፡ commercial registration is conducted. ፪/ ማንኛውም ነጋዴ የንግድ ሥራ ፈቃድ 2/ Any business person shall cause registration በሚያወጣበት ቦታ የንግድ ስሙን ማስመዝገብ of his trade name at the place where he obtains a business license. አለበት፡፡ ፫/ የንግድ ድርጅት ስም በዚህ አዋጅ ለንግድ 3/ Name of a business organization may be ስም የተደነገጉትን መስፈርቶች እስካሟላ registered as trade name if it meets the ድረስ በንግድ ስምነት ሊመዘገብ ይችላል፡፡ requirements provided in this Proclamation for trade name. ፬/ አመልካቹ የውጭ አገር የንግድ ማህበር ከሆነ 4/ Where the applicant is a foreign business በተመዘገበበት አገር የተረጋገጠ የንግድ organization, such applicant shall submit to ምዝገባ እና የንግድ ስም ምዝገባ የምስክር the registering office, accompanied with his ወረቀት ወይም ይህንኑ የሚያረጋግጥ ሌላ application, notarized certificates of ሕጋዊ ማስረጃ ከማመልከቻው ጋር commercial and trade name registrations or other legally acceptable evidence issued from ለመዝጋቢው መሥሪያ ቤት ማቅረብ the country where the business organization አለበት፡፡ is registered. ፭/ የንግድ ድርጅት ስም በንግድ ምዝገባ 5/ The name of business organization shall ምስክር ወረቀት ላይ የሚመዘገብ ሲሆን appear on the certificate of commercial የንግድ ስም የራሱ የምስክር ወረቀት ያለው registration; whereas the trade name shall ሆኖ በንግድ ፈቃድ የምስክር ወረቀት ላይ appear on a separate certificate of the business license. የሚመዘገብ ነው፡፡ ፮/ የንግድ ስም ምዝገባ ማመልከቻ ለዚሁ 6/ Application for registration of trade name የተዘጋጀውን ቅጽ በመሙላት እና በደንቡ shall be submitted by filling the form prepared for the same purpose and be የተገለፁትን ሰነዶች በማካተት መቅረብ accompanied by documents specified in the ይኖርበታል፡፡ regulations.

Causes Preventing Registration of Trade Name ምክንያቶች ፩/ መዝጋቢው አካል በሚከተሉት ምክንያቶች 1/ The registering office shall refuse registration of trade name on the following grounds: የንግድ ስም እንዳይመዘገብ ያደርጋል፦ a) where the trade name requested for ሀ) እንዲመዘገብ የተጠየቀው የንግድ ስም registration is identical to a trade name ቀደም ብሎ ከተመዘገበ፣ ሌላ የንግድ or name of business organization ስም ወይም የንግድ ድርጅት ስም ጋር previously registered or has misleading አንድ ዓይነት ወይም በሚያሳስት ደረጃ similarity to such name; ተመሳሳይ ከሆነ፤ ለ) እንዲመዘገብ የተጠየቀው የንግድ ስም b) where the trade name requested for ከመንግሥት ተቋማት፣ ከሃይማኖት registration is identical or misleadingly similar to the name of government ተቋማት፤ ከፖለቲካ ፓርቲ፣ ከብሔሮች፣ institution, religious institution, a ብሔረሰቦች፣ ሕዝቦች፣ ነገዶች እና political party, a nation, nationality, ጎሳዎች መጠሪያ፣ ከሌላ ማንኛውም peoples, tribes and clans, any other ዓይነት ማህበር፣ ከመንግሥታት ህብረት business organization or association, ድርጅቶች ተቋማት ወይም ከበጎ organizations of nations or states, አድራጎት ድርጅቶች እና ማህበራት charities and societies; ስሞች ጋር አንድ ዓይነት ወይም በሚያሳስት ሁኔታ ተመሳሳይ ከሆነ፤ gA ፱ሺ፪፻፱ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9209 ሐ) እንዲመዘገብ የተጠየቀው የንግድ ስም c) where the trade name includes the name ታዋቂነትን ያተረፈ ሰው ስምን ያካተተ of a celebrity and no written consent of ሲሆንና ስሙን ለመጠቀም የጽሁፍ such celebrity is submitted along; ፈቃድ ያልቀረበ ከሆነ፤ መ) እንዲመዘገብ የተጠየቀው የንግድ ስም d) where the trade name requested for የንግዱን ዘርፍ ዓይነት የማያመለክት registration does not include the sector of business; ከሆነ፤ ሠ) እንዲመዘገብ የተጠየቀው የንግድ ስም e) where the trade name requested for ኢትዮጵያ ውስጥ ቀደም ብሎ registration is renowned in Ethiopia or ያልተመዘገበ ቢሆንም እንኳን ኢትዮጵያ around the world even though it is not registered in Ethiopia and no written ውስጥ የሚታወቅ ወይም ዓለም አቀፍ permission issued to use the name; እውቅና ያለው ሆኖ ስሙን ለመጠቀም የተሰጠ ፈቃድ የሌለ ከሆነ፤ ረ) እንዲመዘገብ የተጠየቀው የንግድ ስም f) where the trade name is contrary to ከመልካም ፀባይ ወይም ሥነ- ምግባር commendable conduct or ethical values; ጋር ተቃራኒ መሆኑ ሲረጋገጥ፡፡ ፪/ ይህ አዋጅ ከመውጣቱ በፊት ነጋዴው 2/ Where the trade name has been used by the በንግድ ስምነት ለረዥም ጊዜ ሲታወቅበት business person for a long time, but is not የኖረ ሆኖ በዚህ አዋጅ ድንጋጌ መሠረት permitted for registration pursuant to this የንግድ ስሙ እንዳይመዘገብ የተከለከለ እና Proclamation and was not registered, the ያልተመዘገበ ከሆነ አግባብ ያለው ባለስልጣን registration of such trade name may be በሚወስነው መሠረት ሊመዘገብ ይችላል፤ effected by the decision of the relevant authority.

፫/ ለዚህ አንቀጽ ድንጋጌዎች ዝርዝር አፈፃፀም 3/ The Ministry shall issue directive for the ሚኒስቴሩ መመሪያ ያወጣል፡፡ implementation of the provisions of this Article. ፲፯. የንግድ ስም በንግድ ስም መዝገብ የመግባት 17. Effect of Entry of a Trade Name in the Trade ውጤት Name Register ፩/ የንግድ ስም በመዝገብ መግባት የንግድ 1/ The registration of a trade name shall be a ስሙን ለመጠቀም መብት የሚሰጥ ተቀዳሚ prima facie evidence of entitlement to use ማስረጃ ነው፡፡ that trade name. ፪/ አንድ የንግድ ድርጅት ስም ወይም የንግድ 2/ The mere prior registration of name of ስም ቀድሞ የተመዘገበ መሆኑ ብቻ በንግድ business organization or a trade name shall ሥራ ጠባዩ ፈፅሞ ለማይመሳሰል የንግድ not prevent the registration of the same trade ሥራ እንዳይመዘገብ ሊከለከል አይችልም፡፡ name for a business with an entirely different nature. ፲፰. የንግድ ስም ምዝገባ ስረዛ 18. Cancellation of a trade name ፩/ መዝጋቢው መሥሪያ ቤት የንግድ ስም 1/ The registering office may cancel a trade name registration on the following grounds: ምዝገባን በሚከተሉት ምክንያቶች ሊሰረዝ ይችላል፦ ሀ) የንግድ ስሙን ያስመዘገበው ነጋዴ a) where the business person that has caused the registration applies for its እንዲሰረዝ ሲጠይቅ፤ cancelation; ለ) የንግድ ስሙ በማታለል ወይም በስህተት b) where it is proven that the trade name was የተመዘገበ መሆኑ ሲረጋገጥ፤ fraudulently or erroneously registered; ሐ) የነጋዴው የንግድ ምዝገባ እና የንግድ c) where the commercial registration and ሥራ ፈቃድ በዚህ አዋጅ መሠረት business license of the business person is ሲሰረዝ፤ cancelled in accordance this Proclamation; gA ፱ሺ፪፻፲ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9210 መ) የንግድ ስም ምዝገባው በፍርድ ቤት d) where a court of law renders decision by ውድቅ መሆኑ ሲወሰን፣ nullifying the registration of a trade name ; ሠ) በዚህ አዋጅ መሠረት በንግድ ስሙ ላይ e) where alteration or amendment are ለውጥ ሲደረግበት፤ introduced into the trade name in accordance with the provisions of this Proclamation; ረ) የንግድ ማህበሩ ሕጋዊ ሰውነቱን ሲያጣ f) where a business organization is dissolved and wound-up. ወይም ሲፈርስ፡፡ ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) (ለ) 2/ The registering office shall, before cancelling መሠረት የንግድ ስም ስረዛ ከመደረጉ በፊት the registration of the trade name pursuant to መዝጋቢው መስሪያ ቤት ነጋዴው paragraph (b) of sub-article (1) of this Article, send a written letter to a business መቃወሚያ ሐሳብ ካለው እንዲያቀርብ person at his registered address and give him በተመዘገበው አድራሻው በደብዳቤ ማሳወቅ opportunity to submit his objection, if any. አለበት፡፡ ፫/ ነጋዴው ደብዳቤው በደረሰው በ ፴ ቀናት 3/ Where the business person, within 30 days ውስጥ መቃወሚያ ሀሳብ ካላቀረበ ወይም after receipt of the letter, fails to submit his objection or his objection is not legally valid, ነጋዴው ያቀረበው መቃወሚያ ሀሳብ የሕግ or it is not possible to find the business መሠረት የሌለው ከሆነ ወይም በተመዘገበው person at his registered address, the trade አድራሻ ሊገኝ ካልቻለ የንግድ ስሙ name shall be cancelled from the register. ከመዝገብ ይሰረዛል፡፡ ፬/ የንግድ ስም መዝገቡ በሚሰረዝበት ጊዜ 4/ Where the former user of the trade name የቀድሞው የንግድ ስም ተጠቃሚ የስረዛ whose registration is cancelled applies to obtain evidence of prove of the cancellation, ማስረጃ እንዲሰጠው ካመለከተ መዝጋቢው the registering office shall issue such መስሪያ ቤት ተገቢውን የአገልግሎት ክፍያ evidence upon payment of appropriate በማስከፈል ይሰጠዋል፡፡ service fees. ፭/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩)(ሀ) መሰረት 5/ The business person may reclaim the trade የንግድ ስም ምዝገባው የተሰረዘበት ነጋዴ name registration cancelled pursuant to በማንኛውም ጊዜ ያንኑ የንግድ ስም መልሶ paragraph (a) of sub-article (1) of this ማስመዝገብ ይችላል፡፡ Article. ፮/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) ፊደል ተራ 6/ The business person whose trade name (ለ) ወይም (ሐ) መሠረት የንግድ ስም ምዝገባ registration is cancelled pursuant to paragraphs (b) and (c) of sub-articles (1) of የተሰረዘበት ነጋዴ እንደገና እንዳይመዘገብ this Article may be reregistered after one year የሚከለከል አስተዳደራዊ ቅጣት ወይም የፍርድ to be counted from the date of cancellation of ቤት ውሳኔ ከሌለ በስተቀር የተሰረዘውን የንግድ his registration, unless there is administrative ስም ምዝገባ እንደገና ሊመዘገብ የሚችለው penalty or court decision which prevents such ከተሰረዘበት ቀን ጀምሮ በሚታሰብ ከአንድ re-registration. ዓመት በኋላ ይሆናል፡፡ ፲፱. የንግድ ስም ለውጥ ወይም ማሻሻያ ስለማድረግ 19. Alternations or changes to a trade name ቀደም ብሎ ያስመዘገበውን የንግድ ስም ለመለወጥ The provisions of Article 15 of this Proclamation ወይም ለማሻሻል ማመልከቻ ለሚያቀርብ shall apply for a business person who applies to ማንኛውም ሰው የዚህ አዋጅ አንቀጽ ፲፭ alter or amend his trade name. ድንጋጌዎች ተፈፃሚ ይሆናሉ፡፡ ፳. ምትክ የንግድ ስም ምዝገባ የምስክር ወረቀት 20. Substitute Certificate of Trade Name Registration ምትክ የንግድ ስም ምስክር ወረቀት ለማግኘት The provisions of the regulations issued pursuant ማመልከቻ ለሚያቀርብ ማንኛውም ነጋዴ በዚህ to this Proclamation shall apply for any business አዋጅ መሠረት በወጣው ደንብ ስለምትክ የንግድ person who applies to obtain a substitute ምዝገባ የተመለከተው ድንጋጌ ተፈፃሚ ይሆናል፡፡ certificate of trade name registration.

gA ፱ሺ፪፻፲፩ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9211 ክፍል አራት PART FOUR ስለንግድ ሥራ ፈቃድ BUSINESS LICENSE ፳፩. የንግድ ሥራ ፈቃድ የመስጠት ሥልጣን 21. Power of Issuing Business license ፩/ በሌሎች አግባብነት ባላቸው ሕጎችና በዚህ 1/ Notwithstanding the provisions of this Proclamation and other relevant laws the አዋጅ በተለየ ሁኔታ ከተደነገገው በስተቀር appropriate authority shall issue business አግባብ ያለው ባለሥልጣን የንግድ ሥራ license. ፈቃድ ይሰጣል፡፡ ፪/ የዚህ አንቀጽ ንዑስ አንቀጽ (፩) አጠቃላይ 2/ Without prejudice to the generality of sub- አነጋገር እንደተጠበቀ ሆኖ አግባብ ያለው article (1) of this Article, the relevant ባለሥልጣን የንግድ ሥራ ፈቃድ የሚሰጠው authority shall issue business license based on the detailed Ethiopian Business License ሚኒስቴሩ በመመሪያ በሚዘረዝረው Issuing Categories to be determined in the የኢትዮጵያ ንግድ ሥራ ፈቃድ መስጫ directive of the Ministry. መደቦች መሰረት ይሆናል፡፡ ፫/ አግባብ ያለዉ ባለሥልጣን እና ሌሎች 3/ The relevant authority and other organs ፈቃድ ለመስጠት ሥልጣን የተሰጣቸዉ authorized to issue licenses shall specifically state the business category under which the አካላት የንግድ ሥራ ፈቃድ ሲሰጡ በፈቃዱ license is issued and its identification number ላይ የንግድ ሥራ ፈቃድ መስጫ መደቡን while issuing business license. ስያሜና መለያ ቁጥር በግልጽ መጥቀስ ይኖርባቸዋል፡፡ ፬/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) የተደነገገው 4/ Notwithstanding the provision of sub-article (1) of this Article, relevant government ቢኖርም አግባብነት ያላቸው የመንግሥት organs shall issue business licenses in አካላት በዚህ አዋጅ እና በሌሎች አግባብ compliance with this Proclamation and other ባላቸው ሕጎች መሠረት ለሚከተሉት የንግድ relevant laws for the following businesses: ሥራዎች የንግድ ሥራ ፈቃድ ይሰጣሉ፦ a) prospecting and mining of minerals; ሀ) የማዕድን ፍለጋ እና ልማት ሥራዎች፤ ለ) የውሃ ነክ ሥራዎች ግንባታ አገልግሎትን b) various water works services, excluding water works construction services; ሳይጨምር በልዩ ልዩ ውሃ ነክ አገልግሎት ሥራዎች፤ c) banking, insurance and micro finance ሐ) የባንክ፣ የመድን እና የማይክሮ ፋይናንስ services; ንግድ ሥራዎች፤ መ) የአየር ትራንስፖርት አገልግሎቶች/ d) air transport services and other aviation services; ሥራ እና ሌሎች የበረራ ሥራዎች፤ ሠ) የሬድዮ አክቲቭ ቁሶችና የጨረር e) commercial activities involving the use አመንጪ መሣሪያዎችን የመጠቀም of radioactive materials and radiation የንግድ ሥራ፤ emitting equipment; f) telecommunication services; ረ) የቴሌኮምዩኒኬሽን አገልግሎት፤ g) the business or generating or ሰ) የኤሌክትሪክ ማመንጨት፣ ማስተላለፍ transmitting or distributing or selling ወይም መሸጥ የንግድ ሥራ፤ electricity; ሸ) የጦርና ተኩስ መሣሪያዎች ጥገና፣ h) repairing and maintain of arms and ዕድሳትና የፈንጂዎች ሽያጭ ሥራ፤ firearms and sale of explosives;

ቀ) የባህርና የሀገር ውስጥ የውሃ i) sea and inland water ways transportation ትራንስፖርት የንግድ ሥራ፤ services; በ) የመልቲ ሞዳል ትራንስፖርት ንግድ j) multimodal transport services; ሥራ፤ ተ) የብሮድካስቲንግ አገልግሎት ሥራ፡፡ k) broadcasting services. gA ፱ሺ፪፻፲፪ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9212 ፭/ በዚህ አንቀጽ ንዑስ አንቀጽ (፬) መሠረት 5/ Government organs authorized to issue የንግድ ሥራ ፈቃድ የመስጠት ሥልጣን business licenses for the types of businesses ያላቸው የመንግሥት አካላት፣ የንግድ ፈቃድ listed under sub-article (4) of this Article ሲሰጡ እና ሲያድሱ በዚህ አዋጅ እና shall, when issuing and renewing business አዋጁን ለማስፈጸም በወጡ ደንቦችና license, make sure that the requirements provided for in this Proclamation and the መመሪያዎች የተቀመጡት መስፈርቶች regulation and directives issued hereunder are መሟላታቸውን ማረጋገጥ አለባቸው፡፡ met. ፳፪. የንግድ ሥራ ፈቃድ ስለማውጣት 22. Obtainment of Business license ፩/ ማንኛውም ሰው የፀና የንግድ ሥራ ፈቃድ 1/ No person shall engage in a business activity ሳይኖረው የንግድ ሥራ መሥራት without having a valid business license. አይችልም፡፡ ፪/ በዚህ አዋጅ መሠረት የንግድ ሥራ 2/ A business person having a valid business ለመስራት የፀና የንግድ ሥራ ፍቃድ ያወጣ license pursuance to this Proclamation shall ሰው ለተመሳሳይ የንግድ ሥራ ለሚከፍተው not be required to obtain additional business license for branches he open for the same ቅርንጫፍ ተጨማሪ የንግድ ሥራ ፈቃድ type of business activity. እንዲያወጣ አይገደድም፡፡ ፫/ የማምረት የንግድ ሥራ ፍቃድ ያለው ነጋዴ 3/ A business person licensed to engage in ያመረታቸውን ምርቶች ብቻ በሚያመርት manufacturing business shall not be required በት አድራሻ ወይም በሌላ ባስመዘገበበት to obtain a business license to wholesale his products only at the same address of his አድራሻ በጅምላ ለመሸጥ ተጨማሪ የንግድ manufacturing facility or at such other ፈቃድ እንዲያወጣ አይገደድም፡፡ address of his registration. ፬/ የማምረት የንግድ ሥራ ፍቃድ ያለው ነጋዴ 4/ A business person licensed to engage in a ያመረታቸውን ምርቶች በችርቻሮ መነገድ manufacturing business shall not be አይችልም፤ ሆኖም በልዩ ሁኔታ በችርቻሮ permitted to sell his products on retail; provided, however, that types of products in የሚነግድባቸውን ምርቶች ዓይነት respect of which retail sales is permitted shall በተመለከተ የሚኒስትሮች ምክር ቤት be determined by a regulations to be issued በሚያወጣው ደንብ ይወሰናል፡፡ by the Council of Ministers. ፭/ ማንኛውም የአስመጪነት የንግድ ፈቃድ 5/ A licensed importer shall not be required to ያለው ነጋዴ ያስመጣቸውን ምርቶች obtain a separate business license to ለአስመጪነት የንግድ ፈቃዱን ሲያወጣ wholesale products he import at his address ባስመዘገበበት አድራሻ በጅምላ ለመሸጥ of business registered at the time of commercial registration. ተጨማሪ የንግድ ሥራ ፈቃድ እንዲያወጣ አይገደድም፡፡ ፮/ ማንኛውም የአስመጪነት ንግድ ሥራ 6/ No licensed importer shall retail goods he ፈቃድ ያለው ነጋዴ ያስመጣቸውን ምርቶች import; provided, however, based on type of በችርቻሮ መነገድ አይችልም፤ ሆኖም business and national significance, types of products in respect of which retail sales is ከንግዱ ባሕሪይ እና ከአገር ጥቅም አንጻር permitted under special condition shall be በልዩ ሁኔታ በችርቻሮ የሚነግድባቸውን determined in a regulations to be issued by ምርቶች በተመለከተ የሚኒስትሮች ምክር the Council of Ministers. ቤት በሚያወጣው ደንብ ይወሰናል፡፡ ፳፫. የንግድ ሥራ ፈቃድ ለማውጣት ስለሚቀርብ 23. Application for business license ማመልከቻ Any person desiring to engage in a commercial በንግድ ሥራ መሰማራት የሚፈልግ ማንኛውም activity shall submit to the appropriate authority ሰው ለዚሁ ዓላማ የተዘጋጀውን የማመልከቻ ቅጽ an application for business license by completing በመሙላትና የሚኒስትሮች ምክር ቤት በሚያወጣው application form prepared for this purpose ደንብ የተመለከቱትን አስፈላጊ ሰነዶች በማያያዝ accompanied with important documents የንግድ ሥራ ፈቃድ እንዲሰጠው አግባብ ላለው prescribed in the regulations issued by the ባለሥልጣን ማመልከት ይኖርበታል፡፡ Council of Ministers.

gA ፱ሺ፪፻፲፫ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9213 ፳፬. የንግድ ሥራ ፈቃድ ስለመስጠት 24. Issuance of Business license ፩/ አግባብ ያለው ባለሥልጣን በዚህ አዋጅ እና 1/ Where an application for business license is በዚህ አዋጅ መሠረት በወጡት ደንብ እና submitted to the relevant authority pursuant to this Proclamation, regulations and መመሪያዎች መሠረት ማመልከቻ ሲቀርብለት directives issued hereunder, it shall issue a ሊሟሉ የሚገባቸው መሥፈርቶች መሟላታቸው business license to the applicant upon ንና ሊሰራ ያቀደው የንግድ ሥራ በሕግ payment of appropriate service fee by ያልተከለከለ መሆኑን ካረጋገጠ በኋላ ተገቢውን ascertaining that the requirements set are ክፍያ በማስከፈል ለአመልካቹ የንግድ ሥራ fulfilled and that the business activity ፈቃድ ይሰጠዋል፡፡ intended to be carried on is not prohibited by law. ፪/ የንግድ ሥራ ፈቃድ ማመልከቻው በዚህ 2/ Where the relevant authority ascertains that አዋጅ እና በደንቡ ወይም በመመሪያዎች the application for business license is not መሠረት ተሟልቶ ባለመቅረቡ ተቀባይነት submitted by fulfilling the requirements የሌለው መሆኑን አግባብ ያለው ባለስልጣን provided in this Proclamation, regulations and directives issued hereunder, it shall reject ሲያረጋግጥ ያልተቀበለበትን ምክንያት the application and notify the applicant in ለአመልካቹ በጽሁፍ ማሳወቅ ይኖርበታል፡፡ writing the reasons for rejecting the application. ፫/ በንግድ ስራ ተሰማርቶ የነበረ ግለሰብ ነጋዴ 3/ Where the successors and the spouse of a ወራሾች እና/ወይም የትዳር ጓደኛ በንግድ sole proprietor person who was engaged in a ሥራው ለመቀጠል የንግድ ማህበር business, do not want to form a business ለማቋቋም ያልፈለጉ ከሆነ ከወራሾቹ አንዱ organization to resume the business, a business license can be issued in the name of ወይም የትዳር ጓደኛው በሌሎቹ ወራሾቹ one of the successors or the spouse in እና/ወይም የትዳር ጓደኛው በሚሰጠው accordance with the power of attorney given ውክልና በዚህ አዋጅ ስለ ንግድ ምዝገባ to him by the other successors and/or the በተደነገገው መሠረት በንግድ መዝገብ spouse after being registered in the ከተመዘገበ በኋላ በወኪሉ ስም የንግድ ስራ commercial registered pursuant to this ፈቃድ ይሰጣል፡፡ Proclamation.

፳፭.የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ መብት 25. Rights of a Business Person Issued Business license ማንኛውም የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ Any person issued with a business license shall የሚከተሉት መብቶች ይኖሩታል፦ have the following rights: ፩/ ይህን አዋጅ፣ አዋጁን ለማስፈጸም የወጡ 1/ to engage in a business activity within the ደንብና መመሪያ እንዲሁም በሌሎች ሕጎች scope the business license and in compliance የተቀመጡ ንግድ ነክ ድንጋጌዎችን with this Proclamation, regulations and directives issued hereunder and provisions of በማክበር በተሰጠው የንግድ ፈቃድ መስክ other laws related to business activity; ወሰን የንግድ ሥራዎች የማካሄድ፤ ፪/ ለተመሳሳይ የንግድ ሥራ ለሚከፍተው 2/ not be compelled to obtain additional ቅርንጫፍ ተጨማሪ የንግድ ሥራ ፈቃድ business license for branches he opens to እንዲያወጣ ያለመገደድ፤ engage in a similar business; ፫/ ስለ ንግድ ምዝገባና ፈቃድ አገልግሎት 3/ to obtain information on commercial መረጃ የማግኘት፤ registration and licensing service; ፬/ በዚህ አዋጅ መሠረት የንግድ ምዝገባን፣ 4/ to alter or amend commercial registration, የንግድ ስምን እና የንግድ ፈቃድን trade name and business in accordance with የመለወጥና የማሻሻል፤ this Proclamation; ፭/ በአዋጁ፣ አዋጁን ለማስፈጸም በወጡ ደንብ 5/ to carry out other similar activities that are እና በመመሪያው የተፈቀዱ ሌሎች permitted the Proclamation, regulations and directives issued hereunder. ተመሳሳይ ተግባራትን ማከናወን፡፡ gA ፱ሺ፪፻፲፬ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9214 ፳፮. የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ ግዴታዎች 26. Obligations of a Business Person Issued Business license የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ Any person issued with a business license shall የሚከተሉት ግዴታዎች ይኖሩታል፦ have the following obligations: ፩/ የንግድ ፈቃድ የተሰጠባቸውን የተለያዩ 1/ carry on the various business activities for የንግድ ሥራዎችን በአንድ ሥፍራ ወይም which business licenses have been issued in a separate places or premises, where carrying ግቢ ውስጥ አጣምሮ መሥራት በተጠቃሚው on such activities at the same place or ሕዝብ ጤንነትና ደህንነት ወይም ንብረት premises endangers public health and safety ላይ ጉዳት የሚያደርስ ከሆነ እነዚህን or property; ሥራዎች በተለያዩ ሥፍራዎች ወይም ግቢዎች በተናጠል የማካሄድ፤ ፪/ የንግድ ዕቃዎቹንና የአገልግሎቶቹን የዋጋ 2/ display a price list for his goods and services ዝርዝር በንግድ ቤቱ በግልጽ ሥፍራ by posting such list in a clearly noticeable በሚታይ ቦታ የማመልከት ወይም በንግድ place in his business premise or by affixing price tags on the goods; ዕቃዎች ላይ የመለጠፍ፤ ፫/ የንግድ ሥራው ጠባይ የሚጠይቃቸውን 3/ comply with the obligation that the nature of ግዴታዎች የማክበር፣ ደረጃዎችን የማሟላት the business activity demands, fulfill እና የመሥራት፤ standards and render service;

፬/ የንግድ ሥራ ፍቃዱን በንግድ ቤቱ ውስጥ 4/ display his business license in clearly በግልጽ በሚታይ ቦታ የማስቀመጥ፣ ወይም noticeable places within the business የንግድ ቤቱ ቅርንጫፍ ከሆነ የመዝጋቢው premises, or in case of branch business አካል ማህተም የተደረገበት የንግድ ሥራ offices display copies of business license ፍቃድ ፎቶ ኮፒ በንግድ ቤቱ ውስጥ በግልጽ affixed with seal of the licensing authority; በሚታይ ቦታ ማስቀመጥ፤ ፭/ የንግድ ፈቃዱን ለሌላ ለማንኛውም ሰው 5/ shall not assign his business license to the እንዲገለገልበት ወይም በመያዣነት benefit of any person, pledge or lease it out; እንዲይዘው ወይም እንዲያከራየው አሳልፎ ያለመስጠት፤ ፮/ በአስተዳደራዊ ወይም በፍርድ ቤት ውሳኔ 6/ shall not make use of his business license, የንግድ ድርጅቱ እንዲፈርስ ወይም የግለሰብ where administrative or court decision is passed to dissolve a business organization or ነጋዴ ንግዱን እንዳያካሂድ ሲወሰንበት to ban a sole proprietor; የተሰጠውን የንግድ ሥራ ፈቃድ በሥራ ላይ ያለማዋል፤ ፯/ የአድራሻ ለውጥ ሲያደርግ ለውጡን በአንድ 7/ shall notify to the registering office within ወር ጊዜ ውሰጥ ለመዝጋቢው መሥሪያ ቤት one month in case of change of his business የማሳወቅ፤ address; ፰/ አክስዮን ማህበር እና ኃላፊነቱ የተወሰነ 8/ if it is a share company or private limited የግል ማህበር ከሆነ በየበጀት ዓመቱ company shall cause audit of his financial በኦዲተር ሂሳቡን የማስመርመር እና statements by auditor every fiscal year and ሪፖርት የማቅረብ፤ submit reports; ፱/ ስለንግዱ በሚመለከታቸው አካላት የሚጠየቀ 9/ shall provide information requested by ውን ማንኛውንም መረጃ የመስጠት፤ concerned offices with respect to his business; ፲/ በተመሳሳይ ደረጃ ግብይት ያለመፈፀም፤እና 10/ shall not transact at similar level; and ፲፩/ አግባብ ባለው ባለስልጣን የተወሰዱ 11/ shall comply with administrative measures አስተዳደራዊ እርምጃዎችን እና በሕግ taken by concerned authorities and other obligations provided for in other laws. የተደነገጉ ሌሎች ግዴታዎችን የማክበር፡፡ gA ፱ሺ፪፻፲፭ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9215

፳፯.የንግድ ሥራ ፈቃድን ስለማሳደስ 27. Renewal of Business license ፩/ የንግድ ሥራ ፍቃድ በየበጀት ዓመቱ 1/ A business license shall be renewed in six ከሐምሌ ፩ቀን እስከ ታህሳስ ፴ ቀን ወይም months period within the fiscal year between ካስመዘገበው የበጀት ዓመት መጨረሻ ጀምሮ from Hamle 01 until Tahsas 30 or in his ባሉት ፮ ወራት ዉስጥ መታደስ አለበት፡፡ registered budget year. 2/ The business license of private limited ፪/ ኃላፊነታቸዉ የተወሰኑ የንግድ ማህበራት companies three forth of whose registered ካስመዘገቡት ካፒታል ሦስት አራተኛውን የበሉ capital is lost shall not be renewed; provided, ከሆነ የንግድ ሥራ ፍቃዳቸዉ አይታደስም፤ however, the license may be renewed upon ሆኖም ማህበሩ ያስመዘገበውን ኪሳራ ሃምሳ presentation of authenticated minutes to በመቶ በሰነድ አረጋጋጭ በፀደቀ ቃለ ጉባኤ prove that 50 % of the registered loss has የማህበሩ አባላት ወደ ንግድ ድርጅቱ ሂሳብ been deposited by the shareholders. ያስገቡበት ማረጋገጫ ሰነድ ከቀረበ የንግድ ሥራ ፍቃዱ ሊታደስ ይችላል፡፡ ፫/ የንግድ ሥራ ፈቃድን ለማሳደስ የሚፈልግ 3/ A business person desirous to renew his ነጋዴ ለዕድሳት የተዘጋጀውን ማመልከቻ business license shall fill the form prepared ቅጽ በመሙላት አዋጁን ለማስፈጸም for the same purpose and submit በወጣው ደንብ ከተመለከቱት ሰነዶች ጋር accompanied with documents specified in the regulations issued hereunder. አያይዞ ማቅረብ ይኖርበታል፡፡ ፬/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) በተጠቀሰው 4/ The holder of a business license who has የፍቃድ ማሳደሻ ጊዜ ውስጥ ነጋዴው የንግድ failed to have it renewed within the time ፈቃዱን ካላሳደሰ ከጥር ፩ ቀን እስከ ሰኔ ፴ specified in sub-article (1) of this Article ቀን ላለው ጊዜ ከፍቃድ ማሳደሻው shall have it renewed within the time from Tir 01 to Sene 30 by paying, in addition to በተጨማሪ ፈቃድ ማሳደሱ ለዘገየበት ለጥር renewal fee, Birr 2,500 (two thousand five ወር ብር ፪ሺ፭፻(ሁለት ሺህ አምስት መቶ hundred) for the month of Tir and Birr 1,500 ብር) እና ለሚቀጥለው እያንዳንዱ ወር ብር (one thousand five hundred) for each ፩ሺ፭፻ (አንድ ሺህ አምስት መቶ ብር) subsequent month of delay. ቅጣት በመክፈል ፈቃዱን ያሳድሳል፡፡ ፭/ በዚህ አንቀጽ ንዑስ አንቀጽ (፬) በተደነገገው 5/ A business license not renewed within the መሠረት በቅጣት የማሳደሻ ጊዜ ውስጥ period of renewal with penalty as determined ያልታደሰ የንግድ ሥራ ፈቃድ አግባብ in sub-article (4) of this Article shall be cancelled by the relevant authority. ባለው ባለስልጣን ይሰረዛል፡፡ ፮/ በዚህ አንቀጽ ንዑስ አንቀጽ (፭) መሠረት 6/ Where a business license is cancelled የንግድ ፈቃዱ የተሰረዘ ከሆነ፣ ነጋዴው pursuant to sub-article (5) of this Article and ፈቃዱን በወቅቱ ላለማሳደሱ ያቀረበው the justification presented by business person as force majeure that prevented him from ከአቅም በላይ የሆነ ምክንያት አግባብ ባለው renewing his license is accepted by the ባለሥልጣን ተቀባይነት ካገኘ በዚህ አንቀጽ relevant authority, he can obtain his business ንዑስ አንቀጽ (፬) የተደነገገውን ቅጣት license upon payment of the penalties በመክፈል ፈቃዱ ከተሰረዘበት እስከ አንድ prescribed under sub-article (4) of this ዓመት ባለው ጊዜ ውስጥ የተሰረዘውን Article within one year after the cancellation. የንግድ ፈቃድ እንደገና ማውጣት ይችላል፡፡ ፯/ በዚህ አንቀጽ ንዑስ አንቀፅ (፬) መሠረት 7/ Where renewal of the business license is not የንግድ ስራ ፈቃዱ እንዲታደስ ካልተፈቀደ permitted pursuant to sub-article (4) of this ነጋዴው ያንኑ የንግድ ሥራ ፈቃዱን Article, the business person may obtain the የሚያወጣው የንግድ ፈቃዱ ከተሰረዘበት same business license without penalty one ከአንድ ዓመት በኋላ ያለቅጣት ይሆናል፡፡ year after cancellation of the business license.

፳፰. የንግድ ሥራ ፈቃድ ፀንቶ የሚቆይበት ጊዜ 28. Period of Validity of a Business license ፩/ በዚህ አዋጅ መሠረት የተሰጠ የንግድ ሥራ 1/ A business license issued pursuant to this ፈቃድ ወቅቱን ጠብቆ በዚህ አዋጅ መሠረት Proclamation shall remain valid provided that ከታደሰ እና እስካልተሰረዘ ድረስ የፀና it is renewed and is not cancelled pursuant to ይሆናል፡፡ the provisions of the Proclamation. gA ፱ሺ፪፻፲፮ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9216 ፪/ በዚህ አዋጅ በአንቀጽ ፳፯ (፮) የተደነገገው 2/ Without prejudice to Article 27(6) of this እንደተጠበቀ ሆኖ የንግድ ሥራ ፈቃዱ Proclamation, the business license shall be የተሰጠበት ወይም የታደሰበት የበጀት ዓመት invalid, if not renewed within six months ካበቃ በኋላ ባሉት ስድስት ወራት ጊዜ ውስጥ after the expiry of the budget year in which it ተገቢው ክፍያ ተፈጽሞ ያልታደሰ የንግድ has been issued or renewed upon payment of the appropriate fee,. ሥራ ፈቃድ የፀና አይሆንም፡፡ ፳፱.የንግድ ሥራ ፈቃድን ስለማገድ 29. Suspension of Business license ፩/ የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ፦ 1/ A relevant authority may suspend business license on the following grounds: ሀ) የንግድ ሥራውን የጤናና የጽዳት a) Where the business person fails to meet አጠባበቅ፣ የአካባቢ እንክብካቤ፣ የአደጋ occupational, health and sanitation, መከላከያና የንግድ ዕቃውን ወይም environmental protection, accident prevention standards and qualities of የአገልግሎቱን የጥራት ደረጃ ካጓደለ፣ goods and services; ለ) በዚህ አዋጅ የነጋዴ ግዴታዎች በሚል b) Where the business person fails to የተቀመጡትን የጣሰ ከሆነ፣ discharge obligations of a business person clearly specified in this proclamation; ሐ) በዚህ አዋጅ መሠረት አግባብ ያለው c) Where the business person fails to ባለሥልጣን የሚጠይቃቸውን መረጃዎች provide information accurately and በትክክልና በወቅቱ ያላቀረበ ከሆነ፣ timely upon the request of the relevant authority; መ) የተሰጠው ወይም የታደሰው የንግድ ሥራ d) Where it is verified that the license was ፈቃድ በሀሰተኛ ሰነድ ወይም ማስረጃ issued or renewed based on falsified ተደግፎ መሆኑ ከተረጋገጠ፣ ወይም document; ሠ) ፈቃዱን ከተሰጠበት ዓላማ ዉጭ e) Where the license is used by the holder ሲገለገልበት ከተገኘ፣ ወይም for an unauthorized purpose; ረ) ባስመዘገበዉ የንግድ ፈቃድ አድራሻ f) Where the business person is unavailable ያልተገኘ ከሆነ፣ at the registered address; ሰ) የንግድ ሕጉን፣ የአዋጁን፣ አዋጁን g) Where the business person is found to ለማስፈጸም የወጡ የደንብና የመመሪያ have violated the Commercial Code, the Proclamation, the regulations and ድንጋጌዎችን የጣሰ ከሆነ፣ directives issued hereunder, አግባብ ያለው ባለሥልጣን የንግድ ሥራ the license may be suspended by the ፈቃዱን ሊያግድ ይችላል፡፡ authorized official; ፪/ የንግድ ሕጉን፣ የአዋጁን፣ በአዋጁ መሠረት 2/ In the case of suspension of business license የወጡ ደንብና የመመሪያዎችን ድንጋጌ on the grounds of violation of the provisions በመጣስ የንግድ ፈቃዱ የታገደ ከሆነ ወይም of this Proclamation, regulations or directives በማናቸውም ምክንያት አግባብ ያለው አካል issued hereunder; when a relevant sector የንግድ ሕግ ድንጋጌዎች መጣሳቸውን office verifies violation of provisions of the ሲያረጋግጥ ወይም በፍርድ ቤት ትዕዛዝ Commercial Code or a court of law passes an የንግድ ፈቃድ ሲታገድ የንግድ ድርጅቱ order of suspension, the business facility ወዲያውኑ አግባብ ባለው አካል ይታሸጋል፡፡ shall be immediately sealed; ፫/ በዚህ አዋጅ፣ በአዋጁ መሠረት በወጡ 3/ When business license is suspended due to ደንብና መመሪያዎች መሠረት ሲታገድ violation of the provisions of this አግባብ ያለው ባለሥልጣን ፈቃዱ Proclamation, regulations and directives issued hereunder, the relevant authority shall የታገደበትን ምክንያት እና አሳማኝ በሆነ notify the holder of the business license in ጊዜ ውስጥ ጉድለቶቹን እንዲያስተካክል writing the cause of the suspension and ሊወስድ ስለሚገባው እርምጃ ለባለፈቃዱ measures that need to take within reasonable በጽሁፍ ያሳውቀዋል፡፡ period of time to rectify the shortcomings that led to the suspension.

gA ፱ሺ፪፻፲፯ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9217 ፬/ ነጋዴው በዚህ አንቀጽ ንዑስ አንቀጽ (፫) 4/ Where the defects caused the suspension of መሠረት በተሰጠው የጊዜ ገደብ ውስጥ the business license is rectified within the ጉድለቶቹን ካስተካከለ አግባብ ያለው time prescribed under sub-article (3) of this ባለሥልጣን በንግድ ሥራ ፍቃዱ ላይ Article, the suspension shall be lifted and the የተጣለው ዕግድ ተነስቶ ሥራ ላይ እንዲውል business license become valid. ያደርጋል፡፡ ፭/ የብቃት አረጋጋጭ ተቋማት የብቃት 5/ The suspension of certificates of competence ማረጋገጫዎችን ሲያግዱና ሲያሳውቁ by relevant competence assuring institutions shall entail suspension of the corresponding ያለምንም ተጨማሪ ቅድመ ሁኔታ የንግድ business license without any precondition. ሥራ ፈቃዱ ይታገዳል፡፡ 30. Cancellation of Business licenses ፴. የንግድ ሥራ ፈቃድ ስለመሰረዝ 1/ A relevant authority may cancel business ፩/ የንግድ ሥራ ፈቃድ የተሰጠው ነጋዴ፦ license on the following grounds: ሀ) የንግድ ሥራውን በራሱ ፍቃድ የተወ a) where the business person terminates his እንደሆነ፣ business activity by his own choice; ለ) የንግድ ሥራ ፈቃድ የተሰጠው ወይም b) where it is verified that the business የታደሰው ፈቃድ በሀሰተኛ ሰነድ ወይም license was issued or renewed based on ማስረጃ መሆኑ ሲረጋገጥ፣ falsified document; ሐ) የንግድ ሥራ ፈቃዱን ፈቃዱ c) where the business person has utilized the business license for an unauthorized ከተሰጠበት ዓላማ ዉጭ ሲገለገልበት purpose; ከተገኘ፣ መ) በዚህ አዋጅ መሠረት በተሰጠው የጊዜ d) where the business person fails to rectify ገደብ ውስጥ ለንግድ ፈቃዱ ዕገዳ defects that resulted in the suspension of ምክንያት የሆኑትን ጉድለቶች his business license within the time given; ያላስተካከለ ከሆነ፣ e) where the business person is declared ሠ) የኪሳራ ውሳኔ የተወሰነበት ከሆነ፣ bankrupt; ረ) በዚህ አዋጅ መሠረት የንግድ ሥራ f) where the business person fails to have ፈቃዱን ያላሳደሰ ከሆነ፣ ወይም his license renewed under the provisions of this Proclamation; ሰ) የንግድ ምዝገባው በዚህ አዋጅ መሠረት g) where the commercial registration of the የተሰረዘበት ከሆነ business person is cancelled under this Proclamation. አግባብ ያለው ባለሥልጣን የንግድ ስራ ፈቃዱን ይሰርዛል፡፡ ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩)(ሀ) መሠረት 2/ A business person who had terminated his በራሱ ፍቃድ የንግድ ሥራውን የተወ እና business activities under paragraph (a) of sub-article (1) of this Article and returned his ፈቃዱን በማሳደሻ ጊዜ ውስጥ የመለሰ ነጋዴ license within the statutory timeframe of ያንኑ ፈቃድ በማንኛውም ጊዜ መልሶ renewal of licenses may obtain the license መውሰድ ይችላል፤ ሆኖም የንግድ ሥራ again at any time of his choice; provided, ፍቃዱን በንግድ ሥራ ፈቃድ ያለቅጣት however, if he had failed to return the ማሳደሻ ጊዜ ውስጥ ያልመለሰ ከሆነ ያንኑ business license before expiry the period of የንግድ ሥራ ፍቃድ መልሶ መውሰድ renewal without to pay penalty, he shall only የሚችለው የንግድ ሥራ ፈቃድ ያለቅጣት be allowed to obtain the business license የማደሻ ጊዜ ከሚያበቃበት ቀን ጀምሮ again after a year has elapsed since expiry of ከአንድ ዓመት በኋላ ይሆናል፡፡ the period of renewal without penalty.

፫/ አግባብ ያለው ባለሥልጣን በዚህ አንቀጽ 3/ The relevant authority, before deciding to ንዑስ አንቀጽ (፩) ፊደል ተራ (ለ) ፣ (ሐ) cancel the business license pursuant to እና (መ) በተገለፁት ምክንያቶች ፈቃዱ paragraph (b), (c) and (d) of sub-article (1) of this Article, shall notify the business person እንዲሰረዝ ውሳኔ ከመስጠቱ በፊት እንደ at his registered address by a letter to submit gA ፱ሺ፪፻፲፰ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9218 አስፈላጊነቱ ነጋዴው ባስመዘገበው አድራሻ his objection in writing, if any; if the በደብዳቤ ተጠርቶ መቃወሚያ ሀሳብ ካለው objection of a business person is not found to በጽሁፍ እንዲሰጥ ያደርጋል፤ ነጋዴው be satisfactory or the business person fails to ያቀረበው መቃወሚያ ሀሳብ በቂ ሆኖ submit his objection within 30 days of receipt ካልተገኘ ወይም ደብዳቤው ከደረሰው ቀን of authority’s letter, his license shall be cancelled. Under such circumstances, he shall ጀምሮ በ፴ ቀናት ውስጥ መቃወሚያ ሀሳቡን only be able to obtain the same business በጽሁፍ ካልሰጠ ፈቃዱ ይሰረዛል፤ በዚህ license after two years. ሁኔታ ፍቃዱ የተሰረዘበት ነጋዴ ያንኑ የንግድ ፍቃድ መልሶ ማውጣት የሚችለው ከሁለት ዓመት በኋላ ይሆናል፡፡ ፬/ የንግድ ሥራውን በፈቃዱ የተወ ነጋዴ 4/ A business person who terminates his ያለቅጣት የፈቃድ ማዳሻ ጊዜ ውስጥ business activities but does not return the business license within the statutory period of ፈቃዱን ካልመለሰ፣ ባሰረዘው የንግድ ሥራ renewal shall be allowed to obtain another ፍቃድ መስጫ ውስጥ በተዘረዘሩት የንግድ business license for a commercial activity ሥራ ዓይነቶች ፍቃድ ማውጣት የሚችለው included in the same business category he ያለቅጣት የፈቃድ ማሳደሻ ጊዜ had issued license and cancelled after one ከሚያበቃበት ቀን ጀምሮ ከአንድ ዓመት year of expiry of the period of renewal በኋላ ነው፤ without penalty. ፭/ የንግድ ፈቃዱን ተመላሽ የሚያደርግ ወይም 5/ Where a business person whose business የተሰረዘበት ነጋዴ ያንኑ የንግድ ሥራ license is returned or cancelled is desirous of ፈቃድ እንደ አዲስ ለማውጣት ሲመጣ obtaining the same business license again he ተመላሽ በተደረገው ወይም በተሰረዘው shall submit confirmation letter of settlement of tax liability for the period the returned or የንግድ ሥራ ፈቃድ ለሰራበት ጊዜ የግብር cancelled business license was valid. ክፍያ ስለመፈጸሙ ማረጋገጫ ደብዳቤ ማቅረብ አለበት፤ ፮/ የብቃት አረጋጋጭ ተቋማት የብቃት 6/ Cancellation of certificates of competence by ማረጋገጫዎችን ሲሰርዙና ሲያሳውቁ competence assuring institutions shall entail ያለምንም ተጨማሪ ቅድመ ሁኔታ የንግድ cancellation of the corresponding business license without any precondition. ሥራ ፈቃዱ ይሰረዛል፡፡ ፴፩. ምትክ የንግድ ሥራ ፈቃድ ስለማግኘት 31. Obtainment a Substitute Business license

፩/ የንግድ ሥራ ፍቃድ የምስክር ወረቀት 1/ A business person who has his business የጠፋበት ወይም የተበላሸበት ማንኛውም license lost or damaged may obtain a substitute business license when he meets ነጋዴ በአዋጁ መሠረት በወጣ ደንብ ላይ with his application the requirements የተመለከቱትን መስፈርቶች በማሟላት provided for in the regulations issued ማመልከቻ ሲያቀርብ ምትክ የንግድ ሥራ hereunder. ፍቃድ ምስክር ወረቀት ማግኘት ይችላል፡፡ ፪/ ፈቃዱ የተበላሸበት ነጋዴ ምትክ እንዲሰጠው 2/ A business person whose license is damaged ሲያመለከት የተበላሸውን የንግድ ፈቃድ shall return such damaged when he applies ይመልሳል፡፡ for a substitute. ፫/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) መሠረት 3/ The relevant authority to which the ማመልከቻ የቀረበለት አግባብ ያለው application is made under sub-article (1) of ባለሥልጣን አመልካቹ የንግድ ሥራ ፍቃዱ this Article shall require presentation of ስለመጥፋቱ ማረጋገጫ ከሚመለከተው አካል evidence from appropriate body or police and ወይም ፖሊስ እንዲያቀርብ አድርጎ በደንቡ upon payment of appropriate fee issue the substitute business license. የተመለከተውን ክፍያ በማስፈጸም ምትክ የንግድ ሥራ ፈቃድ ይሰጠዋል፡፡ gA ፱ሺ፪፻፲፱ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9219 ፴፪. የንግድ መደብር ሲተላለፍ የንግድ ሥራ ፈቃድ 32. Issuance of Business license Upon Transfer of ስለሚሰጥበት ሁኔታ a Business ፩/ የንግድ መደብር ለሌላ ሰው በሽያጭ፣ 1/ A business may be transferred to another በስጦታ፣ በውርስ ወይም በመሰል ማንኛውም person through sale, donation, inheritance or ሁኔታ ሊተላለፍ ይችላል፡፡ in a similar manner. ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) መሠረት 2/ A business may be transferred pursuant to የንግድ መደብር ማስተላለፍ የሚችለው sub-article (1) of this Article, provided that it በነጋዴው ወጪ አገር አቀፍ ሽፋን ባለው is published on a newspaper having nationwide circulation by the expense of the ጋዜጣ ታትሞ ወጥቶ ተቃዋሚ ካልቀረበ business person and no objection is lodged ወይም የዕግድ ትዕዛዝ ካልወጣበት ከአንድ against or any suspension order issued after ወር በኋላ ይሆናል፡፡ one month of publication.

፫/ የንግድ መደብሩ ከመተላለፉ በፊት 3/ Tax clearance evidence from the tax የቀድሞዉ ባለፈቃድ በንግድ ሥራ ፈቃዱ collecting authority for the period the license ለሰራበት ጊዜ የግብር ክሊራንስ ማስረጃ had been in use shall be presented before the transfer of a business. መቅረብ አለበት፡፡ ፬/ አግባብ ያለው ባለሥልጣን አስፈላጊ 4/ The relevant authority shall verify መረጃዎችን በማጣራት እና የቀድሞውን appropriate information, make sure the የንግድ ሥራ ፍቃድ ተመላሽ በማድረግ former business license is returned and issue the same business license to the business የንግድ መደብር ለተላለፈለት ሰው person to whom the business is transferred. ተመሳሳይ የንግድ ሥራ ፈቃድ ይሰጠዋል፡፡ ፭/ አግባብ ያለው ባለሥልጣን በዚህ አንቀጽ 5/ Where the relevant authority rejects the በተገለፀው መሠረት የቀረበለትን ጥያቄ application made under this Article, shall ውድቅ ካደረገው ምክንያቱን ገልፆ notify the applicant in writing and the reasons thereof. ለአመልካቹ በጽሁፍ ያሳውቃል፡፡ PART FIVE ክፍል አምስት MISCELLANEOUS PROVISIONS ልዩ ልዩ ድንጋጌዎች 33. Commercial Representative ፴፫. ስለንግድ እንደራሴነት ፩/ የንግድ እንደራሴ ሆኖ ለመሰራት የሚፈልግ 1/ Any person interested to engage as a ማንኛውም ሰው ሥራውን ከመጀመሩ በፊት commercial representative shall get በሚኒስቴሩ በንግድ መዝገብ ተመዝግቦ registered on the commercial register of the የንግድ እንደራሴነት ልዩ የምስክር ወረቀት Ministry before commencing his business and obtain a special certificate. ማግኘት አለበት፡፡ ፪/ የንግድ እንደራሴነት ልዩ የምስክር ወረቀት 2/ Any person desires to obtain a special certificate of commercial representative shall ለማውጣት የሚፈልግ ማንኛውም ሰው በአዋጁ meet the requirements specified in the መሠረት በወጣ ደንብ ላይ የተመለከቱትን regulations issued hereunder and submit መስፈርቶች በማሟላት ከማመልከቻው ጋር accompanied with his application. በማያያዝ ማቅረብ አለበት፡፡ 3/ Any person issued with the special certificate ፫/ የንግድ እንደራሴነት ልዩ የምስክር ወረቀት of commercial representative shall: የተሰጠው ማንኛውም ሰው፣ a) only be allowed to promote in Ethiopia ሀ) የወካዩን ምርቶችና አገልግሎቶች the products and services of the company በኢትዮጵያ ውስጥ የማስተዋወቅ፣ he represents; ለ) ወደፊት ድርጅቱ ኢትዮጵያ ውስጥ b) conduct market survey and trade ኢንቨስት ማድረግ እንዲችል የሚረዱ expansion that could help the company የገበያ ጥናትና የንግድ የማስፋፋት ሥራ in investing in Ethiopia in the future; የማካሄድ፤ እና

gA ፱ሺ፪፻፳ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9220 ሐ) የኢትዮጵያን የውጭ ንግድ ምርቶችን c) promote Ethiopian export products in ወካይ ድርጅቱ በሚገኝበት አገር the country where the company he የማስተዋወቅ ተግባራት የማከናወን represents is stationed. መብት ይኖረዋል፡፡ ፬/ የንግድ እንደራሴ በወካዩ ስም ለደንበኞቹ 4/ A commercial representative shall, on behalf of company he represents, not engage in የንግድ ዕቃ ወይም አገልግሎት ማቅረብ supply goods or services to customers and ወይም ከደንበኞቹ ጋር ውል መዋዋል clients or shall not enter contracts with the አይችልም፡፡ customers. ፭/ የንግድ እንደራሴ ከወከለው ነጋዴ ውጭ 5/ A commercial representative shall not work ለሌሎች ነጋዴዎች በማንኛውም መልኩ on behalf of other business persons, in any መሥራት አይችልም፡፡ manner, other than the business person he represents. ፮/ ማንኛውም የንግድ እንደራሴነት የምስክር 6/ Any person who has been issued a special ወረቀት የተሰጠው ሰው በአዋጁ መሠረት certificate commercial representative shall በወጣ ደንብ ላይ የተመለከቱትን meet the requirements specified in the regulations issued hereunder for renewal and መስፈርቶች በማሟላት የንግድ እንደራሴነት have his certificate renewed. ልዩ ምስክር ወረቀቱን ማሳደስ አለበት፡፡ ፯/ በዚህ አዋጅ የንግድ ሥራ ፈቃድ ምትክ 7/ The provisions of this Proclamation ስለማግኘት፣ ስለማገድ እና ስለመሰረዝ regarding issuance of substitute business license, renewal and cancellation, as የተደነገጉ ድንጋጌዎች ለንግድ እንደራሴ appropriate, shall be applicable on a ነትም እንደአግባቡ ተፈፃሚ ይሆናሉ፡፡ commercial representative. ፴፬. ስለ ሆልዲንግ ኩባንያ 34. Holding Company ፩/ በንግድ ሕጉ መሠረት ሆልዲንግ ኩባንያ 1/ Private limited companies intending to መመስረት የሚፈልጉ ኃላፊነታቸዉ የተወሰነ establish holding company shall do so in a manner that it would not disturb competition የንግድ ማህበራት የንግድ ዉድድርን and shall be registered with the Ministry. በማያዛባ ሁኔታ መቧደንና በሚኒስቴሩ ዘንድ ቀርበው መመዝገብ ይኖርባቸል፡፡ ፪/ ሆልደር ኩባንያው ከሶስተኛ ወገኖች 2/ The holder company shall jointly and severally liable with its member companies ለሚመነጩ ማናቸውም ኃላፊነቶች to claims of third parties. በአንድነት እና በተናጠል ከቡድኑ ኩባንያ አባላት ጋር ኃላፊ ነዉ፡፡ 3/ The holder company shall keep annual ፫/ ሆልደሩ ኩባንያ የቡድን አባላትን ጨምሮ financial records and other information, የተጠቃለለ ዓመታዊ ሂሳብ እና ሌሎች including that of its member companies; and መረጃዎችን መያዝ አለበት፤ አግባብ ያለዉ shall provide access to such documentation ባለስልጣን ሲጠይቅም ማቅረብ አለበት፡፡ whenever requested by relevant authority. ፬/ የሆልዲንግ ኩባንያው አባላት ከቡድኑ 4/ The existing special certificate of registration shall be altered by notifying to the registering ሲወጡ ወይም ወደ ቡድኑ ሲቀላቀሉ office when members are terminating or new ለመዝጋቢዉ አካል በማሳወቅ አስቀድሞ members are joining a holding company. የተሰጠዉ ልዩ የምዝገባ ምስክር ወረቀት መለወጥ አለበት፡፡ 5/ A holder company shall submit detailed ፭/ ሆልደር የሆነዉ ኩባንያ የራሱንና የቡድን information about itself and the member አባል ማህበራትን ዝርዝር መረጃዎች ይዞ companies and get registered upon በመቅረብ በአዋጁ መሠረት በወጣ ደንብ fulfillment of the criteria determined in the የሚወሰኑትን መስፈርቶች በማሟላት regulations issued hereunder and obtain a የመመዝገብ እና የሆልዲንግ ኩባንያ ምዝገባ special certificate of registration as a holding ልዩ የምስክር ወረቀት የማዉጣት ግዴታ company. አለበት፡፡

gA ፱ሺ፪፻፳፩ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9221 ፮/ የሆልዲንግ ኩባንያዎች የምዝገባ መስፈርት 6/ The requirements for registration for holding በአዋጁ መሠረት በሚወጣ ደንብ ይወሰናል፡፡ companies shall be determined in regulations to be issued hereunder. ፴፭. ስለ ጠረፍ ንግድ 35. Boarder Business ፩/ የጠረፍ ንግድ ልዩ የንግድ ሥራ ፍቃድ 1/ Special boarder business license shall be በሚኒስቴሩ ወይም ሚኒስቴሩ ውክልና issued by the Ministry or by offices delegated በሚሰጣቸው አካላት ይሰጣል፡፡ by the Ministry. ፪/ የጠረፍ ንግድ ልዩ የንግድ ሥራ ፍቃድ 2/ Special boarder business license shall be በሚኒስቴሩ ወይም በጠረፍ ንግድ ስምምነቶች issued based on boarder trade accords or by unilateral decision pertaining to limited types ወይም በተናጠል ውሳኔ በተወሰኑ ምርቶች ላይ of products only. ብቻ የሚሰጥ ይሆናል፡፡ ፫/ የጠረፍ ንግድ ልዩ የንግድ ፍቃድ አሰጣጥ 3/ The procedures for issuance of special መስፈርት በአዋጁ መሠረት በሚወጣ ደንብ boarder business licenses shall be determined in regulations to be issued hereunder. ይወሰናል፡፡ ፴፮. ስለ ውጭ ንግድ ትርዒት 36. Foreign Trade Exhibition The conditions to grant permission to hold foreign የውጭ የንግድ ትርዒት ይሁንታ ስለሚሰጥበት trade exhibitions shall be determined in ሁኔታ ሚኒስቴሩ በሚያወጣው መመሪያ regulations to be issued by the Ministry. ይወሰናል፡፡ ፴፯.ስለ ፍራንቻይዝ ምዝገባ 37. Franchise Registration ፩/ የፍራንቻይዝ ምዝገባ መስፈርት በአዋጁ 1/ The registration of the franchise shall be መሠረት በሚወጣ ደንብ በተወሰነው conducted pursuant to the provisions of the መሠረት ይፈፀማል፡፡ regulations issued hereunder. ፪/ ፍራንቻይዚው በፍራንቻይዘሩ ደረጃ መሠረት 2/ The franchisee shall function on the same መስራት አለበት፡፡ standard as the franchiser. ፫/ ተገልጋዮች ከፍራንቻይዘሩ የሚያገኙትን 3/ Clients shall obtain the same product and service from the franchisee as they would ዓይነት ምርት ወይም አገልግሎት have gotten from the franchiser. ከፍራንቻይዚው ማግኘት አለባቸው፡፡ ፴፰.ስለ ብቸኛ አስመጭና አከፋፋይ 38. Sole Importer and Distributor

፩/ ብቸኛ አስመጭ ወይም አከፋፋይ ሆኖ 1/ It shall be prohibited to operate as sole importer or distributor. መስራት የተከለከለ ነዉ፡፡ ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) የተደነገገው 2/ Notwithstanding sub-article (1) of this ቢኖርም ከሥራው ባሕሪ እና አገራዊ ጥቅም Article, based on the type of business and its national significance, the Council of አንጻር ብቸኛ አስመጭ ወይም አከፋፋይ Ministers may issue regulations on sectors of ሆኖ መሥራት የሚቻልባቸው የንግድ ሥራ business in which sole importation or መስኮችን በተመለከተ የሚኒስትሮች ምክር distribution may be allowed. ቤት ደንብ ሊያወጣ ይችላል፡፡ ፴፱. የንግድ ወኪል ተግባራት 39. Duties of a Commercial Agent የንግድ ወኪል የሚከተሉት ተግባራት ይኖሩታል ፦ Commercial Agent shall have the following duties: ፩/ የወካዩን ምርት ለገበያ የማስተወወቅ፤ 1/ promote the products of the company he represents; ፪/ የሀገራችንን ምርቶች ለዉጭ ሀገር ገበያ 2/ promote products of our country in foreign የማስተዋወቅ፤ markets; gA ፱ሺ፪፻፳፪ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9222 ፫/ ዓለም አቀፍ ጨረታ ላይ በሕግ ተወክሎ 3/ participate in international tenders legally በወካይ ምትክ ሆኖ በጨረታ ላይ representing the company and follow up የመሳተፍና አፈጻጸሙን የመከታተል፤ performances; ፬/ በወካይ ነጋዴ ስም ውል የመዋዋል፡፡ 4/ execute contracts on behalf of the company he represents. ፵. ስለዉጭ ሀገር የንግድ ምክር ቤቶች ቅርንጫፍ 40. Branch Offices of Foreign Chambers of ጽሕፈት ቤቶች Commerce ፩/ የዉጭ ሀገር ንግድ ምክር ቤቶች የቅርንጫፍ 1/ Foreign chamber of commerce may open its ጽሕፈት ቤቶችን ሊከፍቱ የሚችሉት branch office in Ethiopia upon presenting በተመሰረቱበት አገር የተሰጣቸውን የሕጋዊ certificate of legal personality issued in the country of registration, memorandum and ሰውነት ማስረጃ፣ መተዳደሪያ ደንብና article of association submitted there and የመመስረቻ ጽሁፍ እንዲሁም የሚያከናው their detailed activities in Ethiopia and upon ኗቸውን ተግባራት ዝርዝር መግለጫ approval getting registered with the Ministry. በማቅረብ በሚኒስቴሩ ተፈቅዶ ሲመዘገቡ However; foreign investors who invest in ይሆናል፡፡ሆኖም ከውጭ ሃገር በኢንቨስት Ethiopia and from an association, that መንት የገቡ የራሳቸውን ማህበር ሲያቋቁሙ association shall register by the authority that በሃገር አቀፍ ደረጃ ኢንቨስትመንትን legally established to administrate investment ለማስተዳደር በሕግ ስልጣን በተሰጠው አካል at federal level. እንዲመዘገቡ ይደረጋል፡፡ ፪/ የዉጭ ሀገር ንግድ ምክር ቤቶች ቅርንጫፍ 2/ The branch offices of foreign chambers of ጽሕፈት ቤቶች በሀገር ዉስጥ ያሉ የንግድና commerce shall be only entitled to engage in ዘርፍ ምክር ቤቶች ከሚያከናዉኗቸዉ activities that are similar with that of the local chambers of commerce. ተግባራት ጋር ተመሳሳይ ተግባራትን ብቻ ማከናወን ይችላሉ፡፡ ፫/ የዉጭ ሀገር ንግድ ምክር ቤቶች ቅርንጫፍ 3/ The branch offices of foreign chamber of ጽሕፈት ቤቶች በሀገር ዉስጥ ከተቋቋሙ commerce shall work in cooperation and የንግድ እና ዘርፍ ማህበራት ምክር ቤቶች jointly with local chambers of commerce and sectoral associations. ጋር በትብብርና በጋራ መደጋገፍ ይሰራሉ፡፡ ፵፩.ስለ ንግድ ማህበር ሥራአስኪያጅ 41. Managers of Business Organizations

የንግድ ማህበር ሥራ አስኪያጅ የሆነ ማንኛውም No person shall be allowed to serve as manager of ሰው በተመሳሳይ ወቅት ከአንድ በላይ የንግድ more than one business organization at the same time. ማህበር ሥራ አስኪያጅ መሆን አይችልም፡፡ ፵፪. ስለ ብቃት ማረጋገጫ 42. Certificate of Competence ፩/ ይህን አዋጅ ተከትሎ በወጣው ደንብ መሠረት 1/ The relevant sector offices shall issue directive on criteria for issuance of certificate የብቃት ማረጋገጫ ለሚያስፈልጋቸው የንግድ of competence for types of business activities ሥራዎች ሊሟሉ የሚገባቸውን የብቃት that need competence certificate as ማረጋገጫ መስፈርቶች አግባብነት ያላቸው determined in the regulations issued pursuant የሴክተር መስሪያ ቤቶች በመመሪያ to this Proclamation; and issue the certificate ይወስናሉ፡፡ competence. ፪/ በዚህ አዋጅ ድንጋጌዎች፣ አዋጁን ተከትሎ 2/ Government offices authorized to issue በሚወጣው ደንብ እና መመሪያ እንዲሁም certificates of competence under the በሌሎች ሕጎች መሠረት የብቃት ማረጋገጫ provisions of this Proclamation, regulation የምስክር ወረቀት ለመስጠት ሥልጣን and directives issued hereunder and on other laws shall issue certificates of competence የተሰጣቸዉ የመንግሥት አካላት የብቃት accordingly. ማረጋገጫ ሰርተፊኬት ይሰጣሉ፡፡ gA ፱ሺ፪፻፳፫ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9223 ፫/ የብቃት ማረጋገጫ የተሰጠበት አድራሻ 3/ Where there is change in address or criteria ወይም መስፈርት ለዉጥ የተደረገ ከሆነ corresponding to the certificate of በአዲሱ አድራሻ ወይም መስፈርት መሠረት competence issued, the previously issued ተደርጎ አዲስ የብቃት ማረጋገጫ ምስክር certificate of competence shall be changed by ወረቀት ማቅረብ አለበት፡፡ new certificate of competence by indicating the new address or new criterion. ፬/ የብቃት ማረጋገጫ እንደሚያስፈልጋቸው 4/ Certificate of competence shall be obtained በመመሪያ ለተወሰኑ የንግድ ሥራዎች as prerequisite to obtain a business license for ማንኛውም ሰው የንግድ ሥራ ፈቃድ business license determined by directive to ለማውጣት የብቃት ማረጋገጫ የምስክር have certificate of competence. ወረቀት ማግኘት አለበት፡፡ ፭/ የዚህ አንቀጽ ንዑስ አንቀጽ (፬) ድንጋጌ 5/ Without prejudice to the provision of sub- እንደተጠበቀ ሆኖ ሚኒስቴሩ ከሚመለከ article (4) of this Article, the Ministry shall ታቸው የሴክተር መሥሪያ ቤቶች ጋር determine, in consultation with other sector offices, the business sectors which do not በመመካከር የብቃት ማረጋገጫ ምስክር require certificate of competence as ወረቀት ለንግድ ሥራ ፈቃድ በቅድመ prerequisite for issuance of business license. ሁኔታነት የማይጠየቅባቸውን የንግድ ሥራ መደቦች ይወስናል፡፡ ፮/ ሴክተር መሥሪያ ቤቶች የብቃት ማረጋገጫ 6/ Sector offices shall consult concerned መስፈርቶችን ሲያዘጋጁ በዘርፉ የተሰማሩ business persons engaged in the sector while determining criteria for certificates of የነጋዴዎች አደረጃጀቶችን ማማከር competence. አለባቸው፡፡ ፵፫. ወጪና ገቢ ዕቃዎችን ስለመወሰን 43. Determination of Export and Import Goods

፩/ ሚኒስቴሩ ለብሔራዊ ጥቅም አስፈላጊ ሆኖ 1/ The Ministry may, for the national interest with the approval of the Council of Ministers, ሲያገኘው የሚኒስትሮች ምክር ቤትን ban importation into or exportation from በማስፈቀድ አንዳንድ የንግድ ዕቃዎችና Ethiopia of certain goods and services. አገልግሎቶች ወደ ሀገር ውስጥ እንዳይገቡ ወይም ከሀገር እንዳይወጡ ክልከላ ለመጣል ይችላል፡፡ ፪/ የአስመጪነት ወይም የላኪነት ንግድ ፈቃድ 2/ The Ministry may, pursuant to regulations to የሌላቸው ሰዎች ከውጭ ሀገር ዕቃ be issued hereunder, give permit for persons እንዲያስገቡ ወይም ወደ ውጭ ሀገር ዕቃ who have no import or export licenses to እንዲልኩ በአዋጁ መሠረት በሚወጣ ደንብ import or export goods. በሚወሰነው መሠረት ሚኒስቴሩ ፈቃድ ሊሰጣቸው ይችላል፡፡ ፵፬. አገልግሎቶችና መለዋወጫዎች አቅርቦትና ቁጥጥር 44. Supply and Control of Services and Spare Parts ፩/ የእርሻ፣ የኢንዱስትሪና የኮንስትራክሽን 1/ A business person or an agent engaged in the መሣሪያዎችን በመኪና ኃይል የሚሰሩ import and sale of agricultural, industrial and ዕቃዎችንና ተሽከርካሪዎችን ከውጭ አገር construction machineries and mechanical አስመጥቶ የሚሸጥ ነጋዴ ወይም ወኪል appliances and motor vehicles, shall during የእነዚሁ መሣሪያዎች፣ ዕቃዎችና ተሽከርካሪ the life span of such machinery, appliances ዎች አገልግሎት እስከሚያቆምበት ጊዜ ድረስ፦ and motor vehicles shall: ሀ) መሥራታቸው ካላቆመ ወይም ከሌላ a) keep minimum stock of spare parts in its ምንጭ በበቂ ሁኔታ የሚገኙ ካልሆነ mercantile establishment at all times in በስተቀር በማንኛውም ጊዜ ሚኒስቴሩ the quantity of at least the minimum level set by the Ministry in consultation አግባብ ካላቸው የመንግሥት መስሪያ with appropriate government institutions, ቤቶች ጋር በመመካከር ከሚወስነው so long as the spare parts are not out of አነስተኛ የክምችት መጠን ባላነሰ ሁኔታ manufacture or the said spare parts are መለዋወጫዎችን በመደብሩ ውስጥ sufficiently available from other sources; ይይዛል፣ ለሽያጭም ያቀርባል፤ gA ፱ሺ፪፻፳፬ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9224

ለ) በማናቸውም ጊዜ ተገቢ በሆነ ዋጋ b) provide maintenance and repair services የተሟላ የማደስ አገልግሎት ለገዥዎች to buyers at all times and at appropriate ይሰጣል፡፡ prices. ፪/ በዚህ አንቀጽ ንዑስ አንቀጽ (፩) በተደነገገው 2/ A business person failing to comply with the provision of sub-article (1) of this Article መሠረት ባልፈፀመ ነጋዴ ላይ በዚህ አዋጅ shall be liable to administrative measures and መሠረት አስተዳደራዊ እርምጃ ይወሰድበታል፣ criminal punishments. በወንጀልም ይቀጣል፡፡ ፵፭. ስለ ተቆጣጣሪ 45. Inspectors ፩/ አግባብ ያለው ባለሥልጣን የሚመድባቸው 1/ Inspectors deployed by a relevant authority shall show their identification cards and ተቆጣጣሪዎች ወደ ንግድ ድርጅቶች ለቁጥጥር special identification cards pertaining to their ተግባር ሲሄዱ ማንነታቸውን የሚገልጽ inspection duties issued by the authority as መታወቂያ እና ቁጥጥር ለማድረግ አግባብ they inspect business establishment. ካለው ባለስልጣን የተሰጠ የተቆጣጣሪነት ልዩ መታወቂያ ማሳየት አለባቸው፡፡ ፪/ ተቆጣጣሪዎች ወደ ንግድ መደብሮች 2/ Inspectors shall only inspect business establishments at government working hours. ለቁጥጥር ተግባር መሄድ ያለባቸው በመንግስት የሥራ ሰዓት ብቻ ነው፡፡ ፫/ በዚህ አንቀጽ ንዑስ አንቀጽ (፪) የተደነገገው 3/ Without prejudice to the provision of sub- እንደተጠበቀ ሆኖ ከመንግስት የሥራ ሰዓት article (2) of this Article, inspectors that ውጪ ወደ ንግድ ድርጅቶች ለቁጥጥር ሥራ inspect business establishments during out of working hours shall possess a letter issued by የሚሄዱ ከሆነ አግባብ ካለው ባለስልጣን the relevant authority for such purpose. ይህንኑ የሚያስረዳ ደብዳቤ መያዝ አለባቸው፡፡ ፵፮. አስተዳደራዊ እርምጃዎች 46. Administrative Measures ይህን አዋጅ፣ አዋጁን ተከትለው የሚወጡ The relevant authority shall take administrative measures provided in this Proclamation and the ደንብና መመሪያዎችን ተላልፎ በሚገኝ regulations issued hereunder against any person ማንኛውም ሰው ላይ አግባብ ያለው አካል በዚህ who violates the provisions of this Proclamation, አዋጅ እና አዋጁን ለማስፈፀም በሚወጣ ደንብ regulation and directives issued hereunder. በተመለከተው መሠረት አስተዳዳራዊ እርምጃ ይወስዳል፡፡ ፵፯. በአስተዳደራዊ እርምጃዎች ላይ ቅሬታ ስለማቅረብ 47. Grievances against administrative measures

፩/ በዚህ አዋጅ እና አዋጁን ተከትለው የወጡ 1/ Any person aggrieved by the decisions of ደንብና መመሪያ በሚሸፈን በማናቸውም relevant authority on matters covered in this Proclamation, regulation and directives ጉዳይ ላይ አግባብ ያለው ባለሥልጣን issued hereunder may submit his grievance to በሚወስናቸው ውሳኔዎች ቅሬታ ያለው the head of the relevant authority within 10 ማንኛውም ሰው ቅሬታውን አግባብ ላለው days. ባለሥልጣን የበላይ ኃላፊ በ ፲ ቀናት ውስጥ አቤቱታ ማቅረብ ይችላል፡፡ ፪/ አግባብ ያለው ባለስልጣን የበላይ ኃላፊ 2/ The head of relevant authority to which the የቀረበውን አቤቱታ ሰምቶ በ፭ ቀናት ውስጥ petition is submitted shall notify his decision ውሳኔውን ለአመልካቹ በጽሁፍ ማሳወቅ to aggrieved person in writing within five አለበት፤ ሆኖም ግን በተጠቀሱት ቀናት days; if the head of relevant authority fails to notified such decision within the specified ውስጥ የበላይ ኃላፊው ውሳኔውን ያላሳወቀው time, the aggrieved person may lodge his እንደሆነ ቅሬታ አቅራቢው ሥልጣን ላለው petition to a court of law having jurisdiction. ፍርድ ቤት አቤቱታውን ማቅረብ ይችላል፡፡ gA ፱ሺ፪፻፳፭ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9225 ፫/ አግባብ ባለው ባለሥልጣን በዚህ አንቀጽ 3/ Any person aggrieved by the decision given ንዑስ አንቀጽ ፪) መሠረት በሰጠው ውሳኔ or if the head of relevant authority fails to ቅር የተሰኘ ወይም ምላሽ ያልተሰጠው notify pursuant to sub-article (2) of this ማንኛውም ሰው ውሳኔ በተሰጠ በሁለት ወር Article may lodge appeal in connection with ጊዜ ውስጥ ሥልጣን ላለው ፍርድ ቤት his grievance to regular court having jurisdiction only on issues of law. በሕግ ጉዳይ ላይ ይግባኝ ማቅረብ ይችላል፡፡ ፵፰. የመተባበር ግዴታ 48. Duty to Cooperate የንግድ ሕጉን፣ አዋጁን እና አዋጁን ለማስፈፀም Any person shall have duty to cooperate with የሚወጡ ደንብና መመሪያዎችን በማስፈፀም relevant authority for the enforcement of the Commercial Code, the Proclamation, the ሂደት ማንኛውም ሰው አግባብ ካለው ባለሥልጣን regulations and directives issued hereunder. ጋር የመተባበር ግዴታ አለበት፡፡ ፵፱.ስለቅጣት 49. Penalty ፩/ ሀሰተኛ የንግድ ምዝገባ የምስክር ወረቀት 1/ Any person who prepared or used false ወይም የንግድ ሥራ ፈቃድ ወይም certificate of commercial registration, የእንደራሴ ልዩ የምስክር ወረቀት ያዘጋጀ business license or special certificate of commercial representation shall, without ወይም ሲጠቀም የተገኘ ማንኛውም ሰው prejudice to the confiscation of his የንግድ ሥራ ሲያካሂድባቸው የነበሩ የንግድ merchandise, service provision and ዕቃዎች፣ የአገልግሎት መስጫ ወይም manufacturing equipments, be punished with የማምረቻ መሣሪያዎች መወረሳቸው እንደ fine from Birr 150,000 (one hundred fifty ተጠበቀ ሆኖ ከብር ፩፻፶ሺ (መቶ ሃምሳ ሺ) thousand) to Birr 300,000 (three hundred እስከ ብር ፫፻ሺ (ሦስት መቶ ሺ) በሚደርስ thousand) and with rigorous imprisonment የገንዘብ መቀጮ እና ከ፯ (ሰባት) ዓመት from 7 (seven) years to 15 (fifteen) years. እስከ ፲፭ (አሥራ አምስት) ዓመት በሚደርስ ፅኑ እስራት ይቀጣል፤ ፪/ የፀና የንግድ ሥራ ፍቃድ ሳይኖረው በንግድ 2/ Any person engaged in business activity ሥራ ተሰማርቶ የተገኘ ማንኛውም ሰው without having a valid license or any ወይም በንግድ ሥራ ፍቃዱ እንዲሰራ business person who has been engaged in a ከተፈቀደለት የንግድ ሥራ ውጭ ሲሰራ business out of the scope of his business license shall, without prejudice to the የተገኘ ማንኛውም ነጋዴ የንግድ ሥራ confiscation of merchandise, service ሲካሄድባቸው የነበሩ የንግድ ዕቃዎች እና provision and manufacturing equipments, be የአገልግሎት መስጫ እና የማምረቻ punished with fine from Birr 150,000 (one መሣሪያዎች መወረሳቸው እንደተጠበቁ hundred fifty thousand) to Birr 300,000 ሆነው ከብር ፩፻፶ሺ (መቶ ሃምሳ ሺህ) እስከ (three hundred thousand) and with rigorous ብር ፫፻ሺ (ሦስት መቶ ሺህ) በሚደርስ imprisonment from 7 (seven) years to 15 የገንዘብ መቀጮ እና ከ፯ (ሰባት) ዓመት (fifteen) years. እስከ ፲፭ (አሥራ አምስት) ዓመት በሚደርስ ፅኑ እስራት ይቀጣል፤ ፫/ ሐሰተኛ መረጃ በማቅረብ በንግድ መዝገብ 3/ Any person or business person who የተመዘገበ ወይም የንግድ ስሙን ያስመዘገበ undergoes or attempts to undergo commercial ወይም የንግድ ሥራ ፍቃድ ወይም የንግድ or trade name registration or obtains or እንደራሴ ልዩ የምስክር ወረቀት ያወጣ attempts to obtain business license or special ወይም የንግድ ሥራ ፍቃዱን ወይም የንግድ certificate of commercial representation upon እንደራሴ ልዩ የምስክር ወረቀቱን በሐሰተኛ presentation of false documents or uses or attempts to use such documentation for መረጃ ያሳደሰ ወይም ለማውጣት ወይም renewal of his business license or the special ለማሳደስ ሙከራ ያደረገ ማንኛውም ሰው certificate of commercial representation shall, ወይም ነጋዴ ያለአግባብ ያገኘው ጥቅም without prejudice to the confiscation of any መወረሱ እንደተጠበቀ ሆኖ፣ ከብር ፷ሺ benefits he may have earned, be punished (ስልሳ ሺህ) እስከ ብር ፩፻፳ሺ (መቶ ሃያ with fine from Birr 60,000 (sixty thousand) ሺህ) በሚደርስ የገንዘብ መቀጮ እና ከ፯ to Birr 120,000 (one hundred twenty (ሰባት) ዓመት እስከ ፲፪ (አሥራ ሁለት) thousand) and with rigorous imprisonment ዓመት በሚደርስ ፅኑ እስራት ይቀጣል፤ from 7 (seven) years to 12 (twelve) years.

gA ፱ሺ፪፻፳፮ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9226 ፬/ የንግድ ሥራ ፍቃዱን እንዲጠቀምበት 4/ Any business person who have transferred በሽያጭ፣ በኪራይ፣ በስጦታ ወይም his business license to a third party by way of በተመሳሳይ ሁኔታ ለሦስተኛ ወገን አሳልፎ sale, lease, donation or in a similar fashion የሰጠ ማንኛውም ነጋዴ ከብር ፶ሺ (ሃምሳ shall be punished with fine from Birr 50,000 ሺ) እስከ ብር ፻ሺ (አንድ መቶ ሺ) የገንዘብ (fifty thousand) to Birr 100,000 (one hundred thousand) and with rigorous imprisonment መቀጮ እና ከ፭ (አምስት) ዓመት እስከ ፲ from 5 (five) years to 10 (ten) years; if the (አሥር) ዓመት በሚደርስ ፅኑ እስራት business license has been transferred to a የሚቀጣ ሲሆን አሳልፎ የሰጠው ለውጭ አገር foreign national the fine shall be from Birr ዜጋ በሆነ ጊዜ ከብር ፪፻ሺ (ሁለት መቶ ሺ) 200,000 (two hundred thousand) to Birr እስከ ብር ፫፻ሺ (ሦስት መቶ ሺ) በሚደርስ 300,000 (three hundred thousand) and the የገንዘብ መቀጮ እና ከ፯ (ሰባት) ዓመት imprisonment shall be from 7 (seven) years እስከ ፲፭ (አሥራ አምስት) ዓመት በሚደርስ to 15 (fifteen) years. ጽኑ እስራት ይቀጣል፤ ፭/ የንግድ ሥራ አድራሻ ለውጥ በአዋጁ 5/ Any business person who has fails to notify change of his business address to the መሠረት በወጣው ደንብ በተመለከተዉ የጊዜ registering office within the period specified ወሰን ውስጥ ለመዝጋቢው መስሪያ ቤት in the regulations issued hereunder shall be ያላስታወቀ ማንኛውም ነጋዴ ከብር ፭ሺ punished with fine from Birr 5,000 (five (አምስት ሺህ) እስከ ብር ፲ሺ (አስር ሺህ) thousand) to Birr 10,000 (ten thousand) and በሚደርስ የገንዘብ መቀጮ እና እስከ ሦስት with simple imprisonment not exceeding ወር በሚደርስ ቀላል እስራት ይቀጣል፤ three months. ፮/ በንግድ መዝገቡ ላይ ማሻሻያ ሊያስከትል 6/ Any business person who fails to notify the የሚችል ለውጥ አድርጎ በዚህ አዋጅ ድንጋጌ registering office within 30 days changes that መሰረት በ ፴ ቀናት ውስጥ ለመዝጋቢው warrant amendments in the commercial መሥሪያ ቤት ያላስታወቀ ማንኛውም ነጋዴ registration pursuant to this Proclamation shall be punished with fine from Birr 5,000 ከብር ፭ሺ (አምስት ሺህ) እስከ ብር ፲ሺ (five thousand) to Birr 10,000 (ten thousand) (አስር ሺህ) በሚደርስ የገንዘብ መቀጮ እና and with simple imprisonment not exceeding ከሦስት ወር በማያንስ ቀላል እስራት three months. ይቀጣል፤ ፯/ ይህንን አዋጅ ወይም አዋጁን ለማስፈፀም 7/ Any business person who refuses to provide የወጡ ደንብና መመሪያዎችን ተግባራዊ information or attempts to obstruct the duties ለማድረግ ለሚካሄድ የቁጥጥር ሥራ አግባብ of workers or supervisors sent by a relevant authority as part of activities for the ያለው አካል የሚልካቸው ሠራተኞች ወይም enforcement of this Proclamation, regulations ተቆጣጣሪዎች የሚጠይቁትን መረጃ or directives issued hereunder shall be ለመስጠት ፈቃደኛ የማይሆን ወይም punished with fine from Birr 5,000 (five በማናቸውም ዓይነት ሁኔታ ተግባራቸውን thousand) to Birr 10,000 (ten thousand) and የሚያስተጓጉል ማንኛውም ነጋዴ ከብር ፭ሺ with simple imprisonment not exceeding (አምስት ሺህ) እስከ ብር ፲ሺ (አስር ሺህ) three months. በሚደርስ የገንዘብ መቀጮ እና ከሦስት ወር በማያንስ ቀላል እስራት ይቀጣል:: ፰/ የዚህን አዋጅ ሌሎች ድንጋጌዎች የተላለፈ 8/ Any person who violates the other provisions ማንኛውም ሰው ከብር ፲ሺ (አስር ሺ) እስከ of this Proclamation shall be punished with ብር ፴ሺ (ሠላሳ ሺ) በሚደርስ የገንዘብ fine from Birr 10,000 (ten thousand) to Birr 30,000 (thirty thousand) and with simple መቀጮ እና ከአንድ ዓመት እስከ ሦስት imprisonment from one year to three years. ዓመት የሚደርስ ቀላል እስራት ይቀጣል፡፡ ፶. የመሸጋገሪያ ድንጋጌ 50. Transitory Provision

የዚህ አዋጅ አንቀጽ ፶፩ (፩) ድንጋጌ ቢኖርም Notwithstanding Article 51(1) of this Proclamation, administrative issues pending before the coming ይህ አዋጅ ከመፅናቱ በፊት የተጀመሩ into force of this Proclamation shall be resolved አስተዳደራዊ ጉዳዮች በንግድ ምዝገባና ፈቃድ pursuant to Business Registration and Licensing አዋጅ ቁጥር ፮፻፹፮/፪ሺ፪ (እንደተሻሻለ) Proclamation No. 686/2010 (as amended); መሠረት ፍፃሜ ያገኛሉ፡፡ gA ፱ሺ፪፻፳፯ Ød‰L ነU¶T Uz¤È qÜ_R ፩፻፩ ሐምሌ ፳፱ qN ፪ሺ፰ ›.M Federal Negarit Gazette No. 101 5th Augest, 2016 …page 9227 ፶፩. ተፈፃሚነት የማይኖራቸው ሕጎች 51. Inapplicable Laws ፩/ የንግድ ምዝገባና ፈቃድ አዋጅ ቁጥር 1/ The Business Registration and Licensing ፮፻፹፮/፪ሺ፪ (እንደተሻሻለ) በዚህ አዋጅ Proclamation No. 686/2010 (as amended) is ተሽሯል፡፡ hereby repealed. ፪/ በዚህ አዋጅ ከተደነገጉ ጉዳዮች ጋር 2/ No, law or customary practice, inconsistent የሚቃረን ማንኛውም ሕግ፣ ልማድ ወይም with this Proclamation, shall have effect with respect to matters governed by this አሰራር ተፈፃሚነት አይኖረውም፡፡ Proclamation. ፶፪. ደንብና መመሪያ ስለማውጣት 52. Power to Issue Regulations and Directives ፩/ ይህንን አዋጅ ለማስፈፀም የሚኒስትሮች 1/ The Council of Ministers may issue Regulations necessary for the implementation ምክር ቤት ደንብ ሊያወጣ ይችላል፡፡ of this Proclamation. ፪/ ይህንን አዋጅ እና በዚህ አንቀጽ ንዑስ 2/ The Ministry may issue directives necessary አንቀጽ (፩) መሠረት የወጡ ደንቦችን for the proper implementation of this ለማስፈጸም ሚኒስቴሩ መመሪያዎች ሊያወጣ proclamation and regulations issued under ይችላል፡፡ sub article (1) of this article. ፶፫. አዋጁ የሚፀናበት ጊዜ 53.
