"administration by-law" means the administration by-law referred to in section 4. (« règlement administratif ») "board" means Peak of the Market. (« office ») "designated representative" means an individual appointed in accordance with the administration by-law by a registered producer which is a corporation or partnership, to attend meetings and vote on behalf of the corporation or partnership, and to exercise the privileges described in the by-law. (« représentant désigné ») "facility" means any land, building or structure used in the production or marketing of a regulated product. (« installation ») "Manitoba council" means the Manitoba Farm Products Marketing Council. (« Conseil manitobain ») "marketing" means selling, offering for sale, preparing for sale, buying, cleaning, washing, preparing for storage, storing, grading, assembling, packing, transporting, advertising or financing, and includes the processing of a regulated product by a producer and disposition of any unsaleable regulated product by a producer. (« commercialisation ») "potato" means any variety, class, grade or size of potato grown or harvested in Manitoba. La présente définition inclut toute personne : a) qui, conformément à un bail ou à un accord, a droit à une partie des plantes-racines cultivées ou récoltées par un producteur; FARM PRODUCTS MARKETING F47 — M.R. 117/2009 07/094 "potato producer" means a person who grows or harvests potatoes in Manitoba, and includes a person who (a) under any lease or agreement is entitled to a share of the potatoes grown or harvested by a producer; or (b) takes possession of any potatoes from a producer under any form of security for a debt. (« producteur de pommes de terre ») "produce" means to plant, grow or harvest a regulated product in Manitoba, and includes any activity in preparing a regulated product for market. (« produire ») "producer" means a potato producer or a root crop producer. (« producteur ») "quota" means a quantity of regulated product that a registered producer has been authorized by the board to produce or market during a specified period of time. (« quota ») "registered producer" means a producer who is duly registered with or licensed by the board, and whose registration or licence is in good standing. (« producteur inscrit ») "regulated product" means (a) potatoes other than potatoes that are a "regulated product" under the Manitoba Processing Potato Marketing Plan Regulation; and (b) root crops. (« produit réglementé ») "root crop" means parsnips, onions, carrots or rutabagas. (« plante-racine ») "root crop producer" means a person who grows or harvests root crops in Manitoba, and includes a person who (a) under any lease or agreement is entitled to a share of the root crops grown or harvested by a producer; or (b) takes possession of any root crops from a producer under any form of security for a debt. (« étiquette ») "transportation" includes the gathering, haulage, movement or relocation of regulated product in Manitoba. PURPOSES AND APPLICATION OF THIS PLAN OBJECTIFS ET APPLICATION DU PROGRAMME Purpose and application 2(1) The general purpose of this plan is to provide for the promotion, regulation and management of the production and marketing of the regulated products by the board, in Manitoba. PEAK OF THE MARKET PEAK OF THE MARKET Continuation of Peak of the Market 3(1) "Peak of the Market", continued by Manitoba Regulation 249/87 R, is continued as a board. Administration by-law 4(1) The administration by-law that is in effect in accordance with section 4 of the Manitoba Vegetable Producers' Marketing Plan Regulation, Manitoba Regulation 249/87 R, on the day this section comes into force remains in effect until it is repealed, replaced or amended in accordance with this section. Officers 5(1) Members of the board must meet without delay after each annual general meeting, and elect a chair, a vice-chair and a secretary from among their number (one of whom must be a member elected by root crop producers). The board may appoint a treasurer and any other officers that it considers necessary, who need not be members of the board. FARM PRODUCTS MARKETING F47 — M.R. 117/2009 07/098 5(2) The chair, or in the chair's absence, the vice-chair, must call and preside at all meetings of the board and at all annual and special general meetings. 5(2) Le président, ou, en son absence, le vice-président, convoque et dirige les réunions de l'office ainsi que les assemblées générales annuelles ou extraordinaires. 5(3) The officers of the board must carry out the duties that are assigned to them by the board. 5(3) Les dirigeants de l'office exercent les fonctions qu'elle leur confie. Remuneration 6(1) The chair, officers and other members of the board or of any committee appointed by the board may be paid such remuneration in an amount that may be fixed by resolution of the board. Committees 7 The board may appoint any committees that it considers necessary or desirable for the proper operation of this plan, and must appoint any committees that the Manitoba council requests that it appoint, in the form and for the purpose that the Manitoba council directs. Duties of the board 8(1) The board must maintain books and records as required for the proper administration of this plan, which must be open for inspection by the Manitoba council at any reasonable time. COMMERCIALISATION DES PRODUITS AGRICOLES F47 — R.M. 117/2009 07/09 9 8(4) The board must make an annual report about its activities to the annual general meeting and to the Manitoba council, and the report must contain a copy of the audited financial statements of the board for the previous fiscal year. 8(4) L'office présente le rapport de ses activités à l'assemblée générale annuelle et au Conseil manitobain. Le rapport annuel contient une copie de ses états financiers vérifiés pour l'exercice précédent. 8(5) The board must provide any other reports and information as may be required from time to time by the Manitoba council. 8(5) L'office fournit au Conseil manitobain les autres rapports et renseignements qu'exige celui-ci. Audit 10 A qualified auditor must be appointed by resolution passed at an annual or special general meeting for the purpose of auditing the books of the board. If an auditor is not so appointed, the board must itself appoint an auditor for that purpose. GENERAL POWERS OF THE BOARD POUVOIRS GÉNÉRAUX DE L'OFFICE General production and marketing powers of the board 11(1) The regulated products are under the jurisdiction of the board. Directed marketings 17 The board may make orders determining the time and place at which, and designating the agency through which, a regulated product, or any variety, class or size thereof, must be marketed by a producer. COMMERCIALISATION DES PRODUITS AGRICOLES F47 — R.M. 117/2009 07/09 15 Penalties 22 The board may make regulations (a) controlling the quantity, quality, variety, class or size of any regulated product that may be produced or marketed by imposing penalties on producers, and for the collection of those penalties; (b) imposing penalties on producers who grow a regulated product on land that is not certified under section 25 for growing that product, and for the collection of those penalties; (c) imposing penalties on producers who store a regulated product in, or market a regulated product from, a facility that is not certified under section 25 for that purpose, and for the collection of those penalties; and (d) requiring any person who receives a regulated product for marketing to deduct from the money payable by the person to the producer any penalties payable by the producer to the board and to remit them to it. FARM PRODUCTS MARKETING F47 — M.R. 117/2009 07/0918 Partnerships and shared arrangements 27(1) For the purpose of this plan and any regulation or order made by the board, if two or more persons produce or market a regulated product together, the regulated product produced or marketed by one of them is deemed to be produced or marketed by the other person or persons, and such persons shall be treated as a single person for the purpose of the following: (a) registering such persons; (b) determining the amount of a regulated product which may be produced or marketed by any of them; (c) determining the amount of a regulated product produced or marketed by any of them.
