Definitions 2 In this Regulation “Act” means the Natural Products Act; (« Loi ») “Board” means the New Brunswick Cattle Producers; (« Office ») “designated representative” means an individual ap pointed under section 5; (« représentant désigné ») “district” means a district described in subsection 3(2); (« district ») “eligible producer” means a person who raises at least 12 head of cattle at any time during a calendar year; (« éleveur habilité ») “member” means a member of the Board; (« membre ») “person” means an individual, corporation, partnership or cooperative; (« personne ») “Plan” means the Plan as defined in the Cattle Plan and Levies Regulation - Natural Products Act; (« Plan ») “regulated area” means the regulated area as defined in the Cattle Plan and Levies Regulation - Natural Products Act; (« zone réglementée ») “regulated product” means the regulated product as de fined in the Cattle Plan and Levies Regulation - Natural Products Act. (« produit réglementé ») Membership of Board 3(1) The Board shall consist of 9 members. (“regu lated area”) Membres de l’Office 3(1) L’Office se compose de 9 membres. 3 N-1.2 Natural Products Act 2001-47 3(2) One member shall be elected from each of the fol lowing districts: (a) District 1, which shall consist of Carleton County; (b) District 2, which shall consist of Victoria County except Drummond Parish; (c) District 3, which shall consist of Drummond Par ish in Victoria County and the counties of Madawaska and Restigouche; (d) District 4, which shall consist of the counties of Gloucester and Northumberland; (e) District 5, which shall consist of the counties of Westmorland and Albert; (f) District 6, which shall consist of Kent County; (g) District 7, which shall consist of the counties of Queens, Sunbury, York and Charlotte; and (h) District 8, which shall consist of the counties of Kings and Saint John. 3(3) One member shall be appointed by the Dairy Farm ers of New Brunswick. 2004-13 Term of office 4(1) Each elected member shall hold office for a 2-year term and shall assume office at the first meeting of the Board following the election. 4(2) The member appointed by the Dairy Farmers of New Brunswick shall hold office for a 2-year term and shall assume office at the first meeting of the Board fol lowing the appointment. 2004-13 Designated representative 5(1) Where an eligible producer is a corporation, part nership or cooperative and wishes to vote or be elected as a member at an annual district meeting, the eligible pro ducer shall appoint an individual as a designated represen tative to act on behalf of the eligible producer. 5(2) Only the individual appointed as a designated rep resentative of an eligible producer under subsection (1) 3(2) Un membre de chacun des districts suivants est élu : a) District 1, qui comprend le comté de Carleton; b) District 2, qui comprend le comté de Victoria à l’exception de la paroisse de Drummond; c) District 3, qui comprend la paroisse de Drummond dans le comté de Victoria et les comtés de Madawaska et de Restigouche; d) District 4, qui comprend les comtés de Gloucester et de Northumberland; e) District 5, qui comprend les comtés de Westmorland et d’Albert; f) District 6, qui comprend le comté de Kent; g) District 7, qui comprend les comtés de Queens, Sunbury, York et Charlotte; et h) District 8, qui comprend les comtés de Kings et Saint John. 3(3) Un membre est nommé par les Producteurs laitiers du Nouveau-Brunswick. 2004-13 Durée du mandat 4(1) Chaque membre qui doit être élu est en poste pour un mandat de 2 ans et entre en fonction lors de la première réunion de l’Office qui suit son élection. 4(2) Le membre nommé par les Producteurs laitiers du Nouveau-Brunswick demeure en poste pour un mandat de 2 ans et entre en fonction lors de la première réunion de l’Office qui suit sa nomination. 2004-13 Représentant désigné 5(1) Lorsqu’un éleveur habilité est une corporation, une société en nom collectif ou une coopérative et qu’il désire voter ou être élu comme membre lors d’une réunion an nuelle de district, l’éleveur habilité nomme un particulier comme représentant désigné pour agir au nom de l’éle veur habilité. 5(2) Seul le particulier nommé comme représentant dé signé d’un éleveur habilité en vertu du paragraphe (1) vote 4 2001-47 Loi sur les produits naturels N-1.2 shall vote at an annual district meeting or be elected as a member on behalf of the eligible producer. Qualifications of members 6(1) Except as otherwise provided in the by-laws of the Board and subject to subsection (2), a person shall not hold office as a member unless the person (a) is an eligible producer, (b) raises cattle on his or her own premises or on pre mises under a lease or contract agreement, and (c) resides in the district which he or she is to repre sent. 6(2) A designated representative of an eligible producer may hold office as a member for a district if the eligible producer (a) raises cattle on his or her own premises or on pre mises under a lease or contract agreement, and (b) resides in the district. 6(3) A designated representative shall hold office as a member only for so long as he or she remains a designated representative. 6(4) Where an eligible producer notifies the Board that an individual has ceased to be its designated representa tive, the Board shall declare the member’s position va cant. Annual district meetings 7(1) In accordance with this section, the Board shall call an annual district meeting of eligible producers to (a) consider any matter raised by eligible producers concerning the marketing or the production and mar keting of the regulated product, (b) review the operation of the Board, (c) review the audited financial statement of the Board for the previous year, and lors de la réunion annuelle de district ou est élu comme membre au nom de l’éleveur habilité. Réunions annuelles de district 7(1) En application du présent article, l’Office convo que une réunion annuelle de district des éleveurs habilités en vue a) d’étudier toute question soulevée par les éleveurs habilités au sujet de la commercialisation ou de la pro duction et de la commercialisation du produit régle menté, b) de faire le point sur le fonctionnement de l’Office, c) d’examiner l’état financier vérifié de l’Office pour l’année précédente, et 5 N-1.2 Natural Products Act 2001-47 (d) elect a member to the Board, if the term of office of a member for the district is expiring. 7(2) An annual district meeting of eligible producers shall be held on the date fixed by the Board. 7(3) Notice of an annual district meeting setting out the date, time and place fixed for the meeting shall be pub lished in a newspaper published in the Province and hav ing general circulation in the regulated area. 7(4) Notice shall be published under subsection (3) at least 7 days before the date fixed for the annual district meeting. 7(5) The elected member representing a district shall act as chair of an annual district meeting of that district unless the member is unable or unwilling to act, in which case, the eligible producers and designated representatives present at the meeting shall choose one among them to be the chair. 7(6) The Secretary-Manager of the Board shall act as secretary of an annual district meeting, but in the absence of the Secretary-Manager, the chair shall appoint a person to be secretary of the meeting. Change of address 8(1) An eligible producer shall notify the Board of any change of his or her recorded address not later than 14 days after the change. 8(2) Where, in the opinion of the Board, a change has occurred in the address of an eligible producer, the Board may change the recorded address. List of eligible producers 9(1) The Board shall, before the date fixed for the an nual district meeting, prepare a list of eligible producers. 9(2) The list of eligible producers shall be (a) arranged in alphabetical order and according to the district in which cattle are raised, and (b) based upon the records of the Board. 9(3) The Board may make additions to or deletions from the list of eligible producers where it receives information with respect to the voting eligibility of an eligible pro ducer. d) d’élire un membre de l’Office si le mandat du membre élu pour le district vient à expiration. 7(2) La réunion annuelle de district des éleveurs habili tés a lieu à la date fixée par l’Office. 7(3) L’avis de convocation d’une réunion annuelle de district précisant la date, l’heure et le lieu de la réunion est publié dans un journal publié dans la province et diffusé généralement dans la zone réglementée. 7(4) L’avis prévu au paragraphe (3) est publié au moins 7 jours avant la date fixée pour la réunion annuelle de dis trict. 7(5) Le membre élu qui représente un district doit agir comme président de la réunion annuelle de ce district, sauf s’il en est empêché ou refuse de remplir ses fonctions, auquel cas les éleveurs habilités et les représentants dési gnés présents à la réunion choisissent un président en leur sein. 7(6) Le secrétaire-directeur de l’Office agit comme se crétaire de la réunion annuelle de district, mais en son ab sence le président nomme une personne comme secrétaire de la réunion annuelle de district. Changement d’adresse 8(1) L’éleveur habilité doit notifier à l’Office tout chan gement de son adresse consignée, au plus tard dans les 14 jours du changement. 8(2) L’Office peut changer l’adresse consignée d’un éleveur habilité lorsque, à son avis, cette adresse a subi un changement. Liste des éleveurs habilités 9(1) L’Office établit la liste des éleveurs habilités avant la date fixée pour la réunion annuelle de district. 9(2) La liste des éleveurs habilités est a) présentée dans l’ordre alphabétique et selon le dis trict où se fait l’élevage des bovins, et b) basée sur les registres de l’Office. 9(3) L’Office peut procéder à des adjonctions et sup pressions sur la liste des éleveurs habilités lorsqu’elle re çoit des renseignements concernant le droit de vote d’un éleveur habilité. 6 2001-47 Loi sur les produits naturels N-1.2 Voting at annual district meetings 10(1) Subject to subsections (2) and (3), only eligible producers whose names appear on the list of eligible pro ducers are entitled to vote at an annual district meeting. 10(2) Where the Board has not prepared the list of eligi ble producers required by subsection 9(1), a producer who proves to the satisfaction of the chair at an annual district meeting that he or she is an eligible producer is entitled to vote at the annual district meeting. 10(3) A producer whose name is not on the list of eligi ble producers and who proves to the satisfaction of the chair at an annual district meeting that he or she is an eli gible producer is entitled to vote at the annual district meeting. 10(4) An eligible producer shall only vote in the district in which the eligible producer is resident. 10(5) An individual voting in an election is entitled to vote only once in the election. 10(6) Where there is a dispute as to the voting eligibility of an eligible producer or designated representative, the Commission shall settle the dispute. 10(7) The voting for membership on the Board shall be by secret ballot and the counting of the ballots shall be su pervised by a scrutineer appointed by the chair of the an nual district meeting with the consent of the eligible pro ducers and designated representatives present at the meeting. 10(8) No eligible producer or designated representative shall be elected as a member unless he or she receives a majority of the votes cast at the annual district meeting. Vacancy on Board 11(1) If a position on the Board is not filled after an election in a district, a member of the Board from a district becomes unwilling or unable to act or a vacancy in respect of an elected member from a district occurs on the Board for any other reason, the Board shall appoint an eligible producer or designated representative from that district at the next regular meeting of the Board to fill the vacancy. 11(2) Where no person is willing to be appointed under subsection (1), the Board may appoint an eligible pro Vote lors des réunions annuelles de district 10(1) Sous réserve des paragraphes (2) et (3), seuls les éleveurs habilités dont les noms figurent sur la liste des éleveurs habilités ont droit de vote à la réunion annuelle de district. 10(2) Lorsque l’Office n’a pas établi la liste des éle veurs habilités ainsi que l’exige le paragraphe 9(1), tout éleveur qui prouve à la satisfaction du président à la réu nion annuelle de district qu’il est un éleveur habilité a droit de vote à la réunion annuelle de district. 10(3) L’éleveur dont le nom n’est pas sur la liste des éle veurs habilités et qui prouve à la satisfaction du président à la réunion annuelle de district qu’il est un éleveur habi lité a droit de vote à la réunion annuelle de district. 10(4) L’éleveur habilité ne peut voter que dans le dis trict dans lequel il réside. 10(5) Un particulier qui vote lors d’une élection n’a droit de voter qu’une seule fois lors de l’élection. 10(6) Il incombe à la Commission de régler tout diffé rend relatif au droit de vote d’un éleveur habilité ou d’un représentant désigné. 10(7) L’élection des membres de l’Office a lieu au scru tin secret et le dépouillement du scrutin se fait sous le con trôle d’un scrutateur nommé par le président de la réunion annuelle de district avec l’assentiment des éleveurs habi lités et des représentants désignés présents à la réunion. 10(8) Pour être élu membre, un éleveur habilité ou un représentant désigné doit réunir la majorité des voix ex primées lors de la réunion annuelle de district. Vacance au sein de l’Office 11(1) Si un poste de l’Office n’est pas rempli à la suite d’une élection dans un district ou si un membre de l’Of fice d’un district ne veut pas exercer ses fonctions ou en est empêché, ou, s’il se produit pour toute autre raison une vacance en son sein, l’Office nomme, au cours de sa pro chaine réunion ordinaire, pour pourvoir le poste vacant, un éleveur habilité ou un représentant désigné venant du district où s’est produite la vacance. 11(2) Dans le cas où aucune personne ne veut accepter la nomination en vertu du paragraphe (1), l’Office peut 7 N-1.2 Natural Products Act 2001-47 ducer or designated representative from any district to fill the vacancy. 11(3) If the position of the member appointed by the Dairy Farmers of New Brunswick becomes vacant, the Dairy Farmers of New Brunswick shall appoint another person to fill the vacancy. 2004-13 11(4) A member appointed under this section shall hold office for the remainder of the term of the member whose position on the Board was vacated. Powers of Board 12 The following powers are vested in the Board: (a) to exempt from any order of the Board any person or class of persons engaged in the marketing or the pro duction and marketing of the regulated product or any class, variety or grade of the regulated product; and (b) to appoint officers and employees, assign their duties and fix their remuneration. Advisory committees 13 The Board may establish advisory committees to ad vise and make recommendations to the Board in respect of any matter respecting which the Board is empowered to make orders under the Act, the regulations or the Plan. By-laws 14 The Board may make by-laws that are not inconsis tent with the Act, the regulations or the Plan. Transitional provision 15 The Chairman, Vice-Chairman and Secretary Manager, immediately before the commencement of this Regulation, of the New Brunswick Cattle Marketing Agency shall continue as the Chair, Vice-Chair and Secretary-Manager of the New Brunswick Cattle Pro ducers as if they had been appointed or elected, as the case may be, under the by-laws of the Board, until they are reappointed, re-elected or replaced, as the case may be, under the by-laws. nommer un éleveur habilité ou un représentant désigné de tout district pour combler la vacance. 11(3) Si le poste du membre nommé par les Producteurs laitiers du Nouveau-Brunswick devient vacant, les Pro ducteurs laitiers du Nouveau-Brunswick nomment une autre personne pour combler le poste vacant. 2004-13 11(4) Le membre nommé en vertu du présent article de meure en fonction pour le reste du mandat du membre dont le poste est devenu vacant. Comités consultatifs 13 L’Office peut établir des comités consultatifs chargés de conseiller l’Office et lui faire des recommandations sur les questions relativement auxquelles il est autorisé à prendre des arrêtés en vertu de la Loi, des règlements ou du Plan. Règlements administratifs 14 L’Office peut établir des règlements administratifs qui ne sont pas incompatibles avec la Loi, les règlements ou le Plan. Disposition transitoire 15 Le président, le vice-président et le secrétaire directeur de l’Agence de commercialisation du bétail du Nouveau-Brunswick, qui sont en poste immédiatement avant l’entrée en vigueur du présent règlement, demeu rent dans l’exercice de leurs fonctions à titre de prési dent, de vice-président et de secrétaire-directeur des Éleveurs de bovins du Nouveau-Brunswick comme s’ils avaient été nommés ou élus, selon le cas, en vertu des rè glements administratifs de l’Office, jusqu’à ce qu’ils soient nommés de nouveau, réélus ou remplacés en vertu des règlements administratifs. 8 2001-47 Loi sur les produits naturels N-1.2 Commencement 16 This Regulation comes into force on July 1, 2001.
